AGREEMENT FOR CONSULTANT SERVICES
Project: Sandy Creek Culvert Replace-
ment at Highland Avenue

THIS AGREEMENT, entered into this day of
v Jr 11=7 by and between the
City of Elgin, a political subdivision of the State of Illinois,
hereinafter referred to as the CITY and Hampton, Lenzini and
Renwick, Inc. , Civil Engineers, incorporated in the State of
Delaware, hereinafter referred to as the CONSULTANT.
WHEREAS, the City of Elgin proposes to engage the CONSUL-
TANT to render professional services in connection with the pro-
posed improvement: The replacement of the Sandy Creek culvert
at Highland Avenue in Kane County, hereinafter referred to as
the PROJECT.
NOW, THEREFORE, the CONSULTANT agrees to perform such ser-
vices as set out in the following attachments:
a. Deletions and Amendments to the Illinois Depart-
ment of Transportation' s "Standard Agreement Pro-
visions for Consultant Services" dated 1977.
b. Attachments thereto.
The City of Elgin agrees to:
a. Furnish all available information and data in its
possession which will be useful to the CONSUL-
TANT'S herein-described activities.
b. Notwithstanding anything to the contrary in the
Deletions and Amendments to the Illinois Depart-
ment of Transportation' s "Standard Agreement Pro-
visions for Consulting Services" dated 1977, pay
an amount to the CONSULTANT called for therein,
provided, however, total compensation to be paid
to the CONSULTANT shall not exceed $16,090.70.

IN WITNESS WHEREOF, the City of Elgin and the CONSULTANT
have executed this AGREEMENT as of the date above written.

CERTIFICATION OF THE CONSULTANT
I HEREBY CERTIFY that I am the President and duly author-
ized representative of the firm of Hampton, Lenzini and Renwick,
Inc. , whose address is 380 Shepard Drive, Elgin, Illinois, and
that neither I nor the above firm I here represent has:
a. Employed or retained for a commission, percentage,
brokerage, contingent fee or other considerations,
any firm or person (other than a bona fide employ-
ee working solely for me or the above CONSULTANT)
to solicit or secure this AGREEMENT;
b. Agreed, as an express or implied condition for
obtaining this AGREEMENT, to employ or retain the
services of any firm or person in connection with
carrying out the AGREEMENT; or
c. Paid, or agreed to pay to any firm, organization
or person (other than a bona fide employee working
solely for me or the above CONSULTANT) any fee,
contribution, donation or consideration of any
kind, for, or in connection with, procuring or
carrying out the AGREEMENT; except as here
expressly stated (if any) :
In addition, I and the firm I herein represent:
d. are not presently debarred, suspended, proposed
for debarment, declared ineligible or voluntarily
excluded from covered transactions by any Federal
department or agency;
e. have not within a three-year period preceding this
AGREEMENT been convicted of or had a civil judge-
ment rendered against them for commission of fraud
or a criminal offense in connection with obtain-
ing, attempting to obtain or performing a public
(Federal, State or local ) transaction or contract
under a public transaction: violation of Federal
or State antitrust statutes or commission of em-
bezzlement, theft, forgery, bribery, falsification
or description of records, making false statements
or receiving stolen property;
f. are not presently indicted for or otherwise crimi-
nally or civilly charged by a governmental entity

(Federal, State or local ) with commission of any
of the offenses enumerated in paragraph (e) of
this certification;
g. have not within a three-year period preceding this
AGREEMENT had one or more public transactions
(Federal, . State or local) terminated for cause or
default;
h. have not been barred from signing this AGREEMENT
as a result of a violation of Sections 33E-3 and
33E-4 of the Criminal Code of 1961 (Chapter 38 of
the Illinois Revised Statutes) ; and
i. are not in default on an educational loan as pro-
vided in Public Act 85-827.

DELETIONS AND AMENDMENTS TO THE
ILLINOIS DEPARTMENT OF TRANSPORTATION' S
STANDARD AGREEMENT PROVISIONS FOR CONSULTANT SERVICES
DATED 1977
1 . Incorporation by Reference. The Illinois Department of
Transportation' s "Standard Agreement Provisions for Consul-
tant Services, " dated 1977, hereinafter referred to as the
"STANDARD PROVISIONS, " are incorporated and made a part of
this AGREEMENT except as deleted or amended hereinafter.
( STANDARD PROVISIONS section references shown in parenthe-
ses) :
1. 1 (SP 1 ) Definitions as pertain to the PROJECT shall
be set forth in Section 1 of the STANDARD PROVI-
SIONS, amended to add the following:
1. 11 (SP 1. 18) Wherever the word DEPARTMENT is
used, it shall be construed to mean the
City of Elgin, the City; wherever the word
CONSULTANT is used, it shall be construed
to mean Hampton, Lenzini and Renwick, Inc. ,
except the word DEPARTMENT shall also in-
clude the Illinois Department of Transpor-
tation in Sections 1.0, 2. 12, 2.24, 2.31
and 2.32 of the said STANDARD PROVISIONS.
1. 2 (SP 2.41 ) The CONSULTANT shall invoice the City,
not the Liaison Engineer, as provided in Section
2.41 of said STANDARD PROVISIONS.

2. Scope of Work. The Phase I portion of this PROJECT is being
performed under a separate agreement.
2. 1 Phase II . Phase II of the work to be done on the
PROJECT by the CONSULTANT shall consist of those
items outlined in Section 6 of the STANDARD PROVI-
SIONS, services for design and preparation of con-
tract plans.
The design and plan preparation of contract
documents for the PROJECT shall be done as set forth
in Section 6 of the STANDARD SPECIFICATIONS, amended
as follows: (STANDARD PROVISIONS section references
are shown in parentheses ) .
2.11 (SP 2.31b) Delete the words "or wrongful. "
2. 12 (SP 6.22, 6.23a, 6.23c and 6.23d) Delete
these items, as the work will be performed
in Phase I of the PROJECT under Sections
4.2, 4.33d and 4.35, respectively, except
as modified herein.
2. 13 ( SP 6.42 ) The CONSULTANT, not the DEPART-
MENT, shall perform and furnish all work
under this item.
2. 14 (SP 6.46) This section is modified to read
the CONSULTANT will enter unit prices and
accumulate costs.

2. 15 The CONSULTANT shall furnish the DEPARTMENT
the following documents, plans, copies
thereof, if needed:
a. Preliminary plans: Four (4) sets of
prints
b. Final contract plans: Reproducibles
( 22" x 36" ) and one ( 1 ) set of
prints
c. Special Provisions: Original typed
on 8-1/2" x 11" white bond paper
d. Summary of Length: Original typed
on forms furnished by the DEPARTMENT
e. Storm Sewer Schedule: Original
typed on forms furnished by the DE-
PARTMENT and 4 copies
f. Estimate of Time: Original typed on
forms furnished by the DEPARTMENT
g. Unit Cost Sheets: Original typed on
forms furnished by the DEPARTMENT
where applicable.
h. Estimate of Cost: Original with
prices and one ( 1 ) copy without pri-
ces typed on form (8-1/2" x 11" )
furnished by the DEPARTMENT
i. SP 4.32 A soils survey will be re-
quired under this phase.

3. The DEPARTMENT agrees to furnish all presently available
survey data and information including standard details and
standard specifications adopted by the DEPARTMENT and other
available data useful to the work being done by the CONSUL-
TANT.
4. Project Schedule. The CONSULTANT shall commence work on
Phase II within five ( 5 ) calendar days after date of author-
ity to proceed. The work will be completed and delivered to
the DEPARTMENT within the following period: 90 calendar
days after authority to proceed.
5. Prime Compensation.
5. 1 Phase II - Design. Subject to an Upper Limit of
Compensation of $16,090.70, the CONSULTANT shall re-
ceive, as full payment for completing the Phase II
work required of him under this AGREEMENT, reim-
bursement of his eligible actual costs in accordance
with Section 2.45 of the STANDARD PROVISIONS, plus a
Fixed Amount of $1, 177. 19. The retainage provisions
contained in Section 2.42 of the STANDARD PROVISIONS
shall not apply to Direct Non-Salary Costs.
5.3 The Prime Compensation may be increased or decreased
by subsequent agreement between the contractual and
approving parties if there is a major change in the
scope, character or complexity of the work. Prime
Compensation and Specific Rates for Extra Work may

be adjusted by phase in accordance with Section 2.21
of the STANDARD PROVISIONS if the duration of the
work in any phase extends more than 12 months beyond
the date of completion stated in Section 4 of this
AGREEMENT due to no fault of the CONSULTANT.
5.4 In the event the CONSULTANT, upon written order from
the DEPARTMENT is required to perform extra work, he
shall in addition to the Prime Compensation receive
payment for such Extra Work on the following basis:
Subject to a pre-agreed Upper Limit of Compen-
sation for each item of Extra Work, the CONSULTANT
shall be paid at the specific hourly rates of pay
for each class of employee as listed below for the
actual time the CONSULTANT directly utilizes each
such employee on the Extra Work plus the CONSUL-
TANT' S actual expense for transportation and subsis-
tence incidental to the Extra Work. Any other
expenses incurred incidental to the Extra Work shall
be considered to be overhead costs and included in
the specific rates for each class of employee.

Gentlemen:
As per the October 27, 1989 telephone conversation between
Mr . Robert Lenzini of Hampton Lenzini & Renwick, Inc . and Mr.
John J. Balun of Professional Service Industries , Inc. , PSI is
pleased to submit the following proposal for performance of a
subsurface exploration at the site of the referenced project .
The subsurface exploration will be conducted to provide
information needed in the design of a cost effective foundation
system for the proposed Culvert Structure at Highland Avenue in
Elgin, Illinois .
The subsurface exploration will include the following
services :
- Sampling and testing of the subsurface materials and
observations of the groundwater conditions on the site,
to depths that would significantly affect or be affected
by the foundation.
- Identification of the physical and engineering character-
istics of subsurface materials encountered during the
sampling and testing.
- Recommendations of the type or types of foundations which
would be suitable for the proposed project and provision
of data for use in foundation design and construction.

As instructed by Mr. Robert Lenzini of Hampton Lenzini &
Renwick, Inc . , two ( 2 ) borings , drilled to a depth of
approximately fifty ( 50 ) feet below the existing ground surface
will be performed.
The subsurface exploration will include laboratory testing
of the samples obtained to evaluate the classification, strength
and other characteristics of the subsurface materials involved.
The results of the field exploration and laboratory tests will
be used in the engineering analysis and in the formulation of
the recommendations . The results of the subsurface exploration,
including the recommendations and the data on which they are
based, will be presented in a written report prepared under the
supervision of a registered professional engineer .
PSI is familiar with local subsurface conditions and has
participated in the planning, development and execution of
foundation evaluations in the project area . In addition, PSI
engineers have provided recommendations for foundation design
criteria and construction considerations for projects similar to
the one proposed.
PSI laboratories are equipped with modern soil and rock
testing apparatus , and field exploration programs are conducted
with modern drilling equipment . Field and laboratory testing is
performed by trained, qualified technicians under the guidance
and supervision of professional engineers .
It is proposed that the fee for the performance of the
above outlined services be determined on a unit price basis , in
accordance with the attached Schedule of Services and Fees , and
that the work be performed pursuant to the PSI General
Conditions . Copies of the PSI Schedule of Services and Fees and
General Conditions are enclosed herewith and incorporated into •
this proposal . On the basis of the estimated quantities and the
Schedule of Services and Fees , it is estimated that the total
fee will be in the range of $1 , 900 . 00 to $2 , 200 . 00 .
It should be noted that this estimate is based on the site
being accessible by standard truck mounted drilling equipment .
If site conditions prohibit the use of this equipment, it may be
necessary to make use of special equipment to move the drilling
equipment between borings on the site . If this equipment is
required, it will be invoiced at the rental cost plus 15
percent .

With regard to the construction testing phase of this
project, we estimate that our fees would run about $1 , 200 . 00 .
This is based on our fees being about one percent of the
construction cost which would be typical for this type of
project .
PSI can proceed with the work on the basis of verbal
authorization, however please sign and return one ( 1 ) copy of
this proposal . PSI will issue the report of our findings and
recommendations only after receipt of a signed copy of this
proposal intact . When returning the proposal, please complete
the attached Project Data Sheet so that PSI may best serve your
project

1.PARTIES AND SCOPE OF WORK:Professional Service Industries, Inc.(hereinafter referred to as"P.S.I.")shall include said company,or its particular
division, subsidiary or affiliate performing the work. "Work" means the specific geotechnical, analytical, testing or other service to be performed by
P.S.I. as set forth in P.S.I.'s proposal, the clients' acceptance thereof and these General Conditions. "Client" refers to the person or business entity
ordering the work to be done by P.S.I. If the client is ordering the work on behalf of another, the client represents and warrants that the client is the
duly authorized agent of said party for the purpose of ordering and directing said work. Unless otherwise stated in writing, the client assumes sole
responsibility for determining whether the quantity and the nature of the work ordered by the client is adequate and sufficient for the clients'intended
purpose. Client shall communicate these General Conditions to each and every third party to whom the client transmits any part of P.S.I.'s work. P.S.I.
shall have no duty or obligation to any third party greater than that set forth in P.S.I.'s proposal,client's acceptance thereof and these General Conditions.
The ordering of work from P.S.I shall constitute acceptance of the terms of P.S.I.'s proposal and these General Conditions.
2. TESTS AND INSPECTIONS: Client shall cause all tests and inspections of the site, materials and work performed by P.S.I. or others to be timely
and properly performed in accordance with the plans, specifications and contract documents, and P.S.I.'s recommendations. No claims for loss,
damage or injury shall be brought against P.S.I. by client or any third party unless all tests and inspections have been so performed and unless P.S.I.'s
recommendations have been followed. Client agrees to indemnify, defend and hold P.S.I., its officers, employees and agents harmless from any and
all claims, suits, losses, costs and expenses, including, but not limited to, court costs and reasonable attorney's fees in the event that all such tests
and inspections are not so performed or P.S.I.'s recommendations are not so followed except to the extent that such failure is the result of the negligence,
willful or wanton act or omission of P.S.I., its officers, agents or employees. P.S.I. may, in the course of a roof investigation, perform roof cuts("cuts")
as part of the investigation. Client agrees to provide a roof contractor of clients choice to make such cuts to remove samples as directed by P.S.I.
personnel; and to promptly make necessary repairs. In the event that a roof contractor is not so provided by client,client agrees that P.S.I. may make
and remove such cuts as PSI deems necessary in the course of the investigation.Roof cut areas will be temporarily patched by P.S.I. personnel.Client
agrees to pay for the costs of materials and labor needed for any and all temporary patches and will hold P.S.I. harmless for any and all damages to
the roof systems and the building and its contents which may arise from removal and repairing of roof cuts.
3. SCHEDULING OF WORK: The services set forth in P.S.I.'s proposal and client's acceptance will be accomplished in a timely, workmanlike and
professional manner by P.S.I. personnel at the prices quoted. If P.S.I. is required to delay commencement of the work or if, upon embarking upon its
work, P.S.I. is required to stop or interrupt the progress of its work as a result of changes in the scope of the work requested by the client, to fulfill the
requirements of third parties, interruptions in the progress of construction, or other causes beyond the direct reasonable control of P.S.I., additional
charges will be applicable and payable by client.
4.ACCESS TO SITE:Client will arrange and provide such access to the site as is necessary for P.S.I.to perform the work. P.S.I.shall take reasonable
measures and precautions to minimize damage to the site and any improvements located thereon as the result of its work or the use of its equipment;
however, P.S.I. has not included in its fee the cost of restoration of damage which may occur. If client desires or requires P.S.I. to restore the site to
its former condition,upon written request P.S.I.will perform such additional work as is necessary to do so and client agrees to pay to P.S.I.the cost thereof.
5. DAMAGE TO EXISTING MAN-MADE OBJECTS: Unless P.S.I. has assumed in writing the responsibility of locating subsurface or latent conditions,
client agrees to indemnify and save P.S.I. harmless from all claims, suits, losses, costs and expenses, including reasonable attorneys'fees as a result
of personal injury, death or property damage occurring with respect to P.S.I.'s performance of its work and arising from subsurface or latent conditions
or damage to subsurface or latent objects, structures, lines or conduits where the actual or potential presence and location thereof was not revealed
to P.S.I. by client
6.RESPONSIBILITY:P.S.I.'s work shall not include determining,supervising or implementing the means,methods,techniques,sequences or procedures
of construction P S.I. shall not be responsible for evaluating, reporting or affecting job conditions concerning health, safety or welfare. P.S.I.'s work or
failure to perform same shall not in any way excuse any contractor, subcontractor or supplier from performance of its work in accordance with the
contract documents.
7. SAMPLE DISPOSAL: Unless otherwise agreed, test specimens or samples will be disposed immediately upon completion of the test. All drilling
samples or specimens will be disposed sixty(60)days after submission of P.S.I.'s report.
8. PAYMENT: Client shall be invoiced once each month for work performed during the preceding period. Client agrees to pay each invoice within
thirty (30) days of its receipt. The client further agrees to pay interest on all amounts invoiced and not paid or objected to for valid cause within said
thirty (30) day period at the rate of eighteen (18) percent per annum (or the maximum interest rate permitted under applicable law, whichever is the
lesser)until paid.Client agrees to pay P.S.I.'s cost of collection of all amounts due and unpaid after sixty(60)days,including court costs and reasonable
attorney's fees.
9.TERMINATION:This Agreement may be terminated by either party upon seven day's prior written notice. In the event of termination, P.S.I. shall be
compensated by client for all services performed up to and including the termination date, including reimbursable expenses, and for the completion
of such services and records as are necessary to place P.S.I.'s files in order and/or protect its professional reputation.
10.WARRANTY:P.S.I.'s services will be performed, its findings obtained and its reports prepared in accordance with its proposal,client's acceptance
thereof, these General Conditions, and with generally accepted principals and practices. In performing its professional services, P.S.I. will use that
degree of care and skill ordinarily exercised under similar circumstances by members of its profession. This warranty is in lieu of all other warranties
or representations, either express or implied. Statements made in PSI reports are opinions based upon engineering judgement and are not to be
construed as representations of fact.
Should P.S.I., or any of its professional employees be found to have been negligent in the performing of professional services or work or to have made
and breached any express or implied warranty, representation or contract,client, all parties claiming through client and all parties claiming to have in
any way relied upon P.S.I.'s services or work agree that the maximum aggregate amount of the liability of P.S.I., its officers, employees and agents
shall be limited to$50,000.00 or the total amount of the fee paid to P.S.I.for its work performed with respect to the project whichever amount is greater.
In the event client is unwilling or unable to limit P.S.I.'s liability in accordance with the provisions set forth in this paragraph, client may, upon written
request of client received within five days of client's acceptance hereof, increase the limit of P.S.I.'s liability to$500,000.00 or the amount of P.S.I.'s fee
whichever is the greater, by agreeing to pay P.S.I. a sum equivalent to an additional amount of 5%of the total fee to be charged for P.S.I.'s services.
This charge is not to be construed as being a charge for insurance of any type, but is increased consideration for the greater liability involved.
11.INDEMNITY:Except to the extent specifically addressed in paragraph 10,client agrees to indemnify,defend and hold P.S.I.,its officers,employees,
agents and independent contractors harmless from any and all claims, suits, losses, costs and expenses, including but not limited to court costs and
reasonable attorneys' fees arising or alleging to have arisen out of the performance of P.S.I.'s work. In the event that client or client's principal shall
bring any suit,cause of action,claim or counterclaim against P.S.I.to the extent that P.S.I.shall prevail in such suit,cause of action,claim or counterclaim
the party initiating such action shall pay to P.S.I. the costs and expenses incurred by P.S.I. to answer and/or defend such suit, cause of action,claim
or counterclaim, including reasonable attorney's fees, court costs, witness fees and other related expenses.
12. ARBITRATION: Anything contained in any other contract documents notwithstanding, P.S.I. shall not be bound by any provision or agreement
requiring or providing for arbitration of disputes or controversies arising out of P.S.I.'s work or these General Conditions or any provision wherein P.S.I.
waives its rights to a mechanic's lien.

SUBJECT: Sandy Creek HECII Analysis
Contract Award
PURPOSE: This memorandum will provide the Mayor and Council with
information to consider the award of a contract for the design
services necessary to bring this project to the bidding stage.
BACKGROUND: The City Council directed the staff to negotiate a
contract with Hampton, Lenzini and Renwick, Inc. , to design a box
culvert which would allow a 100 year storm event to pass under
Highland Avenue without over topping the roadway.
The staff has also been in touch with Mr. Greg Besinger, the owner
of the property southwest of the proposed project. Mr. Besinger
has indicated that he would like to participate in the installation
of the box culvert by paving for the over sizing of the box cul-
verts from 6 ' high by 6 'wide to a culvert size of 7 ' high by 6 '
wide. This increase in the size of the culverts would reduce the
area of the 100 year floodwaters on Mr. Besinger's property.
FINANCIAL IMPACT: The contract the staff negotiated with Hampton,
Lenzini and Renwick, Inc. , for the design of the twin box culverts
is in the amount of $16 ,090 .70 . The estimated cost of the con-
struction of the box culverts is $180 ,000 .00. The cost for the
enlarged culverts is not available at this time. Once the cost is
available Mr. Besinger will be contacted to obtain an agreement for
him to pay the oversizing as referenced above.
RECOMMENDATION: It is recommended that the City Council authorize
the Mayor and City Clerk to execute the contract with Hampton,
Lenzini and Renwick, Inc. , for the design of the Highland Avenue
Culvert for the not to exceed amount cost of $16 ,090.70.
The design and final engineer' s estimate will be presented to the
City Council for your consideration once the plans are complete.
It is expected that the package will be ready for Council consider-
ation at the second meeting in June, 1990.
