ILLINOIS BELL NETWORK SERVICE
This contract is entered into on /iA/45' by and between
Illinois Bell Telephone Company, with principal offices at 225 West
Randolph Street, Chicago, Illinois 60606 (hereinafter "Illinois Bell"), and
The City of Elgin with principal offices at 150 Dexter Court, Elgin,
Illinois (hereinafter "Customer") .
In consideration of the covenants and undertakings contained herein,
the parties hereto mutually agree as follows: -
1. Scope of Contract
Illinois Bell agrees to install and maintain an Enhanced 9-1-1
network system which, when the number 9-1-1 is dialed, will provide to all
access lines within Customer' s Service Area, on a 24-hour-a-day, 7-day-a-
week basis, the following Enhanced 9-1-1 services: Automatic Location
Identification, Automatic Number Identification and Selective Route.
Customer's Service Area is defined as the area within the boundaries of The
City of Elgin.
2. Provision of Service
Enhanced 9-1-1 Service is provided solely for the benefit of
Customer.
Illinois Bell does not undertake to answer and forward 9-1-1 calls,
but furnishes the use of its facilities to enable the Customer to respond
to such calls with the Customer' s personnel on Customer' s premises.
The rates charged for the Enhanced 9-1-1 Service do not contemplate
and Illinois Bell does not undertake inspection or constant monitoring to
discover errors, defects and malfunctions in the service. Customer shall
promptly notify Illinois Bell of any defects and malfunctions within the
system of which the customer has actual notice.
3. Network Charges
Customer agrees to pay the rates and charges contained in the cost
quote sheet attached hereto and made a part hereof as Attachment A.
Attachment A shall specify the applicable initial nonrecurring charges, the
current monthly rate, the number of access lines to which such charge
applies, and the terms of payment.

Each access line in Customer's Service Area shall be billed on the
monthly local service bill the appropriate network recurring charge. This
local service charge shall be determined by dividing the total monthly
recurring rates set forth in Illinois Bell's network exchange tariff by the
total number of residential and business customer access lines, or their
equivalent, within Customer's Service Area. The number of access lines to
which the charge applies is calculated by rounding off the nearest 1000
lines served. The access line count shall be reviewed, and revised on an
annual basis beginning one year after the effective date of this Agreement.
The above rates are subject to modification under the discretion of the
Illinois Commerce Commission and are applied to each user in the sub-
scribing entity.
4. Compliance with Tariffs and Laws
This Contract is subject to all the terms and conditions of
Illinois Bell's tariffs, the rules and regulations of the Illinois Commerce
Commission, and all federal and state laws.
5. Liability
Illinois Bell, its officers, directors, employees, and agents are
not liable in damages in a civil action for injuries, death or loss to
persons or property incurred by any person resulting from Illinois Bell,
its officers, directors, employees, or agents participation in a 9-1-1
system. Illinois Bell's sole liability with regard to the provision of
service under this Contract shall be governed by Illinois Bell's tariffs on
file with the Illinois Commerce Commission.
6. Modification
Any supplement to or modification or waiver of any provision of
this Agreement must be in writing and signed by authorized representatives
of both parties.
7. Section Headings
All section headings contained herein are for convenience of
reference only and are not intended to define or limit the scope of any
provisions of this Agreement.
8. Cancellation
It is understood that the ICC No. 5 tariff on file with the
Illinois Commerce Commission provides that in the event the customer
cancels this order prior to establishment of service, Illinois Bell
Telephone Company shall be reimbursed by the customer for costs incurred.
9. Waiver
Failure to enforce or insist upon compliance with any of the terms
or conditions of this Agreement shall not constitute a general waiver or
relinquishment of any such terms or conditions, but the same shall remain
at all times in full force and effect.

10. Terms of Agreement
This Agreement becomes effective when signed and shall auto-
matically terminate month(s) from date of installation.

Attachment A
60 MONTH CONTRACT
INSTALLATION
per each 1,000 access lines $4,000.00
MONTHLY RECURRING
per each 1,000 access lines $162.00
One time and monthly charges are based upon the exchange access line count
within the geographical boundaries of the community' s or county's public
safety jurisdiction that is served by the E 9-1-1 System. The access lines
are actual telephone lines working wtihin the community or county and are
rounded (below 500 downward, 500 and above upward) to the nearest 1,000.
Illinois Bell Network charges for E 9-1-1 :_:h Automatic Number Identifi-
cation. Selective Routing and Automatic location Identification are
figured as follows:
Installation: (One Time Charge) - Apply $4,000.00 to each 1,000 access
lines covered by the proposed E 9-1-1 Service.
60 Month Contract Option - Apply $162.00 monthly rate to each 1,000 access
lines covered by the proposed E 9-1-1 Service.
