HomeMy WebLinkAbout88-1214 Armory RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT WITH THE STATE OF ILLINOIS DEPARTMENT OF CENTRAL MANAGEMENT SERVICES BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that James J. Cook, City Manager, and Marie Yearman, City Clerk, be and are hereby authorized and directed to execute a Contract to Purchase Real Estate on behalf of the City of Elgin with the State of Illinois Department of Central Management Services for the property located adjacent to the National Guard Armory, a copy of which is attached hereto and mode a part hereof by reference. Adams Manager Real Estate Division RLA:VS:tld cc: Vito Stallone 4906X 719 Stratton Office Building, Springfield, Illinois 62706 CONTRACT TO PURCHASE REAL ESTATE This Agreement made as of the day of , 1988, by and between the State of Illinois by the Department of Central Management Services for the use of Military and Naval Department ( "Purchaser") , 723 Stratton Office Building, Springfield, Illinois, 62706 and the City of Elgin, Illinois ("Seller" ) , 150 Dexter Court, Elgin, Illinois, 60120-5655. 1 . The Seller agrees to sell and the Purchaser agrees to purchase, on the terms and provisions hereinafter set forth, at a price of Thirty Nine Thousand One Hundred Ninety Five Dollars and No Cents ($39,195.00) ("Sales Price" ) , the real estate ( "Land" ) described as: That part of the Southwest Quarter, Section 13, Township 41 North, Range 9 East of the Third Principle Meridian, described as follows : the southerly 23 feet, more or less of Lots 2 and 8, and the northerly 44 feet, more or less, of Lots 3 and 7, in Block 2 of Railroad Addition to the City of Elgin, County of Kane, State of Illinois. 2. The full Sales Price shall be paid at the closing plus or minus prorations, if any. Any taxes for the year 1988 shall be estimated and prorated to date of closing, and an amount equal to 1 .25 times said estimate shall be escrowed by the Seller for future payment. Any taxes for the year 1987 shall be paid prior to closing. 3. Seller agrees to convey or cause to be conveyeed to the Purchaser, a fee simple title to the Land by a recordable Warranty Deed, with release of homestead rights. 4. The obligations of the Purchaser is conditioned upon and subject to the approval of the Attorney General of the title to the Land to be acquired. 5. Upon acceptance of this contract, Seller shall within a reasonable period furnish at Seller' s expense; an abstract of title continued to within 30 days before final payment hereunder, showing merchantable title of record to said premises in the Seller of the party who will execute the transactional instrument in Seller' s behalf or a commitment for an Owners Title Guaranty Policy issued by a Company licensed to issue the same for the County in which said premises are located for the amount of the purchase price. 6. Seller shall furnish Purchaser with a survey by a registered Land Surveyor of subject property within a reasonable time after acceptance of this contract. 7. Time shall be considered to be of the essence of this contract. The warranties and agreements contained in this agreement shall extend to and be obligatory upon the successors and assigns of the parties hereto. 8. This transaction shall be closed on or before March 1 , 1989. Seller shall deliver possession at closing. 9. All notices and demands herein are given hereunder shall be in writing. The mailing of any such notice or demand to the Seller or to the Purchaser at their respective addresses hereinbefore set forth shall be considered sufficient service thereof. 10. This contract contains all the terms and conditions agreed upon by the parties hereto, and supersedes all oral agreements, regarding the subject matter of this Contract and may only be amended or altered in writing signed by all the parties. 11 . The undersigned Lessor certifies that he has not been convicted of bribery or attempting to bribe an officer or employee of the State of Illinois nor has the Lessor made an admission of guilt of such conduct which is a matter of record.
