EMPLOYMENT AGREEMENT
WHEREAS, the City Council of the CITY OF ELGIN desires to employ
JAMES J. COOK as City Manager of the City of Elgin; and
WHEREAS, JAMES J. COOK is willing to accept appointment as City
Manager of the City of Elgin upon certain terms and conditions; and
WHEREAS, the employment of JAMES J. COOK, as City Manager of the City
of Elgin upon the terms and conditions recited herein, is in the best interests of the CITY
OF ELGIN.
NOW, THEREFORE, for and in consideration of the mutual covenants con-
tained herein, the CITY OF ELGIN, a municipal corporation, and JAMES J. COOK agree
as follows:
I. That for and in consideration of the annual salary established by ordi-
nance of the CITY OF ELGIN as it may be amended from time to time, and the other
terms and conditions contained herein, JAMES J. COOK agrees to act as City Manager of
the City of Elgin and to exercise all the powers and to carry out to the best of his ability
all the duties imposed upon him as City Manager by the statutes of the State of Illinois
and the ordinances of the CITY OF ELGIN, including the following:
a) To enforce the laws and ordinances within the City of Elgin;
b) To appoint and remove all directors of departments upon no
basis other than that of merit and fitness;
c) To exercise control of all departments and divisions thereof;
d) To attend all meetings of the City Council with the right to
take part in the discussions, but with no right to vote;
e) To recommend to the City Council for adoption such measures
as he may deem necessary or expedient;
f) To perform such other duties as may be prescribed by statute or
may be required of him by ordinance or resolution of the City Council.

2. That this contract shall be subject to the provisions of the managerial
form of government under Illinois law, Ill. Rev. Stat., Ch. 24, Art. 5, and amendments
thereto and all ordinances passed by the CITY OF ELGIN not inconsistent therewith.
3. That this agreement is for an indefinite term and may be terminated by
JAMES J. COOK upon the giving of notice, in writing, to the City Council of the CITY
OF ELGIN at least 90 days before the effective date of said termination.
4. That this contract may be terminated by the CITY OF ELGIN by a
majority vote of the City Council at a regular or special meeting of the City Council
upon either 90 days notice or upon payment of a sum equal to 90 days compensation at
the salary in effect for the office of City Manager immediately prior to the action of
City Council.
5. That JAMES J. COOK shall receive an annual salary of $60,000 and shall
be entitled to all benefits and privileges afforded to Class A management level
employees under applicable ordinances of the CITY OF ELGIN and the following addi-
tional benefits:
a) Use and enjoyment of a personal passenger automobile;
b) Paid membership in the International City Managers Association
and such other professional organizations reasonably necessary and desir-
able;
c) Paid attendance at the annual meetings of the International
City Managers Association and such other state and local meetings of
professional organizations as are reasonably necessary and desirable;
d) Paid membership and expenses incurred in local civic organiza-
tions and service clubs reasonably necessary and desirable for the
performance of the duties of the office of City Manager;
e) Initial earned credit of ten days vacation;
f) Reimbursement of moving expenses incurred;
g) Reimbursement of travel expenses and lodging incurred in
seeking a permanent residence in the City of Elgin;

h) Semi-annual conference with the Mayor and members of the
City Council for the purpose of evaluation of Council-Manager relations;
i) Annual compensation review except that the salary for the
office of City Manager shall not be reduced unless, due to extreme
budgetary constraints, the salary plan of the CITY OF ELGIN is amended to
reduce salary uniformly for all officers and employees.
6. JAMES J. COOK shall commence duties as City Manager of the City of
Elgin on October 15, 1985.
7. This agreement shall be in full force and effect after its execution.
