AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN
THE CITY OF ELGIN, ILLINOIS
AND THE
NATIONAL CENTER FOR MUNICIPAL DEVELOPMENT, INCORPORATED
THIS AGREEMENT is made and entered into as of the first day of
February, 1985, by and between the City of Elgin (hereinafter referred
to as the "Citi") and the National Center for Municipal Development,
Inc. (hereinafter sometimes referred to as the "Consultant").
WITNESSETH
WHEREAS, the City desires to engage a Consultant to represent
Elgin in Washington, D.C. ; and
WHEREAS, Consultant, the National Center for Municipal
Development, Inc. (which maintains offices at 1620 Eye Street, N.W. ,
Washington, D.C. and has a "taxpayer" identification of 23-7420658),
has proven record of ability to perform such consultation,
The CITY OF ELGIN and the National Center for Municipal
Development, Inc. for the considerations and under the conditions set
forth herein do agree as follows:
I. The Consultant agrees:
A. The National Center for Municipal Development, Inc. will
act as legislative and administrative consultant for the
City in Washington, D.C. and will assign a senior
professional member of its staff to act as Washington
Assistant to the City of Elgin;
B. The National Center for Municipal Development, Inc. will
provide supervision of the Washington Assistant as desired
by the City and proportionate to the level of service
specified in Subparagraphs D through L below;
C. The National Center for Municipal Development, Inc. , will
furnish requisite office space, utilities, furnishings and
equipment, secretarial services, common-use office
supplies and services, general administrative support, and
consultation with the urban research staff and access to
those ongoing research activities and studies of the
National League of Cities and the U.S. Conference of
Mayors required by the Washington Assistant to the City of
Elgin in the performance of his/her prescribed functions
under this Agreement;

D. The Washington Assistant will confer with the City
Manager and such other City personnel as the City
Manager may designate at the times and places mutually
agreed to by the City Manager and the Washington
Assistant on all organizational planning and program
activities which have a bearing on the ability of the
City to make the best use of federal aid programs;
E. The Washington Assistant will review federal executive
proposals, legislation under consideration, proposed
and adopted administrative rules and regulations and
other Washington developments for the purpose of
advising the City on his/her own initiative of those
items which may have a bearing on City policy or
programs;
F. More specifically, the Washington Assistant will
advise and consult on behalf of the City with the
White House and the following federal agencies or
departments: Commerce, SBA, Treasury, HUD, Labor,
HHS, OMB, DOT, EPA, Interior, Justice, DOE, and such
other agencies, departments and commissions as may be
necessary to the performance of full Washington
service to the City Manager and the City.
Additionally, the Washington Representative will act
as liaison with the U.S. Conference of Mayors and the
National League of Cities, and will furnish
legislative and administrative analyses of issues
involving any and all of the above enumerated agencies
and departments.
G. The Washington Assistant will secure and furnish such
detailed information as may be available on federal
programs in which the City indicates an interest;
H. The Washington Assistant will review and comment on
proposals of the City which are being prepared for
submission to federal agencies when requested to do so
by the City Manager or his designees;
I. The Washington Assistant will maintain liaison with
the City's Congressional delegation and will assist
the delegation in any matter which the City determines
to be in its best interest in the same manner as any
other member of the City's administrative staff might
render assistance;
J. The Washington Assistant will counsel with the City
regarding appearances by City personnel before
Congressional committees and administrative agencies
and will arrange for appointments and accommodations
for City personnel as necessary;
K. The Washington Assistant will contact federal agencies
on the City's behalf when City applications are under
consideration by such agencies and otherwise take
whatever steps appear to him/her to be required to
obtain the most favorable consideration of such
applications;

L. The Washington Assistant will advise and consult with
or otherwise make assistance available to such
representatives of the private sector who are engaged
in economic development activities as determined by
the City Manager to be in the best interests of the
City of Elgin;
M. In fulfilling his/her responsibilities under this
Agreement, the Washington Assistant will act in the
name of the City of Elgin and with the title of
Washington Assistant to the City Manager under the
supervision of the City Manager. Any change in the
person of the Washington Assistant from the person
representing the City as of the effective date of this
Agreement must be approved by the City Manager.
II. The City of Elgin agrees to:
A. Advise the National Center for Municipal Development,
Inc. , of the name or names of persons other than the
City Manager authorized to request service by the
Washington Assistant and the person or persons to be
kept advised by the Assistant;
B. Supply the National Center for Municipal Development,
Inc. , with a summary of all federal programs in which
the City is participating and advise the National
Center for Municipal Development, Inc. , of any new
applications filed, together with pertinent details as
to the substance of such applications;
C. Supply the National Center for Municipal Development,
Inc. , with copies of budgets, planning documents, and
regular reports of the City Manager and departments,
Council agenda and proceedings, newspapers and other
materials which will assist the Representative in
keeping current on City policies and programs;
D. The City will reimburse the National Center for
Municipal Development, Inc. for: (1) all travel
expenses incurred pursuant to paragraph 1,
subparagraph D; (2) all travel expenses for
attendance at any other meetings attended by the
Washington Assistant outside Washington, D.C. at the
request of the City.
E. The City will reimburse the National Center for
Municipal Development, Inc. for other expenses which
are incurred within Washington, D.C. on behalf of the
City in carrying out the provisions of this Agreement
and as approved by the City Manager subject to the
provisions of paragraph 4.

F. All long distance telephone expense and extraordinary
postage will be borne by the City. The City Manager
will determine policy regarding telephone usage.
III. The City of Elgin and the National Center for
Municipal Development, Inc. , concur that the following
exclusions shall apply to this agreement:
A. The City Representative:
1. will not represent commercial or industrial
establishments of the City in pursuit of federal
business except in accordance with the provisions of
Paragraph I, Subparagraph L, above.
2. will not, by virtue of this Agreement, represent other
local government agencies in Elgin except those which
are instrumentalities or agencies of the City of
El gin;
3. will not perform any legal , engineering, accounting or
other similar professional service;
B. The National Center for Municipal Development will not:
1. represent a position which clearly and directly
conflicts with the National League of Cities and the
U.S. Conference of Mayors;
2. directly or indirectly participate in or intervene in
any political campaign on behalf of or in opposition
to any candidate for public office.
IV. Compensation:
The cost of service will be $25,000 for twelve months, payable
in advance, in equal monthly installments of $2,083.33
commencing February 1, 1985, plus a maximum of $1,500 for
reimbursable expenses incurred pursuant to paragraph II,
subparagraphs D, E, and F.

The National Center for Municipal Development, Inc.
Introduction
The National Center for Municipal Development proposes to
provide Washington Representation and advocacy services to the
City of Elgin for federal grant, legislative information, and
other technical assistance at an annual cost of $25,000, to be
paid in equal monthly installments for the next twelve months,
plus a maximum $1,500 in reimbursable expenses.
NCMD is a non-profit corporation established in 1966 by the
National League of Cities (NLC) and the U.S. Conference of
Mayors (USCM) . It was created to meet the Washington
Representation needs of individual cities which are not provided
through services offered by the national organizations. The
Executive Directors of NLC and USCM are members of the governing
board and advise on corporate matters including how to provide
the best and most cost-effective representational services
possible. Cities contract with NCMD for services at a dollar
level tailored to their needs, responsibilities, populations,
and budgets.
This proposal is based on a preliminary assessment of the City's
interest in and use of federal programs and its informational
needs in Washington. The city of Elgin' s economic development,
downtown revitalization, park and recreation, cultural , and
infrastructure improvements should make use of federal and
private resources. Cities continue to need such assistance to
accomplish these objectives. The goal of this proposed service
will be to maximize these resources by assuring that Elgin has
accurate, timely information and advice on all potential sources
of support.
Several programs with funds for FY85 of interest to Elgin
include: Housing Development Action Grants, the Economic
Founded in 1966 as the MAN IN WASHINGTON SERVICEg'
by the NATIONAL LEAGUE OF CITIES and the UNITED STATES CONFERENCE OF MAYORS

Development Administration (EDA) programs, the Community
Development Block Grant program, Small Business Administration
(SBA) initiatives, HUD Rehabilitation Block Grant, periodic HUD
demonstration projects, the Job Training Partnership Act
programs, the Department of Transportation highway and transit
programs, Land and Water Conservation Fund and Historic
Preservation funding. These programs will be carefully followed
along with others of interest to the City, as well as any new
proposals from the 99th Congress.
Scope of Services
Each NCMD client city is assigned to one of our City
Representatives, who is reponsible for conducting an effective
Washington program for that city by putting together a work plan
which will produce identifiable results. Services will be
tailored to Elgin' s needs but would in any case include:
o Federal Funding: The NCMD City Representative is
always alert to new funding opportunities and is
often in a position to obtain advance guidelines and
general information about them. With first hand
knowledge of what the Federal program is trying to
achieve, the City Representative is well prepared to
enhance a city' s competiveness, to advocate a city' s
project proposal , and to assist in solving problems
which may develop as a project application proceeds
through the review process.
o Legislative and Administrative Issues: Pending
legislation or regulatory changes may benefit or
adversely affect a city. A City Representative
monitors legislative and regulatory developments
closely and works with the city' s Congressional
delegation, and/or with Federal agency officials, to
assure a city' s particular interests are advanced or
protected. When a city' s concerns with legislation
or regulation coincide with those of other cities, a
frequent occurrence, a City Representative in NCMD
with colleagues representing more than 40 other
cities is in an ideal position to put together
effective Congressional and public interest
coalitions. Opportunities for joint or cooperative
action among NCMD City Representatives to protect
programs of benefit to cities and to enhance funding
levels are frequent. For example, in the 98th
Congress several NCMD cities, coordinated by their
City Representatives, worked together to secure
supplemental funding for the Summer Youth Employment
program and to target the funds to established
programs.

o Congressional Relations: A City Representative in
NCMD assigns priority to establishing and maintaining
close working relations with a city' s Congressional
delegation -- the Senators and their staffs and the
District Representatives and their staffs. Such
relations are mutually beneficial . Senators and
Members of Congress invariably welcome having someone
on the Washington scene who is able to convey
detailed information about a city' s needs and
concerns, enabling them to better serve the city's
interests. The advantage of close relations with
Congress was particularly apparent as tax legislation
moved through the 98th Congress and NCMD City
Representativaes worked hard to protect projects
underway with Industrial Revenue Bond financing.
o Staff assistance to City Officials: City officials
find Washington visits much more productive when City
Representatives set up meetings with the right
federal officials and help develop agendas. This
assistance is also helpful to assure more productive
meetings with Members of Congress and Senators. City
Representatives also help city officials use the NLC
and USCM meetings and organizations more effectively.
o Information. NCMD City Representatives become the
first point of inquiry for client city officials and
staff on all Washington information. City
Representatives also initiate action through almost
daily contact with City staff, and by sending
frequent memos on relevant matters to the appropriate
department heads. In addition, a weekly Washington
Report with written updates on developments in
Washington, tailored to the specific interests of
individual client cities, is provided. (See
Attachment 3 for a recent example of this Washington
Report.) This Report helps identify opportunities
and monitor progress on matters of concern. NCMD has
a staff of 21 professionals specializing in and
reporting on more than 30 legislative and program
areas. Combining and sharing our information enables
us to "cover" Washington both in breadth and in
depth.
o Technical Assistance. Washington is a collection
point for information on urban problem solving across
the country. A City Representative can often utilize
Washington resources on behalf of a city in order to
assist in obtaining innovative ideas or solutions
that have worked elsewhere and are applicable to
local problems.

Conclusion
NCMD' s services are unique. They vary with the needs of each of
our client cities. City Representatives are in Washington,
working to build coalitions, advocate our cities' interests and
pursue opportunities. Information goes beyond that which can be
found in newsletters or computerized data systems. It emanates
from personal contact with federal officials on behalf of cities
and a detailed working knowledge of our client cities' plans and
projects. An updated summary of specific examples of our
effectiveness, "What Has NCMD Done for Cities Lately" is
attached as Enclosure 4. Also attached is a draft contract for
your review and consideration and a copy of my resume.
AGREEMENT

WASHINGTON , D .C.
Pursuant to this Agreement , the City of Elgin ,
Illinois , and the National Center for Municipal Development ,
Inc . , agree to assure the following obligations :
1 . OPLICATTONS OF THE. NATIONAL CFNTFP FOP MUNICIPAL
DEVELOPMENT , INC .
A. The National Center for Municipal Development ,
Inc . , will assign a member of its staff to act as a
Washington Assistant to the City of ELGIN, in
Washington , D .C.
B. The National Center for Municipal Development ,
Inc . , will provide supervision of the Washington
Assistant as desired by the City and proportionate to
the level of service specified in paragraph 2 , sub-
paragraphs A and F below; the National Center for
Municipal Development , Inc . , will furnish requisite
office space , utilities , furnishings and equipment ,
secretarial services , common-use office supplies and
services , general administrative support , and consult-
ation activities and studies of the National Center for
Municipal Development , the National League of Cities ,
and U. S . Conference of Mayors required by the Wash-
. ington Assistant to the City of ELGIN , in the per-
formance of prescribed functions under this Agreement .

ager nay designate at the times and places mutually
agreed to by the City Manager and the Washington
Assistant on all organizational planning and program

name of the City of Flein , Illinois , and with the title
of Washington Assistant to the City tanager .
K . The National Center for Municipal Development ,
Inc . , will not directly or indirectly participate in or
intervene in any political campaign on behalf of or in
opposition to any candidate for public office .
L. The National Center for Municipal Development ,
Inc . , will not take a position on pending legislation
nor attempt to influence legislation by propaganda or
otherwise .
2 . OBLIGATIONS OF THF CITY OF ELGIN , ILLINOIS :
A . The City of ELGIN will contract with the National
Center for Municipal Development , Inc . , Washington ,
D. C . for a period of one year .
B . The City will pay the National Center for
Municipal Development for the performance of all
services required hereunder and all expenses incurred

in connection therewith the sum of TWENTY-FIVF. THOUSAND
DOLLARS , ( S25 ,OnO . no ) , payable as follows : $2 ,0g3 . 33
in advance for each of the next 12 months , plus a max-
imum of $1 , 500 . 00 for each reimbursable expense in-
curred pursuant to paragraph 2 , subparagraph F , G & H.
C. The City will advise the rational Center for Muni-
cipal Development , Inc . , of the name or names of per-
sons other than the City Manager authorized to request
service by the Washington Assistant and the person or
persons to he kent advised by the Assistant .
P. The City will supply the National Center for Muni-
cipal Development , Inc . , with a summary of all federal
programs in which the City is participating and advise
the National Center for Tlunicipal Development , Inc . , of
any new applications filed , together with pertinent de-
tails as to the substance of such applications .
F . The City will supply the National Center for Nuni-
cinal Development , Inc . , with copies of budgets , plan-
ning documents , and regular reports of the City Nanager
and department: , Council agenda and proceedings , news-
papers and other materials which will assist the repre-
sentative in keeping current on City policies and pro-
grams .
F. The City will reimburse the National Center for
funicipal Development , Inc . , for : ( 1 ) all travel ex-
penses incurred pursuant to paragraph 1 , subparagraph
C; ( 2 ) all travel expenses for attendance at any other
conferences attended by the Washington Assistant out-
side of Washington P . C . at the request of the City .
G . The City will reimburse the National Center for
Municipal Development , Inc . for other expenses which
are incurred within Washington , P.C . on behalf of the
City in carrying out the provisions of this Agreement
and as approved by the City Manager subject to the pro-
visions of paragraph 2 , subparagraph B above .
P. All long distance telephone expense and express
mail charges will he borne by the City . The City Nan-
ager will determine policy concerning telephone and ex-
press mail usage .
3 . THE CITY OF ELGIN, , ILLINOIS , AND TPF NATIONAL CENTER,
FOR NUNTCIPAL DFVFI,OPNFrT , INC . , CONCUR, THAT THE
FOL1 OUINO EXCLUSIONS SHALL APPLY TO THIS AGRFFNFNT :
The Washington Assistant assigned by the National
Center for fiunicipal Development , Inc . , to the City of
ELGIN :
A. will not represent the interest of local constit-
uents of the City in pursuit of federal business;

B. will not , by virtue of this Agreement , represent
other local government agencies in the City of Elgin
except the City government and those which are
instrumentalities or agencies of the City;
C. will not perform any legal , engineering , account-
ing or other sinilar professional service ;
D. will not represent a position which clearly and
directly conflicts with the national policies of the
National Leagne of Cities and the P . S . Conference of
?Mayors .
4 . Either party nay terminate this Agreement at any tine
by giving the other at least sixty ( 60 ) days ' notice in
writing of such termination .
This Agreement shall take effect the first day of
September , 1983 .
