r 12-, 1984 between CHICAGO RAWHIDE MANUFACTURING
COMPANY d/b/a CR INDUSTRIES , a Delaware corporation, with
its principal office at 900 North State Street, Elgin,
Illinois 60120 ("Licensor") , and the CITY OF ELGIN, a
municipal corporation, Kane and Cook Counties, Illinois,
150 Dexter Court, Elgin, Illinois 60120 ("Licensee") .
WHEREAS, the Licensor and Licensee have entered into
a certain License Agreement dated April 23, 1984 , copy of
which is attached hereto; and
WHEREAS , Licensor and Licensee have executed an Addendum
dated August 29 , 1984 to paragraph 3 of said License Agreement;
and
WHEREAS, Licensor and Licensee hereby wish to render
null and void the provisions of said Addendum.
NOW THEREFORE, in consideration of the mutual covenants
contained in said License Agreement, as amended, the Licensor
and Licensee agree that the provisions of the Addendumchted
August 29 , 1984 , previously amending paragraph 3 of said
License Agreement are hereby rendered null and void and have
no further effect, as of the date of this Second Amendment, and
the agreement between the parties as reflected in the original
License Agreement dated April 23 , 1984 is now deemed the
full agreement cF the parties hereto as of the date of
this Second Amendment.

LICENSE AGREEMENT
DATED April 23 , 1984 , between Chicago Rawhide Manufacturing
Company d/b/a CR Industries , a Delaware corporation with its principal
office at 900 North State Street, Elgin, Illinois 60120 ("Licensor") ,
and the City of Elgin, a municipal corporation, Kane and Cook Counties ,
Illinois , 150 Dexter Court, Elgin, Illinois 60120 ("Licensee") .
For and in consideration of One Dollar ($1. 00) and other valu-
able consideration, receipt of which is hereby acknowledged, the
parties agree as follows :
1. Licensor hereby grants Licensee a non-exclusive license to
install and maintain at Licensee 's sole cost a radio antenna on the
Water Tower located on Licensor 's premises at 900 North State Street,
Elgin, Illinois , for the period commencing on the date hereof and ex-
piring upon termination by either party.
2. Licensee shall cause its antenna to be installed in a safe
and workmanlike manner and shall take all necessary precautions to as-
sure the safety of its City personnel , independent contractors or any
other persons who may be involved in such installation work.
3. Indemnification by Licensee. Licensee agrees to defend,
indemnify and save, hold and keep Licensor, its parents , subsidiaries ,
associate or affiliated companies , directors , customers , their agents
and employees harmless from and against any and all liability, damage ,
loss , cost, expense, claim, demand, suits , actions , compensatory or
punitive judgments or recoveries (including but not limited to reasonable
attorney' s fees and expenses) , bodily injury, sickness , disease or death
to any person or persons or damage, destruction or loss of use of any
property arising or asserted to have arisen as a result of or incident
to or by reason of Licensee ' s installation, maintenance and removal of
the radio antenna.
4 . Insurance by Licensee. During the term of this Agreement,
Licensee shall procure and maintain policies of insurance with an in-
surance company or companies, having at least an A5 rating in the Best
Insurance Guide and acceptable to Licensor, at its own cost and expense,
which policies shall name Licensor as an additional insured and shall
provide the following insurance coverage:
a) Comprehensive general liability insurance in an amount
not less than One Million Dollars ($1, 000, 000. 00) combined single unit
in excess of self-insured retentions and $50, 000/occurrence and $125, 000
aggregate for injury to or death of one or more persons and for damage
to property in any one occurrence, against any liability arising out of,
or in connection with, the Licensee' s installation, maintenance and re-
moval of the radio antenna.
b) Umbrella liability insurance in an amount not less than
Five Million Dollars ($5 , 000, 000. 00) in excess of the comprehensive
general liability insurance listed above.
Such policy or policies shall also provide that the insurance
company give Licensor thirty (30) days advance notice of cancellation
of the policy or policies. Prior to commencing installation, Licensee
shall furnish Licensor certificates of insurance certifying compliance
with the minimum coverage outlined above.

5. Termination. Either party may terminate this license upon
six months written notice to the other party at the addresses first
herein set forth by certified or registered mail . Upon such termina-
tion, Licensee shall cause its radio antenna to be removed from the
Water Tower at CR Industries , 900 North State Street , Elgin, Illinois ,
in a safe and workmanlike manner and shall take all necessary pre-
cautions to assure the safety of its City personnel , independent con-
tractors or any other persons who may be involved in the work.

Addendum to Paragraph 3 of License Agreement
Joint Waiver of Subrogation
Licensor and licensee hereby waive any right of
subrogation which they may have against the other for any
losses paid to them on policy or policies carried on the
property to the extent permitted by the terms of such
policy or policies .
