HomeMy WebLinkAbout83-1223 Tom Skiles $3- . j,M >kAas AGREEMENT PROVIDING FOR THE ADMINISTRATION OF AN EMPLOYEE ASSISTANCE PROGRAM This agreement made and entered into this 23rd day of December, 1983 by and between the CITY OF ELGIN, an Illinois Municipal Corporation, (hereinafter referred to as Elgin) and TOM SKILES $ ASSOCIATES with offices at 200 S. Lincoln Avenue, Carpentersville, Illinois 60110, (herein- after referred to as Skiles $ Associates). WHEREAS, it is recognized that many personal problems not associated with an employee's position or office may effect the performance of his duties; and WHEREAS, it is necessary and desirable to assist in the resolution of employee personal problems so as to promote an efficient and effective level of governmental services for the general public; and WHEREAS, Elgin desires to continue having an Employee Assistance Program to be administered by Skiles & Associates; and WHEREAS, the parties are in agreement as to the terms and condi- tions of any such Employee Assistance Program. NOW, THEREFORE, in consideration of the mutual promises-and covenants contained herein, the parties hereto agree as follows: A. Services to be Provided by Skiles F Associates Administration of an Employee Assistance Program for the City of Elgin. Tnis program would be operated in close cooperation and coordina- tion with Elgin officials. Program services would include the following specific elements: 1. Continuing formal training and orientation of supervisory/ union personnel-- (follow-up to initial training, 1982) . 2. Continuing explanation of program and policy to all employees and their families-- (follow-up to initial announcement, 1982) . 3. Assessment and referral of problem employees to appropriate treatment. 4. Follow-up with all referrals including post-treatment counseling when needed. 5. Consultation to staff, supervisors, union personnel as needed. 6. Employee information sessions, plus distribution of educational material-- (re stress, family/emotional problems, alcoholism/drugs) . 7. Continuing availability of 24-hour Hotline, 7 days per week, for self-referrals, emergencies, and consultation. 8. Regular program evaluation, per instructions from Elgin. 9. Personal availability of Tom Skiles, at all times and as requested by Elgin. B. Term This agreement shall cover all services by Skiles and Associates rendered from August 1, 1983 up to and including July 31, 1984. C. Compensation Elgin shall pay Skiles F Associates a total sum of $5,800.00 as complete compensation. Payment shall be on a monthly basis based on an invoice to be submitted by Skiles & Associates. Elgin shall be given credit for and the compensation due Skiles F Associates shall be reduced by the amount of money already paid by Elgin to Skiles F4 Associates for services rendered from August 1, 1983 until the date this agreement is executed. U. Appraisal The parties shall cooperate in developing and conducting an appraisal program to evaluate the Elgin Employee Assistance Program. Applicants or clients of the program shall be given the opportunity of signing voluntary information waiver at the time that assistance is requested which information will be used in the appraisal without revealing the name of the individual involved. The identity of the persons involved in the program shall not be revealed without such persons written consent. Any appraisal shall be con- ducted by a third party to be designated by Elgin and approved by Skiles 4 Associates and any report of such third party made public shall not reveal the identity of any individual involved in the program. E. Changes in the Scope of Services Without invalidating this agreement, Elgin may issue instruc- tions to make changes in, additions to, or deductions from the scope of services. In such a case Skiles 4 Associates shall promptly prepare and submit a detailed estimate of the net effect of such changes on the cost of the services. 2- F. Written Authorization Skiles $ Associates shall not proceed to change any of the conditions or scope of this agreement without written instructions signed by a duly authorized person from Elgin. G. Insurance Requirements In the performance of the work covered by this agreement unless otherwise provided for, Skiles & Associates shall act as an independent contractor and maintain full and complete control over all their employees. During the performance of the work, Skiles & Associates shall obtain and maintain the following insurance: . • 1. Hospital Professional Liability with limits of $500,000 each claim and $1,000,000 aggregate coverage. 2. Personal Liability Insurance, covering claims for bodily injury, including death with an aggregate limit of $500,000. H. Termination of Agreement This agreement shall be at all times subject to termination without cause or justification upon not less than 30 days prior written notice from one party to the other. I. Extent of Authority This agreement does not negate any administrative policies or procedures of Elgin unless specifically indicated herein. Compliance with administrative policies or procedures currently in effect or hereinafter developed are made part of this agreement. J. Entirety of Agreement This agreement constitutes the entire agreement between the parties and supersedes all previous agreements and understandings with respect to the subject hereof. K. Assignment Skiles & Associates shall not assign this contract in whole or in part without the prior written consent of Elgin. Any such assignment without Elgin's prior written consent shall be void and of no effect. IN WITNESS WHEREOF, the parties hereto have executed this agree- ment as of the day and year first hereinabove written which shall be deemed the effective date. TOM SKILES y ASSOCIATES CI OF ELGI -3-
