• AGREEMENT
This contract is made between the City of Elgin (hereafter Elgin)
and Adventures Unlimited, Inc. , 628 Ogden Avenue, Naperville, IL 60540,

(hereafter Contractor), this ;el day of pt--4,01 , 1983.
In consideration of the terms and conditions contained herein,
the parties agree as follows:
1. Contractor shall conduct the classes and programs listed on
Exhibit 'A' which is attached to and made a part of this agreement. The
classes shall be as generally described in the document entitled Adventures
Unlimited, Unique Learning Experiences for All Ages, copyrighted 1981, 1982
(hereafter catalog) which is incorporated into this agreement as if set
out in full herein.
2. Contractor shall be solely responsible for the content of the
classes, instructors and materials used. Instructors shall not be the
employees of Elgin, but shall rather be the sole responsibility of Contractor.
Contractor agrees that said classes shall be conducted in a professional
manner.
3. Elgin shall pay Contractor a fee for each registered student
as provided in Contractor's catalog. Provided, however, any registered
student may withdraw any time prior to three (3) working days before the
commencement of classes in which case Contractor shall not be entitled to any
fee for said student. For courses starting from the first through the 15th
of the month, payment shall be due on or before the 25th of the same month.
For courses starting on the 16th of the month through the end of the month,
payment shall be due on or before the 10th of the following month. Checks
shall be payable to Adventures Unlimited, Inc. , and mailed to their office
address shown above to the attention of the Accounting Department. For
identification purposes, Elgin shall include the invoice number(s) on their
check.
4. Elgin shall provide advertisement space in their brochure,
handle student registration, collect all fees, secure a space for all classes
and prepare and have ready for the instructor on the first night of class a
class list of students with home phone numbers.
5. Contractor shall provide all instructors and their salaries,
all necessary class materials and tools necessary for the course, plus all
necessary insurance riders. Contractor shall provide Elgin with certificates
of insurance naming Elgin as co-insured for the following items:
A) General liability with limits acceptable to Elgin protecting
Elgin and Contractor against acts and omissions of Contractor, its employees
or agents.
B) Workman's Compensation.
6. Elgin shall notify Contractor by telephone of final class
registrations a minimum of three (3) working days before the class starts to
ensure smooth execution of all programs. After attempting to fill all classes
and after conferring with Contractor, Elgin has the right to cancel classes
with insufficient enrollment. Minimum enrollment is 8 students. Contractor
shall not be entitled to any fee for classes cancelled as provided herein.
7. The term of this agreement shall begin on its date of execution
and shall terminate on January 15, 1984.
IN WITNESS WHEREOF the City Manager and City Clerk have executed
this agreement for and on behalf of the City of Elgin and
have executed this agreement for and on
behalf of Adventures Unlimited, Inc. and each have caused their respective
corporate seals to be affixed.
