FAU PROJECT M - 5172 (11) r I I AGREEMENT FOR CONSULTANT SERVICES This is an AGREEMENT between the CITY OF ELGIN, acting through its CITY MANAGER and CITY COUNCIL, hereinafter referred to as the CITY, and H. W. LOCHNER, INC. of 20 North Wacker Drive, Chicago, Illinois 60606, a corporation certified by the Secretary of State to be in Good Standing and authorized to do business in Illinois under the Business Corporation Act, June 7, 1956, a firm of Consultants, hereinafter referred to as the CONSULTANT. The CITY proposes to engage the CONSULTANT to furnish certain Phase I professional services in connection with the construction of the North End Bridge and its connecting roadways from the intersection of Big Timber Road and State Street to the intersection of Summit Street and Dundee Avenue, such services to include design/location studies, environmental studies and a public participation program related to these studies. Detailed analyses will also be considered for a 5 to 10 year stage construction period which would affect Slade Avenue between Grove Avenue and Dundee Avenue. Phase II work, design and preparation of contract plans; and Phase III work, construction inspection services, would follow pending appropriate approvals. This work is hereinafter referred to as the PROJECT. The CONSULTANT represents that he is in compliance with Illinois Statutes relating to professional registration of individuals, and to corporate practice, for rendering such services. INCORPORATION BY REFERENCE The Illinois Department of Transportation's (hereinafter referred to as the DEPARTMENT) "Standard Agreement Provisions for Consultant Services - 1977" hereinafter referred to as the "Standard Provisions" are incorporated and made part of this AGREEMENT except as deleted, amended or supplemented hereinafter. Wherever the word DEPARTMENT is used, it shall be constructed to mean the CITY OF ELGIN, except the word DEPARTMENT shall also include the I.D.O.T. in subsections 2.12, 2.24, 2.31, 2.32 and 2.33. STANDARD PROVISIONS section references are shown as S P in paranthesis. 1.1 (S P 3) Delete. 1.2 (S P 1.09) The Bureau Chief is the Engineer of Location and Environment. 1.3 (S P 1.18) The DEPARTMENT is the Illinois Department of Transportation (I.D.O.T). 1.4 (S P 2.11) Add the following to this S P: For the conduct of environmental studies and preparation of environmental reports, fully qualified persons who are not registered in any category may be employed in responsible charge of elements of such work. 1.5 (S P 2.21c) AGREEMENT adjustments for delays as provided under Section 2.21c of the STANDARD PROVISIONS shall be based on the fact that the fee was negotiated anticipating that the Work on Phase I would be completed by mid-1982 including 120 days review time. 1.6 (S P 2.27) "Policies and Procedures" is revised as follows: Section (2.27b) Department's Publications, Item (15) should be entitled "Ecological and Natural Resources Manual" and Item 18 has been deleted. Section (2.27c) The Federal Aid Highway Program Manual list is revised as follows: Item (3) should read FHPM 7-7-4, Item (7) FHPM 6-1-2-2 has been superseded by FHPM 1-7-2 "Administration of Negotiated Contracts" and add Item 11 FHPM 6-7-3-2 "Location and Hydraulic Design of Encroachments on Flood Plains". 1.7 In compliance with the Illinois Purchasing Act, the CONSULTANT in signing this AGREEMENT, makes the following certification which is hereby added to Section 2.30 of the STANDARD PROVISIONS: (S P 2.30) The CONSULTANT certifies that it has not been convicted of bribery or attempting to bribe an officer or employee of the State of Illinois, nor has the firm made an admission of guilt of such conduct which is a matter of record, nor has an official, agent, or employee of the CONSULTANT committed bribery or attempted bribery on behalf of the firm and pursuant to the direction or authorization of a responsible official of the firm. k. 1.8 (S P 2.42b) The maximum retainage shall be $8,481. 1.9 (S P 4.2) The following is substituted for (S P 4.2): The CONSULTANT will utilize available topographic maps prepared for the CITY by the Sidwell Co. I,. The scale is 1" = 100' with a contour interval of 2'. 2 r 1.10 (S P 4.30) Amend the beginning of this statement to read: "Using the findings of earlier studies, study all feasible alternate alignments in sufficient detail to eliminate those which are not acceptable. For remaining alternates:". 1.11 (S P 4.32) Soil borings have been completed as necessary, for Phase I. 1.12 (S P 4.33e) Delete: "lighting, signalization and signing". 1.13 (5 P 4.35) Amend to read: "The drainage report will be updated to include requirements of current I.D.O.T. work activities for drainage reports". 2. SCOPE OF WORK - The CONSULTANT shall complete the following work on the PROJECT: Phase I - Since the Corridor for this PROJECT has been previously determined along with the "City's Preferred Alternative", the work to be accomplished in the remainder of the Work includes: 1) the general study of a one-way couple consisting of Summit and Seneca Streets; 2) a design variant located to avoid the Elgin Salvage Company; and, 3) the Slade Avenue Stage Construction Alternative where the total time to complete the Big Timber/Summit connection could be 5 to 10 years. This Slade Avenue Stage Construction Alternative will be studied to the same detail as the "City's Preferred Alternative". The accompanying map shows the Project Location and highlights the remainder of the Phase I work to be completed. Phase II - Preparation of Contract Plans. Phase III - Construction Inspection Services. 2.1 The CONSULTANT's work includes: a. Drainage Report (15 copies). b. Preliminary T.S.&L. The CITY must concur with the actual work accomplished. 2.2 The Environmental Impact Statement will be prepared in accordance with Section 7.4 of the STANDARD PROVISIONS. 2.3 No 4(f) statement is anticipated. 2.4 The DEPARTMENT will negotiate the next phase (Phase II) of this project only after the Final Design/Location Report and the Final Environmental Impact Statement have been completed and accepted by IDOT and after Design Approval of the PROJECT has been obtained. 3. PROJECT SCHEDULE - The CONSULTANT shall commence work within 10 calendar days after date of Authority to Proceed. The Work shall be completed and delivered to the DEPARTMENT within the following periods: 3.1 The Draft Design/Location Report and the Draft Environmental Impact Statement within 120 calendar days of Authority to Proceed. I 5 r r 3.2 The Public Hearing within 60 calendar days of the Department's approval of the Draft Design/Location Report and the Draft Environmental Impact Statement. 3.3 The Final Design/Location Report and the Final Environmental Impact Statement within 90 calendar days of the Public Hearing. 3.4 Phase II - Not applicable. 3.5 Phase III - Not applicable. 4. PRIME COMPENSATION 4.11 Phase I - The CONSULTANT shall receive, as full payment for completing the Work required of him under this AGREEMENT (except for Additional Work or Extra Work), reimbursement of his eligible Actual Costs in accordance with Section 2.45 of the STANDARD PROVISIONS, plus a Fixed amount of $19,594, subject to an Upper Limit of Compensation of $169,626. The retainage provisions contained in Section 2.42 of the STANDARD PROVISIONS shall not apply to Direct Non-Salary Costs. The attached Exhibits A, B and C are to be used as set forth in Section 2.42 of the STANDARD PROVISIONS. r None of the work under this AGREEMENT is considered preparation of plans. 4.12 Phase II - Preparation of Contract Plans. The CITY agrees to pay the CONSULTANT for Phase II work specified in the AGREEMENT, cost plus a fixed fee which shall be negotiated when the scope of the PROJECT has been defined in Phase I. Likewise, the Upper Limit of Compensation shall also be negotiated for Phase II Work. 4.13 Phase III - Construction Inspection Services. The CITY agrees to pay the CONSULTANT for Phase III work specified in the AGREEMENT, cost plus a fixed fee which shall be negotiated when the scope of the PROJECT has been defined in Phase II. Likewise, the Upper Limit of Compensation shall also be negotiated for Phase III Work. 4.2 The Prime Compensation may be increased or decreased by subsequent agreement between the contractural and approving parties if there is a major change in the scope, character or complexity of the Work. The fee may be adjusted by Phase in accordance with Section 2.21 of the STANDARD PROVISIONS if the duration of the Work in any phase extends more than six (6) r months beyond the date of completion stated in Section 3 of this AGREEMENT due to no fault of the CONSULTANT. 4.3 In the event the CONSULTANT, upon written order from the CITY, is required to perform Extra Work, he shall, in addition to the Prime Compensation, receive payment for such Extra Work on the following basis: The CONSUL- TANT's Actual Costs will be reimbursed in the same manner as set forth in I Section 4.11, plus a negotiated Fixed Amount based on the estimated cost of I the Work, subject to a pre-agreed Upper Limit of Compensation for each item of Work. The tasks in the Work Program reflect the comments of both transportation agencies with respect to the study of additional alternatives and design variations including the following: (1) A one-way couple consisting of Summit and Seneca Streets between Grove Avenue and Dundee Avenue: L (2) A realignment of the "City's Preferred Alternative" between approximately the Summit/Brook Street intersection and Lincoln Avenue to avoid the Elgin Salvage and Supply Company and Elgin Wholesale Corporation properties; and, (3) The stage construction impact of a connection to Slade Avenue. Changes in Federal regulations since September 7, 1980 have also been considered in this Work Program and these changes are reflected in the following Federal Aid Highway Program Manuals (FHPM); FHPM 7-7-2 Environmental Impact and Related Statements. FHPM 6-7-3-2 r Location and Hydraulic Design of Encroachments on Flood Plains FHPM 7-7-3 Procedures for Abatement of Highway Traffic Noise and Construction Noise Other recent Federal regulations applicable to this Work Program include the FHWA's "Five Urban Transportation Policy Objectives" and "Energy Evaluation." All the above regulations would be applied to the previously studied "No-Build Alternative" and "City's Preferred Alternative" as well as the additional alternatives and design variations set forth above. r Pi . _ r The work required to successfully complete the Draft Environmental Impact Statement, conduct of the Public Hearing process, Final Environmental Impact Statement, Design Report, and obtain Design Approval for the Project is set forth on the following pages. W. Lochner, Inc. concerning the character of the project and factors surrounding the work to be undertaken. r In this project H. W. Lochner, Inc. will be undertaking a study for the development of a new bridge with new bridge approach roadways through a developed community, with divergent public viewpoints and complex physical constraints. This study will be a difficult one, with a substantial amount of careful guidance and senior staff participation needed. We also anticipate that there will be a considerable amount of judgment required as to the conduct of the studies and the public and agency participation efforts which will need to be undertaken. Therefore, given the large scope of the project, and the complex character of the work which will be required, we anticipate a substantial amount of management follow-up and participation as the study progresses. It is based on all of these considerations that we have determined that the net fee figure of $19,594 is fully justified and indeed required. Accordingly, we have included that number in our proposal as a complement to the scope of work as negotiated with the City of Elgin. r L IP
