THIS AGREEMENT entered into // , 1978 ,
by and between STEWART-WARNER CORPORATION, a Virginia corpora-
tion, having its principal place of business at 1826 West
Diversey Parkway, Chicago, Illinois 60614 ( "SWC" ) , SANITARY
DISTRICT OF ELGIN, KANE and COOK COUNTIES , ILLINOIS ( "District" )
and THE CITY OF ELGIN, a Municipal Corporation of the State of
Illinois ( "City" ) ,
WITNESSET H:
WHEREAS, the District desires to construct and install
in, under and through the subsurface of lands owned by SWC in
Cook County, Illinois, a sewer line, which sewer line, together
with the manholes and other appurtenances thereto, is hereinafter
referred to as the "Sewer Facility, " and in order to enable the
District so to do, the District desires to obtain from SWC a
grant of temporary easement (hereinafter called the "Temporary
Easement" ) in the form of Attachment A attached hereto and by
this reference thereto hereby incorporated and made a part hereof;
and
WHEREAS, upon completion of the construction and installa-
tion of the Sewer Facility, the District proposes to transfer, set
over and assign unto the City (or cause to be transferred, set over
and assigned to the City) all right, title and interest in and to
the Sewer Facility; and
WHEREAS, upon completion of the construction and installa-
tion of the Sewer Facility, the City proposes to accept a conveyance
to the City of title to the Sewer Facility as aforesaid, and to
thereafter maintain, operate, repair, renew and use the Sewer
Facility for the purposes for which the same was designed, con-
structed and installed; and in order to enable the City so to do,

the City desires to obtain from SWC a perpetual but non-exclusive
grant of easement (herein called the "Permanent Easement" ) in the
form of Attachment B attached hereto and by this reference thereto
hereby incorporated and made a part hereof; and
WHEREAS, SWC is willing to grant to the District the
Temporary Easement, and to grant to the City the Permanent
Easement, but only upon and subject to the terms and conditions
hereinafter contained;
NOW, THEREFORE, it is agreed by and between the parties
hereto as follows :
1. SWC acknowledges and agrees that if, on or before
March 31, 1979, the District shall execute, acknowledge and
deliver to SWC a counterpart of the Temporary Easement in the
form of Attachment A, together with a counterpart of the Permanent
Easement in the form of Attachment B duly executed and acknowledged
by and on behalf of the City, then and in such event within the
fifteen (15) days next following the date of receipt of the
Temporary Easement and the Permanent Easement executed respectively
by the District and the City as aforesaid, SWC will :
(a) execute and acknowledge the Temporary
Easement and the Permanent Easement;
(b) deliver to the District photographic
copies of each of such instruments , fully
executed and acknowledged as aforesaid;
and
(c) record at the expense of the District,
original executed counterparts of the
Temporary Easement and the Permanent
Easement.
SWC further covenants and agrees that when the executed counter-
parts of the Temporary Easement and the Permanent Easement have
been returned to SWC by the Recorder' s Office, SWC will deliver
the same to the District.

2. The District covenants and agrees that it will
not enter upon any of the lands of SWC (whether described in
Attachment A or Attachment S or otherwise) nor commence the
construction and installation of the Sewer Facility, unless
and until it shall have received from SWC true photographic
copies of executed counterparts of the Temporary Easement and
the Permanent Easement pursuant to the provisions of paragraph 1
above.
3 . The District covenants and agrees that it will
construct and install the Sewer Facility in accordance with
Specifications For Proposed Sanitary Sewer Across Stewart-
Warner Property Sanitary District Of Elgin, Cook And Kane
Counties, Illinois, attached hereto marked Attachment C and
by this reference thereto hereby incorporated and made a part
hereof. The District covenants and agrees that upon com-
pletion of the construction and installation of the Sewer Facility,
the District will convey or cause to be conveyed to the City good
legal title to the Sewer Facility, free of liens or encumbrances
whatsoever. The City covenants and agrees to accept the conveyance
of legal title to the Sewer Facility as aforesaid upon tender to
the City of a bill of sale or other instrument effecting a conveyance
and transfer of title to the Sewer Facility to the City. The City
shall have no obligation under the Permanent Easement unless and
until the District shall have conveyed to the City good legal title
to the Sewer Facility, and the City shall have accepted such con-
veyance in writing. The District covenants and agrees to deliver
to SWC an executed copy of such conveyance, showing written
acceptance by the City.
4 . The District and the City acknowledge that the sole
consideration for the execution and delivery of the Temporary Ease-
ment by SWC to the District, and of the Permanent Easement to the
City, is and shall be the right granted to SWC to connect to and

with the Sewer Facility in accordance with the provisions of para-
graph 4 of Attachment B upon the terms and conditions therein con-
tained, and to obtain sanitary sewer service to all or any part of
the real estate of SWC described in Exhibit A attached to said
Attachment B.
5 . SWC recognizes that if and when it makes connections
to and with the Sewer Facility for the purpose of obtaining sanitary
sewer service to all or any part of the real estate of SWC described
in Exhibit A to Attachment B such connection shall be made only
upon the payment to the District of the connection fees set
forth in Section 7. 02 of Ordinance 229 , Sanitary District of
Elgin - Page E3, a copy of which Page E3 is attached hereto
marked Attachment D and by this reference thereto hereby in-
corporated and made a part hereof, except as such connection
fees are increased or decreased uniformly throughout the Dis-
trict with respect to connections to and with sewer facilities
of the District.
IN WITNESS WHEREOF, the parties hereto have executed

GRANT OF EASEMENT

For the consideration hereinafter described, STEWART-
•
WARNER CORPORATION (hereinafter sometimes called. the "Grantor" ) ,
hereby gives and grants to the CITY OF ELGIN, a municipal cor-
poration of Kane County, Illinois (hereinafter called the "City" )
a perpetual but non-exclusive easement (the "Easement" ) to use
the following described two parcels of real estate (herein col-
lectively called "Real Estate" ) to-wit:
EASEMENT NO. 1: A 15. 0 foot wide easement for
sanitary sewer purposes over part of the South-
west Quarter of Southeast Quarter and part of
the Southeast Quarter of the Southwest Quarter
of Section 7 , Township 41 North, Range 9 East
of the Third Principal Meridian, the center line
of which is described as follows : Commencing at
the Northeast corner of said Southwest Quarter
of the Southeast Quarter; thence South 87 degrees
30 minutes West along the North line of said South-
west Quarter of the Southeast Quarter, a distance
of 341. 53 feet; thence South 1 degree 13 minutes
West, parallel with the East line of said Southwest
Quarter of the Southeast Quarter, a distance of
759. 59 feet to the North line of Evanston Highway
(State Route 58) ; thence South 89 degrees 49 minutes
West along said North line, a distance of 1461. 29 feet
for the place of beginning of the center line of
said 15. 0 foot wide sanitary sewer easement; thence

aforesaid, being also the North line of Hanover
Township which point is 855 . 0 feet West from the
Northeast corner of said Section 6 ; thence South
3 degrees 38 minutes West 3839 . 0 feet to the center
of the Public Highway; thence South 2 degrees 7
minutes West, a distance of 2776 . 34 feet to a point
on a line that is 15 . 0 feet Northerly of and parallel
with the North line of the Southwest Quarter of the
Southeast Quarter of said Section 7 extended Easterly
for the place of beginning of the center line of said
15. 0 foot wide easement; thence South 87 degrees 10

for the purpose of enabling the City .to use, operate, maintain
and repair a sanitary sewer beneath the surface of said Real
Estate, together with manholes and other appurtenances thereof
(herein collectively referred to as the "Sewer Facility" ) , upon
and subject, however, to the terms and conditions hereinafter
contained.
The Easement herein granted is granted to and accepted
by the City upon and subject to the following terms and conditions :
1. The Grantor agrees that no buildings shall be con-
structed upon the Real Estate. The Grantor shall have and hereby

reserves the right to use and permit others to use the Real Estate

for all purposes not inconsistent with the rights and privileges C 9

herein granted to the City. The City agrees to assume all respon- On
sibility for, and to indemnify and save Grantor harmless from and
against, all loss, cost, damage, expense (including court costs
and attorneys ' fees) , liens or claims for liens arising from or
growing out of any claim for lien, injury to or death of any
person, or any damage to or loss of any property, including but
not limited to property of the Grantor, and due to or resulting
from the operation, maintenance, use or existence of the Sewer

Facility or the exercise of the rights and privileges herein
granted to the City.
2. Grantor shall have and hereby reserves the right
to relocate all or any part of the Sewer Facility at its sole
cost and expense, provided that the relocation of the Sewer
Facility shall not impair the service provided by the Sewer
Facility, and provided further that the Grantor shall grant or
shall obtain for the City all easements necessary to construct,
install, maintain, use or operate the Sewer Facility as relocated.
3. Construction of the Sewer Facility and any relocation
thereof shall be in accordance with applicable statutes, ordinances
and regulations.
4 . The City acknowledges and agrees that in considera-
tion of the grant of the Easement and the righta and privileges herein
contained and granted to the City, Grantor and its grantees,
successors and assigns, shall have the right. to make connections
to and with the Sewer Facility for the purpose of obtaining
sanitary sewer service to all or any part of the real estate
of the Grantor described in Exhibit A attached hereto and by
this reference thereto hereby incorporated and made a part hereof ,
and the City acknowledges and agrees that such connections to and
with the Sewer Facility may be made without any payment whatsoever
to the City.

In consideration of the sum of one dollar and other
valuable consideration, STEWART-WAR2NER CORPORATION (hereinafter
sometimes called the "Grantor" ) , hereby gives and grants to the
SANITARY: DISTRICT OF ELGIN, KANE AND COOK COUNTIES, ILLINOIS
(hereinafter sometimes called the "District" ) , a temporary easement
(the "Easement" ) to use the following described two parcels of
real estate (herein collectively called "Real Estate" ) to-wit:

for the purpose of enabling the District to construct and install
a sanitary sewer beneath the surface of said Real Estate, together
with manholes and other appurtenances thereof (herein collectively
referred to as the "Sewer Facility" ) upon and subject, however,
to the terms and conditions hereinafter contained.
1. The District will construct and install the Sewer
Facility lien free and in a good and workmanlike manner, and
with reasonable care, skill and diligence; and upon completion
of construction and installation of the Sewer Facility, the Dis-
trict will promptly restore the surface of the Real Estate and
all roads, sidewalks, fences and structures, if any, located
thereon, together with all shrubs, grass and sod that may be
located thereon, provided, however, that the District shall not
be required to replace any trees that may have been removed from

the Real Estate in connection with the construction and install-
ation of the Sewer Facility. ri
2. At all times during the course of construction
and installation of the Sewer Facility, the District will pro-
vide a temporary fence together with any gates that may be
desired by the District in substitution and in lieu of any fence
or part thereof that shall have been removed by the District in
connection with the construction and installation of the Sewer
Facility in order to provide a continuous and uninterrupted fence
enclosing the premises of the Grantor.

3. This Grant of Temporary Easement shall remain in
full force and effect until November 30, 1980. The period
from the date hereof to such date of November 30, 1980, shall
herein be referred to as the "Period of Grant. " The expiration
of this •Grant of Easement shall not extinguish the obligations
of the District hereunder, including but not limited to the ob-
ligations set forth in Paragraph 5 hereof.
4 . The Grantor agrees that during the Period of Grant
no buildings shall be constructed upon the Real Estate but during
the Period of Grant Grantor shall have and hereby reserves the right
to use and permit others to use the Real Estate for all purposes not
inconsistent with the rights and privileges herein granted to the
District, the Grantor recognizing that the construction of the Sewer
Facility may make it difficult to have access at all times between
those tracts of real estate owned by the Grantor which lie on either
side of the Real Estate.
5 . The District agrees to assume all responsibility
for, and to indemnify and save Grantor harmless from and against,
all loss, cost, damage, expense (including court costs and at-
torneys fees) , liens or claims for liens arising from or growing
out of any claim for lien, injury to or death of any person, or
any damage to or loss of any property, including but not limited Ty
to property of the Grantor, and due to or resulting from the con-
struction and/or installation of the Sewer Facility or the exer- C�'1
