AUTHORIZING EXECUTION OF A STIPULATED AGREEMENT 2385 WITH THE STATE
OF ILLINOIS ACTING BY AND THROUGH THE ILLINOIS COMMERCE COMMISSION,
THE DAKOTA, MINNESOTA & EASTERN RAILROAD (CPKC), AND THE STATE OF
ILLINOIS, DEPARTMENT OF TRANSPORTATION (IDOT) IN CONNECTION WITH THE
HIGHLAND AVENUE RAILROAD CROSSING IMPROVEMENTS
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby
authorized and directed to execute a Stipulated Agreement 2385 on behalf of the City of Elgin
with the State of Illinois acting by and through the Illinois Commerce Commission, the Dakota,
Minnesota & Eastern Railroad (CPKC), and the State of Illinois, Department of Transportation
(IDOT), for the Highland Avenue railroad crossing improvements, a copy of which is attached
hereto and made a part hereof by reference.

STIPULATED AGREEMENT 2385
This Agreement made and entered into, by and between the State of Illinois acting by and
through the Illinois Commerce Commission (Commission or Staff), the Dakota, Minnesota
& Eastern Railroad (Company, Railroad, or DM&E) d/b/a CPKC, the City of Elgin (City) and
the State of Illinois, Department of Transportation (Department or IDOT).
WITNESSETH:
WHEREAS, it has come to the attention of the Commission via the Railroad's application
for assistance from the Grade Crossing Protection Fund (GCPF) that inquiry should be
made into the matter of improving public safety at the Highland Avenue (AAR/DOT
#372253J, railroad milepost 42.94-C) highway-rail grade crossing of the DM&E's track,
located in Elgin, Kane County, Illinois; and
WHEREAS, proper investigation has been made of the circumstances surrounding the
subject crossing by a representative of the Commission's Transportation Bureau Railroad
Section; and
WHEREAS, the physical aspects, including geometrics of the intersection, train
movements, vehicular traffic volumes, sight distances and other pertinent data relating to
the crossings has been obtained and shown on Exhibit A attached to this Agreement; and
WHEREAS, the parties are mutually agreeable to accomplish proposed improvementsto
the crossing upon determination of the Commission by Order.
NOW, THEREFORE in consideration of the premises and of the mutual covenants and
agreements as hereinafter contained the parties pray that the Commission enter an Order
according to the provisions of Section 18c-7401 of the Illinois Commercial Transportation
Law, 625 ILCS 5/18(c)-7401, requiring that certain improvements as hereinafter stated be
made and that the cost for the proposed improvements be divided among the parties
according to law and that in the interest of the traveling public, the Grade Crossing
Protection Fund (GCPF) of the Motor Fuel Tax Law ("MFT") be required to pay a substantial
portion of the cost; To Wit the parties agree as follows:
Section 1 All improvements encompassed by this Agreement shall be made in
accordance with all applicable State laws, rules, standards, regulations and orders and
procedures in general.
Section 2 The parties are of the opinion that the following improvements in the interest
of public safety at the following crossings should be:
a) Installation and upgrade of automatic flashing light signals and gates with a bell,
controlled by constant warning time circuitry, and equipped with an event recorder
and a remote monitoring system, by the Railroad;

Section 3 The Railroad has prepared preliminary drawings and preliminary cost
estimates to accomplish the proposed safety improvements, which may be required by
Commission Order. The drawings and cost estimates are attached and incorporated
herein by reference as Exhibit B.
The Railroad shall, upon issuance of a Commission Order, according to the requirements
contained therein, prepare and submit duplicate copies of the detailed drawings, detailed
circuit plans, cost estimates, and any required specifications for the proposed
improvements for the approval of the Commission.
Section 4 The Railroad shall upon Order, according to the requirements contained
therein, proceed toward the completion of the proposed improvements, accomplishing the
work with its own forces or appropriate contracted services and agrees that an appropriate
time for the completion of the proposed improvements should be eighteen (18)months from
the date of a Commission Order approving this Agreement.
Section 5 The parties agree that an equitable division of cost for the proposed
improvements is as follows:

Notes:
' Total GCPF assistance not to exceed$342,276;any design and installation costs above the estimated
amount of$360,290 will be divided in the same percentages noted above, upon submittal and review
of evidence to support the additional cost and subject to approval by the Commission.
2 The Railroad is responsible for all future operating and maintenance cost associated with the new
automatic warning devices.
Section 6 The City is not required to pay any portion of the cost for the proposed
improvements.
Section 7 Special Provisions: The Railroad is responsible for all future costs associated
with the operation and maintenance of the new automatic warning devices in accordance
with the following parts of Title 49 — Code of Federal Regulations (CFR): 9 CFR 214 -
Railroad Worker Safety; 49 CFR 228 - Hours of Service of Railroad Employees; 49 CFR
233 - Signal Systems Recording Requirements; and, 49 CFR 234 - Grade Crossing Signal
System Safety.
The Railroad shall review the Project Manager Information portion of the Project Status
Report sheet, attached as Exhibit C. If any changes are required, the sheet is to be
corrected and sent with this executed Agreement.
The Railroad, shall at six (6) month intervals from the date of the Commission Order
approving this Agreement, or any Supplemental Order(s) issued for the project, submit to

the Director of Processing and Information, Transportation Bureau of the Commission, a
Project Status Report, attached as Exhibit C, regarding the progress it has made toward
completion of the work required by this Agreement. Each Project Status Report shall include
the Commission Order's docket number, the Order date, the project completion date as
noted in the Order, crossing information (inventory number and railroad milepost), type of
improvement, and the name, title, mailing address, phone number, facsimile number, and
electronic mailing address of the Railroad Project Manager.
All bills for work specified in Section 2 of this Agreement authorized for reimbursement from
the GCPF shall be submitted to the Fiscal Control Unit, Bureau of Local Roads and Streets,
Illinois Department of Transportation, 2300 S. Dirksen Parkway, Springfield, IL 62764. All
bills shall meet the minimum documentation requirements set forth in Section 8 of this
Agreement. All bills will be paid in accordance with the State Prompt Payment Act as
currently enacted (Illinois Compiled Statutes, 30 ILCS 540/).
The Department shall send a copy of all invoices to the Director of Processing and
Information, Transportation Bureau of the Commission. All bills shall be submitted no later
than twelve (12) months from the completion date specified in the Commission Order
approving this Agreement or any Supplemental Order(s) issued for the project. The final
invoice for expenditures from each party shall be clearly marked "Final Invoice". The
Department shall not obligate any assistance from the GCPF for the cost of proposed
improvements described in this Agreement without prior approval by the Commission. The
Commission shall, at the end of the 12th month from the completion date specified in the
Commission Order approving this Agreement, or any Supplemental Order(s) issuedfor this
project, conduct a review to determine if any unused assistance from the GCPF should be
de-obligated. Upon completion of the review, the Commission shall notify the Department
to de-obligate all residual funds accountable for installation costs for this project.
Notification may be by regular mail, electronic mail, fax, or phone.
Section 8 Billing: For all work specified in Section 2 of this Agreement, and authorized
by an Order of the Commission, the Railroad shall assure that sufficient documentation forall
bills is made available to the Department or the Department's representative. The minimum
documentation that must be made available is outlined below:
a) Labor Charges (including additives) - Copies of employee work hours
charged to the railroad and/or highway account code for the project.
b) Equipment Rental - Copies of rental agreements for the equipment used,
including the rental rate; number of hours the equipment was used and the
railroad and/or highway account code for the project.
c) Material - An itemized list of all materials purchased and installed at the
crossing location. If materials purchased are installed at multiple crossing
locations, a notation must be made to identify the crossing location.
d) Engineering- Copies of employee work hours charged to the railroad and/or
highway account code for the project.
e) Supervision - Copies of employee work hours charged to the railroad and/or
highway account code for the project.
f) Incidental Charges - An itemized list of all incidental charges along with a
written explanation of those charges.

g) Service Dates - Invoice shall include the beginning and ending date of the
work accomplished for the invoice.
h) Final or Progressive - Each invoice shall be marked as a Progressive or a
Final Invoice, as applicable.
i) Reference Numbers - Each invoice shall include the AAR/DOT number,
the ICC Order number and the state job number when federal funds are
involved.
j) Locations - Each invoice shall show the location, with the street name and
AAR/DOT crossing inventory number.
k) Travel - Each invoice shall include copies of all costs incurred, such as
lodging, meals, per diem, rates and totals. Rail carriers shall provide an
electronic copy of its current Rail Carrier Travel Policy. Reimbursement of
travel costs shall be in accordance with State of Illinois travel regulations
under 80 Illinois Administrative Code part 3000 and appendices. Any
proposal or attempt to use an alternative travel reimbursement method must
be reviewed and approved by the Department prior to travel.
Reimbursement of labor additives will be limited to only the most current direct labor
additives, small tools additives, equipment additive rate, if so developed, and public
liability/property damage liability insurance rates as audited and approved by a cognizant
State agency and the Federal Highway Administration. Indirect overhead or general and
administrative expenses, or those expenses which may be classified as such under
generally accepted accounting principles, are not eligible forreimbursement on this project.
Surcharges will be subject to review and approval by the Department.
Section 9 This Agreement shall be binding upon the parties hereto, their successors or
assigns. Upon execution of this Agreement by all parties, the Commission shall enter an
appropriate Order, within 60 days accepting or rejecting such stipulation according to the
provisions contained herein.
In Witness Whereof, the parties have caused this Agreement to be executed by their duly
authorized officers, as of the dates indicated on their respective Execution Pages, attached
hereto.

ORDER
By the Commission:
PROCEDURAL HISTORY
On May 16, 2025, July 23, 2025, July 23, 2025, and July 29, 2025 the Staff of the
Illinois Commerce Commission (Commission), the Dakota, Minnesota and Eastern
Railroad Company (Railroad, Company, or DM&E), the City of Elgin (City), and the State
of Illinois, Department of Transportation (Department or IDOT), respectively, executed
Stipulated Agreement 2385 according to the provisions of Section 18c-7401 of the
Illinois Commercial Transportation Law. The Stipulated Agreement, which is appended
hereto, provides for the installation of all new automatic flashing light signals, constant
warning time equipment, and gates at the Highland Avenue highway-rail grade crossing
of the DM&E's track, located near Lanark, Carroll County, designated as AAR/DOT
#372253J, milepost 42.94-C.
Stipulated Agreement 2385 contains an estimate of cost to accomplish the
improvement and a division of cost among the parties and the Grade Crossing Protection
Fund (GCPF) of the Motor Fuel Tax Law.
FINDINGS AND ORDERING PARAGRAPHS
The Commission, having given due consideration to the Stipulated Agreement,
finds that:
(1) The Commission has jurisdiction over the parties and the subject matter of
this proceeding;

(2) The physical characteristics of the subject highway-rail grade crossing, rail
and highway volumes and speeds are indicated on Exhibit A of the
Stipulated Agreement appended hereto;
(3) The parties agree that in the interest of public safety the improvements as
set forth in Section 2 of the Stipulated Agreement, appended hereto should
be performed:
(4) The cost for the proposed improvements should be divided among the parties
and the Grade Crossing Protection Fund of the Motor Fuel Tax Law, in
accordance with the Law;
(5) It is fair and reasonable that the Secretary of the Illinois Department of
Transportation through the GCPF of the Motor Fuel Tax Law and the parties
should be directed to bear their respective portions of the actual cost of the
proposed improvement as set forth in Section 5 of the Stipulated Agreement
appended hereto:
(6) 625 ILCS 5/18c-1701 and 1704 require each "person," as defined by
Section 18c-1104, to comply with every regulation or order of the
Commission. These sections further provide that any person who fails to
comply with a Commission regulation or order shall forfeit to the state not
more than $1,000 for each such failure, with each day's continuance of the
violation being considered a separate offense. While the Commission
expects all parties to comply with this Order in all matters addressed herein
and in a timely manner, the Commission advises that any failure to comply
may result in the assessment of such sanctions;
(7) Any person making a Request for an Extension of Time up to 30 days to
complete a project ordered by the Commission must file a request with the
Director of Processing and Information no later than 14 days in advance of
the scheduled deadline. An Administrative Law Judge will consider and
decide the request;
(8) Any person making a Request for an Extension of Time that exceeds 30 days
must file a Petition for Supplemental Order with the Director of Processing and
Information no later than 21 days in advance of the scheduled deadline. The
Commission will decide Petitions for Supplemental Orders;
(9) Requests for Extension of Time and Petitions for Supplemental Orders must
include the reason(s) the additional time is needed to complete the work and
the time within which the project will be completed. Prior to submitting a
Request for Extension of Time or a Petition for Supplemental Order, the
person must notify the Commission's Rail Safety Program Administrator that
it is unable to complete the project within the ordered timeframe;
(10) The Commission or its Administrative Law Judge reserves the right to deny

Petitions for Supplemental Orders and Requests for Extension of Time, if the
reason(s) supporting the request is (are) insufficient or where it appears the
person has not made a good faith effort to complete the project within the
allotted time. Failure of the Commission or Administrative Law Judge to act
on a pleading prior to the deadline means the originally ordered completion
date remains in effect;
IT IS THEREFORE ORDERED that the terms of Stipulated Agreement 2385,
executed by Staff of the Commission, the Dakota, Minnesota and Eastern Railroad
Company, the City of Elgin, and the Illinois Department of Transportation, on May 16, 2025,
July 23. 2025, July 23, 2025, and July 29, 2025, respectively, be and they are hereby
accepted and required to be met by the aforesaid parties.
IT IS FURTHER ORDERED that Dakota, Minnesota and Eastern Railroad
Company is hereby required and directed to proceed immediately in performing the
improvements as set forth in Section 2 of the Stipulated Agreement, appended hereto,
and shall complete the work within eighteen (18) months from the date of this Order.
IT IS FURTHER ORDERED that prior to construction, the Dakota, Minnesota and
Eastern Railroad Company shall file a Form 3 of 92 III. Adm. Code 1535 for the subject
crossing showing details of the automatic warning improvements required under this
Order and shall receive approval by resolution of the Commission's Transportation
Bureau Rail Safety Program Administrator.
IT IS FURTHER ORDERED that the cost of making the improvements
hereinbefore required shall be divided among the parties and the Grade Crossing
Protection Fund of the Motor Fuel Tax Law as set forth in Section 5 of the Stipulated
Agreement, appended hereto.
IT IS FURTHER ORDERED that all bills for the automatic warning devices and
incidentals specified in Section 2 of the Stipulated Agreement, appended hereto,
authorized for reimbursement from the Grade Crossing Protection Fund shall be
submitted to the Fiscal Control Unit, Bureau of Local Roads and Streets, Illinois
Department of Transportation, 2300 S. Dirksen Parkway, Springfield, IL 62764. All bills
shall be submitted to the Department no later than twelve (12) months from the completion
date specified in this Commission Order or any Supplemental Order(s) issued for the
project. All bills shall meet the minimum documentation requirements set forth in Section
8 of the Stipulated Agreement, appended hereto. All bills shall be paid in accordance with
the State Prompt Payment Act as currently enacted (Illinois Compiled Statutes, 30 ILCS
540/).
IT IS FURTHER ORDERED that the Illinois Department of Transportation shall
send a copy of all invoices to the Director of Processing and Information, Transportation
Bureau of the Commission. The final invoice for expenditures shall be clearly marked
"Final Invoice". The Department shall not obligate any assistance from the Grade
Crossing Protection Fund for the cost of the proposed improvement set forth in Section 2
of the Stipulated Agreement, appended hereto, without prior approval by the Commission.
The Commission shall, at the end of the 12th month from the completion date specified in

this Order or any Supplemental Order(s), conduct a review to determine if any unused
assistance from the Grade Crossing Protection Fund should be de-obligated. Upon
completion of the review, the Commission shall notify the Department to de-obligate all
residual funds accountable for installation costs for this project. Notification may be by
regular mail, electronic mail, fax, or phone.
IT IS FURTHER ORDERED that the Dakota, Minnesota and Eastern Railroad
Company shall at six (6) month intervals from the date of this Commission Order, shall
submit a Project Status Report, attached as Exhibit C of the Stipulated Agreement,
respectively, with the Director of Processing and Information, Transportation Bureau of
the Commission, stating the progress each has made toward completion of the work
herein required. The Project Status Reports shall include the Commission Order Number,
the Order date, the project completion date as noted in the Order. crossing information
(Inventory Number and Railroad Milepost), type of improvement. and the name, title,
mailing address, phone number, facsimile number and electronic mailing address of the
Project Manager for the Company.
IT IS FURTHER ORDERED that the Dakota, Minnesota and Eastern Railroad
Company, within three (3) months of the completion of the work herein required of it, and
in accordance with 49 CFR 234.403, shall submit a completely updated United States
Department of Transportation Crossing Inventory Form (Form FRA F 6180.71), or its
electronic equivalent, to the Federal Railroad Administration, the Chief of Data Services at
the Illinois Department of Transportation, and the Director of Processing and Information,
Transportation Bureau of the Commission.
IT IS FURTHER ORDERED that the Dakota, Minnesota and Eastern Railroad
Company is hereby required and directed to submit a Project Status Report, to the
Director of Processing and Information, Transportation Bureau of the commission,
stating that the work herein required of them has been completed. Said Report shall be
submitted within five (5) days after the project completion date.
IT IS FURTHER ORDERED that any person making a Request for an Extension
of Time up to 30 days to complete a project ordered by the Commission must file a request
with the Director of Processing and Information no later than 14 days in advance of the
scheduled deadline. An Administrative Law Judge will consider and decide the request.
IT IS FURTHER ORDERED that any person making a Request for an Extension
of Time that exceeds 30 days must file a Petition for Supplemental Order with the Director
of Processing and Information no later than 21 days in advance of the scheduled deadline.

Stipulated Agreement regarding improving public safety at the
Highland Avenue highway-rail grade crossing of the DM&E's
track in Elgin, Kane County, Illinois, designated as AAR/DOT
#372253J, railroad milepost 42.94-C.
RECOMMENDATION: Enter Order approving Stipulated Agreement.
The recommended Order accepts the terms of Stipulated Agreement 2385, executed by
the above-named parties, which requires replacement and modernization of the
automatic warning devices at the Highland Avenue crossing of the Dakota, Minnesota
and Eastern Railroad's track in Elgin, Kane County. The project came to the attention of
the Rail Safety Section via staff evaluation.
The total estimated cost of the signal design and construction is $360,290. Staff
recommends that the Grade Crossing Protection Fund (GCPF) be used to pay 95% of
the signal design and construction costs, in an amount not to exceed $342,276 from the
GCPF.
Dakota, Minnesota and Eastern Railroad Company will pay the remaining 5% of the cost
to design and install the new crossing warning devices, and the entire cost of future
maintenance of the signals, circuitry.
All required work is to be completed within eighteen (18) months from the Order date. I
recommend entry of the attached Order.
