RESOLUTION
AUTHORIZING THE EXECUTION OF AN AMENDMENT AGREEMENT NO. 1 WITH
LAMP INCORPORATED FOR CONSTRUCTION MANAGEMENT SERVICES IN
CONNECTION WITH CONSTRUCTION OF THE WING PARK GOLF CLUBHOUSE
(RFP 24-057)
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby
authorized and directed to execute an Amendment Agreement No. 1 on behalf of the City of Elgin
with Lamp, Incorporated, for construction management services in connection with construction
of the Wing Park golf clubhouse(RFP 24-057),a copy of which is attached hereto and made a part
hereof by reference.

AMENDMENT AGREEMENT NO. 1
THIS AMENDMENT AGREEMENT NO. 1 ("Amendment Agreement No. 1") is made
and entered into this 25 day of June , 2025, by and between the City of Elgin, an
Illinois municipal corporation (hereinafter referred to as the "City"), and Lamp Incorporated, an
Illinois corporation(hereinafter referred to as"Construction Manager").
WHEREAS, the City and the Construction Manager have previously entered into an
agreement dated December 4,2024(hereinafter referred to as the"Original Agreement"),wherein
the City engaged the Construction Manager to furnish certain professional and construction
management services in connection with construction of the City's Wing Park Golf Course
Clubhouse Project located at 1000 Wing Street, Elgin, Illinois (hereinafter referred to as the
"Project"); and
WHEREAS,on May 22,2025, bids for the construction of the Project were opened,which
resulted in a total construction costs for the Project in the amount of$3,790,164.50;and
WHEREAS, the City and the Construction Manager wish to enter into this Amendment
Agreement No. l to adjust payment amounts to the Construction Manager to reflect the amount of
the total construction costs for the Project in accordance with the Original Agreement;and
WHEREAS, this Amendment Agreement No. 1 is germane to the Original Agreement as
signed, and this Amendment Agreement No. 1 is in the best interest of the City and authorized by
law.
NOW, THEREFORE, for and in consideration of the mutual undertakings as set forth
herein, and other good and valuable consideration,the receipt and sufficiency of which is hereby
acknowledged,the parties hereto agree as follows:
1. The foregoing recitals are incorporated into this Amendment Agreement No. 1 in their
entirety.
2. The first paragraph of subparagraph 4.1.1 of the Original Agreement is hereby amended in
its entirety to read as follows:
"For the services described in this Agreement the Construction Manager's Compensation
shall be the Lump Sum of$549,028,inclusive of all fees and expenses regardless of actual
time expended or actual costs incurred by the Construction Manager for such services as
set forth in Exhibit 2, subject to subparagraphs 4.1.2 and 4.4.1."
3. The second paragraph of subparagraph 4.3.1 of the Original Agreement is hereby amended
in its entirety to read as follows:
"The estimated budget for the Project is $4,718,209, which reflects the following: Total
Site/Building Construction Costs ($3,790,165); Contingency ($379,016); and Total
Construction Manager's Compensation ($549,028). The Constructor Manager

acknowledges and agrees that the budget for the Project is subject to the approval of the
city council of the City of Elgin, and that in the event the Project is not approved this
Agreement shall be terminated pursuant to Section 10.05 of this Agreement and the total
compensation to which the Construction Manager will be entitled under this Agreement
shall be in an amount not to exceed$20,000."
4. The table set forth in Exhibit 2 of the Original Agreement, under the heading
"Preconstruction,Construction Management Fee, insurance,&Bond,"is hereby amended
to read as follows:

TOTAL CONSTRUCTION MANAGEMENT FEES $ 456,728.00
Construction Bid Amount ($3,790,164.50), plus Preconstruction Fee ($20,000.00), Project Supervision
($2,786,30.00),and Project General Conditions($92,300.00).

5. That in the event of any conflict between the terms of this Amendment Agreement No. 1
and the terms and provisions of the Original Agreement, the terms and provisions of this
Amendment Agreement No. 1 shall supersede and control.
6. That except as amended in this Amendment Agreement No. 1, the Original Agreement
shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have entered into and executed this
Amendment Agreement No. 1 as of the date and year first written above.
