Amendment #1 to the Purchase Agreement
This Amendment No. 1 ("Amendment") dated March 26, 2025 ("Amendment Effective Date"), is made to
the Purchase Agreement ("Agreement"), made effective as of April 13, 2022 ("Agreement Effective
Date"), by and between Konica Minolta Business Solutions U.S.A., Inc. ("Konica Minolta" or "Seller")
and City of Elgin. Illinois ("City"). Any capitalized terms not defined in this Amendment shall be given
their meanings set forth in the Agreement.
In consideration of the promises and undertakings hereinafter set forth, the Parties hereby agree to
amend the Agreement as follows:
1. Notwithstanding Section 3 of the Agreement to the contrary, the term of the Agreement is hereby
extended for thirty-six (36) months commencing April 1. 2025 and continuing through March 31, 2028.
2. During the extended term, the following Base Staffing Charge will apply:
a. April 1, 2025 through March 31, 2026: $6,730 per month (annual amount of $80,760);
b. April 1, 2026 through March 31, 2027: $7,403 per month (annual amount of $88,836); and
c. April 1. 2027 through March 31. 2028: $7,625.09 per month (annual amount of$91.501.08).
3. Except as modified herein, all other terms and conditions in the Agreement shall remain in full
force and effect. In the event of any ambiguity between the terms hereof and the Agreement, this
Amendment shall govern.
