RESOLUTION
AUTHORIZING EXECUTION OF A FIRST AMENDMENT TO INTERGOVERNMENTAL
AGREEMENT WITH SOUTH ELGIN AND COUNTRYSIDE FIRE PROTECTION
DISTRICT FOR FIRE DISPATCH SERVICES
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that David J. Kaptain, Mayor, and Kimberly A. Dewis, City Clerk, be and are hereby authorized
and directed to execute a First Amendment to Intergovernmental Agreement on behalf of the City
of Elgin with South Elgin and Countryside Fire Protection District, for fire dispatch services, a
copy of which is attached hereto and made a part hereof by reference.

FIRST AMENDMENT TO THE
INTERGOVERNMENTAL AGREEMENT BETWEEN
THE CITY OF ELGIN AND THE SOUTH ELGIN AND
COUNTRYSIDE FIRE PROTECTION DISTRICT
FOR FIRE DISPATCH SERVICES
THIS FIRST AMENDMENT AGREEMENT(hereinafter referred to as the"Amendment
Agreement") is made and entered into as of the 14th day of August , 2024, by and
between the City of Elgin,an Illinois municipal corporation(hereinafter referred to as the"City"),
and the South Elgin and Countryside Fire Protection District, a Fire Protection District organized
and existing under the laws of the State of Illinois(hereinafter referred to as"SECFPD").
WHEREAS, the City and SECFPD hereto have previously entered into an
intergovernmental agreement, dated May 27, 2020, under which the City has agreed to provide
fire dispatch services for SECFPD in accordance with the terms and provisions of said agreement
(hereinafter referred to as the"Dispatch Agreement"); and
WHEREAS, the Dispatch Agreement provides for a term of five (5) years, commencing
on May 1, 2020, and continuing until April 30,2025; and
WHEREAS,the City and SECFPD have agreed to enter into a separate intergovernmental
agreement to avoid future disputes over the annexation of certain territory by the City and the
disconnection of such territory from SECFPD (hereinafter referred to as the "Disconnection
Agreement"); and
WHEREAS, in conjunction with the Disconnection Agreement, the City and SECFPD
desire and have reached mutual agreement to extend the term of the Dispatch Agreement in
accordance with the terms and conditions set forth herein; and
WHEREAS,the City and SECFPD have each determined that it is in their best interests to
amend the Dispatch Agreement in accordance with the terms and conditions hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, and other good and valuable consideration,the receipt and sufficiency of which are hereby
mutually acknowledged,the parties hereto hereby agree as follows:
1. The above recitals are incorporated into and made a part of this Amendment Agreement as
if fully recited hereby.
2. The effective date of this Amendment Agreement is September 1,2024.
3. That Paragraph 2 of the Dispatch Agreement is hereby amended in its entirety to read as
follows:
"Term: The term of this Agreement shall be for sixty-eight(68) months, from
September 1,2024,through April 30,2030."

4. That Paragraph 4 of the Dispatch Agreement is hereby amended in its entirety to read as
follows:
"Cost: For the term of this Agreement, SECFPD shall pay the City an amount
equivalent to an annual fee of One Hundred Thousand Dollars($100,000)per year.
Payment of this fee shall occur in equal monthly installments of $8,333.33 per
month, due on the 15th of each month of this Agreement."
5. That except as amended by this Amendment Agreement, the terms and provisions of the
Dispatch Agreement shall remain in full force and effect.
6. That in the event of any conflict between the terms and provisions of the Dispatch
Agreement and the terms and provisions of this Amendment Agreement,the terms and provisions
of this Amendment Agreement shall control.
IN WITNESS WHEREOF,the City and SECFPD,pursuant to proper and necessary authorization,
have executed this Amendment Agreement on the dates shown below.
