Kaptain, Mayor Presented: July 24, 2024 Adopted: July 24,2024 Omnibus Vote: Yeas: 9 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk DEVELOPMENT AGREEMENT This DEVELOPMENT AGREEMENT("Development Agreement")is dated as of the 24 day of July, 2024, and is between the CITY OF ELGIN, an Illinois municipal corporation ("City")and TRG VENTURE TWO,LLC,a Delaware limited liability company("TRG"). Recitals 1. On July 9, 2003, the City entered into an Annexation Agreement ("Annexation Agreement")with Kimball Hill, Inc. ("KH"or the"Developer"), as owner and developer,related to that certain real property legally described on Exhibit 1 attached hereto and annexed to the City pursuant to the Annexation Agreement (the "Property"). A Memorandum of Annexation Agreement was recorded on March 18, 2005, with the Kane County Recorder as Document No. 2005K030738. Pursuant to Section Seventeen, the Annexation Agreement was to be in effect for a period of twenty years from the date of execution, the date of expiration being July 9,2023. 2. The Property was annexed to the City pursuant to the provisions of the Annexation Agreement. 3. As contemplated by the Annexation Agreement, KH commenced development of the Property with a proposed 379-lot single family residential subdivision, divided into six (6) neighborhoods known as N1, N2, N3, N4,N5 and N6 (each a "Neighborhood", and collectively, the"Neighborhoods")known as Waterford (the"Subdivision"). Final plats of the Subdivision for N 1, N2, N3, N5 and N6 were recorded. A depiction of the Subdivision and its six (6) neighborhoods("Subdivision Map") is attached hereto as Exhibit 2. 4. The City proceeded to approve final plats of subdivision (each a "KH Final Plat" and collectively, the "KH Final Plats") and the associated final engineering (the "KH Approved Final Engineering") with respect to N I. N2, N3, N5 and N6 (collectively, the "KH Platted Neighborhoods"). The final plat of the Subdivision for N4 has not, as of the date of this Development Agreement,been recorded. 5. KH then caused to be posted with the City certain bonds (collectively, the "KH Bonds") as required under the City's Municipal Code and under the Annexation Agreement to secure the completion of the installation and later maintenance of the public improvements to be installed in the KH Platted Neighborhoods pursuant to the KH Approved Final Engineering. 6. Pursuant to the Annexation Agreement and to the City's subdivision ordinance and other applicable provisions of the Elgin Municipal Code, KH was required to perform certain covenants and obligations, including but not limited to the following covenants and obligations, as to the KH Platted Neighborhoods: (a) construct and thereafter maintain the various public improvements required by the KH Approved Final Engineering for the KH Platted Neighborhoods, including,but not limited to, certain public parks and trails, sanitary sewer and water facilities, roadway, sidewalks, culverts, storm sewer systems, storm water detention facilities, sidewalks and parkway landscaping 1 (collectively,the"Public Improvements"), and post with the City such payment and performance bonds as required by the City's Municipal Code and/or by the Annexation Agreement; (b) make certain dedications for schools and parks and/or pay fees in lieu thereof(in either case, "Donations"); (c) pay various other development impact fees("Impact Fees"),all as set forth in Title 17 of the City's Municipal Code as supplemented and/or modified by the Annexation Agreement; and (d) Take such other actions and fulfill such other requirements as required by the Annexation Agreement or as otherwise imposed upon a subdivider under the City's Municipal Code, The covenants and obligations referred to in this Section 6 are collectively referred to as the "Developer Obligations". 7. KH obtained Permit No. 200300522 (the "Army Corps Permit") from the Army Corps of Engineers ("Army Corps") with respect to the mitigation, restoration, and preservation of wetlands within the Waterford Subdivisions. 8. KH defaulted on the fulfillment of its Developer Obligations and, on April 23, 2008, subsequently filed for bankruptcy protection in the United States Bankruptcy Court for the Northern District of Illinois,Case No. 08bk10095 ("Bankruptcy Case"). 9. On or about April 30, 2010, the KH trust (created in the Bankruptcy Case to liquidate KH's assets,the"Trust") sold to TRG 110 lots(collectively,the "N2 TRG Lots and the TRG N3, 5 & 6 Lots",which are legally described in Exhibit 3, attached hereto,and made a part hereof) situated as follows: (a) 83 lots in N2(collectively, the "TRG N2 Lots");and (b) 15 lots in N3, 4 lots in N5, and 8 lots in N6 (collectively, the "TRG N3, 5 & 6 Lots"). 10. In addition, on or about April 30,2010,the Trust sold to TRG NI and N4, neither of which were, at the time of acquisition, subdivided. However, TRG subsequently subdivided NI into 30 lots to allow for the City's construction of South Street. N4 remains unsubdivided,but the zoning approvals granted to N4 by the City pursuant to the Annexation Agreement and Ordinance No. G65-03,adopted July 9,2003,remain in place. 11. TRG intends to sell the N2 TRG Lots, the TRG N3, 5 & 6 Lots (collectively, the "TRG Lots"),and all additional lots that may now or hereafter be approved with respect to NI and N4 to one or more homebuilders(each a"Builder", and collectively the"Builders"). 12. The City and TRG believe that it is in their mutual interest, and the interest of the general public to cause the completion of work within N2 as set forth in the N2 Work List (as 2 hereafter defined)to be completed. and to thereby facilitate the further vertical development of the Subdivision. 13. All notices, publications, procedures, public hearings and other matters attendant to the consideration and approval of this Development Agreement have been given, made, held and performed by the City as required by the Municipal Code and all other applicable statutes,and all applicable ordinances, regulations and procedures of the City. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by the parties hereto,the City and TRG agree as follows: Section 1. Incorporation of Recitals. The above recitals are incorporated as part of this Development Agreement as though fully set forth herein. Section 2. Public Improvements for N2,N3,N6,and N6 A. The City acknowledges that,prior to the date of this Development Agreement,the City did enact legislation accepting all public improvements previously made in N3, N5, or N6 (the"Existing N3,N5,N6 Public Improvements").Additionally: 1. The City agrees that it will issue building permits to TRG or any successor Builder for the construction of permitted residential structures on the TRG Lots within N3, N5, and N6 upon the filing of a full and complete application for same as customarily required by the City and the payment to the City of a usual and customary building permit fee. 2. As to any incomplete sidewalks and/or unplanted parkway trees adjacent to any TRG Lots in N3,N5,or N6,the City agrees that such improvements may be made on a lot-by-lot basis as part of the issuance of any building permit for the construction of a residence on each such TRG Lot, and with the understanding that the City may withhold the issuance of a certificate of occupancy as to such residence if the adjacent sidewalk and street trees have not been completed; provided,however,that if adverse weather prevents completion of the adjacent sidewalk and street trees at the time the residence is otherwise eligible for a certificate of occupancy, then the City shall nevertheless issue a temporary certificate of occupancy provided bond or other security in the amount of$2,500.00 is posted with the City to insure such completion when weather permits, and upon completion of the adjacent sidewalk and street trees for which surety has been posted, the City shall promptly release such bond or other security with no ongoing maintenance obligation on TRG or its successors or Builders. 3. For the avoidance of doubt, except as set forth in Subsection 2-A-2, neither TRG nor its successor(s), including, without limitation, and successor Builders to whom TRG may transfer any of the TRG Lots located within N3, N5, or N6 shall have any liability or obligation with respect to the construction or maintenance of any Public Improvements. 3 B. As to N2 only, attached hereto as Exhibit 4 is a list (the "N2 Work List")jointly prepared by the City and TRG, setting forth (i)the incomplete Public Improvements in N2, and (ii) the required maintenance /corrective work as to the partial Public Improvements previously installed by KH in said N2. Those items within the N2 Work List that involve the installation of not-yet-constructed or installed sidewalks, parkway trees, and parkway landscaping are collectively referred to as the "N2 Sidewalk and Parkway Improvements". Attached hereto as Exhibit 5 is an estimate of the aggregate cost to complete all of the work on the N2 Work List other than the cost of the N2 Sidewalk and Parkway Improvements(the"N2 Primary Completion Cost Estimate"). Attached hereto as Exhibit 6 is an estimate of the cost to perform and complete the N2 Sidewalk and Parkway Improvements(the"N2 Sidewalk and Parkway Improvements Cost Estimate"). 1. Subject to delay caused by force majeure or adverse weather, TRG agrees to commence, or cause a Builder or Builders to commence within ninety (90) days after the execution of this Agreement by the Parties(the"Commencement Date")the work required to complete the N2 Work List,it being acknowledged and agreed that the permits originally issued to KH(the"KH Permits")satisfy the City's requirement for the issuance of permits. For the avoidance of doubt, except for the maintenance security as set forth in Subsection 2-B-3 below and as set forth in Subsection 2-B-4 below,TRG shall not be required to post any bond or other security for the completion of the public improvements contained within the N2 Work List. Subject to delay caused by force majeure,TRG or its successor Builder shall,at its sole cost and expense,complete all of the items on the N2 Work List other than the N2 Sidewalk and Parkway Improvements in substantial compliance to the KH Approved Final Engineering plans on or before the date ("N2 Work Completion Date") that is 365 days after the Commencement Date. 2. Upon notice by TRG to the City ("Completion Notice") of the completion of the work in the N2 Work List, accompanied by an owner's and contractor's sworn statement and final waivers of lien,the City shall perform a final inspection and shall provide notice to TRG as to whether the inspected work has been fully and properly completed,or whether incomplete of defective work remains. As to any work that the City finds to be incomplete or defective,the City shall provide sufficient notice of such incomplete or defective work so as to enable TRG or the Builder to cause the same to be completed or corrected. The Parties agree to cooperate in good faith in this process, and the date as of which the City has notified TRG of its approval of the items on the N2 Work List is herein referred to as the"City N2 Approval Date." 3. Except as set forth in Subsection 2-13-4. upon confirmation by the City that all of the work in the N2 Work List other than the N2 Sidewalk and Parkway Improvements has been properly completed,then: (i) TRG or the Builder shall post with the City so-called maintenance security in the amount of ten percent (10%) of the construction cost of such work (the "N2 Maintenance Security") in the form permitted by the City's Municipal Code, but with the express agreement that (a) the maintenance obligations of TRG and its successors and of the Builders shall expire as of the one hundred eighty-first (181st) day after the date the 4 Maintenance Security is posted with the City (the "Maintenance Period"), and (b) the N2 Maintenance Security shall be promptly released by the City on said one hundred eighty- first(181st)day; (ii) Upon its receipt of said N2 Maintenance Security,the City agrees that upon the receipt by the City of(a)a full and complete building permit application as customarily required by the City and which complies with the requirements of this Development Agreement,and(b)the payment to the City of its usual and customary building permit fee, the City shall, in accordance with its customary practices and in good faith issue building permits to TRG or any successor Builder for the construction of permitted residential structures on the TRG Lots within N2;and (iii) Except as provided in this Subsection 2-B-3 with respect to the work in the N2 Work List to the N2, and except as provided in Section 2-B-4 below, the City agrees that TRG and its successors, including, without limitation, and Builders, shall be fully released and forever discharged from any further liability or maintenance responsibility with respect to the Developer Obligations or any other Public Improvements, Donations, and Impact Fees with respect to N2. 4. As to any incomplete N2 Sidewalk and Parkway Improvements adjacent to any TRG Lot in N2,the City agrees that such improvements may be made on a lot-by-lot basis as part of the issuance of any building permit for the construction of a residence on each such TRG Lot in N2, and with the understanding that the City may withhold the issuance of a certificate of occupancy as to such residence if the adjacent N2 Sidewalk and Parkway Improvements have not been completed; provided, however, that if adverse weather prevents completion of the adjacent N2 Sidewalk and Parkway Improvements at the time the residence is otherwise eligible for a certificate of occupancy, then the City shall nevertheless issue a temporary certificate of occupancy provided bond or other security in the amount of$2,500.00 is posted with the City to insure such completion when weather permits,and upon completion of the adjacent N2 Sidewalk and Parkway Improvements for which surety has been posted, the City shall promptly release such bond or other security with no ongoing maintenance obligation on TRG or its successors or Builders. 5. The provisions of Subsection 2-B-4 notwithstanding, if, as of the fourth (4th) anniversary of the effective date of this Agreement, there remain in N2 any TRG Lots as to which the adjacent N2 Sidewalk and Parkway Improvements have not been constructed or planted, then before the City shall be required to issue any additional building permits for any residential structures to be erected on a TRG N2 Lot,TRG or its successor shall be required to post with the City security in an amount equal to 110%of the estimated cost to complete such uninstalled N2 Sidewalk and Parkway Improvements to insure the completion of same not later than the fifth (5th) anniversary of the effective date of this Agreement. 6. It is expressly agreed that if TRG conveys all of the TRG N2 Lots to a reputable Builder or Builders (individually or collectively, an "N2 Transferee Builder") before the N2 Work List and the N2 Sidewalk and Parkway Improvements have been completed. then 5 upon written notice to the City and a written commitment by N2 Transferee Builder to assume the rights and obligations hereunder in a form acceptable to the City,(i)TRG shall be released from all further obligations hereunder as to the N2 Work List, and (ii)the N2 Transferee Builder shall succeed to the said rights and obligations of TRG as to the N2 Work List and the TRG N2 Lots. Section 3. Impact Fees and Donations. A. As to all Neighborhoods (N 1 through N6, inclusive), TRG and any successor Builders to whom TRG may convey any of the TRG Lots within any of said Neighborhoods,shall be responsible for paying any Impact Fees required by Title 17 of the Elgin Municipal Code in connection with development and vertical improvement of the N2 TRG Lots and/or the TRG N3, 5 &6 Lots,those fees for 2024 described within Exhibit 7,as well as the applicable building and development fees for 2024 as set forth in Ord.No. G58-23, "An Ordinance Establishing Fees for Various City Services, Permits, Licenses, Use of Facilities and Other Matters." . Impact Fees are subject to the increases required by any other development and vertical improvement which may also be subject to said fees by Title 17 of the Elgin Municipal Code, and those increases are generally described for information purposes also within Exhibit 7. Building and development fees are subject to the increases required by any other development and vertical improvement, including but not limited to those fees set forth in the annual ordinance establishing fees adopted by the City for any future years of this Agreement. The City maintains the right to amend its generally applicable building and development fees at any time and without any specific or formal notice to TRG under this Agreement. B. The City states that (i) to the best of its knowledge, there are no recapture fees required to be paid to others by TRG or the Builder or Builders in connection with development of the within any of the Neighborhoods (NI through N6, inclusive), and (ii) the City will not hereafter impose any such recapture obligations to be paid to others on any of said Neighborhoods until the date as of which all TRG Lots have been developed. C. Neighborhoods (NI through N6, inclusive) are subject to Ord. G22-03 adopted April 9, 2003, which provides for reimbursement to the City for costs of the Bowes Road, Otter Creek and Bowes Creek Interceptor Sewers,and the Otter Creek Lift Station. Said Neighborhoods are located within the Bowes Road Sub-Area described within Ord. No. G22-03. The associated fees will be collected on a lot-by-lot basis and are described on Exhibit 7. D. Lot D of the Subdivision adjacent to N2 and N3, 5 & 6 Lots contains a walking path in need of repair. TRG or its successor shall repair the walking path and, thereafter, TRG shall use best efforts to cause the homeowners' association serving the Subdivision to take title to, and agree to maintain, said Lot D as part of the Subdivision common area. Section 4. Architecture. As to the elevations and building materials for new, detached single-family homes to be built, it is agreed as follows: 6 (a) Attached hereto as group Exhibit 8A are non-exclusive examples of elevations that the Corporate Authorities of the City find to be acceptable to be built in N2, in so long as (1) railings are added to the Townsend Model Elevation D as previously approved by the City for use in other subdivisions in which this model with this elevation has been built, and (2)no Mesa Verde Models or other one-or one-and- one-half story ranch-style homes shall be built on 539, 543, 547, or 555 Lismore Circle, or on 2893, 2894, or 2895 Kelly Drive(the "N2 Representative Elevations"); (b) Attached hereto as group Exhibit 8B are non-exclusive examples of elevations which the Corporate Authorities of the City find to be acceptable to be built in N3, N5,and N6, in so long as no Ridgefield or Carrington Models or other one-or one- and-one-half story ranch-style homes are built on a corner lot; (the "N3-5-6 Representative Elevations"); (c) Said non-exclusive examples of elevations described within subsections(a)and(b) above are collectively referred to as the"Representative Elevations"; (d) Exterior building materials and design details to be used upon the Representative Elevations are described within Exhibit 9, attached hereto. Vinyl siding or aluminum siding is not allowed. (e) The elevations, exterior building materials, and design details with N 1 shall be in substantial conformance to the Representative Elevations depicted within Exhibit 8A and Exhibit 8B, and the exterior building materials and design details depicted within Exhibit 9; (f) It is recognized that a developer or builder of single-family residences to be constructed within the Neighborhoods (N 1 through N6, inclusive) may present to the City other elevations for single-family homes they propose to construct. Other elevations which are found by the City's Development Administrator (i) to be in substantial conformance with the Representative Elevations and (ii) to equal or exceed the exterior building material requirements set forth in Section 4(d)above shall be permitted to be constructed within the Neighborhoods (NI through N6, inclusive) without further action of the Corporate Authorities of the City. Other elevations which are not found by the City's Development Administrator to meet said requirements shall require approval by the Corporate Authorities of the City, to be processed as an amendment to the planned development ordinance G65-03. (g) Residences constructed in NI, on the N2 TRG Lots, and the TRG N3, 5 & 6 Lots shall comply with the fire protection requirements of the 2015 International Building Code, Sec. 903.2.8.1. Group 3 as amended by Section 16.04.010 of the Elgin Municipal Code. Said residences shall be subject to changes required by the City of Elgin to fire protection requirements in so long as those changes apply to all such newly constructed residences in the City of Elgin. 7 Section 5. Wetlands. I he City and TRG acknowledge and agree as follows: (i) As confirmed by the Army Corps of Engineers,(A)the Army Corps Permit obtained by KH was never transferred by KH as part of its bankruptcy proceeding or otherwise, and was never assumed by TRG, as such process was specified in the said permit (Army Corps Permit, p. 2, General Conditions, ¶4; p. 9, attached as Exhibit 10), and(B)TRG has no obligations to the City under or with respect to the Army Corps Permit or the continued maintenance of the areas covered by same(the"Army Corps Area"). (ii) Any and all impacts to waters of the United States and the wetlands within the Army Corps Area associated with the Army Corps Permit occurred on or before 2007 a result of grading operations and the construction of stormwater basins performed by KH prior to TRG's acquisition of the N2 TRG Lots and the TRG N3, 5 & 6 Lots. (iii) TRG has, in good faith, concluded that work to be performed by TRG and/or its successor Builders in N2 as described in Section 2 above is not likely to impact the Army Corps Area associated with the Army Corps Permit, and the City shall not, on its own initiative, require TRG or its successors to take any further actions under the original Army Corps Permit obtained by KH unless such additional actions are required by the Army Corps of Engineers and not successfully disputed by TRG or its successors. (iv) TRG will (A)repair the walking trail that was previously contracted by KH near the west boundary of,but not within the Army Corps Area and(B)as the owner of the land that is the Army Corps Area,cooperate in good faith in trying to convince the Waterford Homeowners Association ("HOA") that it should accept title to the said Army Corps Area, in which case TRG will convey said area to the HOA without charge. Provided,however,that,anything to the contrary herein notwithstanding,the City and TRG acknowledge and agree that the City has not made and is not making any representations to TRG regarding TRG's rights,obligations,or responsibilities with respect to the Army Corps Permit,the Army Corps Area, or the position of the Army Corps of Engineers regarding the same, it being understood and agreed by TRG that the City lacks the authority to waive any requirements of the Army Corps of Engineers or approve anything on behalf of the Army Corps of Engineers. Section 6. Public Improvements for N1 and N4 A. Before the City shall be required to issue any building permits with respect to residences to be constructed within NI,TRG or its successors(including a successor-Builder)shall be required to perform all of the Developer Obligations with respect to N 1 based upon the KH Approved Final Engineering for said Nl, subject, however, to such changes in said final engineering as may occur with respect to Section 7A below. For the avoidance of doubt, such Developer Obligations include the posting of all required bonds. 8 B. As and when TRG or its successor obtains approval for the final platting and the development of N4,TRG or its successors(including,without limitation,and successor-Builders) shall be required to perform all Development Obligations with respect tot said N4. For the avoidance of doubt, such Developer Obligations include the posting of all required bonds. Section 7. Possible Re-Entitlement of Neighborhoods N1 and N4. A. As to N 1, TRG plans to seek the approval of a plat of resubdivision and an amendment to planned development ordinance G65-03 the effect of which would be to permit the reduction of the existing 100 feet minimum lot width. TRG or its successor shall develop NI with detached single-family residences. For the avoidance of doubt, the developer of this NI shall be required to comply in all respects with the City's zoning and subdivision ordinances as to zoning amendments and re-subdivision and to pay all associated fees and review costs. B. As to N4, TRG plans to seek the approval of a plat of resubdivision substantially as depicted on Exhibit 11 attached hereto (the "N4 Resub Plat") so as to reduce the minimum lot width from 75 feet to 50 feet and to permit the development of age-restricted or age-targeted housing, the approval of revised landscape plans for N4 substantially as depicted on Exhibit 12 attached hereto (the "N4 Revised Landscape Plans"), and an amendment to the existing zoning ordinance covering such N4 (the "N4 Zoning Amendment") so as to approve representative architecture and exterior building materials. For the avoidance of doubt,the developer of this N4 shall be required to comply in all respects with the City's zoning and subdivision ordinances as to zoning amendments and re-subdivision and to pay all associated fees and review costs. While the changes contemplated in this subsection 7B require the approval of the Corporate Authorities of the City following proper petition by TRG or its successors and public hearing and / or administrative review as required by law,the City hereby indicates that,in concept only,it supports the reduction of the minimum lot width described above and either age-restricted or age-targeted housing and will give reasonable consideration to any petition filed by TRG or its successors seeking same. Section 8. Mutual Release: Enforcement. A. TRG, on the one hand, for itself and on behalf of its agents, principals, successors, and assigns, and the City, on the other hand, for itself and on behalf of its agents, principals, successors, and assigns, do each hereby release the other of them and their respective, employees, agents, members, managers, officers, governance bodies, successors, and assigns, from any and all liabilities,actions,causes,causes of action, suits,debts, sums of money, accounts, reckonings, bills, bonds,covenants,contracts,agreements,promises,dues,duties,damages,controversies,judgments, executions, claims and demands whatsoever, in law or in equity (hereinafter collectively called "Claims")which either of them may have had in the past or may have in the future,related to,caused by,resulting from or arising out of any matter,reason,cause or thing whatsoever which has happened, developed or occurred prior to the date of this Mutual Release, including,but not limited to,all other Claims made or which could have been made arising out of or related to the Subdivision, EXCLUDING, HOWEVER, FROM THIS RELEASE THE RESPECTIVE OBLIGATIONS OF THE PARTIES UNDER THIS DEVELOPMENT AGREEMENT. 9 Each releasing Party agrees that the provisions of this Section 8 may be offered and judicially accepted as a complete defense to any action or proceeding that may be brought,instituted or taken by them or their legal representatives against the other Party and shall forever be a complete bar to the commencement or prosecution of any action or proceeding against the other of them or their legal representatives for any Claims which may hereafter be brought by the releasing party or anyone on their behalf for damages arising from or in any way connected with the facts or circumstances described above, including,but not limited to,actual costs and attorneys'fees. Each of the Parties understands that any consideration given by either of them for this mutual release is made in compromise of doubtful and disputed claims on the part of the other of them and is not to be construed and may not be offered in evidence as an admission of liability or wrongdoing on the part of the other of them,by whom liability is expressly denied. Each of the Parties represents and warrants to the other that they have not made any assignment of any right, claim or cause of action covered by this Section 8 of this Development Agreement to any individual,firm,corporation or other legal entity whatsoever. Further,each of the parties understands that this Release is contractual and not a mere recital. Finally, each of the Parties warrants that in agreeing to the release set forth herein,they are relying on its own judgment, belief and knowledge as to all phases of their Claims,that they are not relying on any representations or statements by the other of them or their representatives, that they have carefully read the foregoing provisions of the release and know and understand the contents thereof, and that in executing this Development Agreement they have had the benefit and advice of their respective attorneys of their own choosing who have explained, in detail,the legal and practical effects of such release. The releases contained in this Section 8 shall be binding upon and inure to the benefit of the Parties hereto and their respective, transferees, successors (including, without limitation, any successor Builder),and assigns. B. The City and TRG agree that each party shall have the right to enforce this Development Agreement in the Circuit Court for the Sixteenth Judicial Circuit, Kane County, Illinois. However, prior to commencing such action, each party shall give the alleged breaching party ten (10) days written notice of any non-compliance alleged to constitute a violation of this Development Agreement.The alleged breaching party shall have the right to correct such violation within the ten (10)-day period or within such time as the parties may agree in writing, or if such violation cannot be reasonably remedied within the ten(10)-day period,then so long as such party is continuously and diligently pursuing the remedy necessary to cure the alleged violation, such party shall have such additional time as shall be reasonably necessary to remedy such violation. If the violation is not corrected by the alleged breaching party to the satisfaction of the complaining party,the complaining party may seek any and all appropriate relief by an action at law or equity, including, without limitation, specific performance. Anything to the contrary in this Section 8 and/or this Development Agreement notwithstanding,no action shall be commenced by TRG nor shall the City be liable for any monetary damages based upon or arising from any alleged or actual breach of this Development Agreement, including, but not limited to, compensatory, consequential,or incidental damage,or attorneys' fees. 10 Section 9. General Provisions. A. Notice. Any notice or communication required or permitted to be given under this Development Agreement shall be in writing and shall be delivered (i), personally, (ii) by a reputable overnight courier,or(iii)by certified mail,return receipt requested,and deposited in the U.S.Mail,postage prepaid. Unless otherwise expressly provided in this Development Agreement, notices shall be deemed received upon the earlier of(a) actual receipt; (b)one business day after deposit with an overnight courier as evidenced by a receipt of deposit; or(c)three business days following deposit in the U.S. mail,as evidenced by a return receipt. By notice complying with the requirements of this Section,each party shall have the right to change the address or the addressee, or both, for all future notices and communications to such party, but no notice of a change of addressee or address shall be effective until actually received. Time is of the essence in the performance of all terms and provisions of this Development Agreement. 11 C. Rights Cumulative. Unless expressly provided to the contrary in this Development Agreement,each and every one of the rights,remedies,and benefits provided by this Development Agreement shall be cumulative and shall not be exclusive of any other such rights, remedies, and benefits allowed by law. D. Non-Waiver. The parties shall be under no obligation to exercise any of the rights granted to them in this Development Agreement.The failure of either of the parties to exercise at any time any such right shall not be deemed or construed to be a waiver thereof, nor shall such failure void or affect such party's right to enforce such right or any other right. E. Governing Law. This Development Agreement is entered into pursuant to and shall be governed by, and enforced in accordance with, the internal laws of the State of Illinois. Any legal proceedings of any kind arising from this Development Agreement shall be filed in the Circuit Court for the Sixteenth Judicial Circuit,Kane County, Illinois. F. Severability. If any term, covenant, condition or provision of this Development Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the entire remainder of this Development Agreement shall not be impaired thereby, hut the remaining provisions shall be interpreted, applied, and enforced so as to achieve, as near as may be, the purpose and intent of this Development Agreement to the greatest extent permitted by law. G. Amendments and Modifications. No amendment or modification to this Development Agreement shall be effective unless and until it is reduced to writing and approved and executed by the City and TRG or its successor Builders, as the case may be, in accordance with all applicable statutory procedures. For the avoidance of doubt,once a TRG Lot is improved with a residential structure and conveyed to a person intended to occupy or invest in same(in either case an "End-User"), the approval of any End-User shall not be required to amend this Development Agreement;and(2)this Development Agreement may be amended with the consent of only the City and TRG or its successor as to any TRG Lot who is not an End-User. H. Third Party Beneficiaries. The City and TRG agree that the Builder or Builders are intended to be and are third party beneficiaries under this Development Agreement. I. Entire Agreement. This Development Agreement constitutes the entire agreement of the parties with regard to the subject matter hereof, and supersedes all previous written or oral representations, agreements, and understandings between the parties, whether expressed or implied. J. Counterparts. This Development Agreement may be executed in counterparts, each of which shall constitute an original document, which together shall constitute one and the same instrument. K. Recording. The Parties agree that this Development Agreement will be recorded against the property, will be a covenant running with the land, and will be binding upon all successors, assigns, and grantees of either Party. The time limit for completing the authorized work ends on. August 1, 2007 . If you find that you need more time to complete the authorized activity(s) , submit your request for a time extension to this office for consideration at least one month before the above date is reached. 2 . You must maintain the activity authorized by this permit in good condition and in conformance with the terms and conditions of this permit. You are not relieved of this requirement if you abandon the permitted activity, although you may make a good faith transfer to a third party in compliance with General Condition 4 below. Should you wish to cease to maintain the • authorized activity or should you desire to abandon it without a good faith transfer, you must obtain a modification of this permit from this office, which may require restoration of the area. 3 . If you discover any previously unknown historic or archaeological remains while accomplishing the activity authorized by this permit, you must immediately notify this office of what you have found. If you sell the property associated with this permit, you must obtain the signature of the new owner in the space provided and forward a copy of the permit to this office to validate the transfer of this authorization. S. If a conditioned water quality certification has been issued for your project, you must comply with the conditions specified in the certification as special conditions to this permit. For your convenience, a copy of the certification is attached if it contains such conditions. 6 . This permit is based on all material submitted as part of application number 200300522 . You must comply with all applicable regulations in carrying out this project. Failure to comply with the terms and conditions of this permit may result in suspension and revocation of your permit. 2 . You shall undertake and complete the project as described in the plans entitled "Kimball Hill Homes Waterford Project, Third Addendum, March 19, 2004, and "Waterford Subdivision Waters of the U.S. #2 Grading Exhibit"., prepared by ManHard Consulting, and as described in the "Kimball Hill Homes Waterford Project, Best Management Practices Plan, Elgin, Illinois, dated January 30, 2004, and in the approved mitigation plans entitled "Kimball Hill Homes Project Mitigation Document Addendums 1-4, prepared by Raisenan & Associates. 3 . You shall fully implement the project mitigation documents as described above, concurrent with project construction. All created wetlands shall meet the performance criteria as outlined in the approved mitigation plans. Within 30 days of receipt of this authorization, you shall submit to this office revised mitigation plans that combines the four mitigation addendums into one document. Please note that this office may require minor modifications to the mitigation/BMP plans as a result of changes as noted during field inspections of the site . 4 . Throughout the project' s duration, you shall adhere to all soil erosion and sediment control plans as recommended by the Kane/DuPage Soil and Water Conservation District (KDSWCD) . In addition, you shall enter into an agreement with the WSCSWCD where as the SWCD shall oversee construction of the mitigation areas and Best Management Practice (BMP) areas and, if necessary, provide corrective measures to the applicant and to the Corps project manager. Please contact the SWCD for further instructions. 5. You shall insure that all remaining wetlands, created wetlands and adjacent upland buffers are protected through a deed restriction. You shall enter into negotiations with the Forest Preserve District of Kane County to accept the mitigation areas for management in perpetuity. The approved construction drawings and USACE authorization number shall be included as an exhibit in the deed, and recorded with the Registrar of Deeds or other appropriate office charged with the responsibility for 3 q i/bGi',d OS:T T boot.-zz-1If • • maintaining records of title or interest in real estate property. Within 90 days of receipt of this authorization, you shall submit to this office a draft copy of the deed restriction for review. Recording of the approved deed restriction shall occur upon approval from this office. The approved construction drawings and USACE authorization number shall be included as an exhibit in the deed restriction and be recorded with the Registrar of Deeds or other appropriate office charged with the responsibility for maintain records of title or interest in real estate property. Within 90 days of receipt of this authorization, you shall submit to this office a draft copy of the conservation easement for review. Recording of the approved document shall occur upon approval from this office. 6 . You shall submit as-built drawings depicting grading contours of all mitigation areas as outlined in the approved mitigation plans for the project. The as-builts shall be approved by this office prior to the area(s) being seeded. 7 . You shall install signs which identify the presence of Federally-protected wetlands and the prohibited activities in these areas . The signs shall be spaced every 400 feet at the boundary of all adjacent upland buffers . The signs shall be installed by spring of 2005. A design drawing of the sign(s) shall be approved by this office prior to installation. 8 . You shall provide the informational brochure titled "Living with Wetlands" to each property owner at the time of sale concerning the importance of wetlands, the entities (U.S. Army Corps of Engineers, Homeowners Association) with jurisdiction over the areas, the relevant rules and regulations, and the potential indirect impacts to the wetlands resulting from common land practices, such as the use of lawn fertilizers and chemicals . You shall transfer the created wetlands area to the Forest Preserve District of Kane County, following the seven-year maintenance and monitoring period and a determination by this office that all performance criteria have been met. You must ensure that the created wetlands are maintained and protected as a natural area in perpetuity. The Forest Preserve District will be responsible for the long-term management of the natural areas . You shall establish an escrow account for the FPDKC for management of the mitigation areas in perpetuity. The escrow account shall be formulated in accordance with the District's recommendations with a copy of the document submitted to this office for approval . 4 9 T/SO'd OS:T T 1700Z-ZZ-111f 10. Within 90 days of receipt of this authorization, you shall prepare and submit to this office and to the FPDKC a long-term management plan for the created wetlands and adjacent upland buffers. The management plan must outline a maintenance strategy for maintaining the quality of the wetlands. 11. To resolve the road crossing violation at Waterford Drive, you shall submit a mitigation payment of $20, 000 to the Fox Valley Land Foundation. Please contact Ms. Maryann Nelson of the FVLF at (847) 888-1897 for payment instructions. The funds will be utilized for restoration of wetlands within Kane County. The payment shall be submitted to the FVLF within 90 days of receipt to this authorization. 12 . You shall comply with the water quality certification issued under Section 401 of the Clean water Act by the Illinois Environmental Protection Agency for the project. Conditions of the certification are conditions of this authorization. 13 . You shall ensure that any wetland areas created or preserved as mitigation shall not be made subject of a future Department of the Army application, except for the purposes of enhancing or restoring the mitigation area associated with this authorization as approved by this office. 14. You are responsible for all work authorized herein and for ensuring that all contractors are aware of the terms and conditions of this authorization. A copy of this authorization must be present at the project site during all phases of construction. 15. You shall notify this office of any proposed modifications to the project, including revisions to any of the plans or documents cited in this authorization. You must receive approval from this office before work affected by the proposed modification is performed. 16. You shall notify this office prior to the transfer of this authorization and liabilities associated with compliance with its terms and conditions. The transferee must sign the authorization in the space provided and forward a copy of the authorization to this office. Further Information; 1 . Congressional Authorities. Reliance on Applicant' s Data: The determination of this office that issuance of this permit is not contrary to the public interest was made in the reliance on the information you provided. 5 . Reevaluation of Permit Decision. The office may reevaluate its decision on this permit at any time the circumstances 6 9Z/LO'd TS:Z1 b09Z- -inr warrant. Circumstances that could require a reevaluation include, but are not limited to, the following: a. You fail to comply with the terms and conditions of this permit. b.
