RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH PRI MANAGEMENT GROUP
CORPORATION TO CONDUCT AN AUDIT OF THE ELGIN POLICE DEPARTMENT'S
RECORDS DIVISION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
pursuant to Elgin Municipal Code Section 5.02.020B(9) the City Council hereby finds that an
exception to the requirements of the procurement ordinance is necessary and in the best interest of
the city; and
BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are
hereby authorized and directed to execute an Agreement on behalf of the City of Elgin with PRI
Management Group Corporation, to conduct an audit of the Elgin Police Department's record
division, a copy of which is attached hereto and made a part hereof by reference.

AGREEMENT
THIS AGREEMENT is made and entered into this 26th day of April
2023 by and between the City of Elgin, Illinois a municipal corporation(hereinafter referred to as
the"City"),and PRI Management Group Corporation,a Florida corporation, 150 Alhambra Circle,
Suite 1270,Coral Gables,FL 33134 (hereinafter referred to as the "Contractor").
RECITALS
WHEREAS, the City of Elgin seeks assistance with a comprehensive staffing analysis.
The City desires to determine appropriate staffing levels that are suitable for the size and
workload of the department; and
WHEREAS, the Contractor has experience in law enforcement, records, information
technology("IT"),and consulting services, and
WHEREAS, the City desires to engage the Contractor to render certain services in
connection therewith and the Contractor is willing to provide such services.
NOW THEREFORE, in consideration of the premises and mutual obligations herein, the
sufficiency of which is mutually acknowledged,the parties hereto do mutually agree as follows:
1 Scope of Services. The Contractor shall perform the following services (hereinafter
referred to as the 'Services') in a satisfactory and proper manner, as determined by the
City:
A The Contractor will provide services related to an in-depth,data-driven staffmg study
allowing for quantifiable indicators of workload and specific numbers of required staff
needed to complete the work in Records for the City's Police Department.The Contractor
will also provide a written report detailing its findings and recommendations. The
Contractor will:
1. Review records management practices and organizational structure in records
operations to determine the appropriate allocation of resources, scheduling, and
roles and recommend needed improvements;
2. Review and document all as-is workflows and business practices to include but not
be limited to:
a. Records management,report processing, and data entry procedure;
b. Public records request processing;
c. Requirements for routing/distributing and processing records
inter-and inter-agency;
d. Customer service/front counter operations;
3. Draft suggested workflows, business processes, and operational approaches as
indicated by the assessment and document their impact on operations and the
expected results on staffing;
4. Conduct a quantifiable study to include recommendations for current and future
staffing levels accounting for growth and demand; this consists of a detailed
analysis of time and quantity measures of records work tasks,and specific numbers
of personnel needed based on quantifiable data.
2 Time of Performance. Services of the Contractor shall commence at a mutually
agreeable time at approximately April 1,2023 and shall be undertaken and completed in
such sequence as to assure their expeditious completion in light of the purposes of this
Agreement;provided,however,that in any event,all of the Services required hereunder
shall be completed on or before April 30,2024.
3 Compensation and Method of Payment.
A Compensation. For performing the Services specified in Section 1 hereof, the
City shall to pay the Contractor the total amount of$23,750.00.Travel and living
expenses including standard airfare, hotel, rental car, and per diem will be
reimbursed to contractor separately at standard U.S. Government rates in a total
amount not to exceed$ 7,500.
B Method of Payment. The compensation for services rendered shall be payable
in an initial deposit of 50% of the contract amount($11,875) payable within 30
days of the date of this Agreement. The final 50% payment plus reimbursable
expenses will be due upon completion of the Services and upon receipt by the
City of an invoice on the condition that the Contractor has accomplished the
Services to the satisfaction of the City.
C Appropriations. Notwithstanding any provision in this Agreement to the
contrary, the terms of this Agreement are contingent upon the City Council of
the City of Elgin making the appropriations necessary for the performance of this
Agreement.
If sufficient appropriations and authorizations are not made by the City Council,
this Agreement may be terminated at the end of the City's then current fiscal year
upon written notice given by the City to the Contractor. Such event shall not
constitute an event of default. All payment obligations of the City and all of its
interest in this Agreement will cease upon the date of termination. The City's
decision as to whether sufficient appropriations are available shall be accepted
by Contractor and shall be final.
4 Independent Contractor. Neither the Contractor nor its employees are considered to be
employees of the City of Elgin for any purpose whatsoever.The Contractor is considered
as an independent contractor at all times in the performance of the Services described in
Section 1. The Contractor further agrees that neither it nor its employees are entitled to
any benefits from the City under the provisions of the Workers'Compensation Act of the
State of Illinois,or to any of the benefits granted to employees of the City as now enacted
or hereafter amended.

5 Personnel.
A The Contractor represents that it has, or will secure at its own expense, all
personnel required in performing all of the Services required under this
Agreement. Such personnel shall not be employees of or have any contractual
relationships with the City.
B All the Services required hereunder will be performed by the Contractor or-under
its supervision and all personnel engaged in the work shall be fully qualified and
shall be authorized or permitted under state and local law to perform such
Services.
C None of the work or the Services covered by this Agreement shall be
subcontracted without the prior written approval of the City. Any work or
Services subcontracted hereunder shall be specified by written contract or
Agreement and shall be subject to each provision of this Agreement.
6 lndeinnity.The Contractor agrees to defend, indemnify and hold harmless the City and
its officials, agents and employees from and against any and all claims, actions, suits or
proceedings of any kind brought against said parties because of any injury or damage
received or sustained by any person,persons or property arising out of or resulting from
the Services performed by the Contractor under this Agreement or by reason of any
asserted act or omission,neglect or misconduct of the Contractor or Contractor's agents
or employees or any subcontractor or its agents or employees. The indemnity required
hereunder shall not be limited by reason of the specification of any particular insurance
coverage in this Agreement.
7 Insurance.The Contractor shall procure and maintain at its expense until final payment
by the City for Services covered by this Agreement, insurance in the kinds and amounts
hereinafter provided with insurance companies authorized to do business in the State of
Illinois, covering all operations tinder this Agreement, whether performed by it or its
agents. Before commencing the Services and on the renewal of all coverages, the
Contractor shall himish to the City a certificate or certificates in form satisfactory to the
City showing that it has complied with this Section. Various types of required insurance
may be written in one or more policies. With respect to all coverages required other than
professional liability or workers' compensation, the City shall be named an additional
insured. All coverages afforded shall be primary with respect to operations provided.
Kinds and amounts of insurance required are as follows:
A Commercial General Liability and Professional liability Insurance. A
commercial general and professional liability insurance policy with combined
limits of liability for bodily injury or property damage as follows:
$1,000,000 Per Occurrence
$1,000,000 Policy Aggregate
$1,000,000 Products Liability/Completed Operations

$1,000,000 Personal and Advertising Injury
Said policy of insurance must include coverage for all operations performed for
the City by the Contractor, and contractual liability coverage shall specifically
insure the hold harmless provisions of this Agreement.
B Automobile Liabili�y Insurance. An automobile liability policy with liability
limits in amounts not less than $1,000,000 combined single limit of liability for
bodily injury,including death, and property damage in any one occurrence_ Said
policy of insurance must include coverage for the use of all owned,non-owned,
hired automobiles,vehicles and other equipment both on and off work.
C Workers' Compensation Insurance. Workers' Compensation Insurance for its
employees in accordance with the provisions of the Workers'Compensations Act
of the State of Florida and, to the extent it may be applicable to the State of
Illinois,
D Increased Limits. If, during the term of this Agreement, the City requires the
Contractor to increase the maximum limits of any insurance required herein, an
appropriate adjustment in the Contractor's compensation will be made.
8 Discrimination Prohibited. In performing the Services required hereunder, the
Contractor shall not discriminate against any person on the basis of race,color,religion,
gender, sexual preference, sexual orientation, national origin or ancestry, age, physical
handicap,or disability as defined in the Americans with Disabilities Act of 1990,as now
enacted or hereafter amended.
9 ADA Compliance. In performing the Services required hereunder,the Contractor agrees
to meet all the requirements of the Americans With Disabilities Act of 1990, and all
applicable tales and regulations (the 'ADA'), which are imposed directly on the
Contractor or which would be imposed on the City as a public entity. The Contractor
agrees to be responsible for knowing all applicable requirements of the ADA and to
defend, indemnify and hold harmless the City, its officials, agents and employees from
and against any and all claims,actions, suits or proceedings of any kind brought against
said parties as a result of any acts or omissions of the Contractor or its agents in violation
of the ADA.
10 Conflict of Interest. No officer, agent or employee of the City will participate in any
decision relating to this Agreement which affects that person's financial interest, the
financial interest of his or her spouse or minor child or the financial interest of any
business in which he or she has a direct or indirect financial interest.
ll Interest of Contractor. The Contractor agrees that it presently does not have and shall
acquire no direct or indirect interest which conflicts in any manner or degree with the
perforinance of the terms of this Agreement. The Contractor will not employ any person

who has any such conflict of interest to assist the Contractor in performing the Services.
12 No Collusion. The Contractor represents that this Agreement is entered into by the
Contractor without collusion on the part of the Contractor with any person or firm,
without fraud and in good faith. The Contractor also represents that no gratuities, in the
form of entertainment, gifts or otherwise, were, or during the term of this Agreement,
will be offered or given by the Contractor or any agent or representative of the Contractor
to any officer or employee of the City with a view towards securing this Agreement or
for securing more favorable treatment with respect to making any determinations with
respect to performing this Agreement.
13 Debarment Suspension, Ineligibility and Exclusion Compliance. The Contractor
certifies that it has not been debarred,suspended or otherwise found ineligible to receive
funds by any agency of the executive branch of the federal government, the State of
Illinois, any local public body of the State, or any state of the United States. The
Contractor agrees that should any notice of debarment, suspension, ineligibility or
exclusion be received by the Contractor,the Contractor will notify the City immediately.
14 Reports and Information. At such times and in such forms as the City may require,
there shall be filmished to the City such statements, records, reports, data and
information, as the City may request pertaining to matters covered by this Agreement.
Unless otherwise authorized by the City,the Contractor will not release any information
concerning the work product including any reports or other documents prepared pursuant
to this Agreement until the final product is submitted to the City.
b Establishment and Maintenance of Records. Records shall be maintained by the
Contractor in accordance with applicable law and requirements prescribed by the City
with respect to all matters covered by this Agreement. Except as otherwise authorized
by the City,such records shall be maintained for a period of three(3)years after receipt
of final payment under this Agreement.
16 Audits and Inspections. At any time during normal business hours and as often as the
City may deem necessary, there shall be made available to the City for examination all
of the Contractor's records with respect to all matters covered by this Agreement.
The Contractor shall permit the City to audit,examine, and make excerpts or transcripts
from such records, and to make audits of all contracts, invoices, materials, payrolls,
records of personnel, conditions of employment and other data relating to all inatters
covered by this Agreement.
II Ownership, Publication. Reproduction and Use of Material. No material produced
in whole or in part under this Agreement shall be subject to copyright in the United States
or in any other country.
The City shall have unrestricted authority to publish, disclose, distribute and otherwise

use, in whole or in part, any reports, data or other materials prepared under this
Agreement.
14 Compliance With Laws.In performing the Services required hereunder,the Contractor
shall comply with all applicable laws, ordinances, and codes of the federal, state and
local governments.
M Changes. The City may, from time to time, request changes in the Services to be
performed hereunder. Such changes, including any increase or decrease in the amount
of the Contractor's compensation,which are mutually agreed upon by and between the
City and the Contractor,shall be incorporated in written amendments to this Agreement.
21 Assignability. 'flue Contractor shall not assign any interest in this Agreement and shall
not transfer any interest in this Agreement(whether by assignment or novation),without
the prior written consent of the City thereto.
2L Termination for Cause. If, through any cause, the Contractor shall fail to fulfill in a
timely and proper manner its obligations under this Agreement or if the Contractor shall
violate any of the covenants,agreements,or stipulations of this Agreement,the City shall
thereupon have the right to terminate this Agreement by giving written notice to the
Contractor of such termination and specifying the effective date thereof at least five(5)
days before the effective date of such termination.
In such event, all finished or unfinished documents, data, maps, studies, surveys,
drawings, models, photographs and reports prepared by the Contractor under this
Agreement shall, at the option of the City,become its property, and the Contractor shall
be entitled to receive just and equitable compensation for any work satisfactorily
completed hereunder on an ad valorem basis.
Notwithstanding the above, the Contractor shall not be relieved of liability to the City
for damages sustained by the City by virtue of any breach of this Agreement by the
Contractor, and the City may withhold any payments to the Contractor for the purposes
of set-off until such time as the exact amount of damages due the City from the
Contractor is determined.
23 Termination for Convenience. Both parties may terminate this Agreement at any time
by giving at least fifteen(15) days' notice in writing to the other party. If the Contractor
is terminated by the City as provided herein,the Contractor will be paid an amount which
bears the same ratio to the total compensation as the Services actually performed bear to
the total Services of the Contractor covered by this Agreement, less payments of
compensation previously made.
If this Agreement is terminated due to the fault of the Contractor, the preceding Section
hereof relative to ternunation shall apply.

24 Construction and Severability. If any part of this Agreement is held to be invalid or
unenforceable, such holding will not affect the validity or enforceability of any other
part of this Agreement so long as the remainder of the Agreement is reasonably capable
of completion.
2S Entire Agreement. This Agreement contains the entire agreement of the parties and
supersedes any and all other agreements or twderstandings, oral or written, whether
previous to the execution hereof or contemporaneous herewith.
71 Applicable Law and Venue. This Agreement shall be subject to and governed by the
laws of the State of Illinois.Venue for the resolution of any disputes or the enforcement
of any rights arising out of or in connection with this Agreement shall be in the Circuit
Court of Kane County, Illinois. Contractor hereby irrevocably consents to the
jurisdiction of the Circuit Court of Kane County, Illinois for the enforcement of any
rights, the resolution of any disputes and/or for the purposes of any lawsuit brought
pursuant to this Agreement or the subject matter hereof; and Contractor agrees that
service by first class U.S. mail to the entity and address provided for herein shall
constitute effective service.
28 Approval Required. This Agreement shall not become binding upon the City until
approved by the highest approval authority of the City required under this Agreement.

31 Execution. This agreement may be executed in counterparts,each of which shall be an
original and all of which shall constitute one and the same agreement. For the purposes
of executing this agreement, any signed copy of this agreement transmitted by fax
machine or e-mail shall be treated in all manners and respects as an original document.
The signature of any party on a copy of this agreement transmitted by fax machine or e-
mail shall be considered for these purposes as an original signature and shall have the
same legal effect as an original signature. Any such faxed or e-mailed copy of this
agreement shall be considered to have the same binding legal effect as an original
document. At the request of either party any fax or e-mail copy of this agreement shall
be re-executed by the parties in an original form. No party to this agreement shall raise
the use of fax machine or e-mail as a defense to this agreement and shall forever waive
such defense.

I. Overview
The Elgin Police Department is seeking an independent staffing assessment of its records
management operations to determine appropriate staffing levels that are suitable for the size
and workload of the Department.
Workload and agency metrics:
• 189 Officers
• Incidents: -10,000 average
• Tyler/New World RMS with records dating back to 2012
• 6 Records Clerks, 1 Supervisor
• Processed over 23,000 Records Requests in 2022
II. Objectives
The objectives of this project include:
• Review and document all records management business activities;
• Review, quantify and document workload;
• Review and document all as-is workflows;
• Provide recommended changes, if any, to workflows, business process and operational
approaches as indicated by the assessment and document their impact on operations.
This will determine if any operational improvements could be made and their affect on
staffing levels;
• Conduct a staffing analysis based on findings to include recommendations for current
and future levels accounting for growth and demand; this includes detailed analysis of
time and quantity measures;
III. Results
The value that the Elgin Police Department will derive from the successful completion of this
project will include but not be limited to:
• Obtaining a detailed staffing analysis based on time and quantity measurements of work
tasks, and the current and recommended workflows and procedures for each;
• Graphical representations of the resulting data including workflows, workloads,
workload comparisons, and organizational structure;
• Based on the metrics obtained from the analysis,the number of required personnel to
complete the unit's work at any given time will be calculated;

IV. About Us and Resources
PRI is a highly specialized law enforcement records management and IT consulting firm, in
business since 2008. Each consultant has worked in the field of law enforcement records
management and technology, serving in both sworn and civilian capacities as either records
managers, commanders or IT support staff. The consultants assigned to this project through its
completion are listed below.
Edward Claughton,President
The company's president, Lt. Ed Claughton (ret.), specializes in police records operations
including public records and UCR compliance, records management, case management, quality
control, organizational structure, workflow and records management systems administration.
Mr. Claughton is a premier, nationally recognized expert in law enforcement information
management having provided project management, business process design and technical
consultative and training services to over 350 public safety agencies.
He is a selected speaker for the IACP along with various other industry organizations, has
written numerous articles on law enforcement records and technology as published in Police
Magazine, GovTech, GCN and in the book "Modernizing Crime Statistics" by the National
Academy of Sciences. He served on the recent National Academy of Sciences and FBI panel
convened to assist with the nationwide transition to NIBRS reporting as a subject matter expert.
Mr. Claughton is a certified records manager, auditor and instructor in UCR and public records,
having created state certified police records training curriculum in various states.

Carl Brooks,Consultant
Carl Brooks, a retired Captain, has 28 years of law enforcement experience with 18 years of
executive leadership within criminal justice. He is a graduate of the Federal Bureau of
Investigation (FBI) National Academy class#277.

Carl served as a division commander for the Patrol Operations, Special Operations,and Planning
and Research Divisions, responsible for the Training Academy, SWAT team,Traffic Unit, K9 Unit,
Honor Guard, Motors, Crime Suppression, and Patrol operations. As Commander of Planning
and Research, he was responsible for the research, creation, and revision of all agency policy,
procedure, and forms. As the Director of the Training Academy, he was responsible for ensuring
that all personnel met mandated training requirements, and managed in-service and recruit
level training programs.
Carl was responsible for the successful completion of multiple projects including RMS upgrades,
staffing and salary studies, systems implementations, equipment installations, and grant funded
equipment purchases. He has extensive project management and procurement experience in
public safety projects including CAD/RMS implementation, and served as the lead instructor for
RMS/NIBRS training in two successful upgrades. He was instrumental in ensuring NIBRS
compliance and helped develop lesson plans, instructional diagrams, and instructional videos
for the implementation of the new RMS. He has also served as lead instructor or on advisory
committees establishing procedures for the use, customization, and implementation of various
RMS systems.
He was assigned as the special investigator to conduct a Property Unit audit. He helped develop
policy and procedure for governing the creation and submission of agency property records and
assisted in development of the necessary forms for a new property submission process. He
wrote a new departmental report writing manual providing a step-by-step guide for crime types
and a checklist of forms required, narrative elements required, and submission guidelines. He
also researched and developed a comprehensive agency citation manual that provided
instructions for creating, submitting, and charging criminal and civil citations.
Carl served as an adjunct instructor for Harford Community College, and in that capacity, he
instructed criminal justice, sociology, and psychology classes. In addition, he also instructs non-
credit classes in grant writing, grant management, drug recognition, drug abuse and juvenile
delinquency. He is a certified Drug Recognition Expert (DRE). He holds a bachelor's degree from
the University of Maryland in Criminal Justice, a master's degree from Norwich University in
Military History, and a master's degree in Management from Johns Hopkins University.
V. Scope
In order to achieve the objectives listed above, PRI is offering to provide the following to
facilitate a successful outcome. Some of the options provide more value than the others,and by
providing these options, you have the flexibility to decide which is most attractive in relation to
your investment:

Option#1: Basic Staffing Analysis
PRI will assess the records unit operations and provide a written report detailing our findings
and recommendations. PRI will:
• Review records management practices and recommend needed improvements;
• Review current organizational structure in records operations to determine appropriate
allocation of resources, scheduling and roles;
• Provide a review of the proposed recommendations and assist with training in any new
procedures as needed;
• Conduct a basic staffing analysis to provide a general recommendation regarding
whether more or less personnel are needed. This does not include providing quantifiable
data resulting in calculated FTE positions.
Option#2:Comprehensive Staffing Analysis
This option provides an in-depth, data-driven staffing study allowing for quantifiable indicators
of workload and specific numbers of required staff needed to complete the work in Records.
• Review and document all as-is workflows and business practices to include but not be
limited to:
o Records management, report processing and data entry procedure;
o Requirements for routing/distributing and processing records inter- and intra-
agency;
o Public records request processing;
o Customer service/front counter operations;
• Draft suggested workflows, business process and operational approaches as indicated by
the assessment and document their impact on operations and the expected results on
staffing;
• Conduct a quantifiable study to include recommendations for current and future staffing
levels accounting for growth and demand; this includes detailed analysis of time and

VI. Timing
PRI is able to begin at any mutually agreeable time beginning in 2023.
Option#1: should be completed in approximately 6-8 weeks
Option#2: should be completed in approximately 8-10 weeks
VII. Joint Accountabilities
Elgin Police Department will be responsible for providing PRI access to and coordinating agency
personnel availability,facilities and records management related systems.
PRI will be responsible for carrying out the work requested, maintaining confidentiality of
agency information and adhering to all mutually agreed upon schedules.
Both parties will keep each other informed of any unforeseen changes or other issues that
impact and influence the project so we can both adjust accordingly. We will mutually
accommodate each other's unexpected scheduling conflicts and agree to err on the side of over

Vill. Terms and Conditions
The scope includes training your staff in the new records procedures. The fee options for this
project are as follows and can be invoiced according to your budgetary needs:
Option#1: $ 19,750.00
Option#2: $23,750.00
Plus expenses: Expenses will be billed at actual cost. You will not be billed for phone calls,email,
fax, supplies, administrative work or duplication costs. Travel and living expenses including
standard airfare, hotel, rental car, and per diem will be billed separately at standard U.S.
Government rates. Expenses are not to exceed $7,500.00.
A 50%deposit is required to begin work. Final payment due open completion of the project.
