RESOLUTION
AUTHORIZING EXECUTION OF AN AMENDMENT AGREEMENT NO. 1 WITH
CORDOGAN CLARK&ASSOCIATES, INC. (A/E) & COROGAN CLARK CONSULTING
SERVICES, INC. (CM) FOR ADDITIONAL SUPPLEMENTAL PROFESSIONAL
CONSULTING SERVICES IN CONNECTION WITH THE ELGIN HEMMENS CULTURAL
CENTER NORTH LOBBY RENOVATION AND ADDITION PROJECT
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that pursuant to Elgin Municipal Code Section 5.02.020B(9)the City Council hereby finds that an
exception to the requirements of the procurement ordinance is necessary and in the best interest of
the city; and
BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS,that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are
hereby authorized and directed to execute an Agreement on behalf of the City of Elgin with
Cordogan Clark & Associates, Inc. (A/E) & Corogan Clark Consulting Services, Inc. (CM), for
additional supplemental professional consulting services in connection with the Elgin Hemmens
Cultural Center north lobby renovation and addition project, a copy of which is attached hereto
and made a part hereof by reference.

AMENDMENT AGREEMENT NO. 1
THIS AMENDMENT AGREEMENT No. 1 is hereby made and entered into this
_15th day of_February_, 2023, by and between the City of Elgin, Illinois, a municipal
corporation(hereinafter referred to as the"City"), and Cordogan Clark & Associates, Inc
(A/E)& Corogan Clark Consulting Services, Inc(CM) , an (architecture,
engineering and construction management company(hereinafter referred to as"Consultant").
WHEREAS, the City and Consultant hereto have previously entered into an agreement
dated August 10, 2022 (hereinafter referred to as "Original Agreement"), wherein the City
engaged the Consultant to furnish certain professional services in connection with the Elgin
Hemmens Cultural Center north lobby renovation and addition project ereinafter referred
to as the"Project"); and
WHEREAS, the City has determined that the proposed scope of the Project should be
further modified to include the additional Supplemental Professional Consulting Services
described herein(hereinafter referred to as"Supplemental Services"); and
WHEREAS, the Original Agreement provides for a maximum payment of$471,878.00
and
WHEREAS,the parties hereto have determined and agree that the total maximum payment
for the Supplemental Services described in this Amendment Agreement No. I shall be in the
amount of$1,067,350; and
WHEREAS,the changes contemplated by this Amendment Agreement No. I are germane
to the Original Agreement as signed;and this Amendment Agreement No.I is in the best
interests of City and is authorized by law.
NOW,THEREFORE,for and in consideration of the mutual undertakings provided herein,
and other good and valuable consideration,the receipt and sufficiency of which is hereby mutually
acknowledged,the parties hereto agree as follows:
1. The above recitals are incorporated into and made part of this Agreement as if fully recited
herein.
2. Section 1 of the Original Agreement is hereby further amended by adding a new additional
subparagraph C thereto to read as follows:
"C. The CONSULTANT shall provide the additional Consulting services
to include construction management, project management, project
administration and QA/QC services for the CITY as part of the Hemmens
Cultural Center north lobby renovation and addition project as outlined and
described in Attachment C-1, attached hereto and made a part hereof
(hereinafter referred to as the"Additional Supplemental Services").
3. That Section 2 of the Original Agreement is hereby further amended by adding.; the
following to the end of Subparagraph B:
"B. Consultant shall provide the Supplemental Services provided for in Amendment
Agreement No. 1 in accordance with the schedule outlined herein and detailed in
Attachment D-1."
4. That Section 4 of the Original Agreement is hereby amended by adding the following
paragraph and Payment Schedule to read as follows:
"E. For services described in Attachments C- 1 and E-1, Consultant shall be paid at an
hourly rate for the classifications of personnel who perform work on this Project;provided,
however,that Consultant shall be paid a total maximum fee of$1,067,350 for the services
to be provided pursuant to this Amendment Agreement No. 1,regardless of the actual time
or actual costs incurred by the Consultant unless substantial modifications and scope of
work are authorized in writing by the City and approved pursuant to a further written
amendment to this Agreement.For the purposes of clarification,the total fees to be paid to
the Consultant pursuant to the Original Agreement and this Amendment Agreement No. 1
now total $1,539,228. The detailed basis of the additional fee associated with Amendment
Agreement No. 1 is included in Attachment E-1 and is based on hourly rates of personnel
utilized. The Attachment E-1 dated January 31,2023 will be utilized for this Project."

5. That except as amended in this Amendment Agreement No. 1 the Original Agreement shall
remain in full force and effect.
6. That in the event of any conflict between the terms of the Original Agreement and the
provisions in this Amendment Agreement No. 1, the provisions of this Amendment
Agreement No. 1 shall control.
7. This Amendment Agreement may be executed in counterparts, each of which shall be an
original and all of which shall constitute one and the same agreement. For the purposes of
executing this Amendment Agreement, any signed copy of this Amendment Agreement
transmitted by fax machine or e-mail shall be treated in all manners and respects as an
original document. The signature of any party on a copy of this Amendment Agreement
transmitted by fax machine or e-mail shall be considered for these purposes as an original
signature and shall have the same legal effect as an original signature. Any such faxed or
e-mailed copy of this Amendment Agreement shall be considered to have the same binding
legal effect as an original document. At the request of either party any fax or e-mail copy
of this Amendment Agreement shall be re-executed by the parties in an original form. No
party to this Amendment Agreement shall raise the use of fax machine or e-mail as a
defense to this Amendment Agreement and shall forever waive such defense.

Elgin Hemmens Cultural Center North Lobby Renovation and Addition Project
Project site:45 Symphony Way, Elgin,IL,60120.
Construction Management Responsibilities:
1. The construction management services to be provided by the Consultant,Cordogan Clark
Consulting Services, Inc,are as enumerated below.
2. The Consultant shall provide organization, personnel and management to carry out the
requirements of this Amendment in an expeditious and economical manner consistent with the
interests of the City.
3. All work will be performed under the direction of Cultural Arts&Special Events Director,
Amanda Harris.
4. The Consultant shall submit a list of prospective bidders and a bidding schedule for the City's
review and approval.
5. The Consultant shall solicit bidders'interest in the Project.The Consultant shall assist the City in
issuing bidding documents to bidders and conduct pre-bid conferences with prospective bidders.
The Consultant shall assist the City with the receipt of questions from bidders and the issuance of
addenda in a timely manner.
6. The Consultant shall receive bids,prepare bid analyses and make recommendations to the City for
the City's award of Contracts in accordance with the project schedule and city council meeting
schedule.
7. The Consultant shall conduct pre-award conferences with successful bidders.The Consultant shall
advise the City of any reasonable objections to the proposed list of Subcontractors and material
suppliers.
8. The Consultant shall make recommendations to the City regarding the assignment of
responsibilities for providing temporary Project facilities and services for common use of the
Contractors.The Consultant shall verify that the requirements and assignment of
responsibilities are included in the proposed Contract Documents.
9. The Consultant shall advise the City on the division of the Project into separate contracts or various
categories for work including method be used for selecting Contractors and awarding contracts.
10.The Consultant shall make recommendations to the City regarding the allocation of
responsibilities for Project conditions among the Contractors.
11.The Consultant shall assist the City in obtaining applicable building permits and special permits
for permanent improvements,excluding permits required to be obtained directly by the
various Contractors.
Scope of Services during Construction Phase:
1. The Consultant shall prepare a Project construction schedule providing for each scope of Work,
including phasing of construction,times for commencement and completion required of each
separate Contractor,ordering and delivery of materials requiring long-lead time and the
occupancy requirements of the City.
2. The Consultant shall provide the Project construction schedule for each set of Contract
Documents.
3. The Consultant shall provide administrative,management and related services to endeavor to
coordinate the activities of the Contractors with each other and with those of the City and the
Consultant to complete the Project in accordance with the latest approved estimate of
Construction Cost,the Project construction schedule and the Contract Documents.
4. The Consultant shall schedule and conduct preconstruction,construction and progress meetings
with the City and the Contractors to discuss such matters as procedures,progress and scheduling.
The Consultant shall prepare and promptly distribute minutes to the City and Contractors.
5. Utilizing the Construction Schedules provided by the Contractors,the Consultant shall update
the Project construction schedule incorporating the activities of the Contractors on the Project,
including activity sequences and durations,allocation of labor and materials, processing of
Shop Drawings, Product Data and Samples,and delivery of products requiring long-lead time
and procurement.The Project construction schedule shall include the City's occupancy
requirements showing portions of the Project having occupancy priority.The Consultant shall
update and reissue the Project construction schedule as required to show current conditions.
If an update indicates the previously approved Project construction schedule may not be met,
the Consultant shall recommend corrective action to the City.
6. Consistent with the Bidding Documents,and utilizing information from the Contractors,the
Consultant shall endeavor to coordinate the sequence of construction and assignment of
space in areas where multiple Contractors are performing Work.
7. The Consultant shall monitor the approved estimate of Construction Cost.The Consultant shall
show actual costs for activities in progress and estimates for uncompleted tasks.
8. The Consultant shall develop cash flow reports and forecasts for the Project and advise the
City as to variances between actual and budgeted or estimated costs.
9. The Consultant shall maintain cost accounting records on authorized Work performed
under unit costs, additional Work performed on the basis of actual costs of labor and
materials,or other Work requiring accounting records.
10. The Consultant shall record the progress of the Project with written progress reports to the City
including information on each Contractor's Work,as well as the entire Project,showing
percentages of completion.
11.The Consultant shall keep a daily log containing a record of weather, Contractor's Work on the
site, number of workers,identification of equipment,Work accomplished,problems
encountered,and other similar relevant data as the City may require.
12.The Consultant shall maintain at the Project site,on a current basis:one record copy of all
Contracts, Drawings,Specifications,addenda,Change Orders and other Modifications,in good
order and marked to record all changes made during construction;Shop Drawings; Product
Data;Samples;submittals;purchases;other related documents and revisions that arise out of
the Contracts or Work.The Consultant shall maintain records, in duplicate,of principal
building layout lines,elevations of the bottom of footings,floor levels and key site elevations
certified by a qualified surveyor or professional engineer.The Consultant shall make all such
records available to the City and, upon completion of the Project,shall deliver them to the
City.
The City reserves the right to perform Work related to the Project with the City's own forces,and to
award contracts in connection with the Project that are not part of the Consultant's responsibilities
under this Amendment.The Consultant shall notify the City if any such independent action will in any way
interfere with the Consultant's ability to perform under this Amendment.
