RESOLUTION
RATIFYING THE EXECUTION OF A GRANT FOR PUBLIC ROADWAY EXPANSION
EASEMENT FROM COMMONWEALTH EDISON COMPANY TO WIDEN AND IMPROVE
THE SHALES PARKWAY AND SHELDON DRIVE INTERSECTION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
it hereby ratifies and approves the execution of a Grant for Public Roadway Expansion Easement by
David J.Kaptain,Mayor,and Kimberly A.Dewis from Commonwealth Edison Company,to widen
and improve the Shales Parkway and Sheldon Drive Intersection,a copy of which is attached hereto
and made a part hereof by reference.

GRANT FOR PUBLIC ROADWAY EXPANSION
THIS INDENTURE (this "Easement") WITNESSETH, that the "Grantor",
COMMONWEALTH EDISON COMPANY, an Illinois corporation, for and in consideration of
Ten Dollars ($10.00) and other good and valuable consideration to it in hand paid, does hereby
give and grant, but without warranty(and subject to any rights and interests previously granted by
Grantor or its predecessors with respect to the property in question), subject to the reservations,
conditions and provisions herein contained, unto the "Grantee", the CITY OF ELGIN, Illinois, a
municipal corporation of Illinois, a perpetual easement for the right to use the property identified
and depicted as "Permanent Easement `A"' and "Permanent Easement `C"' on Exhibit A and
legally described on Exhibit B (the "Easement Area"), said exhibits being attached hereto and
made a part hereof by this reference, for the following express purposes and for no other purpose
express or implied whatsoever:
a. construction and maintenance of a public roadway expansion in substantial conformity
with the plans shown on Exhibit C; and
b. construction and maintenance of curbs and sidewalks on said property in connection
with said public roadway expansion, provided that the same shall be constructed at an

elevation and in a manner so as not to interfere with Grantor's ingress to and egress
from its adjoining property by vehicle or otherwise.
Grantor does further give and grant to the Grantee a temporary construction license for the
right to use the property identified and depicted as "Temporary Easement `B"' and "Temporary
Easement`D"'on Exhibit A and legally described on Exhibit B(the"License Area";and,together
with the Easement Area, the "Property"), for the sole purpose of constructing the improvements
shown on Exhibit C, together with the right of reasonable and necessary ingress and egress over
the License Area with such personnel and equipment as may be deemed reasonably necessary in
connection with the exercise of the rights granted herein. The temporary construction license shall
commence on the date that is the earlier of(a) the commencement of Grantee's construction of
said improvements,or(b)the date that is ninety(90)days after the date of this Easement,and shall
automatically expire upon the date that is the earlier of(i)one year after such commencement date,
or (ii) thirty (30) days after the completion of Grantee's construction of said improvements. No
later than the expiration of the temporary construction license period, Grantee shall vacate the
License Area and restore the same to substantially the same condition the same was in when
Licensee commenced its use and/or occupancy thereof. If either party so requests, Grantee and
Grantor shall confirm in writing the commencement and scheduled expiration dates of the
temporary construction license period(once determined as provided above)pursuant to a mutually
acceptable written instrument.
Grantee shall, in connection with its use and occupancy of the Property and the exercise of
its rights and performance of its obligations under this Easement, comply with the "Additional
Requirements" set forth on Exhibit D attached hereto and made a part hereof by this reference.

Grantor hereby reserves unto itself, its grantees, licensees, lessees, successors and assigns,
the unrestricted right for ingress to and egress from and communication between Grantor's
adjoining properties and for installation, operation, maintenance, renewal and removal of its or
their facilities upon, over and under the surface of the Property described above,as it or they shall
see fit insofar as such uses are compatible with the improvements shown on Exhibit C.
Grantee agrees and shall require its contractor or contractors, whenever they are working
on, over and across said Property, to furnish Grantor with evidence of insurance coverage as
specified in the "Insurance Rider" set forth on Exhibit E, attached hereto and incorporated herein
by this reference.
At all times governed by this Easement, Grantee shall conduct its operations and otherwise
use or occupy Grantor's Property hereunder in compliance with all applicable Environmental Laws
and shall not knowingly cause any Hazardous Material to be introduced to Grantor's Property
hereunder. Grantee shall defend, indemnify and hold harmless Grantor, its successors, assigns,
officers,directors,shareholders,agents,representatives and employees from and against any suits,
damages(including,but not limited to,consequential damages), losses, claims or causes of action,
demands, injuries, costs and expenses of any kind including, without limitation, court costs,
expenses,attorney and consultant fees,whether asserted under Environmental Laws or at common
law, arising out of or related to any breach by Grantee of the environmental covenants set forth
above;any violation by Grantee of any Environmental Law;or the presence,release or threatened
release of any Hazardous Material at, on or beneath Grantor's Property knowingly caused by
Grantee or its agents. As used in this section, the term "Environmental Laws" shall mean all
federal, state and local laws (including common law), statutes, regulations or ordinances relating
to the protection of health, safety,natural resources(including,without limitation,the preservation

of wetlands) or the environment, including, without limitation, the Clean Air Act (42 U.S.C.
§§7401, et seq.), the Water Pollution Control Act (33 U.S.C. §§1251, et seq.), the Resource
Conservation and Recovery Act (42 U.S.C. §§ 6901, et seq.), the Comprehensive Environmental
Response, Compensation and Liability Act (42 U.S.C. §§ 9601, et seq.), the Toxic Substances
Control Act(15 U.S.C. §§2601, et seq.), the Emergency Planning and Community Right to Know
Act(42 U.S.C. §§ 1101, et seq.), the Oil Pollution Control Act(33 U.S.C. §§2701, et seq.)and all
successor statutes to the foregoing and similar state and local laws now or hereinafter enacted or
amended, as well as all regulations pertaining thereto and applicable judicial or administrative
decrees, orders or decisions, authorizations or permits. "Hazardous Materials" shall mean any
waste,pollutant,toxic substance or hazardous substance,contaminant or material regulated by any
Environmental Law including, without limitation, petroleum or petroleum-based substances or
wastes, asbestos and polychlorinated biphenyls.
The foregoing covenants and indemnification obligations shall survive any termination of
this Easement.
Grantor further reserves the right to trim from time to time such trees, saplings and bushes
as may be reasonably required in the operation and maintenance of said facilities of Grantor, and
Grantee agrees not to plant any trees on or near Grantor's Property, which can grow into the
facilities of Grantor.
As a further consideration for this grant, Grantor and or its public utility successor shall
not be assessed for any improvements to be constructed pursuant hereto as a local improvement
project or otherwise charged for the cost of such improvement.
This Easement may be executed in any number of separate counterparts, all of which taken
together shall constitute a single instrument.

Additional Requirements

ADDITIONAL REQUIREMENTS
1. Grantee shall provide finalized plans prior to construction for the development of this
property to Grantor's environmental department(Sara Race) SR 04829024.
2. Grantee shall provide a KMZ Google Earth file of the location of Grantee's
improvements on Grantor's property ("Grantee's Improvements").
3. Grantee shall provide copies of any required environmental permits and plans to
Grantor's environmental department prior to the initiation of the project.
4. Grantee shall provide documentation of current property conditions prior to
construction of Grantee's Improvements (Phase 1, topographic maps, surveys and
photographs).
5. Grantee shall not plant any vegetation.
6. Grantee or its contractor shall not be allowed a line outage between the months of May
15 and September 15. If Grantee determines a line outage is necessary, a minimum of
16-weeks' prior notification will be required(but in no event shall Grantor be obligated
to accommodate any such request for an outage).
7. Grantee or its contractor shall not leave construction equipment and materials on
Grantor's property when there is no work activity.
8. Grantee shall provide as-built plans of Grantee's Improvements within 30 days after
construction is completed.
9. Grantee shall provide a grading plan to Grantor's environmental department prior to
initiation of the project.
10. A soil erosion and sediment control (SESC) plan must be in place for any spoil piles
and this SESC plan must be provided to Grantor's environmental department. Any
changes shall be provided to Grantor's environmental department.
11. The roadway must remain within its designated easement.
12. A Grantor T&S individual will be provided as a single point of contact during the
duration of the construction period. Grantee shall contact Tina Kowalczyk at 224-244-
1826 a minimum of 48 hours prior to the start and upon completion of the project.
13. It should be noted that no plans were provided for the installation of fences, gates,
lighting, signage (other than one "Right Turn Only" and one relocated "Stop" sign) or
vegetation. Therefore, no approval is given for the installation of any fencing, gates,
lighting, signage or vegetation. Grantor Transmission Engineering must be contacted
for written approval of said appurtenances.
14. The roadway surface for the Grantee's project cannot use aggregate concrete. A
crushed limestone or asphalt surface is acceptable.
15. Bulk material storage(i.e.gravel,dirt,mulch) is not allowed on the Grantor's property.
16. The Grantee and/or its contractor cannot raise grade within the right-of-way (ROW).
The Grantee must ensure that the existing drainage is not affected, storm water does
not pool on the ROW or adjacent properties and Grantor National Electric Safety Code
(NESC) safety clearances are not violated. Any spreading of leftover excavation spoils
on the Grantor Transmission ROW must be reviewed and approved by Grantor
Transmission Engineering.
17. Subsurface utility installations and excavations shall be a minimum of fifteen (15) feet
away from any transmission structure. The Grantee's plans appear to accommodate
this. In addition, equipment and materials should not enter into the fifteen foot buffer
area.
18. Any damage to Grantor's property caused by the Grantee will be repaired at the
Grantee's expense.
19. The Grantee or its contractors shall not leave trenches open and unprotected overnight.
Also, the Grantee cannot place obstructions on Grantor property that will restrict
Grantor's ability to access, operate and maintain existing and future transmission and
distribution facilities.
20. The Grantee and/or its contractor are advised that if heavy snow, rains and/or a large
amount of water enters the excavation site and/or pooling occurs within the excavation
site, the Grantee and/or its contractor must immediately backfill the excavation area
and the Grantor's Overhead Transmission engineering department must be contacted
for further instructions.
21. The Grantee's equipment cannot exceed fourteen (14) feet in height on the right-of-
way.
22. The Grantee's facilities on Grantor's property shall be designed for HS20 axle loading
per AASHTO highway specifications in order to withstand construction traffic.
23. The Grantee is responsible for their own investigation and implementation of any
cathodic protection required to mitigate induced voltage on any buried pipeline
facilities.
24. When working in the vicinity of Grantor's electric transmission lines during the
installation, OSHA requires minimum twenty (20) feet working clearance distance
must be maintained between the booms, arms or other parts that can be raised on the
equipment for the Grantee's contractor and Grantor's existing 345,000 volt electric
transmission conductors and a minimum fifteen (15) feet working clearance distance
must be maintained between the booms, arms or other parts that can be raised on the
equipment for the Grantee's contractor and Grantor's existing 138,000 volt electric
transmission conductors.Under no circumstances shall truck beds be raised underneath
Grantor's transmission lines. This note shall be added to any construction drawings.
25. The Grantee must be made aware that Grantor does use heavy equipment and cannot
be responsible for any damage to the Grantee's facilities that may occur due to
Grantor's right to access its property to operate and maintain new and existing
transmission and distribution facilities.
26. Upon completion of Grantee's project, the Grantee must remove any equipment,
construction debris and material from the right-of-way and restore any other disturbed
areas of the right-of-way to their pre-construction condition.

Insurance Rider

INSURANCE RIDER
Grantee agrees to require its contractor(s), before commencing the work of installing, repairing,
replacing or removing the roadway expansion contemplated hereby, to purchase and maintain, or
at the option of Grantee to itself purchase and maintain, at the cost of Grantee or its contractor, a
policy or policies of insurance issued by insurance companies authorized to do business in the
State of Illinois,having ratings of A-/VII or better in the Best's Key Rating Insurance Guide(latest
edition in effect at the latest date stated in the Certificates of Insurance) and in a form satisfactory
to Grantor as follows:
1. Workers' Compensation Insurance with statutory limits, as required by the state in
which the work is to be performed, and Employers' Liability Insurance with limits
not less than One Million dollars ($1,000,000.00) each accident/occurrence;
2. Commercial General Liability (CGL) Policy or Policies (with coverage consistent
with ISO CG 0001 (12 04)) covering all contractors, subcontractors and all their
subcontractors with limits not less than Four Million dollars ($4,000,000.00) per
occurrence covering liability for bodily injury and property damage arising from
premises, operations, independent contractors, personal injury/advertising injury,
blanket contractual liability and products/completed operations for not less than
three (3)years from the date the work is accepted. (CGL insurance includes,but is
not limited to coverage for claims against Grantor for injuries to employees of
Grantee and its contractors or any subcontractors) Grantor shall be added as an
Additional Insured providing coverage consistent with ISO Form CG 20 26 11 85
or the combination of ISO Form CG 20 10 10 01 and CG 20 37 10 01; and
3. Automobile Liability in an amount of not less than one million dollars($1,000,000)
per accident for bodily injury and property damage, covering all owned, leased,
rented or non-owned vehicles, which shall include automobile contractual liability
coverage.
Policies covering contractors may substitute lower limits for any of the policies listed above,
provided that contactors maintains an umbrella or excess liability policy or policies which provide
a total minimum limit of four million dollars ($4,000,000)per occurrence for general liability and
one million dollars ($1,000,000) for automobile liability, and that all other requirements of this
insurance clause are satisfied by such umbrella or excess policy or policies.
There shall be furnished to Grantor, prior to commencing the work above described a certificate
of insurance showing the issuance of insurance policies pursuant to the requirements contained in
Coverages#1,#2, and#3 above. Insurance coverage as required herein shall be kept in force until
all work has been completed. All policies shall contain a provision that coverages afforded under
the policies will not be canceled or material change until at least thirty (30) days prior written
notice(ten (10) days in the case of nonpayment of premium) has been given to Grantor.

To the extent permitted by applicable laws, all above-mentioned insurance policies shall
provide the following:
(1) Be primary and non-contributory to any other insurance carried by Grantor;
(2) Contain cross-liability coverage as provided under standard ISO Forms' separation
of insureds clause;
(3) Provide for a waiver of all rights of subrogation which Grantee's,or its contractors'
insurance carrier might exercise against Grantor; and
(4) Any Excess or Umbrella liability coverage will not require contribution before it
will apply.
