RESOLUTION
AUTHORIZING EXECUTION OF AN AMENDMENT AGREEMENT WITH THE HORTON
GROUP, INC. FOR INSURANCE BROKERAGE AND CONSULTING SERVICES
REGARDING THE CITY OF ELGIN'S HEALTH AND ASSOCIATED BENEFIT
PROGRAMS
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby
authorized and directed to execute an Amendment Agreement on behalf of the City of Elgin with
The Horton Group, Inc. for insurance brokerage and consulting services regarding the City of
Elgin's health and associated benefit programs, a copy of which is attached hereto and made a part
hereof by reference.

AMENDMENT AGREEMENT
THIS AMENDMENT AGREEMENT ("Amendment Agreement") is made and entered
into this 12" day of October, 2022, by and between the City of Elgin, an Illinois municipal
corporation (hereinafter referred to as the "City") and The Horton Group (hereinafter referred to
as"Consultant").
WHEREAS,the City and the Consultant have previously entered into an agreement dated
August 11, 2021,relating to the Consultant furnishing certain professional services in connection
with the City's employee benefits insurance broker and consulting services (hereinafter referred
to as the "Subject Agreement"); and
WHEREAS, Section 1C of the Subject Agreement provides in part that the scope of
services may be amended by the City as needed to include additional projects or delete items as
needed, and in the event any such amendments to the scope of services result in additional or
reduced compensation to the Consultant, such amendment shall require a written amendment to
the agreement executed by the parties; and
WHEREAS, Consultant has provided additional services in connection with the
development and procurement of a new Medicare managed plan for Medicare eligible retirees to
be provided by BlueCross BlueShield; and
WHEREAS, Section 7 of the Subject Agreement provides for an initial term of two years
from the date of the Agreement of August 11, 2021 and that thereafter the City reserves the right,
at its sole option,to renew the agreement on an annual basis for up to four additional years; and
WHEREAS, the parties wish to document compensation to the Consultant for the
additional services provided in connection with the new Medicare managed plan for Medicare
eligible retirees to be provided by BlueCross BlueShield and to extend the term of the Subject
Agreement as hereinafter provided; and
WHEREAS, the changes to the Subject Agreement as provided by this Amendment
Agreement are germane to the original Subject Agreement as signed, and this Amendment
Agreement is in the best interest of the City and authorized by law.
NOW, THEREFORE, for and in consideration of the mutually undertakings set forth in
the Subject Agreement,and the mutually undertakings as set forth in this Amendment Agreement,
the receipt and sufficiency of which are hereby acknowledged,the parties hereto agree as follows:
1. The foregoing recitals are incorporated into this Amendment Agreement in their entirety.
2. Section 4 of the Subject Agreement is hereby amended by adding the following additional
paragraph to the end thereof
"CONSULTANT shall also be paid a commission of$12.50 per member participant per
month for participants in the new Medicare managed plan for Medicare eligible retirees to
be provided by BlueCross B1ueShield. Such commission shall be paid solely and only by
BlueCross BlueShield to the CONSULTANT and the CITY shall have no responsibility to
pay such commission. CONSULTANT shall be eligible to receive such commission for
the years 2023, 2024 and 2025. Effective December 31, 2025, CONSULTANT'S right to
receive such commission shall cease and terminate and no further payments for such
commission shall be made to the CONSULTANT."
3. That Section 7 of the Subject Amendment is hereby amended by extending the term of the
Subject Agreement to December 31, 2025.
4. That in the event of any conflict between the terms of this Amendment Agreement and the
terms of the Subject Agreement,the terms of this Amendment Agreement shall supersede
and control.
5. That except as amended pursuant to this Amendment Agreement, the Subject Agreement
shall remain in full force and effect.
