HomeMy WebLinkAbout22-136 Resolution No. 22-136 RESOLUTION AUTHORIZING EXECUTION OF AN AMENDMENT TO AGREEMENT WITH ANDRES MEDICAL BILLING, LTD. FOR EMERGENCY MEDICAL SERVICE BILLING AND MANAGEMENT REPORTING BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that pursuant to Elgin Municipal Code Section 5.02.020B(9)the City Council hereby finds that an exception to the requirements of the procurement ordinance is necessary and in the best interest of the city; and BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby authorized and directed to execute an Amendment to Agreement on behalf of the City of Elgin with Andres Medical Billing, Ltd., for emergency medical service billing and management reporting, a copy of which is attached hereto and made a part hereof by reference. s/David J. Kaptain, Mayor Presented: July 27, 2022 Adopted: July 27, 2022 Vote: Yeas: 8 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk AMENDMENT TO AGREEMENT FOR EMS BILLING AND MANAGEMENT REPORTING This Amendment Agreement is made and entered into as of the 27 day of July , 2022,by and between the City of Elgin, an Illinois municipal corporation(hereinafter referred to as the "City") and Andres Medical Billing,Ltd., an Illinois corporation(hereinafter referred to as the "Contractor"). WHEREAS, the City and the Contractor entered into an Agreement pursuant to City proposal 13-061 for EMS billing and management reporting dated March 19, 2014 (hereinafter referred to as the "Subject Agreement"); and WHEREAS, the Subject Agreement has an initial term through February 27, 2019,with a two-year renewal mutually agreeable between the City and the Contractor; and WHEREAS,effective January 1,2018,the City increased certain EMS fees,and as a result thereof the Contractor has agreed to amend its percentage fees charged to the City under the Subject Agreement. NOW, THEREFORE, for and in consideration of the mutual undertakings as set forth in this Agreement, and the mutual undertaking as set forth in the Subject Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agreed as follows: 1. That the City and the Contractor agree that effective March 1, 2018, the Subject Agreement is amended to provide that the Contractor's percentage fees to be charged to the City under the Subject Agreement are amended from 4.75%to 3.25%. 2. That Article III of the Subject Agreement entitled"Duration"is amended to provide that the term of the Agreement is further extended and shall expire on February 28,2023. 3. That except as specifically amended in this Agreement, the Subject Agreement shall remain in full force and effect. 4. In the event of any conflict between the terms of this Amendment Agreement, the terms of the Subject Agreement, the terms of this Amendment Agreement shall supersede and control. 5. This Amendment Agreement may be executed in counterparts. Signatures transmitted by facsimile or email shall have the same legal effect as an original signature. ANDRES MEDICAL BILLING,LTD.
