AGREEMENT
THIS AGREEMENT is hereby made and entered into this 12th day of January, 2022, by
and between the City of Elgin, Illinois, a municipal corporation(hereinafter referred to as "City")
and MacQueen Equipment, LLC, a Delaware corporation d/b/a MacQueen Emergency,
(hereinafter referred to as "MacQueen"or"CONTRACTOR").
NOW, THEREFORE, for and in consideration of the mutual promises and covenants
contained herein, the sufficiency of which is hereby mutually acknowledged, the parties hereto
hereby agree as follows:
1. PURCHASE. City shall purchase, and MacQueen shall sell the goods and/or services
described by Attachments A and B, attached hereto and made a part hereof.
2. TERMS. This agreement shall be subject to the terms and conditions contained
herein and as provided by Attachment A, Attachment B, and the Houston-Galveston Area
Council (HGAC) Consortium Pricing Contract #FS12-19 ("HGAC Contract"), made a part
hereof by reference.
3. DEFINITIONS.
a. "Product" means the fire apparatus and any associated equipment furnished for
the City by MacQueen,pursuant to the specifications.
b. "Specifications" means the general specifications, technical specifications,
orientation, and testing requirements for the Product contained in the MacQueen
Proposal for the Product prepared in response to the City's request for proposal.
C. "MacQueen Proposal" means the proposal provided by MacQueen attached as
Exhibit B prepared in response to the City's request for proposal.
d. "Delivery" means the date MacQueen is prepared to make physical possession of
the Product available to the City.
4. CONFLICT. Notwithstanding anything to the contrary provided herein or in any
attachment or document hereto, in the event of any conflict between any of the terms and
provisions of this agreement and Attachments A or B, or the HGAC Contract, or any portion
thereof, the terms and provisions of this agreement shall supersede and control. In the event of a
conflict between Attachments A or B, and the HGAC Contract, the provisions of Attachment A
or B hereto shall supersede and control. In the event of a conflict between the provisions of this
purchase agreement and Attachment A or B hereto, the provisions of this agreement shall
supersede and control. In the event of any conflict between Attachment A and B hereto, the
provisions of Attachment A shall supersede and control.
5. FUTURE CHANGES. Various state or federal regulatory agencies (e.g. NFPA, DOT,
EPA) may require changes to the Specifications and/or the Product and in any such event any
resulting cost increases incurred to comply therewith will be added to the Purchase Price to be
paid by the City upon City's written approval in City's sole discretion. In addition, any future
drive train upgrades (engine, transmission, axles, etc.), or any other specification changes have
not been calculated into MacQueen annual increases and will be provided at additional cost. To
the extent practicable, MacQueen will document and itemize any such price increase for the
City's approval before proceeding.
6. AGREEMENT CHANGES. The City may request that MacQueen incorporate a
change to the Products or the Specifications for the Products by delivering a change order to
MacQueen; provided, however, that any such change order must be in writing and include a
description of the proposed change sufficient to permit MacQueen to evaluate the feasibility of
such change ("Change Order"). Within seven (7) business days of receipt of a Change Order,
MacQueen will inform the City in writing of the feasibility of the Change Order, the earliest
possible implementation date for the Change Order, of any increase or decrease in the Purchase
Price resulting from such Change Order, and of any effect on production scheduling or Delivery
resulting from such Change Order. MacQueen shall not be liable to the City for any delay in
performance or Delivery arising from any such Change Order. A Change Order is only effective
when counter-signed by MacQueen's authorized representative.
7. CANCELLATION/TERMINATION. In the event this Agreement is cancelled or
terminated by the City before completion, MacQueen may charge a cancellation fee. The
following charge schedule based on costs incurred may be applied: (a) 10%of the Purchase Price
after order is accepted and entered by MacQueen; (b)20%of the Purchase Price after completion
of approval drawings, and; (c) 30% of the Purchase Price upon any material requisition. The
cancellation fee will increase accordingly as costs are incurred as the order progresses through
engineering and into manufacturing. MacQueen shall endeavor to mitigate any such costs
through the sale of such Product to another purchaser; however, City shall be liable for the
difference between the Purchase Price and, if applicable, the sale price obtained by MacQueen
upon sale of the Product to another purchaser, excluding costs incurred by MacQueen to conduct
any such sale.
8. LAW/VENUE. This agreement is subject to and governed by the laws of the State of
Illinois. Venue for the resolution of any disputes or the enforcement of any rights arising out of
or in connection with this agreement shall be the Circuit Court of Kane County, Illinois.
MacQueen hereby irrevocably consents to the jurisdiction of the Circuit Court of Kane County,
Illinois for the enforcement of any rights, the resolution of any disputes and/or for the purposes
of any lawsuit brought pursuant to this agreement or the subject matter hereof; and MACQUEEN
agrees that service by first class U.S. mail to MacQueen Equipment, LLC, 1125 7' Street East,
St. Paul, MN 55106 shall constitute effective service. Both parties hereto waive any rights to a
jury.
9. NOTICE. Any required or permitted notices hereunder must be given in writing at the
address of each party set forth below, or to such other address as either party may substitute by
written notice to the other in the manner contemplated herein, by one of the following methods:
hand delivery; registered, express, or certified mail, return receipt requested, postage prepaid; or

10. NO MODIFICATION. There shall be no modification of this agreement, except in
writing and executed with the same formalities as the original.
11. MERGER. This agreement embodies the whole agreement of the parties. There are no
promises, terms, conditions or obligations other than those contained herein, and this agreement
shall supersede all previous communications, representations or agreements, either verbal,
written or implied between the parties hereto.
12. INTEREST. MacQueen hereby waives any-and all claims or rights to interest on money
claimed to be due pursuant to this agreement including but not limited to any attachment hereto,
and waives any and all such rights to interest to which it may otherwise be entitled pursuant to
law, including, but not limited to, pursuant to the Local Government Prompt Payment Act (50
ILCS 50511, et seq.), as amended, or the Illinois Interest Act (815 ILCS 205/1, et seq.), as
amended. The provisions of this paragraph shall survive any expiration, completion and/or
termination of this agreement.
13. SEVERABILITY. The terms of this agreement shall be severable. In the event any of
the terms or the provisions of this agreement are deemed to be void or otherwise unenforceable
for any reason,the remainder of this agreement shall remain in full force and effect.
14. PAYMENT. City shall pay the total sum of$785,555.00 on or before January 20, 2022.
The aforementioned total sum is inclusive of all freight, shipping and applicable taxes. The City
is not requiring a performance bond. Notwithstanding anything to the contrary provided for
herein or in Attachment A hereto,the parties agree that payment of the total sum provided above
within the time period provided above shall constitute effective invocation of the prepayment
option described in Attachment A. The City is availing itself of the trade-in option provided by
Attachment A.
15. LIMITATION OF DAMAGES. In no event shall City be liable for any monetary
damages in excess of the purchase price contemplated by this agreement other than as
specifically provided herein in the event of cancellation by the City. In no event shall City be
liable for any consequential, special or punitive damages, or any damages resulting from loss of
profit.
16. DELIVERY,INSPECTION,AND ACCEPTANCE.
a. Delivery. Notwithstanding anything to the contrary anywhere in this agreement
or attachments, transfer of title, and risk of loss shall pass to the City only upon
delivery of the goods. All transportation and delivery shall be at MacQueen's sole
expense.

b. Inspection and Acceptance. Upon Delivery, City shall have fifteen (15) days
within which to inspect the Product for substantial conformance to the material
Specifications, and in the event of substantial non-conformance to the material
Specifications to furnish MacQueen with written notice sufficient to permit
MacQueen to evaluate such nonconformance ("Notice of Defect"). Any Product
not in substantial conformance to material Specifications shall be remedied by
MacQueen within thirty (30) days from the Notice of Defect. In the event
MacQueen does not receive a Notice of Defect within fifteen (15) days of
Delivery, Product will be deemed to be in conformance with Specifications and
accepted by City.
17. INDEMNIFICATION. To the fullest extent permitted by law, the parties hereto shall
each indemnify and hold each other harmless, their officers, employees,boards and commissions
from and against any and all claims, suits,judgments, costs, damages or any and all other relief
or liability, excluding attorneys' fees, arising out of or resulting from or through or alleged to
arise out of any acts or negligent acts or omissions of either party or either party's officers,
employees, agents or subcontractors in the performance of this agreement, including but not
limited to, all goods delivered or services or work performed hereunder. In the event of any
action against either party hereto, its officers, employees, agents,boards or commissions covered
by the foregoing duty to indemnify and hold harmless, such action shall be defended by legal
counsel of the defending parry's choosing. Notwithstanding anything to the contrary anywhere in
this agreement or attachments, in no event shall either party be liable for any of either party's
attorneys'fees.
18. STANDARD WARRANTY. The equipment sold herein will be manufactured by Pierce
Manufacturing, Inc. and any warranties are attached hereto as Exhibit B and made a part hereof.
Any additional warranties must be expressly approved in writing by Pierce's authorized
representative and MacQueen.
a. Disclaimer. Other than as expressly set forth in this agreement, neither Pierce, its
Parent Company, Affiliates, Subsidiaries, Licensors, suppliers, distributors,
dealers, including without limitation, MacQueen, or other respective officers,
directors, employees, shareholders, agents or representatives,make any express or
implied warranties with respect to the products provided hereunder or otherwise
regarding this agreement, whether oral or written, express, implied or statutory.
Without limiting the foregoing, any implied warranty against infringement, and
the implied warranty of condition of fitness for a particular purpose are expressly
excluded and disclaimed. Statements made by sales representatives or in
promotional materials do not constitute warranties.
b. Exclusions of Incidental and Consequential Damages. In no event shall
MacQueen or City be liable for consequential, incidental or punitive damages
incurred by City or any third party in connection with any matter arising out of or
relating to this Agreement, or the breach thereof, regardless of whether such
damages arise out of breach of warranty, tort, contract, strict liability, statutory

liability, indemnity, whether resulting from non-delivery or from MacQueen's or
City's own negligence, or otherwise.
19. INSURANCE. MacQueen maintains the following limits of insurance with a carrier(s)
rated A-or better by A.M. Best:
Commercial General Liability Insurance:
Products/Completed Operations Aggregate: $2,000,000
Each Occurrence: $ 2,000,000
Umbrella/Excess Liability Insurance:
Aggregate: $ 5,000,000
Each Occurrence: $ 5,000,000
The City may request MacQueen to provide the City with a copy of a current Certificate of
Insurance with the coverages listed above.
20. FORCE MAJEURE. MacQueen shall not be liable nor deemed to be in default on
account of delays in performance due to causes which are beyond MacQueen's control which
make MacQueen's performance impracticable, including but not limited to civil wars,
insurrections, strikes, riots, fires, storms, floods, other acts of nature, explosions, earthquakes,
accidents, any act of government, delays in transportation, inability to obtain necessary labor
supplies or manufacturing facilities, allocation regulations or orders affecting materials,
equipment, facilities or completed products, failure to obtain any required license or certificates,
acts of God or the public enemy or terrorism, failure of transportation, epidemics, quarantine
restrictions, failure of vendors (due to causes similar to those within the scope of this clause) to
perform their contracts or labor troubles causing cessation, slowdown, or interruption of work.
21. DEFAULT. The occurrence of one or more of the following shall constitute a default
under this Agreement:
(a) the City fails to pay when due any amounts under this Agreement or to perform any of its
obligations under this Agreement; (b) MacQueen fails to perform any of its obligations under
this Agreement; (c) either party becomes insolvent or become subject to a bankruptcy or
insolvency proceedings; (d) fraud in the inducement by either party to induce the other to enter
into this Agreement which is false in any material respect; or (e) either party hereto dissolves,
merges, consolidates or transfers a substantial portion of its property to another entity.
22. RELATIONSHIP OF PARTIES. Neither parry is a partner, employee, agent, or joint
venture of or with the other.
23. ASSIGNMENT. Neither party may assign its rights and obligations under this
Agreement unless it has obtained the prior written approval of the other party.
24. ADDITIONAL ORDERS. MacQueen, at its sole discretion, will allow the terms of this
contract to be extended to both the City, as well as to other Municipal, State, or Federal agencies
for similar unit(s). City and MacQueen will allow tag on / additional orders prior to January 12,

2025. To facilitate pricing, MacQueen will quote the original price plus manufacturer's price
increases or Producer's Price Index (PPI) whichever is greater as it applies to either Fire
Apparatus and/or commercial heavy truck industries. Additionally, any regulatory changes
(NFPA, EPA, Engine Emissions, FMVSS, etc.) may also be added to the price as they become
applicable upon City's written approval. Change orders to the original specification will need to
be authorized, signed, and accepted by MacQueen and City as applicable. Any entity using this
tag-on/additional orders program will be required to sign a new contract commencing the
relationship. Additionally, if required by the Purchaser, any new tag-on / additional orders that
require a"separate"Performance bond will be separately priced.
25. EXECUTION. This agreement may be executed in counterparts, each of which shall be
an original and all of which shall constitute one and the same agreement. For the purposes of
executing this agreement, any signed copy of this agreement transmitted by fax machine or e-
mail shall be treated in all manners and respects as an original document. The signature of any
party on a copy of this agreement transmitted by fax machine or e-mail shall be considered for
these purposes as an original signature and shall have the same legal effect as an original
signature. Any such faxed or e-mailed copy of this agreement shall be considered to have the
same binding legal effect as an original document. At the request of either party any fax or e-
mail copy of this agreement shall be re-executed by the parties in an original form. No party to
this agreement shall raise the use of fax machine or e-mail as a defense to this agreement and
shall forever waive such defense.
The person signing this agreement certifies that s/he has been authorized by MacQueen to
commit MacQueen contractual and has been authorized to execute this agreement on its behalf.

Sale Price— $1,113,000.00*

100% Performance Bond:
Should the City of Elgin Fire Department elect to have us provide a Performance Bond,
$2,733.00 will need to be added to the above price.
100% Prepayment Option:
Should the City of Elgin Fire Department elect to make a 100% prepayment at contract
execution, a discount of($27,445.( ) can be subtracted from the above"Sales Price" resulting
in a revised contract price of$1,086,555.00 OR $1,088,288.00 with Performance Bond.
If trade in option is exercised, prepay discount is (,�25,923.0O and amount due with contract
is 1,087,077.00 less ($300,000.00) for trade for a net due of $787,077.00 or $789,810.00
with Performance Bond.
Customer to utilize existing credit in the amount of$1,622.00 to bring final amount due
with contract to $785,555.00 or$788,288.00 with Performance Bond.
Trade-In Option:
Should the City of Elgin Fire Department elect to Trade-in Pierce Arrow XT 100' Rear Mount
Aluminum Platform, Pierce job#24648, a discount of($300,000.00) can be subtracted from the
above "Sale Price". Trade in terms are subject to having no major/excessive underside corrosion, must
be fully operational at time of trade,have new passing pump test done and new passing UL aerial test,after
they are removed from service. Must be equipped with the basic/fixed equipment vehicle came with from
the factory when new. The vehicle has never been wrecked or been involved in a serious vehicle accident or

flooding or declared salvage,the truck is roadworthy and fully operational at the time of sale. Must have
clean and clear title. Vehicle is to be in similar condition as reviewed at the time of sale. Any excessive wear
or damage will result in a reduction of the trade value or refusal of the trade-in. If trade in is unacceptable
due to any of these conditions,this option becomes null and void.
Terms and Conditions:
Taxes— Not Applicable
Freight— F.O.B. —Appleton, WI /Shipping to Elgin, IL
Terms— Net due prior to vehicle(s) release at the Pierce Manufacturing Plant(Appleton,
WI). Net due at Contract signing for Prepay discount to be applicable.
Delivery— 12-14 months from receipt and acceptance of contract.
Said apparatus and equipment are to be built and shipped in accordance with the specifications
hereto attached, delays due to strikes, war, or international conflicts, or other causes beyond our
control not preventing, could alter the delivery schedule.
The specifications herein contained, shall form a part of the final contract, and are subject to
changes as desired by the purchaser, provided such changes are acknowledged and agreed to
in writing by the purchaser.
This proposal for fire apparatus conforms with all Federal Department of Transportation (DOT)
rules and regulations in effect at the time of bid, and with all National Fire Protection Association
(NFPA) Guidelines for Automotive Fire Apparatus as published at the time of bid, except as
modified by customer specifications.
The attached proposal is valid through January 28, 2022.
