RESOLUTION
RATIFYING THE EXECUTION OF AMENDMENT TO
PURCHASE OF SERVICE AGREEMENT
WITH ELGIN DREAM CENTER AND
FIRST CHRISTIAN CHURCH OF ELGIN
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that it hereby ratifies and approves the execution of Amendment to Purchase of Service Agreement
by Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, on behalf of the City of
Elgin with Elgin Dream Center and First Christian Church of Elgin for temporary emergency
warming shelter services, a copy of which is attached hereto and made a part hereof by reference.

AMENDMENT TO PURCHASE OP SRVIC.E AGREEMENT
T1JIS AMENDMENT AGREEMENT is made and entered into as of the 24"day of March,
2021,by and between the CITY OF ELGIN,Illinois,a municipal corporation(hereinafter referred
to as the"City")ELGIN DREAM CENTER,formerly known as the Chicago Dream Center,an
Illinois not-for-profit corporation(hereinafter referred to as the"Service Provider") and FIRST
CHRISTIAN CRURCU OF ELGIN, Illinois, an Illinois not-for-profit corporation (hereinafter
referred to as the"Property Owner").
WHEREAS,the City,the Service Provider and the Property Owner entered into a Purchase
of Service Agreement dated December 23, 2020, relating to the Service Provider operating a
temporary emergency warning shelter and providing temporary overnight accommodations for
persons experiencing homelessness at the Subject Property owned by the Property Owner at 1125
Summit Street, Elgin, Illinois (hereinafter referred to as the "Subject Purchase of Service
Agreement");'and
WHEREAS, the Service Provider provided additional services pursuant to the Subject
Purchase of Service Agreement in excess of the amount as originally contemplated in tile Subjcct
Pureltase of Service AgreeItent at the Subject Property;and
WHEREAS,the parties hereto wish to amend the Subject Purchase of Service Agreement
by amending the amount of the total payments to be made by the City to the Property Owner and
the Service Provider pursuant to the Subject Purchase of Service Agreement.
NOW,THEREFORE,in consideration of the mutual promises and covenants contained in
the Subject Purchase of Service Agreement,and other good and valuable consideration,the receipt
and sufficiency of which is hereby acknowledged,the parties hereto agree as follows:
I. That the Subject Purchase of Service Agreement is hereby amended by amending
the fourth sentence in Section 5 thereof to read as follows: "Notwithstanding the foregoing,or
anything else to the contrary,total payments by the City to the Property Owner and the Service
Provider pursuant to this Agreement shall not exceed the total amount of Forty-Two Thousand
Fifty Dollars($42,050.00)"
2. That except as expressly amended in this Amendment Agreement, the Subject
Purchase of Service Agreement shall remain in full force and effect.
3. That if any conflict between the terms of this Amendment Agreement,and the terns
of the Subject Purchase of Service Agreement,the terns of this Amendment Agreement shall
supersede and control
