RESOLUTION
AUTHORIZING EXECUTION OF A FIRST EXTENSION OF INTERGOVERNMENTAL
MAINTENANCE FACILITY AGREEMENT WITH HANOVER TOWNSHIP FOR SALT
STORAGE AT THE SHALES PARKWAY FACILITY
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
Richard G.Kozal,City Manager,and Kimberly A.Dewis,City Clerk,be and are hereby authorized
and directed to execute a First Extension of Intergovernmental Maintenance Facility Agreement on
behalf of the City of Elgin with Hanover Township,for salt storage at the Shales Parkway facility,a
copy of which is attached hereto and made a part hereof by reference.

FIRST EXTENSION OF
INTERGOVERNMENTAL MAINTENANCE FACILITY AGREEMENT
THIS EXTENSION AGREEMENT is hereby made and entered into this 15 day of
December , 2021, by and between the City of Elgin, a municipal corporation of the
'State of Illinois (hereinafter referred to as the "City"), and Hanover Township, a body corporate
and politic of the State of Illinois, (hereinafter referred to as the"Hanover Township").
WHEREAS, the parties have previously entered into an agreement dated June 26, 2017,
(hereinafter referred to as"Original Agreement"),relating to salt storage by Hanover Township at
the City's Salt Storage Facility located at 526 Shales Parkway, Elgin, Illinois (hereinafter referred
to as the "Facility"); and
WHEREAS, the initial term of the Original Agreement expired on April 1, 2021; and
WHEREAS, paragraph J of the Original Agreement provides that the Original Agreement
may be extended thereafter on an annual basis by mutual written consent of both parties under the
same terms and conditions as set forth in the Original Agreement; and
WHEREAS, the City and Hanover Township desire to renew and extend the Original
Agreement to provide for Hanover Township's use of the Facility for an additional one-year term
under the same terms and conditions as set forth in the Original Agreement.
NOW, THEREFORE, for an in consideration of the mutual promises and covenants
contained herein, the receipt and sufficiency of which are hereby mutually acknowledged, the
parties hereto hereby agree as follows:
1. The foregoing recitals are hereby incorporated into and made a part of this
agreement in their entirety.
2. The Original Agreement is hereby extended under the same terms and conditions
as set forth in the Original Agreement,for the period commencing on April 1, 2021 and ending on
April 1, 2022.
3. That except for the extension of the term of the Original Agreement, the terms and
provisions of the Original Agreement shall remain in full force and effect.
4. That in the event of any conflict between the terms and provisions of the Original
Agreement and the terms and provisions of this extension agreement, the terms and provisions of
this extension agreement shall control.
