FOR THE PURCHASE OF A MOBILE EMERGENCY OPERATIONS VEHICLE WHEREAS,the City of Elgin has heretofore entered into a contract with LDV,Inc. for the purchase of a mobile emergency operations vehicle; and WHEREAS,it is necessary and desirable to modify the terms of the contract as is described in Change Order No. 1 attached hereto. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,that pursuant to Elgin Municipal Code Section 5.02.020B(9)the City Council hereby finds that an exception to the requirements of the procurement ordinance is necessary and in the best interest of the city; and BE IT FURTHER RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,that Richard G.Kozal,City Manager,be and is hereby authorized and directed to execute Change Order No. 1, a copy of which is attached hereto and made a part hereof by reference. s/David J. Kaptain, Mayor Presented: October 13, 2021 Adopted: October 13,2021 Vote: Yeas: 9 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk City of Elgin an a_ _Qrde ELGIN,ILLINOIS CHANGE ORDER No. 1 CONTRACT: Purchase Agreement between the City of Elgin and LDV, Inc., dated September 22, 2021 for the Purchase of a Mobile Emergency Operations Vehicle SCOPE: In the initial purchase agreement a delivery date of August 31, 2022 was inserted. The vehicle is now expected to be delivered some time during the 1'quarter of 2023. REASONS FOR CHANGE: The original delivery date is not possible due to the on-going global sup- ply chain issues. Due to these issues the chassis manufacturer(International)and others are closing pro- duction plants because vital components are not available and they currently have a 12 month lead time on chassis delivery. One the manufacturer of the vehicle(LDV)receives delivery it is anticipated it will be approximately four(4) months for the complete build out putting delivery in the 1' quarter of 2023. The circumstances said to necessitate the change in performance were not reasonably foreseeable at the time the contract was signed as LDV was recently notified of the plant closings. This change is germane to the original contract as signed and the change order is in the best interests of the City of Elgin and au- thorized by law. SUMMARY OF CHANGES IN CONTRACT AMOUNT: There are no changes in the contract pric- ing- The original amount of the contract with LDV is $826,599. Change Order No. 1 will not change the original contract amount. DELIVERY: Section 11 of the Agreement entitled "DELIVERY" is amended to read as follows: "LDV shall complete delivery of all goods and/or provide all services on or before March 31, 2023." The de- livery terms in Attachment A are amended from 360 days from ARO to on or before March 31, 2023. OTHER CONTRACT PROVISIONS:All other contract provisions remain the same.
