RESOLUTION
AUTHORIZING EXECUTION OF AN AMENDMENT TO RIDE IN KANE NEW
FREEDOM/JARC AND 5310 SERVICE AGREEMENT WITH ASSOCIATION FOR
INDIVIDUAL DEVELOPMENT REGARDING THE RIDE IN KANE PROGRAM
(Phase 17 through 18 —August 2019 through August 2021)
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that David J. Kaptain, Mayor, and Kimberly A. Dewis, City Clerk, be and is hereby authorized
and directed to execute an Amendment Ride in Kane New Freedom/JARC and 5310 Service
Agreement, (Phase 17 through 18-August 2019 through August 2021), on behalf of the City of
Elgin with Association for Individual Development regarding the Ride in Kane Program, a copy
of which is attached hereto and made a part hereof by reference.

AMENDMENT TO RIDE IN KANE NEW FREEDOM/JARC AND 5310 SERVICE
AGREEMENT WITH ASSOCIATION FOR INDIVIDUAL DEVELOPMENT
REGARDING THE RIDE IN KANE PROGRAM
(Phase 17 through 18 —August 2019 through August 2021)
This Amendment Agreement is made and entered into this 22nd day of July, 2020,by and
between the City of Elgin, an Illinois municipal corporation(hereinafter referred to as the "City"),
and the Association for Individual Development(hereinafter referred to as "AID").
WHEREAS,the City and AID entered into a Ride in Kane New Freedom/JARC and 5310
Service Agreement Phase 17 through 18 with projected service dates of August 2019 through
August 2021 (hereinafter referred to as the "Subject Agreement"); and
WHEREAS, Section 4 of the Subject Agreement relating to billing provides in part that
notwithstanding anything to the contrary in the Agreement the City's cost shall not exceed$50,000
for each City of Elgin fiscal year; and
WHEREAS, the City has entered into a new Ride in Kane Pace Subsidy Agreement with
Pace for January 1,2020,through December 31,2020,wherein the City's projected local share for
the Ride in Kane program is in the amount of$152,715; and
WHEREAS,the City and AID wish to amend their prior Subject Agreement to incorporate
the new increased projected local share for the City for Ride in Kane services for the 2020 calendar
year.
NOW, THEREFORE, for and in consideration of the mutual undertakings set forth in this
Subject Agreement, and the mutual undertakings set forth in this Amendment Agreement, the
parties hereto agree as follows:
1. That Section 4 of the Subject Agreement is hereby amended by amending the
second sentence thereof to read as follows:
"Notwithstanding anything to the contrary in this agreement,prior to 2020,the City's total
cost for this agreement shall not exceed $50,000 for each City of Elgin fiscal year, and
commencing in 2020 the City's total cost for this agreement shall not exceed $152,715 for
each City of Elgin fiscal year."
2. The except as expressly amended in this Amendment Agreement, the subject
Agreement between the City and AID shall remain in full force and effect.
3. That in the event of any conflict between the terms of this Amendment Agreement,
and the terms of the subject Agreement, the terms of this Amendment Agreement shall supersede
and control.
4. This Amendment Agreement may be executed in counterparts, each of which shall
be an original and all of which shall constitute one and the same agreement. This Amendment
Agreement may be executed by electronic signature, which shall be considered as an original
signature for all purposes and shall have the force and effect as an original signature. Without
limitation, "electronic signature" shall include fax versions of an original signature or
electronically scanned and transmitted versions(e.g., PDF) of an original signature.
IN WITNESS WHEREOF, the parties hereto have entered into and executed this
Amendment Agreement as of the date near first written above.
