GATHMAN, AS TRUSTEE OF THE DECLARATION OF TRUST AGREEMENT NO. 201 OF ROBERT B. GATHMAN DATED MARCH 13, 2001 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby authorized and directed to execute a Settlement and Release Agreement on behalf of the City of Elgin with CalAtlantic Group, Inc., Carolyn M. Gathman, as Trustee of the Declaration of Trust Agreement No. 202 of Carolyn M. Gathman dated March 13, 2001, and Robert B. Gathman, as Trustee of the Declaration of Trust Agreement No. 201 of Robert B. Gathman dated March 13, 2001, a copy of which is attached hereto and made a part hereof by reference. s/David J. Kaptain, Mayor Presented: July 8, 2020 Adopted: July 8, 2020 Vote: Yeas: 9 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk SETTLEMENT AND RELEASE AGREEMENT This Settlement and Release Agreement("Agreement")is made and entered into this 8th day of July , 2020, by and between the City of Elgin, Illinois, an Illinois Municipal corporation (hereinafter referred to as the "City"), CalAtlantic Group, Inc., a Delaware corporation, authorized to do business in the state of Illinois (hereinafter referred to as "CalAtlantic"); and Carolyn M. Gathman, as Trustee of the Declaration of Trust Agreement No. 202 of Carolyn M. Gathman dated March 13, 2001, and Robert B. Gathman, as Trustee of the Declaration of Trust Agreement No. 201 of Robert B. Gathman dated March 13, 2001 (hereinafter collectively referred to as the "Gathmans"). The City, CalAtlantic and the Gathmans are also sometimes referred to collectively as the "Parties". WHEREAS, the City and the Gathmans have previously entered into an Easement Agreement dated November 8, 2017, and recorded on November 13, 2017 as Document No. 2017K059117 (hereinafter referred to the"Subject Easement Agreement"); and WHEREAS, the Subject Easement Agreement provides for a grant from the Gathmans to the City a permanent and exclusive easement for specified utilities as described therein over a portion of the Gathman property described and defined therein as the"Easement Premises"; and WHEREAS, CalAtlantic thereafter constructed certain public utility improvements within the Easement Premises pursuant to the terms of the Easement Agreement; and WHEREAS, the Gathmans have raised certain issues with respect to the construction of the public utilities within the Easement Premises as hereinafter described; and WHEREAS, the City and CalAtlantic have maintained that the construction of the public utilities within the Easement Premises and the other activities in and adjacent to the Easement Premises by the City and CalAtlantic are in conformance with the terms and conditions of the Easement Agreement; and WHEREAS, in order to avoid further dispute,uncertainty and expense, each of the Parties hereto desires to fully and finally settle and resolve the various issues relating to the construction of the public utilities,appurtenances relating thereto, and other activities in the Easement Premises as hereinafter described. NOW, THEREFORE, for and in consideration of the mutual undertakings herein, the Parties hereto agree as follows for the express purpose of fully and finally settling and compromising all the various claims and matters as set forth herein, it is agreed as follows: 1. The foregoing recitals are incorporated into and made part of this Agreement. 2. That prior to June 1, 2020, the City at its expense will remove from the Easement Premises the two fire hydrants currently located at the northerly end of the Easement Premise being fire hydrant #3, station 840 + 54, 0' RT/LT, and fire hydrant #4, station 840 + 49, 10' RT (hereinafter referred to as the "Subject Fire Hydrants"), such references to the Subject Fire Hydrants being from the Final Engineering Plans for Ponds of Stony Creek Offsite Watermain Improvement Plan record drawings prepared by Cemcon, Ltd., dated February 19, 2007, last revised March 8, 2018, with pages one (1) and eight (8) thereof being attached hereto as Exhibit 1. 3. That prior to June 1, 2020, CalAtlantic at its expense shall provide for the replacement of the existing sanitary manhole forcemain connection vault lid and hatch located in the Easement Premises at the approximate location of 840+54.2, 13.0'LT in the Plans titled"Final Engineering Plans for Ponds of Stony Creek Phase 1-3 Lift Station and Offsite Sanitary Sewer Improvement Plan" prepared by Cemcon, Ltd., dated April 14, 2017, last revised May 1, 2018, with pages one(1) and fifteen(15) thereof being attached hereto as Exhibit 2, with a new vault lid and hatch in substantial conformance as depicted in the attached drawing for the 10' diameter flat top detail prepared by Welsh Brothers, Inc. dated February 13, 2020, consisting of one page, and the drawing for the 8197ZPT 8217APT hatch access assembly consisting of two pages, attached hereto as Exhibit 3 (hereinafter referred to as the "Subject Vault and Hatch"). It is agreed and understood that the hatch within the Subject Vault and Hatch meets the testing protocols for a heavy duty HS-25 load rating. The Subject Vault and Hatch will be approximately 8"thick,versus the approximately 12"thick vault and hatch as currently installed,and the Subject Vault and Hatch will therefore have an elevation of approximately 4" lower than the existing vault and hatch. It is further agreed and understood that the Subject Vault and Hatch is an allowable and permitted improvement in the Easement Premises pursuant to the Subject Easement Agreement. It is further agreed and understood that the resulting grade from the termination of the stub road to the north to the Subject Vault and Hatch will not exceed 3 percent and that in the event the Gathmans extend a roadway in the Easement Premises from the termination of the stub road to the Subject Vault and Hatch that such resulting grade not exceeding 3 percent would be acceptable to the City. 4. The Gathmans had previously raised the issue of the improper / insufficient reseeding of the Easement Premises from the northerly boundary of the Easement Premises southerly to the tree line. It is agreed and understood that CalAtlantic has since completed the reseeding of this area within the Easement Premises and on all other areas of the Gathman property otherwise disturbed (or claimed by the Gathmans to have been disturbed) by CalAtlantic (hereinafter referred to as the "Subject Reseeding") in compliance with the terms of the Easement Agreement and to the satisfaction of the Gathmans. 5. Within 30 days of the entry into this Agreement, CalAtlantic will pay to the Gathmans the total amount of Seven Thousand Three Hundred Fifty and 00/100ths Dollars ($7,350.00) for all claims heretofore made or which could have been hereafter asserted by thee Gathmans for crop damage incurred up to the date of this Agreement(hereinafter referred to as the "Subject Crop Damage Claim"). 2 6. In consideration of the undertakings by the City with respect to the removal of the Subject Fire Hydrants, and by CalAtlantic in connection with the replacement of existing vault and hatch with the Subject Value and Hatch, the Subject Reseeding, and the payment for the Subject Crop Damage Claim,the Gathmans do hereby on behalf of themselves and their respective agents, personal representatives, successors and assigns, including, but not limited to, successor owners of the Easement Premises, unconditionally, fully and final release, acquit and discharge the City of Elgin and the City of Elgin's current and former elected officials, officers, employees, agents, attorneys, insurers, assigns, contractors, and subcontractors, and CalAtlantic and its officials, officers, directors, shareholders, employees, agents, servants, insurers, successors, assigns, subsidiaries, affiliated companies, contractors and subcontractors, of and from any and all claims, demands, damages, injuries, losses, costs, expenses, compensation, attorney fees, actions, causes of action, duties, deaths, responsibilities, liabilities, whether in tort, contract, or any other theory, ground or basis for recovery in law or equity arising out of or related (i) to the Subject Fire Hydrants, the Subject Vault and Hatch, the Subject Reseeding and/of the Subject Crop Damage Claim, and/or (ii) any and all other matters relating to the construction of public utility improvements and appurtenances relating thereto within the Easement Premises up to the date of this Agreement, and/or any and all other matters relating to the Subject Easement Agreement, and / or (iii) any other acts or omissions of CalAtlantic or the City known or which should be reasonably known by the Gathmans as of the date of this Agreement. The Gathmans represent and warrant to the City and CalAtlantic that other than the Subject Fire Hydrants, the existing vault and hatch, the Gathmans previous request for the reseeding of the Easement Premises and the Subject Crop Damage Claim, that as of the date of this Agreement they have no knowledge of other issues with respect to the construction of public improvements and appurtenances in the Easement Premises, alleged violations of the Subject Easement Agreement, or acts or omissions of CalAtlantic or the City that could otherwise support a claim for damages by the Gathmans. The foregoing release does not apply to claims for breach of this Agreement or to actions to enforce this Agreement. 7. The Parties acknowledge and agree that this Agreement is a compromise of disputed claims. Accordingly, this Agreement shall not be construed as an admission of liability on the part of any party hereto. 8. The Parties agree and acknowledge that this Agreement shall bind and inure to the benefit of each other as well as their past and present officials, owners, shareholders, officers, directors, members, employees, agents, representatives, consultants, attorneys, insures, sureties, successors and assigns. 9. Modification or waiver of any provision of this Agreement shall not be effective unless the modification or waiver is in writing and fully executed by the Parties hereto. This Agreement shall be interpreted in accordance with and governed by the laws of the State of Illinois. This Agreement constitutes a legal, valid and binding obligation of each of the Parties hereto, enforceable against the Parties in accordance with its terms. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this Agreement shall be in the Circuit Court of Kane County, Illinois. 11. This Agreement has been drafted after thorough bargaining and negotiation between the Parties hereto, each of which has been independently represented herein by legal counsel of their choice. Accordingly,this Agreement's language is a product ofthe Parties' mutual effort,and therefore shall not be construed against any one of the Parties hereto as the drafter. 12, Thr Parties acknowledge that the terms of this Agreement are contractual and not merely recitals. 13. The Parties hereto state that this Agreement contains the entire Agreement between them as to the claims described herein, and there are no other oral, w6tten, expressed or implied promises, representations,or inducements not specified herein. 14. Notwithstanding anything to the contrary herein, this Agreement is not intended and shall not be construed as amending the Subject Easement Agreement. The Subject Easement Agreement shall remain in full force and effect. is. The Parties represent that the individuals executing this Agreement on each of the Parties' behalf are authorized and empowered to do so. 16. The Parties may execute this Agreement in counter-parts, each of %vhich shall be deemed an original but all of which together shall constitute one in the same executed document. 17. This Agreement may be executed and then transmitted by facsimile or electronic mail,and each such transmission shall be deemed to have the same force and effect as the original. CAROLYN M.
