RESOLUTION
AUTHORIZING EXECUTION OF AN AMENDMENT TO PURCHASE OF SERVICES
AGREEMENT WITH THE DOWNTOWN NEIGHBORHOOD ASSOCIATION OF ELGIN
FOR ECONOMIC DEVELOPMENT SERVICES
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby
authorized and directed to execute an Amendment to Purchase of Services Agreement on behalf
of the City of Elgin with the Downtown Neighborhood Association of Elgin for economic
development services, a copy of which is attached hereto and made a part hereof by reference.

AMENDMENT TO PURCHASE OF SERVICES AGREEMENT FOR
ECONOMIC DEVELOPMENT SERVICES '
This Amendment Agreement ("Amendment Agreement") is made and entered into this
27`h day of May,2020,by and between the City of Elgin, an Illinois municipal corporation("City"),
and the Downtown Neighborhood Association of Elgin, Inc., an Illinois not-for-profit corporation
("DNA").
WHEREAS, the City and the DNA have previously entered into a purchase of services
agreement for economic development services with a term of April 1, 2018, and ending on March
31, 2020 (the "Subject Agreement"); and
WHEREAS, the City and the DNA wish to extend the Subject Agreement for an additional
four(4) month term from April 1, 2020, and ending on July 31, 2020, pursuant to the other terms
and provisions in the Subject Agreement.
NOW, THEREFORE, for and in consideration of mutual undertakings herein, and other
good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,the
parties hereto agree to as follows:
1. That Section I, subsection I of the Subject Agreement entitled "Term" is hereby amended
by extending the term of the Subject Agreement for the additional period of April 1, 2020
and ending on July 31, 2020.
2. That Section 1, subsection 3 of the Subject Agreement entitled "Compensation" is hereby
amended that to add a provision for compensation for the four month extended term that in
consideration of the rendering of services by DNA under the Subject Agreement for the
additional term of April 1, 2020, and ending on July 31, 2020, the City agrees to pay DNA
the total amount of$45,000 for such period of services.
3. That in the event of any conflict between the terms of this Amendment Agreement and the
Subject Agreement, the terms of this Amendment Agreement shall supersede and control.
4. That except as amended in this Amendment Agreement, the Subject Agreement shall
remain in full force and effect.
5. That the changes provided for in this Amendment Agreement are germane to the original
Subject Agreement as signed and this Amendment Agreement is in the best interest of the
City and authorized by law.
