FOR PROFESSIONAL SERVICES IN CONNECTION WITH PROVIDING TEXTILE RECYCLING COLLECTION SERVICES BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Richard G. Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby authorized and directed to execute a Textile Collection Agreement on behalf of the City of Elgin with Great Lakes Recycling, Inc., for professional services in connection with providing textile recycling collection services, a copy of which is attached hereto and made a part hereof by reference. s/David J. Kaptain David J.Kaptain, Mayor Presented: August 26, 2020 Adopted: August 26, 2020 Omnibus Vote: Yeas: 9 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk AMENDMENT TO TEXTILE COLLECTION AGREEMENT This Amendment Agreement ("Amendment Agreement") is made and entered into this 26th day of August, 2020, by and between the City of Elgin, an Illinois municipal corporation ("CITY"), and Great Lakes Recycling, Inc., an Ohio Corporation d/b/a Simple Recycling ("GREAT LAKES"). WHEREAS, the CITY and GREAT LAKES have previously entered into a textile collection agreement with a term commencing on April 1, 2020, and ending on March 31, 2023 (the"Subject Agreement");and WHEREAS, the Subject Agreement provides that GREAT LAKES shall pay the CITY the sum of $0.01 dollars per pound of materials collected by GREAT LAKES under the Subject Agreement; WHEREAS,the City and GREAT LAKES wish to amend the Subject Agreement such that GREAT LAKES would no longer be required pay the CITY for materials collected by GREAT LAKES under the Subject Agreement, pursuant to the other terms and provisions of the Subject Agreement. NOW, THEREFORE, for and in consideration of mutual undertakings herein, and other good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,the parties hereto agree to as follows: 1. That Paragraph 1, Subparagraph c of the Subject Agreement is hereby deleted in its entirety. 2. That Paragraph 2 of the Subject Agreement is hereby deleted in its entirety. 3. That in the event of any conflict between the terms of this Amendment Agreement and the Subject Agreement, the terms of this Amendment Agreement shall supersede and control. 4. That except as amended in this Amendment Agreement, the Subject Agreement shall remain in full force and effect. 5. That the changes provided for in this Amendment Agreement are germane to the original Subject Agreement as signed and this Amendment Agreement is in the best interest of the City and authorized by law. 6. This Amendment Agreement may be executed in counterparts, each of which shall be an original and all of which shall constitute one and the same agreement. For the purposes of executing this Amendment Agreement, any signed copy of this Amendment Agreement transmitted by fax machine or e-mail shall be treated in all manners and respects as an original document. The signature of any party on a copy of this Amendment Agreement transmitted by fax machine or e-mail shall be considered for these purposes as an original signature and shall have the same legal effect as an I original signature. Any such faxed or e-mailed copy of this Amendment Agreement shall be considered to have the same binding legal effect as an original document. At the request of either party any fax or e-mail copy of this Amendment Agreement shall be re-executed by the parties in an original form. No party to this Amendment Agreement shall raise the use of fax machine or e-mail as a defense to this Amendment Agreement and shall forever waive such defense.
