PURCHASE AGREEMENT
This Agreement is hereby made and entered into this 14 day of F7A,02);,f , 2020,
by and between the City of Elgin, Illinois, a municipal corporation (herein referred to as "City")
and Fire Service, Inc., an Indiana corporation, (herein referred to as "Fire" or"Seller").
NOW THEREFORE, for and in consideration of the mutual promises and covenants
contained herein, the sufficiency of which is hereby mutually acknowledged, the parties hereto
hereby agree as follows:
1. PURCHASE. City shall purchase, and Fire shall sell the goods described by Attachment
A attached hereto and made a part hereof; and as described in the Wheeled Coach specifications
attached hereto and made a part hereof as Attachment B,pursuant to the contract between the City
and Fire dated March 7, 2018 ,attached hereto and made a part hereof.
2. TERMS. This agreement shall be subject to the terms and conditions contained herein and
as provided by Attachments A, B and C.
3. CONFLICT. In the event of any conflict between any of the terms and provisions of this
purchase agreement and any Attachment hereto, the terms and provisions of this purchase agreement
shall control. In the event of any conflict between Attachments A and C hereto, Attachment A shall
control. In the event of any conflict between Attachments A and B hereto, Attachment A shall
control.
4. LAW/VENUE. This agreement is subject to and governed by the laws of the State of
Illinois. Venue for the resolution of any disputes or the enforcement of any rights arising out of or
in connection with this agreement shall be the Circuit Court of Kane County, Illinois,without jury.
SEC hereby irrevocably consents to the jurisdiction of the Circuit Court of Kane County, Illinois
for the enforcement of any rights, the resolution of any disputes and/or for the purposes of any
lawsuit brought pursuant to this agreement or the subject matter hereof;and Fire agrees that service
by first class U.S. mail to Jeff LeBeda, agent of Fire Service, Inc., 9545 North Industrial Drive,
Saint John, Indiana 46373 shall constitute effective service.
5. NO MODIFICATION. There shall be no modification of this agreement, except in
writing and executed with the same formalities as the original.
6. MERGER. This agreement embodies the whole agreement of the parties. There are no
promises, terms, conditions. or obligations other than those contained herein, and this agreement
shall supersede all previous communications,representations,or agreements,either verbal,written
or implied between the parties hereto.
7. INTEREST. Fire hereby waives any and all claims or rights to interest on money claimed
to be due pursuant to this agreement, and waives any and all such rights to interest to which it may
otherwise be entitled, pursuant to law, including, but not limited to, pursuant to the Local
Government Prompt Payment Act (50 ILCS 505/1, et seq.)as amended or the Illinois Interest Act
(815 ILCS 205/1 et seq.)as amended.The provisions of this paragraph shall survive any expiration,
completion, and/or termination of this agreement.
8. SEVERABILITY. The terms of this agreement shall be severable. In the event any of the
terms or the provisions of this agreement are deemed to be void or otherwise unenforceable for
any reason, the remainder of this agreement shall remain in full force and effect.
9. COMPLIANCE WITH LAW. Notwithstanding any other provision of this agreement
it is expressly agreed and understood that in connection with the performance of this agreement,
Fire shall comply with all applicable, federal, state, city and other requirements of law, including,
but not limited to, any applicable requirements regarding prevailing wages, minimum wage,
workplace safety and legal status of employees. Without limiting the foregoing, Fire hereby
certifies, represents, and warrants to City that all of Fire's employees and/or agents who will be
providing products and/or services with respect to this agreement shall be legally authorized to
work in the United States. Fire shall also at its expense secure all permits and licenses, pay all
charges and fees, and give all notices necessary and incident to the due and lawful prosecution of
the work, and/or the products and/or services to be provided for in this agreement. City shall have
the right to audit any records in the possession or control of Fire to determine Fire's compliance
with the provisions of this section. In the event City proceeds with such an audit, Fire shall make
available to City, Fire's relevant records at no cost to City. City shall pay any and all costs
associated with any such audit.
10. PAYMENT. City shall pay ($259,118.00) Two Hundred Fifty-Nine Thousand, One
Hundred Eighteen and 00/100 dollars or($259,118.00) pursuant to Attachment A within thirty
(30)days of delivery or City's receipt of invoice. The aforementioned total sum is inclusive of all
freight, shipping and applicable taxes, which shall be at Fire's sole expense.
Fire shall accept in trade one (1) 2011 Wheeled Coach F450 Type 1 ambulance #
IFDUF4HTXBED05979, with 95,510 miles at evaluation for the value of $8,500.00. The
aforementioned ambulance must be in the same operating and physical condition as was on
the evaluation dated January 21, 2019. If not, the trade is void and the customer is
responsible for the trade value to be reimbursed to the Fire.
Fire shall provide a pre-payment discount of$1,500.00 if full payment is received within 5
days of the execution of this Agreement.

Ambulance as proposed $269,118.00
Trade Value ($ 8,500.00)
Pre-Pay Discount (S 1,500.00)
Net purchase: $259,118.00
All prices are less any applicable local,state,or federal taxes which may be applied to the apparatus
proposed.

11. TERMS OF PAYMENT.
F.O.B.St.John,IN. Zero down payment,full payment via wire transfer or municipal
check.
The purchase price payment reflects US dollars and does not include any authorized change
orders which, if applicable, shall be paid at time of final inspection and signed acceptance.
It is agreed that the ambulance and equipment covered by this contract shall remain the
property of Fire and shall not be placed in service until the full contract price has been paid.
12. DELIVERY. Fire shall complete delivery of all goods on or before October 31, 2020.
The ambulance shall be ready for delivery within approximately 120-160 calendar days, after the
receipt and signed acceptance of this contract,confirmed build order and chassis at the REV Group
Orlando Corporate Headquarters, Winter Park, FL. Fire shall not be liable for penalties and / or
delays due to strikes, failures to obtain materials, fires, accidents, force majeure, or any other
causes beyond the Fire's control.
In order to establish a stable design, procurement, and build schedule, City change order cutoff
date of eight(8)days from the date of the execution of this contract shall apply. Changes in major
components,configuration,or other items that may change the major components or configuration,
(e.g.: Chassis,Motor, Transmission, Wheel Base) shall not be allowed after the contract execution
date.
If inability to obtain exclusive or brand name materials causes completion or delivery problems,
Fire shall advise City of said problem.Fire resolves to examine alternative sources of said material.
Material substitutions shall be mutually agreed upon by City and Fire. No substitutions shall be
made without the execution of a written change order by City.
13. LIMITATION OF DAMAGES. In no event shall City be liable for any monetary
damages in excess of the purchase price contemplated by this agreement. In no event shall City be
liable for any consequential, special, or punitive damages resulting from loss of profit.
14. EXECUTION. This agreement may be executed in counterparts, each of which shall be
an original and all of which shall constitute one and the same agreement. For the purposes of
executing this agreement, any signed copy of this agreement transmitted by fax machine or e-mail
shall be treated in all manners and respects as an original document. The signature of any party
on a copy of this agreement transmitted by fax machine or e-mail shall be considered for these
purposes as an original signature and shall have the same legal effect as an original signature. Any
such faxed or e-mailed copy of this agreement shall be considered to have the same binding legal
effect as an original document. At the request of either party any fax or e-mail copy of this
agreement shall be re-executed by the parties in an original form. No party to this agreement shall

raise the use of fax machine or e-mail as a defense to this agreement and shall forever waive such
defense.
15. TRANSFER OF TITLE/RISK. Transfer of title, and risk of loss shall pass to City upon
delivery of the goods. All transportation and delivery shall be at Fire's sole expense.
16. CHANGE ORDERS. Changes to the contract may be requested by City after the
execution of the contract according to Section 2 of this document. Changes shall be reviewed for
cost and schedule impact by Fire. Changes shall be sequentially numbered. Change Orders shall
be prepared by Fire and executed by City. The price of the apparatus shall be adjusted to take into
account any Change Orders. Any and all Change Orders may extend the completion and
delivery of the ambulance.
17. SPECIFICATIONS. Fire agrees that all material and workmanship in and about this
apparatus shall comply with the original Wheeled Coach proposal dated January 9, 2020,
duplicating previous build #357921, and as described by Attachment B hereto.
(1) Wheeled Coach 2020 F450 Chassis Type I Custom Ambulance per City of Elgin
Specifications.
18. WARRANTY. Shall be as proposed in the attached Wheeled Coach specifications.
19. FIRE SERVICE,INC. requires, and City agrees, that the unit shall be inspected and /or
delivered within seven (7) days of notice that the unit had been completed.
20. CANCELLATION. This contract is subject to cancellation by City only upon payment to
Fire of reasonable cancellation charges, which shall take into account expenses already incurred
and commitments made by Fire.
This contract, to be binding, must be signed by an officer of Fire Service, Inc. or a person
authorized, in writing, by Fire Service, Inc. to do so.
21. TAG-ON /ADDITIONAL ORDERS. At its sole discretion, FIRE may allow the terms
of this contract to be extended to both City and similar agencies for the purchase of a similar unit(s)
under similar terms for a period of three (3) years from the date of the execution of this contract.
Should Fire choose to exercise this option, it shall be permitted to adjust the contract pricing to
account for equitable price adjustments associated with the change in the cost of the materials used
to produce the unit. Such adjustments will be based upon the Producer Price Index (PPI) for fire
trucks and / or heavy transportation equipment or by itemizing price changes expected by Fire
from the component vendors. If there are any changes between the unit(s) purchased via this
contract and any subsequent orders, those changes must be documented via properly signed and
executed change orders, including any necessary price adjustments. If the purchasing agency is
not the City, a separate contract will be required to complete the additional purchases.
This contract, including its appendices, embodies the entire understanding between the parties
relating to the subject matter contained herein and merges all prior discussions and agreements
between them. No agent or representative of Fire has authority to make any representations,

statements, warranties, or agreements not herein expressed and all modifications of amendments
of this agreement, including any appendices, must be in writing signed by an authorized
representative of each of the parties hereto.
No surety of any performance bond given by Fire to City in connection with this Agreement shall
be liable for any obligation of Fire arising under the Standard Warranty.

SALES CONTRACT
This agreement made by and between FIRE SERVICE, INC (Company) and
City of Elgin, IL

1. ACCEPTANCE: The "Company" agrees to sell and the "Buyer" agrees to purchase the
ambulance and equipment described in the Wheeled Coach specifications and made part of this
contract, in accordance with the terms and conditions listed on contract pages 1, 2, and 3., and in
agreement and utilizing the tag on clause within the contract between the City of Elgin, IL and Fire
Service, Inc which was fully executed on June 10,2015.
2. DELIVERY: The ambulance shall be ready for delivery within approximately 90 - 120
calendar days, after the receipt and signed acceptance of this contract, confirmed build order and
chassis at the REV Group Orlando Corporate Headquarters, Winter Park, FL. The Company cannot
be held liable for penalties and/or delays due to strikes, failures to obtain materials, fires, accidents,
force majeure,or any other causes beyond the Company's control.
In order to establish a stable design, procurement, and build schedule, a Buyer change order cutoff
date of eight (8) Days from the date of the execution of the contract will be enforced. Changes in
major components, configuration, or other items that may change the major components or
configuration,(e.g.: Chassis,Motor,Transmission,Wheel Base)will not be allowed after the contract
execution date.
If inability to obtain exclusive or brand name materials causes completion or delivery problems, the
Company shall advise the Buyer of said problem. The Company resolves to examine alternative
sources of said material. Material substitutions shall be mutually agreed upon by the Buyer and the
Company. No substitutions shall be made without the execution of a written change order by the
Buyer.
3. CHANGE ORDERS: Changes to the contract may be requested by the Buyer after the
execution of the contract according to Section 2 of this document. Changes shall be reviewed for cost
and schedule impact by the Company. Changes shall be sequentially numbered. Change Orders shall
be prepared by the Company and executed by the Buyer. The price of the apparatus shall be adjusted
to take into account any Change Orders. Any and all Change Orders may extend the completion
and delivery of the ambulance.

4. SPECIFICATIONS: The Company agrees that all material and workmanship in and about
this apparatus shall comply with the original Wheeled Coach proposal dated February 16,2018.
(1)Wheeled Coach 2018 F450 Chassis Type 1 Custom Ambulance per City of Elgin Specifications.
5. WARRANTY: Shall be as proposed in the attached Wheeled Coach specifications.
6. PRICE: The Buyer shall pay, as a purchase price for the ambulance(s), the sum of Two
Hundred Fifty-Thousand, Three Hundred Sixty-Two and 00/100 dollars or(S 250.362,001,
All prices are less any applicable local, state, or federal taxes which may be applied to the apparatus
proposed.

Fire Service, Inc.

7. TERMS OF PAYMENT:
F.O.B. St. John, IN. Zero down payment, full payment at delivery via wire transfer or
municipal check.
The purchase price payment reflects US dollars and does not include any authorized change
orders which, if applicable, shall be paid at time of final inspection and signed acceptance.
b) No payment of any amount shall be made payable to a sales representative without
written approval from the company.
c) It is agreed that the ambulance and equipment covered by this contract shall remain
the property of the Company and not be placed in service until the entire contract price has
been paid.
d) A copy of the Buyer's tax-exempt certificate, if applicable, shall be submitted with
this signed contract.
8. FIRE SERVICE,INC requires,and the Customer agrees,that the unit shall be inspected and
/or delivered within seven (7) days of notice that the unit had been completed.
9. CANCELLATION: This contract is subject to cancellation by Buyer only upon payment to
Company of reasonable cancellation charges,which shall take into account expenses already incurred
and commitments made by Company.

This contract,to be binding,must be signed by an officer of Fire Service,Inc or a person authorized,
in writing, by Fire Service, Inc. to do so.
10. TAG-ON/ADDITIONAL ORDERS: At its sole discretion, the COMPANY may allow the
terms of this contract to be extended to both the BUYER and similar agencies for the purchase of a
similar unit(s)under similar terms for a period of three(3)years from the date of the execution of this
contract. Should the COMPANY choose to exercise this option, it shall be permitted to adjust the
contract pricing to account for equitable price adjustments associated with the change in the cost of
the materials used to produce the unit. Such adjustments will be based upon the Producer Price Index
(PPI) for fire trucks and/or heavy transportation equipment or by itemizing price changes expected
by the company from the component vendors. If there are any changes between the unit(s)purchased
via this contract and any subsequent orders, those changes must be documented via properly signed
and executed change orders, including any necessary price adjustments. If the purchasing agency is
not the BUYER, a separate contract will be required to complete the additional purchases.
This contract,including its appendices,embodies the entire understanding between the parties relating
to the subject matter contained herein and merges all prior discussions and agreements between them.
No agent or representative of the Company has authority to make any representations, statements,
warranties, or agreements not herein expressed and all modifications of amendments of this
agreement, including any appendices, must be in writing signed by an authorized representative of
each of the parties hereto.
No surety of any performance bond given by the Company to the Buyer in connection with this
Agreement shall be liable for any obligation of the Company arising under the Standard Warranty.
IN WITNESS WHEREOF, the Buyer and the Company have caused this contract to be executed by
their duly authorized representatives this 7'h day of March, 2018.
