NOW THEREFORE, for and in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby mutually acknowledged, the parties hereto agree as follows: 1. PURCHASE. City shall purchase and West Central shall sell the goods and services described by Attachments A-E, attached hereto and made a part hereof. 2. TERMS.This agreement shall be subject to the terms and conditions contained herein and as provided by Attachments A-E. 3. CONFLICT. In the event of any conflict, between any of the terms and provisions of this purchase agreement and Attachments A-E hereto or any portion thereof, the terms and provisions of this purchase agreement shall control. 4. LAW/VENUE. This agreement is subject to and governed by the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights arising out of or in connection with this agreement shall be the Circuit Court of Kane County, Illinois without jury. West Central hereby irrevocably consents to the jurisdiction of the Circuit Court of Kane County, Illinois for the enforcement of any rights, the resolution of any disputes and/or for the purposes of any lawsuit brought pursuant to this agreement or the subject matter hereof; and West Central agrees that service by first class U.S. mail to West Central Municipal Conference,2000 5th Avenue,Building N, River Grove,IL 60171 shall constitute effective service. Both parties hereto waive any rights to a jury. 5. NO MODIFICATION.There shall be no modification of this agreement,except in writing and executed with the same formalities as the original. 6. MERGER. This agreement embodies the whole agreement of the parties. There are no promises, terms, conditions, or obligations other than those contained herein, and this agreement shall supersede all previous communications, representations, or agreements, either verbal,written,or implied between the parties hereto. 7. INTEREST. West Central hereby waives any and all claims or rights to interest on money claimed to be due pursuant to this agreement,and waives any and all such rights to interest to which it may be entitled, be pursuant to law, including, but not limited to, pursuant to the Local Government Prompt Payment Act (50 ILCS 505/1, et.seq.) as amended or the Illinois Interest Act(815 ILCS 205/1,et.seq.)as amended.The provisions of this paragraph shall survive any expiration,completion, and/or termination of this agreement. 8. SEVERABILITY. The terms of this agreement shall be severable. In the event any of the terms or provisions of this agreement are deemed to be void or otherwise unenforceable for any reason,the remainder of this agreement shall remain in full force and effect. 9. COMPLIANCE WITH LAW.Notwithstanding any other provision of this agreement it is expressly agreed and understood that in connection with the performance of this agreement, West Central shall comply with all applicable federal, state, city and other requirements of law,including,but not limited to,any applicable requirements regarding prevailing wages, minimum wage, workplace safety, and legal status of employees. Without limiting the foregoing,West Central hereby certifies,represents,and warrants to the City that all West Central's employees and/or agents who will be providing products and/or services with respect to this agreement shall be legally authorized to work in the United States. West Central shall also at its expense secure all permits and licenses, pay all charges and fees, and give all notices necessary and incident to the due and lawful prosecution of the work, and/or the products and/or services to be provided for in this agreement. The City shall have the right to audit any records in the possession or control of West Central to determine West Central's compliance with the provisions of this section. In the event the City proceeds with such an audit the West Central shall make available to the City, West Central's relevant records at no cost to the City. City shall pay any and all costs associated with any such audit. 10. PAYMENT. City shall pay the total sum of$78,328 pursuant to this Agreement within thirty (30) days of delivery or City's receipt of invoice, whichever is later. The aforementioned total is inclusive of all goods and services, including but not limited to all transportation, freight, shipping,and/or applicable taxes,which shall be at West Central's sole expense. 11. DELIVERY. West Central shall complete delivery and installation of all goods for Spring plantings on or before June 15,2019 and for Fall plantings on or before October 15, 2019. 12.LIMITATION OF DAMAGES. In no event shall City be liable for any monetary damages in excess of the purchase price contemplated by this agreement. In no event shall City be liable for any consequential, special,or punitive damages resulting from loss of profit. 13. EXECUTION.This agreement may be executed in counterparts,each of which shall be an original and all of which shall constitute one and the same agreement. For the purposes of executing this agreement, any signed copy of this agreement transmitted by fax machine or e-mail shall be treated in all manners and respects as an original document.The signature of any party on a copy of this agreement transmitted by fax machine or e-mail shall be considered for these purposes as an original signature and shall have the same legal effect as an original signature. Any such faxed or e-mailed copy of this agreement shall be considered to have the same binding legal effect as an original document. At the request of either party any fax or e-mail copy of this agreement shall be re-executed by the parties in an original form.No party to this agreement shall raise the use of fax machine or e-mail as a defense to this agreement and shall forever waive such defense. 2 14. TRANSFER OF TITLE RISK.Transfer of title and risk of loss shall pass to the City upon delivery and installation of the goods.All transportation and delivery costs shall be at West Central's sole expense. 15. INDEMNIFICATION. To the fullest extent permitted by law,West Central agrees to and shall indemnify, defend and hold harmless the City, its officers, employees, boards and commissions from and against any and all claims, suits,judgments, costs, attorney's fees, damages or any and all other relief or liability arising out of or resulting from or through or alleged to arise out of any acts or negligent acts or omissions of West Central or West Central's officers, employees, agents or subcontractors in the performance of this agreement, including but not limited to,all goods delivered or services or work performed hereunder. In the event of any action against the City, its officers, employees, agents, boards or commissions covered by the foregoing duty to indemnify, defend and hold harmless, such action shall be defended by legal counsel of the City's choosing. 16. RELATIONSHIP BETWEEN THE PARTIES. This Agreement shall not be construed so as to create a joint venture,partnership, employment or other agency relationship between the parties hereto. 17.WAIVER. Neither party hereto shall be responsible for any consequential, indirect, punitive or incidental damages for any reason whatsoever.Any delay or failure to enforce any rights by either party arising out of or pursuant to this Agreement shall not constitute, and shall not be construed as, a waiver of any such rights. 18. LIMITATION OF ACTIONS. Crown shall not be entitled to,and hereby waives,any and all rights that it might have to file suit or bring any cause of action or claim for damages against the City of Elgin and/or its affiliates,officers,employees, agents,attorneys,boards and commissions of any nature whatsoever and in whatsoever forum after two (2) years from the date of this Agreement. 19.NO OTHER AGREEMENTS. This Agreement is the only agreement between the parties hereto regarding the subject matter hereof. There are no other agreements,either oral,written or implied,between the parties hereto regarding the subject matter hereof. This Agreement may only be altered or modified by written instrument signed by both parties. 20. TIME IS OF THE ESSENCE. Time is of the essence of this Agreement. The person signing THIS CONTRACT certifies that s/he has been authorized by the CONTRACTOR to commit the CONTRACTOR contractually and has been authorized to execute THIS CONTRACT on its behalf. Accepted By Date ELGIN THE CITY IN THE SUBURBS AGENDA ITEM: 3 MEETING DATE: May 8, 2019 ITEM: Tree and Planting Services—Suburban Tree Consortium ($78,328) OBJECTIVE: Purchase of replacement trees for planting on right-of-way and other City properties. RECOMMENDATION: Authorize purchase of tree supply and planting services through the Suburban Tree Consortium in the amount of$78,328. The City's ash tree inventory has been devastated by the emerald ash borer(EAB) infestation. Of the City's 6,789 ash trees, approximately 800 are in inaccessible wooded areas and over 3,700 have been removed. Of the remaining Ash trees, approximately 500 are under a preventative treatment program administered by the forestry department or by the homeowners to prevent loss from EAB. Replacing the diseased ash trees is critical for maintaining the City's urban tree canopy. The EAB infestation has caused many of the City's residential subdivisions to have entire street blocks clear cut of infected ash trees. Such wide scale tree removal drastically alters the natural environment of those street blocks. The City's urban forest is a dynamic system that will evolve with the City. Unlike structures, roads and other City infrastructure, trees are living features that start small, grow larger and ultimately die. While they live, trees in an urban environment require management and maintenance to re- main healthy. It is important to maintain tree age and species diversity to prevent disease and sustain the urban forest. Sustaining the City's urban forest requires not only planning, but also investment in ongoing care and maintenance activities. BACKGROUND Suburban Tree Consortium The Suburban Tree Consortium was created in 1985 by a group of municipalities wishing to im- prove the quality and selection of parkway trees in the Chicago area. Low bid selections year after year had brought about high mortality rates, which in turn had an effect on the municipality's credibility. Additionally, low bid requirements provided for little continuity and consistency with area nurseries, resulting in poor quality and selection. Low bid also required the City to choose from nurseries that were not necessarily in the same geographic growing area. Trees from as little as 50 miles South or North are not necessarily suitable for the Elgin area. The parkways where the City plants trees is one of the most inhospitable places for growing trees there is and giving the trees every advantage possible is highly important to the urban forest. Membership in the Consortium allows staff to pick where the City gets its' trees from, while knowing the City is getting a quality product suited to the area at the best possible price. The communities lobbied, with the help of the West Central Municipal Conference, to change state statute to extend the length of time municipalities could enter into contractual relation- ships with area nurseries. Today, Illinois State Law allows municipalities to enter into long term contractual relationships for the purpose of procuring parkway trees for up to ten years.The goal of the Consortium was and has been for a group of municipalities to enter into a contract growing arrangement whereby nurseries would grow trees according to predetermined specifications. Those trees would be made available for fall and spring plantings up to a five year period. The benefit of municipalities working together is two-fold. First, buying power and economies of scale are increased by merging orders, and mortalities are decreased because of more stringent specifications and better relationships with area nurseries. Second, municipalities communicate more, increasing the awareness and promoting the concepts of urban forestry in general. The City has joined the Suburban Tree Consortium (STC),which currently has 38 municipal mem- bers. The STC provides members with a consistent supply of quality trees of the species and va- rieties requested for the municipal parkways in an efficient and cost effective manner by main- taining contracts with several northern Illinois nurseries. Tree Planting In order to plant the trees with the best possible practices in mind,the STC has solicited bids from landscape companies endorsed by the STC. Their contracted landscape company is Pugsley and LaHaie and this company plants over 20,000 trees per year in municipalities that are members of the STC. The contracted landscape company performs or schedules all the utilities location re- quests, works with the nursery to route and schedule delivery and plants the trees once the planting locations and tree species have been approved by the City forestry department. The contracted cost to plant and mulch each tree is between $80 and $120 per tree. Planting cost per tree varies due to size. After receiving the list of trees from the City, their cost for planting is $29,117. OPERATIONAL ANALYSIS The City has realized greater tree survival rates when property owners request and select the trees for replacement. Property owners that elect to participate in the tree replacement program provide the necessary watering and care the replaced trees require during the critical weeks fol- lowing the planting, increasing the likelihood the new tree will survive. The City's tree replace- ment program enables property owners to submit a tree planting packet in which they choose from a list of available trees for placement in the right-of-way adjacent to their home or business. Tree Supply The benefits of trees within urban areas are well documented. Studies have established that ur- ban trees provide environmental, societal and economic benefits. The environmental benefits provided by urban trees include managing stormwater, improving air quality, reducing pollution and greenhouse gases, recharging groundwater, decreasing flooding and erosion, stabilizing slopes, providing wildlife habitat and shading streams. From a societal perspective, urban trees improve physical and mental health, reduce heat island effects, create visual and noise buffers, enhance neighborhood appearance and have even been shown to have an association with neighborhoods having lower incidences of crime. While it is difficult to quantify the emotional and psychological benefits of trees, trees can contribute sig- nificantly to neighborhood character and cultural identity. Urban trees provide economic benefits including reducing the heating and cooling costs for build- ings by providing shade and wind breaks.They also increase property values and reduce landslide and flood damage. Academic studies have also examined the influence of trees on real estate prices, finding that the presence of trees increase property values. 3 INTERESTED PERSONS CONTACTED Suburban Tree Consortium FINANCIAL ANALYSIS The purchase of trees was approved in the adopted 2019 Budget.
