LICENSE AGREEMENT
THIS LICENSE AGREEMENT (hereinafter referred to as the "Agreement") is made and entered
into this 30 day of 0601:,W1 , 204, by and between the City of Elgin, an Illinois
municipal corporation (hereinafter referred to as the "City") and t)A� 2P!!1r[
(hereinafter referred to as the "Property Owner").
WHEREAS, the City is proposing to enhance the streetscape of streets in the City's downtown
with the stringing of decorative lighting over and across certain right-of-ways within the downtown,
with the design, location and duration of such decorative lighting project being determined by the
City; and
WHEREAS, the Pro erty Owner is the title holder of the property commonly known as
/�• D o V6LA-! V , Elgin, Kane County, Illinois 60120 (the "Subject Property"); and
WHEREAS, as part of the City's stringing of decorative lighting in the downtown the City has
requested and the Property Owner has agreed to provide the City a license to allow the City to insert into
the facade of the existing building on the Subject Property a screw eye cable bolt for securing and
holding cables associated with the decorative lighting; and
WHEREAS, the City and the Property Owner agree that the decorative lighting will enhance the
downtown and properties within the downtown including the Subject Property.
NOW, THEREFORE, for and in consideration of Ten Dollars ($10.00) in hand paid, and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
parties hereto agree as follows:
1. The foregoing recitals are incorporated into this Agreement in their entirety.
2. The Property Owner hereby grants to the City a temporary non-exclusive license to enter upon
the Subject Property and to install into the facade of the building on the Subject Property a
screw eye bolt with an approximate size of 5/16" by 3-1/4" or other, but similar facade anchor,
as depicted in Attachment A to this agreement, for the purpose of securing and holding cables
associated with the City's decorative lighting project in the downtown. The location of the
installation of the screw eye bolt into the facade on the building on the Subject Property shall
be as determined by the City, subject to the approval of the Property Owner.
3. This Agreement and the license granted to the City hereunder shall commence as of the date
of this Agreement and shall continue until terminated in accordance with the terms of this
Agreement.
4. The license granted to the Cit's a personal privilege grant to the City by the Property Owner,
and is neither transferable nor assignable by the City without the Property Owner's prior
written consent.

5. This Agreement and the license granted to the City hereunder may be terminated by either
party for any reason or no reason upon giving thirty (30) days written notice.
6. Any damage to the facade of the building on the Subject Property resulting from or arising out
of the use by the City of the license granted by this Agreement shall upon the request of the
Property Owner be promptly repaired and/or restored by the City, at the City's sole cost and
expense, to the condition existing immediately prior to such damage or destruction as is
reasonably practicable. At such time as this Agreement and the license herein granted to the
City is terminated, the City shall remove the screw eye bolt from the facade of the building on
the Subject Property and shall promptly repair and restore the location on the facade of the
building on the Subject Property into which the screw eye bolt was inserted to the same
condition as existed immediately prior to the installation of the screw eye bolt as is reasonable
practicable.
7. The City hereby agrees to indemnify and hold the Property Owner harmless from third party
claims for personal injuries or property damage arising directly or as a result of the City's use of
the Subject Property as provided by this Agreement, including, but not limited to, any
installation or removal of the screw eye bolt or during any subsequent maintenance or repair
thereof.
8. This Agreement shall not be construed so as to create a joint venture, partnership,
employment, or other agency relationship between the parties hereto.
9. This Agreement shall be binding on the parties hereto and their respective successors and
permitted assigns.
10. Notices pursuant to this Agreement shall be sent to the City to the City of Elgin, 150 Dexter
Court, Elgin, Illinois 60120, Attention: City Manager. Notices pursuant to this Agreement shall
be sent to the Property Owner at the address of the Subject Property.

2. The Property Owner hereby grants to the City a temporary non-exclusive license to enter upon
the Subject Property and to install into the facade of the building on the Subject Property a
screw eye bolt with an approximate size of 5/16" by 3-1/4" or other, but similar facade anchor,
as depicted in Attachment A to this agreement, for the purpose of securing and holding cables
associated with the City's decorative lighting project in the downtown. The location of the
installation of the screw eye bolt into the facade on the building on the Subject Property shall
be as determined by the City, subject to the approval of the Property Owner.
3. This Agreement and the license granted to the City hereunder shall commence as of the date
of this Agreement and shall continue until terminated in accordance with the terms of this
Agreement.
4. The license granted to the City is a personal privilege grant to the City by the Property Owner,
and is neither transferable nor assignable by the City without the Property Owner's prior
written consent.

This Agreement and the license granted to the City hereunder may be terminated by either
party for any reason or no reason upon giving thirty (30) days written notice.
Any damage to the facade of the building on the Subject Property resulting from or arising out
of the use by the City of the license granted by this Agreement shall upon the request of the
Property Owner be promptly repaired and/or restored by the City, at the City's sole cost and
expense, to the condition existing immediately prior to such damage or destruction as is
reasonably practicable. At such time as this Agreement and the license herein granted to the
City is terminated, the City shall remove the screw eye bolt from the facade of the building on
the Subject Property and shall promptly repair and restore the location on the facade of the
building on the Subject Property into which the screw eye bolt was inserted to the same
condition as existed immediately prior to the installation of the screw eye bolt as is reasonable
practicable.
7. The City hereby agrees to indemnify and hold the Property Owner harmless from third party
claims for personal injuries or property damage arising directly or as a result of the City's use of
the Subject Property as provided by this Agreement, including, but not limited to, any
installation or removal of the screw eye bolt or during any subsequent maintenance or repair
thereof.
8. This Agreement shall not be construed so as to create a joint venture, partnership,
employment, or other agency relationship between the parties hereto.
9. This Agreement shall be binding on the parties hereto and their respective successors and
permitted assigns.
10. Notices pursuant to this Agreement shall be sent to the City to the City of Elgin, 150 Dexter

holding cables associated with the decorative lighting; and
WHEREAS, the City and the Property Owner agree that the decorative lighting will enhance the

NOW, THEREFORE, for and in consideration of Ten Dollars ($10.00) in hand paid, and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
parties hereto agree as follows:
1. The foregoing recitals are incorporated into this Agreement in their entirety.
2. The Property Owner hereby grants to the City a temporary non-exclusive license to enter upon
the Subject Property and to install into the facade of the building on the Subject Property a
screw eye bolt with an approximate size of 5/16" by 3-1/4" or other, but similar facade anchor,
as depicted in Attachment A to this agreemerit, for the purpose of securing and holding cables
associated with the City's decorative lighting project in .the downtown. The location of the
iWallation of the screw eye bolt into tbe_facade on the building on the Subject Property shall
be as determined by the City, subject to the approval of the Property Owner.
3. This Agreement and the license granted to the City hereunder shall commence as of the date
of this Agreement and shall continue until terminated in accordance with the terms of this
Agreement.
4. The license granted to the City is a personal privilege grant to the City by the Property Owner,
and is neither transferable nor assignable by the City without the Property Owner's prior
written consent.

5. This Agreement and the license granted to the City hereunder may be terminated by either
party for any reason or no reason upon giving thirty (30) days written notice.
6. Any damage to the facade of the building on the Subject Property resulting from or arising out
of the use by the City of the license granted by this Agreement shall upon the request of the
Property Owner be promptly repaired and/or restored by the City, at the City's sole cost and
expense, to the condition existing immediately prior to such damage or destruction as is
reasonably practicable. At such time as this Agreement and the license herein granted to the

the Subject Property and shall promptly repair and restore the location on the facade of the

THIS LICENSE AGREEMENT (hereinafter referred to as the "Agreement") is made and entered

WHEREAS, the City is proposing to enhance the streetscape of streets in the City's downtown
with the stringing of decorative lighting over and across certain right-of-ways within the downtown,
with the design, location and duration of such decorative lighting project being determined by the
City; and
WHEREAS, the Property Owner is the title holder of the property commonly known as
690VEAd.F_- , Elgin, Kane County, Illinois 60120 (the "Subject Property"); and
WHEREAS, as part of the City's stringing of decorative lighting in the downtown the City has
requested and the Property Owner has agreed to provide the City a license to allow the City to insert into
the facade of the existing building on the Subject Property a screw eye cable bolt for securing and
holding cables associated with the decorative lighting; and
WHEREAS, the City and the Property Owner agree that the decorative lighting will enhance the
downtown and properties within the downtown including the Subject Property.
NOW, THEREFORE, for and in consideration of Ten Dollars ($10.00) in hand paid, and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
parties hereto agree as follows:
1. The foregoing recitals are incorporated into this Agreement in their entirety.
2. The Property Owner hereby grants to the City a temporary non-exclusive license to enter upon
the Subject Property and to install into the facade of the building on the Subject Property a
screw eye bolt with an approximate size of 5/16" by 3-1/4 " or other, but similar facade anchor,
as depicted in Attachment A to this agreement, for the purpose of securing and holding cables
associated with the City's decorative lighting project in the downtown. The location of the
installation of the screw eye bolt into the facade on the building on the Subject Property shall
be as determined by the City, subject to the approval of the Property Owner.
3. This Agreement and the license granted to the City hereunder shall commence as of the date
of this Agreement and shall continue until terminated in accordance with the terms of this
Agreement.
4. The license granted to the City is a personal privilege grant to the City by the Property Owner,
and is neither transferable nor assignable by the City without the Property Owner's prior
written consent.

5. This Agreement and the license granted to the City hereunder may be terminated by either
party for any reason or no reason upon giving thirty (30) days written notice.
6. Any damage to the facade of the building on the Subject Property resulting from or arising out
of the use by the City of the license granted by this Agreement shall upon the request of the
Property Owner be promptly repaired and/or restored by the City, at the City's sole cost and
expense, to the condition existing immediately prior to such damage or destruction as is
reasonably practicable. At such time as this Agreement and the license herein granted to the
City is terminated, the City shall remove the screw eye bolt from the facade of the building on
the Subject Property and shall promptly repair and restore the location on the facade of the
building on the Subject Property into which the screw eye bolt was inserted to the same
condition as existed immediately prior to the installation of the screw eye bolt as is reasonable
practicable.
7. The City hereby agrees to indemnify and hold the Property Owner harmless from third party
claims for personal injuries or property damage arising directly or as a result of the City's use of
the Subject Property as provided by this Agreement, including, but not limited to, any
installation or removal of the screw eye bolt or during any subsequent maintenance or repair
thereof.
8. This Agreement shall not be construed so as to create a joint venture, partnership,
employment, or other agency relationship between the parties hereto.
9. This Agreement shall be binding on the parties hereto and their respective successors and
permitted assigns.
10. Notices pursuant to this Agreement shall be sent to the City to the City of Elgin, 150 Dexter
Court, Elgin, Illinois 60120, Attention: City Manager. Notices pursuant to this Agreement shall
be sent to the Property Owner at the address of the Subject Property.
