Home My WebLink About19-0521 DACRA (2) IS-bsa\ CONSENT TO ASSIGNMENT THIS CONSENT TO ASSIGNMENT(this"Consent") is hereby entered into as of this 21st day of May, 2019 by between IT-Stability Systems, LLC, an Illinois limited liability company ("IT-Stability") and the City of Elgin, IL(the "Client") and DACRA Adjudication Systems, LLC, a Delaware limited liability company ("DACRA"). RECITALS WHEREAS, IT-Stability did enter into that certain IT-Stability Systems LLC Software Maintenance Agreement 2018 executed on November 24, 2017 with the Client (the "DACRA Agreement"),the terms and conditions of which are incorporated herein and WHEREAS, IT-Stability did assign on May 20, 2019 all of its rights, duties, privileges and obligations under the terms and conditions of the DACRA Agreement to DACRA(the "Assignment"); and WHEREAS, in connection with said Assignment, IT-Stability desires to obtain the Consent of the Client to such Assignment under the terms and conditions set forth herein. NOW THEREFORE,for consideration hereby mutually acknowledged to have been received, IT-STABILITY and the Client hereby agree as follows: 1. Incorporation of Recitals. The foregoing recitals are hereby incorporated herein into this Agreement as if set forth herein in their entirety. 2. Consent. Client hereby consents to the foregoing Assignment and agrees that DACRA Adjudication Systems, LLC shall perform the obligations of IT-Stability Systems, LLC under the terms of the DACRA Agreement. Client further agrees to look exclusively to DACRA Adjudication Systems, LLC as a party to the DACRA Agreement going forward. 3. No Modifications. With the sole exception of the Assignment, all terms and conditions of the Dacra Agreement shall remain in full force and effect as between DACRA Adjudication Systems, LLC, and the Client.
