Elgin Valley Fox Trot
SPONSORSHIP AGREEMENT
THIS AGREEMENT is hereby made and entered into this day
of , 2013 , by and between the CITY OF ELGIN, ILLINOIS, a
municipal corporation (hereinafter referred to as "City") and
JPMorgan Chase Bank, N.A. (hereinafter referred to as "Chase" .
WHEREAS, City will hold a special event commonly known as
Elgin Valley Fox Trot on Saturday, May 25 , 2013 on Kimball and
Douglas, Elgin, Illinois, ; and
WHEREAS, the parties hereto have each determined it to be in
their best interests to enter into an agreement by which Chase
shall provide sponsorship for Elgin Valley Fox Trot;
NOW, THEREFORE, in consideration of the mutual promises and
covenants contained herein, the sufficiency of which is hereby
mutually acknowledged, the parties hereto hereby agree as follows:
1 . Chase shall pay to City the sum of $10, 000 on or before
May 20, 2013 . City shall designate these funds to be used for Elgin
Valley Fox Trot .
2 . City shall provide Chase with recognition as a Presenting
Sponsor in all print, radio and television advertising of Elgin
Valley Fox Trot .
3 . City shall provide Chase with the opportunity to have a
company representative speak on-stage during the awards ceremony.
4 . City shall provide Chase with three promotional
- "-' announcements made by the master of ceremony during the race . -
5 . City shall include the Chase logo on all printed
materials used for the race .

6 . City shall include the Chase logo on both the cotton tee
shirt and tech shirt that participants and/or volunteers receive .
7 . City shall provide a link to Chase' s website on the Race
Web Page on the City' s website .
8 . City shall provide Chase with one 10x 10 booth at the
race and packet pick-up for promotional purposes .
9 . City shall provide Chase with a 20 person team entry into
the 5k, 10 mile, or 2 mile fun walk (in any combination) .
10 . City shall provide Chase with the opportunity to included
company informational literature and/or coupons inside the race
packets .
11 . City shall provide Chase with an opportunity to send out
promotional information email to the City of Elgin Fox Trot
database .
12 . Chase shall have no obligation under this agreement other
than the payment provided for in paragraph one and review and
approval of any printed materials or tee shirts which include the
Chase logo. Chase shall review such materials submitted by the City
only for marketing content and the use of any Chase logo therein,
and not for formatting or any editorial content .
13 . This agreement shall be subject to and governed by the
laws of the State of Illinois . Venue for the resolution of any
disputes and the enforcement of any rights arising out of or in
connection with this agreement shall be in the Circuit Court of
Kane County, Illinois .
14 . The terms of this agreement shall be severable . In the
event any of the terms or conditions of this agreement are deemed
to be void or otherwise unenforceable for any reason, the remainder
of this agreement shall remain in full force and effect .
15 . This agreement shall not be construed so as to create a
joint venture, partnership, employment, or other agency
relationship between the parties hereto except as specifically
provided herein.
16 . Any damages that Chase shall be entitled to as the result
of a breach of this agreement by City shall not exceed $10, 000 .
17 . This agreement shall terminate on May 26 , 2013 .
