THIS AGREEMENT, made and entered this ‘264" day of -1/6' , 2013 by
and between the BOARD OF TRUSTEFS OF NORTHERN ILLINOIS UNIVERSITY, acting
on behalf of Northern Illinois University through its Center for Governmental Studies referred
to as the "University", and the City of Elgin, located at 150 Dexter Court, Elgin, IL 60120,
hereinafter referred to as "Elgin",witnesseth:
1. Scope of Work. In consideration of the mutual promises hereafter specified, the
University and Elgin agree to the services delineated in Attachment A, which
document is incorporated by reference herein and made a part hereof.
2. Terms of Agreement. The term of this Agreement shall be from the date of
execution above through December 31, 2013 or the completion of the project,
whichever is latest, unless the term is extended by the mutual written agreement
of the parties.
3. Compensation. As full and complete compensation for these services, Elgin shall
pay the University a fee in the amount of $14,350 as a fixed-price contract,
payable according to the following payment schedule:
$2490.00 upon completion of Phase 1
$5000.00 Progress Invoice 6/1/13
$6860.00 upon project completion
Any additional work requested will be billed upon completion of that
work(i.e. Ad Hoc meetings, etc.).
4. The parties hereto shall abide by the requirements of Executive Order 11246 and
the Rules and Regulations of the Illinois Department of Human Rights, and there
shall be no discrimination because of race, color, religion, sex, national origin,
ancestry, age, marital status, physical or mental handicap unrelated to ability or an
unfavorable discharge from military service in the employment, training or
promotion of personnel engaged in the performance of this agreement.
This Agreement constitutes the entire Agreement between parties hereto. There is no part
of that Agreement not set forth herein; and no changes in or additions to said Agreement shall be
valid unless in writing and signed by the parties hereto.
AS WITNESS WHEREOF,the parties have caused this Agreement to be executed as and
of the day and year first written above.

Proposal and Budget for continuing work with the Citizen's Strategic Planning
Commission and Staff as requested.
Following is a proposal for continuing work with Elgin regarding the Citizen's Strategic
Planning Commission, and implementation work with City Staff. Part of this proposal will focus
on defining my role as a strategic planning facilitator. The cost estimates are based on time
devoted to this project from September 2012 to December 2013. Included in this proposal is
work done in fall 2012 with the City on Strategic Planning (with the City Manager and the
Senior Management Staff Teams) and includes the first meeting in January with the new
strategic planning commission.
Roles: It will be the responsibility of the Strategic Planning Facilitator to help the Citizen's
Strategic Planning Commission and Designated Staff Teams to develop the group process skills
necessary for them to successfully accomplish their mission. This will involve helping them
develop communication, decision-making, problem solving, and croup governance processes
that lead to desired results. The Facilitator will also provide assistance in consideration of
different approaches and models to strategic planning, performance measurement, plan
implementation, action planning. and work with the elected governing board (city council). The
Facilitator will also help the Citizen's Strategic Planning Commission develop an effective
interface and communication process with the City's Senior Staff. The Facilitator will serve as a
sounding board for ideas for the City's Staff and Members of the Citizen's Strategic Planning
Commission. and will provide technical feedback as requested. Finally, the Facilitator will
develop technical memos and reports to help the City's Staff and Commission Members think
through important issues, and will provide guidance on how to handle complex problems and
goal priorities.
The Facilitator will convene with the Citizen's Strategic Planning Commission on a monthly
basis through calendar year 2013 (there will not be a meeting in August due to an Annual
Review). These meetings may be more frequent initially depending on need. The Facilitator
will also plan quarterly meetings with the Senior Staff Teams to help them integrate the work of
the Citizen's Strategic Planning Commission (SPC), and to obtain information from the Staff
Teams to facilitate the work of the SPC.
The Facilitator will provide assistance in planning a joint Staff, City Council, SPC annual •
meeting to be held in late August or early September for the purpose of reviewing the progress of
the overall strategic plan. The Facilitator will document the results in an official summary report.
If requested, and for an additional fee, the Facilitator will help facilitate this annual meeting.
Phase I: Establishing the Citizen's Strategic Planning Commission {SPC)
During the fail of 2012 the Facilitator convened with the City Manager and Senior Staff several
times to develop the next step in the implementation of the strategic plan. Below is a list of the
meetings,the technical reports that were generated, and the associated costs.
9/6/12:Convened with the City Manager to Assess the status of the
Strategic Planning process. $350.00
9/7/12: Technical memo summarizing the meetings results and laying
the groundwork for work with the Staff teams. $290.00
9/27/12: Facilitate meeting with the Senior Staff Strategic Planning
Teams and review their progress. $575.00
10/3/12: Technical memo summarizing the results of the 9/27 meeting,with
recommendations for how to improve the strategic planning document along
with recommendations on the potential role(s) for the SPC. $350.00
1/7/13: Convened with the City Manager to plan the next phase of the
process that will involve the establishment of the SPC. $350.00
1/22/13: Convene with the new SPC and discuss their roles in the process. $575.00
Subtotal for Phase I $2490.00
Phase H - Strategic Plan Implementation
Specific Task Assignments:
1. Convene with the SPC the third Tuesday of every month. 10 Meetings.
Schedule 3 ad hoc meetings to implement only if needed. The City
will not be charged for these services unless they are carried out.
Meeting fee will be$575.00 per meeting. No meeting in August
due to annual review. $5,750.00
Ad Hoe Meetings, if necessary, will be billed at$575.00 per meeting in addition to the lump
sum amount($14,350.00) of contract.
2. Convene with the Senior Staff Management Team on a quarterly
basis. No meeting in the summer. Fee: $575.00 per meeting x 3. $1,725.00
3. Facilitate annual strategic planning review meeting with the Staff,
City Council, and SPC. This will likely be an all-day meeting and '
will require materials preparation and staff assistance. $2070.00
4. Review meetings with the City Manager at$345.00 per meeting x 4. $1380.00 .
5. Summary Report of the Annual Review Meeting. $575.00
6. Travel: 10 round trips at 60 miles per trip,$.60 per mile $360.00
Subtotal for Phase II $11,860.00
TOTAL PROJECT COST: $14,350.00

Dear Sean:
Based upon our recent conversation regarding your interest in conducting a strategic plan for the city of
Elgin, I offer you the following contract:
Strategic Plan Process
1. Update the mission and vision statements
There will be no up-front fee for this work because it is easier to craft the mission and vision
statements after the main components of the strategic plan have been developed.
2. Stakeholder analysis.
CGS provides the facilitators.
Each session will take about 90 minutes.A facilitator could handle 2 to 3 in one day. There should be at
least 30 minutes between sessions.
Assume a total of 12 focus groups that include a range of stakeholders such as active citizens,
businesses, ethnic groups, civic groups, and neighborhood groups. It would be the City's responsibility
to select focus group participants and to communicate to them.The City would also be responsible for
selecting and making available the focus group site.

-Transcription of focus group data into report form. $1,200
- Interviews with senior Department Heads. $825

3. Environmental Scan.

Overview, Category Descriptions, and Eligibility Guidelines
ICMA's Annual Awards program honors creative contributions to professional local
government management and increases public awareness of the value of
professional management to the quality of life in our communities. The Professional
Awards recognize individual achievement—by chief administrative officers,
assistants or others—that may have been accomplished through tenure with a
number of local governments or organizations.
Each individual may be nominated to only one Professional Award category per
year. An individual can be nominated to one of four Professional Award categories:
• Award for Career Excellence in Honor of Mark E. Keane—Established in
honor of former ICMA Executive Director Mark E. Keane, this award recognizes
an outstanding local government chief administrator who has fostered
representative democracy by enhancing the effectiveness of local elected
officials and by consistently initiating creative and successful programs.
Eligibility: ICMA Full (voting) membership*, a minimum of 10 years of senior-
level service to the profession, and the endorsement (signature) of a past or
present elected official.
• Award for Career Development in Memory of L. P. Cookingham—Each
year, ICMA presents the Award for Career Development to a Full member who
has made a significant contribution to the development of new talent in
professional local government management. The award commemorates former
ICMA President L. P. (Perry) Cookingham, who is credited with creating the local
government internship.
Eligibility: ICMA Full (voting) membership*
• Assistant Excellence in Leadership Award in Memory of Buford M.
Watson, 7r.—ICMA's Assistant Excellence in Leadership Award, which
commemorates former ICMA President Buford M. Watson, Jr., is presented to a
local government management professional who has made significant
contributions toward excellence in leadership while serving as an assistant
(regardless of title) to a chief local government administrator or department
head.
Eligibility: ICMA membership and endorsement of their jurisdiction's CAO. Must
