RESOLUTION
AUTHORIZING EXECUTION OF AN INTERGOVERNMENTAL AGREEMENT
WITH THE HOFFMAN ESTATES PARK DISTRICT AND THE STREAMWOOD PARK
DISTRICT FOR THE CONSTRUCTION, MAINTENANCE AND OPERATION OF
AN OFF-LEASH DOG PARK
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
David J. Kaptain, Mayor, and Kimberly A. Dewis, CityClerk, be and are hereby authorized and
directed to execute an Intergovernmental Agreement with the Hoffman Estates Park District and the
Streamwood Park District on behalf of the City of Elgin for the construction, maintenance and
operation of an off-leash dog park, a copy of which is attached hereto and made a part hereof by
reference.

INTERGOVERNMENTAL AGREEMENT FOR THE CONSTRUCTION,
MAINTENANCE AND OPERATION OF AN OFF-LEASH DOG PARK BY AND
BETWEEN THE HOFFMAN ESTATES PARK DISTRICT,THE CITY OF ELGIN AND
THE STREAMWOOD PARK DISTRICT
THIS AGREEMENT is made and entered into on April 11 , 2012 by and
between City of Elgin (CITY), the Streamwood Park District (SPD) and the Hoffman Estates
Park District(HEPD), all of which are municipal corporations created under the laws of the State
of Illinois. The CITY, SPD AND HEPD are collectively sometimes referred to herein as the
"Parties."
RECITALS
WHEREAS, the CITY, SPD and HEPD desire to participate in the co-development of a
permanent, purpose-built, year-round, fenced, off-leash dog park where well-behaved canines
can exercise in a clean, safe environment; and
WHEREAS,HEPD is owner of certain real property, located adjacent to CITY property,
more specifically described in Attachment A (hereinafter the "Premises") which the parties
intend to use as an off-leash dog park(hereinafter the"Dog Park"); and
WHEREAS, HEPD desires to construct, maintain and operate the Dog Park on the
Premises pursuant to and in accordance with the terms and conditions of this Agreement; and
WHEREAS,the CITY desires to grant access to the City's water supply from the CITY
Property,pursuant to and in accordance with the terms and conditions of this Agreement;and,
WHEREAS, Article VII, Section 10 of the Constitution of the State of Illinois of 1970
authorizes units of local government, including municipalities and park districts, to contract or
otherwise associate among themselves to exercise, combine or transfer any power or function in
any manner not prohibited by law or by ordinance; and,
WHEREAS, the Illinois Intergovernmental Cooperation Act, 5 ILCS 220/1 et seq.,
authorizes units of local government of Illinois to exercise jointly with any other public agency
within the State, including other units of local government, any power, privilege, or authority
which may be exercised by a unit of local government individually, and to enter into contracts
for the performance of governmental services, activities and undertakings;and,
WHEREAS, section 8-1(a) of the Illinois Park District Code, 70 ILCS 1205/1-1 et seq.,
authorizes the Park District to contract in furtherance of any of its corporate purposes; and,
WHEREAS,the City is a home rule unit which may exercise any power and perform any
function relating to its local government and affairs; and,
WHEREAS, the CITY, SPD and HEPD wish to provide enhanced services with dog
park facilities for their residents; and
WHEREAS, the CITY, SPD and HEPD desires that the three municipal corporations
participate in the development project by providing funding as agreed upon within this
Agreement for the construction of the Dog Park; and
WHEREAS,the construction and maintenance of the park and recreational facilities, and
the various undertakings provided for in this Agreement, are in furtherance of the CITY's, SPD's
and HEPD's corporate purposes and related to their respective local government and affairs; and,
WHEREAS, the CITY, SPD and HEPD have determined that it would be in their mutual
best interests, and in the best interests of their respective residents, to provide for the
development and shared use of the Premises as herein described.
NOW, THEREFORE, for and in consideration of the foregoing and the mutual
covenants and obligations as hereinafter set forth, and for other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged, the CITY, SPD and HEPD agree as
follows:
1. Incorporation of Recitals. The foregoing recitals are incorporated herein in their
entirety by this reference.
2. Facility Plan. On or before a date ten (10) days following the effective date of
this Agreement, HEPD shall provide a Facility Plan for the Dog Park for review and approval by
the all parties. Said Facility Plan shall include a map of the Premises showing the location of all
structures and improvements to be placed on the Premises and such other information as will
assist the parties in understanding the nature and scope of the project. The Parties shall have
thirty (30) days from receipt of the Facility Plan to grant approval of the same. The failure of a
Party to approve or object to the Facility Plan within such period shall be deemed approval. The
approved Facilities Plan shall be attached hereto as Attachment B.
3. Development of the Facility Plan. HEPD shall enter into such agreements,
acquire such equipment and take such other actions as may be required to develop the Facility
Plan on the Premises.
4. Water Supply. CITY shall allow HEPD, or its contractors, to run a water supply
line from CITY's waterline on CITY property to the Dog Park as depicted on Facility Plan.
HEPD, or its contractor, shall comply with all specifications as determined and approved by
CITY. The water consumed by the Dog Park shall be measured by a separate meter. HEPD
shall pay for all water usage charges directly attributable to Dog Park. CITY shall only charge
HEPD for actual water usage at the Dog Park at the then-current water rates for consumers
within the CITY as established by ordinance, and not any additional surcharges or sanitary sewer
usage fees. The provision and supply of water shall otherwise comply with the CITY's water
regulations set forth in Chapter 14.04 of the Elgin Municipal Code.
5. Equipment Materials and Service Procurement. The procurement of all labor
and materials to be consumed or incorporated into the Dog Park shall comply with the
purchasing laws and regulations governing the construction of public works by park districts.

6. Construction Costs. The CITY, SPD and HEPD agree that the construction
costs for the improvements described herein will be shared on a percentage basis, with the City
and HEPD each responsible for 40.5%of such costs and SPD responsible for 19%of such costs.
The parties further stipulate and agree and the total construction and improvement costs shall not
exceed $133,000 unless agreed to in writing in advance by each of the parties hereto. If the
construction costs based on actual written quotes and/or bids received and all other invoices
related to the project are projected to exceed $133,000, all parties, in the absence of a written
agreement to increase the construction costs, shall agree to revise the Facility Plan to allow the
total construction costs not to exceed $133,000. Parties shall approve in writing any changes
made to the Facility Plan after the initial written approval of the Facility Plan. For the purpose of
facilitating compliance with this paragraph,all bids obtained for the construction of the Dog Park
shall be in unit prices, where practicable, to permit a proportionate reduction in the scope or
quantity of work or materials so that the total cost shall not exceed $133,000, unless otherwise
amended as herein described.
7. Payment. Within 30 days after the end of each month, HEPD shall provide to the
CITY arid SPD an accounting of all invoices for equipment, material or labor performed or
consumed during such month, together with applicable lien waivers. HEPD shall invoice CITY
for 40.5%of total amount of said invoices and SPD 19%of total amount of said invoices. HEPD
shall be responsible for the remaining 40.5% of the total amount of said invoices. Total amount
of said invoices shall not exceed $133,000 unless expressly approved by all parties as an
amendment to this Agreement. In addition, the parties' respective responsibilities for such total
costs shall not exceed each party's respective percentage share of such costs as set forth in this
Agreement unless expressly approved by all parties as an amendment to this Agreement.
Payment by CITY and SPD to HEPD shall be paid within 30 days following receipt of invoice
from HEPD.
8. Licenses and Permits. HEPD shall adhere to and comply with all ordinances,
laws, rules and regulations that may pertain to or apply to the construction and operation of Dog
Park. HEPD agrees and warrants that it has procured or shall procure any licenses, permits or
like permission required by law, if any, to construct and install the Dog Park and any
improvements thereon,that HEPD will procure all additional licenses,permits or like permission
hereinafter required by law during the term of this Agreement, and that HEPD will keep the
same in full force and effect during the term of this Agreement. HEPD shall perform under this
Agreement in accordance with all applicable legal requirements.
9. Use of the Facility. In return for the funding to be provided by the involved
parties pursuant to this Agreement, HEPD agrees to maintain and operate the Dog Park as a
public, off-leash dog park during the effective term of this Agreement. It is understood that
HEPD may, from time to time, conduct scheduled programs and other events at the Dog Park
and will, at other times, make the Dog Park available for general use by the public, subject to
reasonable fees, rules and regulations. Hours of operation shall be from sunrise to sunset. The
facility will be open year round unless the facility is required to be closed or limited due to
facility repairs or inclement weather which prohibits the use of all or a portion of the facility.
Such closure or limitation of the facility will be limited to the time reasonably required to make
the facility operational and safe for all users of the facility. All other fees, rules and regulations
shall be established in the reasonable discretion of the HEPD.
HEPD may enter into agreements with third parties for maintenance and/or operation of
the Dog Park provided that the terms and conditions of any such agreements shall not conflict
with those of this Agreement and that HEPD shall remain responsible for any acts or omissions
of said parties that may be in violation of this Agreement.
HEPD shall not, in management or operation of the Dog Park pursuant to this Agreement,
discriminate against any person or group of persons on the basis of race, national origin, religion,
political affiliation, sex or sexual preference, handicap, age or on any other basis subject to the
requirements of applicable laws, rules or regulations.
By January 15 of each year following the effective date of this Agreement, the HEPD
shall distribute to the CITY and SPD the forthcoming year's fee schedule and marketing
materials to be used for advertising and promoting the use of the Dog Park by each party's
respective residents.
10. Maintenance and Repair. HEPD shall perform, or cause to be performed at its
own expense, routine maintenance and repair activities as it deems necessary to maintain the
Dog Park in a neat, sanitary and safe condition. Maintenance of the Dog Park by HEPD shall be
conducted a minimum of three times per week when the weather is conducive for use of the
facility. HEPD shall not be responsible for the removal of snow and/or ice within the dog park.
HEPD shall provide snow removal for the parking lot adjacent to the dog park after all other
indoor facility parking lots within HEPD are clear of snow and/or ice. Users will be required to
clean up after their dog(s) as necessary to keep the facility in a neat, sanitary and safe condition.
HEPD shall provide dog waste disposal bags and covered, leak-proof containers to assist owners
in picking up and disposing of all solid dog waste emitted from their respective dog(s).
11. Operation of Dog Park. HEPD shall have sole authority to operate the Dog Park
within the guidelines of the Agreement and all other regulations applicable to the operation of
the Dog Park. HEPD shall collect and retain all fees to be used for the purpose of operating and
maintaining the Dog Park. HEPD shall be responsible for maintaining all records of member
dogs. Membership fees will be required to allow entrance into the Dog Park and, subject to the
resident/non-resident proportionality rules described below, shall be established at the discretion
of the HEPD. Membership will be limited to dog owners who comply with the District's posted
rules and all local, county and state laws governing off-leash park areas including Cook County
Regulation VIII, Dog Parks and Areas, a copy of the currently applicable rules being attached
hereto as Attachment C. HEPD shall retain authority to bar any member, regardless of
residency,who fails to comply with applicable rules, laws and regulations.
Residents within the CITY, SPD and HEPD will all be charged the same fee. All other
users of the Dog Park will be charged a non-resident fee that will be a minimum of 40% greater
than the resident fee, but not more than 100% of the resident fee. Additional dog membership
non-resident fees shall be a minimum of 30%, but not more than 100% of the additional dog
resident fee.
12. Insurance. HEPD will obtain and maintain policies of insurance of such kinds
and in such amounts as reasonably required to protect the parties from claims and losses arising
from the management and operation of the facility pursuant to this Agreement and shall cause
the CITY and SPD to be named as additional insureds on such policies. Such policies shall
include commercial general liability insurance, providing coverage for personal injury, death,
property damage and destruction, with limits of$1,000,000 per occurrence, $2,000,000 in the
aggregate, and workers' compensation insurance to cover obligations imposed by state statutes
governing the activities of any persons employed or otherwise engaged by HEPD to perform
activities pursuant to this Agreement. Such insurance may be provided by an intergovernmental
risk management agency.
Prior to the commencement of work on the Dog Park, HEPD will provide to the CITY
and SPD certificates of insurance and such other documentation as may be required confirming
that the required policies are in place. At least 15 days prior to any material changes in forms or
amounts of coverage or any change in carriers providing such coverage, HEPD shall provide
written notification to CITY and SPD of such change.
As a condition of any agreement between HEPD and any third party for maintenance
and/or operation of the Dog Park, HEPD shall require said third party to obtain and maintain
insurance coverage in substantially the same forms and amounts as provided herein, to name
HEPD, CITY and the SPD as additional insureds and to provide evidence of such coverage prior
to the effective date of said agreement.
13. Indemnification.
a. Indemnification by HEPD. HEPD shall defend, indemnify and hold
harmless the CITY and SPD, and their respective agents, officers, officials and
employees (each, the CITY Group and SPD Group, and collectively, the "Covered
Group") from and against any and all claims, damages, losses and expenses (including
but not limited to attorney fees, court costs and the cost of appellate proceedings),related
to, any acts or omissions of HEPD or its agents, officers officials or employees (the
"HEPD Group") arising out of, or alleged to have resulted from, the management or
operation of the facility pursuant to this Agreement for which the HEPD Group may be
liable under the laws of the State of Illinois.
b. Indemnification by the CITY and SPD. The CITY and SPD shall
defend, indemnify and hold harmless the HEPD Group and SPD Group from and against
any and all claims, damages, losses and expenses (including but not limited to attorney
fees, court costs and the cost of appellate proceedings), related to, any acts or omissions
of the Covered CITY Group arising out of, or alleged to have resulted from, the
management or operation of the facility pursuant to this Agreement for which the
Covered CITY Group may be liable under the laws of the State of Illinois.
c. Indemnification by SPD. SPD shall defend, indemnify and hold
harmless the HEPD Group and CITY Group from and against any and all claims,
damages, losses and expenses (including but not limited to attorney fees, court costs and
the cost of appellate proceedings), related to, any acts or omissions of the SPD Group
arising out of, or alleged to have resulted from, the management or operation of the
facility pursuant to this Agreement for which the SPD Group may be liable under the
laws of the State of Illinois.
14. Term. This Agreement shall commence on the last date this Agreement is
executed by the parties hereto and shall continue for a term of twenty-five (25) years unless
extended as provided for herein. During the twenty-fifth (25th) year, if one party serves notice
upon the other, the parties shall engage in good faith discussions concerning whether or not this
Agreement should be extended, and upon what additional terms or conditions, if any. The
Parties agree that each party's monetary contribution to the construction and development of the
Dog Park shall be fully amortized on or before the expiration of the initial term. The parties may
elect to renew this Agreement in its current or a modified form on such terms as they shall find
agreeable. In the event that the parties fail to enter into negotiations for an extension of this
Agreement, it will renew on a year-to-year basis thereafter unless any of the parties provide 60-
days advance written notice of termination.
15. Savings Clause. The terms of this Agreement shall be severable. In the event
that any of the terms, provisions or conditions of this agreement are deemed to be void, invalid
or unenforceable for any reason by any court of competent jurisdiction, the remainder of this
Agreement shall remain in full force and effect.
16. Benefits Solely to the Parties. This Agreement is intended solely for the benefit
of the parties hereto, and nothing herein shall be construed, either expressly or impliedly, to
extend rights or obligations in favor of any other person, or to create any additional beneficiaries
of this Agreement. The delegation of all responsibilities by and among the Parties as described
herein is only as a matter of administrative convenience and shall not be construed to create any
duty or standard of care to third parties not otherwise imposed by law.
17. No Personal Liability. No official, director, officer, agent or employee of either
party hereto shall be charged personally or held contractually liable under any term or provision
of this Agreement, or because of their execution, approval or attempted execution of this
Agreement.
18. Modification. The terms of this agreement shall not be modified or amended
except by written agreement of the parties hereto. The agreement, covenants, terms and
conditions contained herein may be modified only in writing through the written mutual consent
of the parties hereto after approval by their respective governing boards.
19. Assignment. This Agreement shall be binding on the parties hereto and their
respective successors and permitted assigns. Parties may not assign, transfer or otherwise
convey its rights or obligations under this Agreement without the prior written consent of the
other parties,which may be withheld in such parties' sole discretion.
20. Counterparts. This Agreement may be executed in separate counterparts, each
of which shall be deemed an original, but all of which together shall constitute one and the same
instrument. The Agreement shall be fully executed when each party whose signature is required
has signed at least one counterpart, even if no one counterpart contains the signature of all
parties.
21. Construction. This Agreement is and shall be deemed to be construed as a joint
and collective work product of the CITY, SPD and HEPD and, as such,this Agreement shall not

be construed against the other party, as the otherwise purported drafter of same, by any court of
competent jurisdiction in order to resolve any inconsistency, ambiguity, vagueness or conflict, if
any, of the terms and provisions contained herein.
22. Relationship of the Parties. This Agreement is not intended and shall not be
construed so as to create a partnership, joint venture, employment or other agency relationship
between the parties hereto.
23. Choice of Law and Venue. This Agreement shall be deemed to have been made
in, and shall be construed in accordance with the laws of the State of Illinois. Venue for the
resolution of any disputes or the enforcement of any rights pursuant to this agreement shall be in
the Circuit Court of Cook County, Illinois.
24. Prior Agreements. This Agreement contains the Parties' entire understanding
and agreement with respect to the subject matter hereof and supersedes any and all prior
understandings and agreements, whether written or oral, between the parties with respect to the
subject matter of this Agreement.
25. Compliance with Laws. Notwithstanding any other provision of this Agreement,
it is expressly agreed and understood that in connection with the performance of this Agreement
that the CITY, SPD and HEPD shall comply with all applicable Federal, State, County, City and
other requirements of law, including, but not limited to, any applicable requirements regarding
prevailing wages, minimum wage, workplace safety and legal status of employees. Without
limiting the foregoing, the parties hereby certify, represent and warrant that their respective
employees and/or agents that will be providing products and/or services with respect to this
Agreement shall be legal residents of the United States. The parties shall also, at their respective
cost and expense, secure all permits and licenses, pay all charges and fees, and give all notices
necessary and incident to the due and lawful prosecution of the work, and/or the products and/or
services to be provided for in this Agreement, as may be required by law.
26. Term of Agreement. The initial term of this agreement shall be for 25 years. It is
understood and agreed that the Indemnification provisions as set forth in Section 13 of this
Agreement shall survive the termination or non-renewal of this Agreement.
27. Termination. This Agreement may not be terminated prior to the date of
expiration of the initial term unless all parties agree in writing to terminate the Agreement.
28. Remedies. Unless otherwise specified herein, in the event of a breach of any
term or condition of this Agreement by any party, the party claiming that a breach has occurred
shall provide written notice to the breaching party, said notice to set forth the factual basis for the
determination that a breach has occurred. If the breach is not wholly or substantially remedied
within 30 days of receipt of notice of breach, the non-defaulting party may seek any and all
remedies available at law or equity. The prevailing party in any suit for the enforcement of the
Parties' respective rights and obligations shall be entitled, as part of the judgment entered in such
suit, to an award of its costs and expenses for prosecuting such claim, including reasonable
attorneys' fees.
29. Notices. Notices to be sent pursuant to this Agreement shall be sent by certified
mail,postage prepaid to the following addresses:

30. Local Governmental and Governmental Employees Tort Immunity Act. It is
agreed and understood by the parties hereto that no special duties or obligations to third parties
are intended, nor shall be deemed or construed, to be created by this Agreement. It is further
understood and agreed that nothing herein is intended or shall be construed as altering, limiting
or waiving the provisions of the Local Governmental and Governmental Employees Tort
Immunity Act(745 ILCS 10/1-101,et seq., as amended),the Recreational use of Land and Water
Areas Act (745 ILCS 65/1, et seq., as amended), or such other immunities provided by law, it
being agreed that all civil immunities as set forth in such Acts, as amended, and/or such other
immunities provided by law, shall apply to the fullest extent permitted by law to any claims
asserted or that might be asserted against the CITY Group, HEPD Group or SPD Group, as a
result of this Agreement or any actions of the parties taken pursuant to this Agreement.

Cook County Dog Park Regulations
Definitions
Terms not defined in this Regulation VIII shall be defined in Section II of the Cook County
Animal and Rabies Control Ordinance.
Dog Park means an enclosed area of land where dogs are permitted to be off leash.
Leash means a cord,rope,strap,or chain which shall be securely fastened to the collar or harness
of a dog or other animal and shall be of sufficient strength to keep such dog or other animal
under control.
Operator means any Person who owns, operates or provides for use by patrons a Dog Park.
Requirements
1. No person shall be an Operator of a Dog Park unless such Dog Park is in compliance
with this Regulation VIII.
2. A Dog Park must be completely enclosed by a contiguous fence with each entrance
designed in such a manner as to secure against accidental opening.
3. There must be prominently displayed at each entrance to a Dog Park a sign that sets
forth the Operator's rules for use of the Dog Park by patrons which rules shall not be
inconsistent with these regulations.
4. Dogs must be on a Leash when entering into and leaving a Dog Park.They may be
taken off a leash while within the Dog Park except as necessary for the safety of the
dog or patrons.
5. The Operator must institute a plan(e.g. licensing/permitting and/or use of a key or
keycard system)satisfactory to the Administrator for each Dog Park that reasonably
ensures that access to the dog park is limited to dogs:
a. for whom there is written proof of an examination within the past year for any
communicable diseases including an examination of a stool specimen for
internal parasites, and current vaccinations or titers if possible for Distemper,
Hepatitis,Leptospirosis,Para-influenza, Parvovirus and Bordetella(kennel
cough)unless an exemption to this requirement has been granted by the
Administrator upon the written recommendation from the Owner's
veterinarian; and
b. who are in compliance with rabies vaccination requirements of the Illinois
Animal Control Act(510 ILCS 5); and
C. who are currently licensed by the local government where the Dog's Owner
lives.
6. The plan required by 5(b)above shall be filed in writing with and must be approved
by the Administrator prior to the Operator permitting patrons to use a Dog Park after
the effective date of these regulations. Once approved by the Administrator,any
proposed change in the plan must be approved by the Administrator prior to such change
becoming effective.
7. The Operator must institute a system of periodic surveillance to monitor compliance
by Dog Park Patrons with the Operator's Dog Park plan and rules. The Operator sshall
have a policy for those instances in which a patron does not observe the Operator's
rules. The Operator shall permit the Administrator to monitor and enforce
compliance by Dog Park Patrons with the Operator's Dog Park plan and rules.
8. The Dog Park must have covered leak-proof containers available for storage of waste
materials for disposal to control vermin and insects,which containers shall be
periodically emptied and maintained in a sanitary condition.
9. Patrons must comply with the Operator's rules and regulations.
