WHEREAS, the CITY desires to engage the ENGINEER to furnish certain professional services in connection with the design and configuration of network switches and modules of the 2011 Network Switch Infrastructure Upgrade(hereinafter referred to as the"PROJECT"); and WHEREAS, the ENGINEER represents that it is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW, THEREFORE, it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER for and in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby mutually acknowledged to act for and represent it in the ENGINEER matters involved in the PROJECT as described herein, subject to the following terms and conditions and stipulations,to-wit: 1. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the IT DIRECTOR of Information Technology Services of the CITY, herein after referred to as the "IT DIRECTOR" B. Outline of the services to be provided by the ENGINEER is: ENGINEER shall provide the scope of services to the CITY for the PROJECT as outlined herein and as detailed in Attachment A,attached hereto and made a part hereof. 1. Core Switch 2. Edge Switches&Modules 3. Professional Services 2. WORK PRODUCTS All work products prepared by the ENGINEER pursuant hereto including, but not limited to, reports, designs,calculations,work drawings, studies,photographs,models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request of the IT DIRECTOR; provided, however, that the ENGINEER may retain copies of such work products for its records. Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project. 4. PAYMENTS TO THE ENGINEER A. The CITY shall pay the ENGINEER for goods and services under this Agreement a total sum of Two Hundred Sixty Five Thousand Dollars ($265,000),regardless of actual Costs incurred by the ENGINEER unless substantial modifications to the project are authorized in writing by the IT DIRECTOR. Such payment shall be pursuant to the following schedule: 60%acceptance of delivery of goods 30%acceptance of delivery of professional services 10%upon final completion 5. INVOICES A. The ENGINEER shall submit invoices in a format approved by the CITY. 6. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof,the CITY may terminate this Agreement at any time upon fifteen(15)days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually performed and goods delivered on a quantum meruit basis. 7. TERM This Agreement shall terminate upon final completion and written acceptance by the City unless terminated for cause or pursuant to Article 5. A determination of completion shall not constitute a waiver of any rights or claims which the CITY may have or thereafter acquire with respect to any term or provision of the Agreement. 8. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any default, fails within fifteen (15) days after notice thereof by the other party to comply with the conditions of the Agreement, the other party may terminate this Agreement. 10. INDEMNIFICATION To the fullest extent permitted by law, ENGINEER agrees to and shall indemnify, defend and hold harmless the CITY, its officers, employees, agents, boards and commissions from and against any and all claims, suits, judgments, costs, attorney's fees, damages or other relief, including but not limited to worker's compensation claims and any and all claims made by or against the city based on additional material costs or any other costs incurred as a result of damage to property or increased cost resulting from an inaccurate bid by ENGINEER without regard to any consideration of the CITY'S receipt of"increased value" or"benefit of bargain"in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligence or omissions of employees or agents of the ENGINEER arising out of the performance of this Agreement. In the event of any action against the CITY, its officers, employees, agents, boards or commissions, covered by the foregoing duty to indemnify, defend and hold harmless such action shall be defended by legal counsel of the CITY's choosing. The provisions of this paragraph shall survive any expiration, completion and/or termination of this Agreement. 11. NO PERSONAL LIABILITY tf , ,t No official, director, officer, agent or employee of the CITY shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. 12. INSURANCE A. Comprehensive Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least $1,000,000 aggregate for bodily injury and $1,000,000 aggregate for property damage. The ENGINEER shall deliver to the IT DIRECTOR a Certification of Insurance naming the CITY as additional insured. The policy shall not be modified or terminated without thirty(30)days prior written notice to the IT DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article 10 entitled"Indemnification"shall be provided. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to the CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance, alternatively, if the insurance states that it is excess or prorated, it shall be endorsed to be primary with respect to the CITY. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned, non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of $1,000,000 per occurrence subject to a$1,000,000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineers Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $1,000,000 per occurrence. A Certificate of Insurance shall be submitted to the IT DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty (30) days prior written notice to the IT DIRECTOR. 14. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement, there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to,but not be limited to,the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex,race,color, r r creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation,termination or suspension,in whole or in part,of the Agreement by the CITY. 15. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. 16. DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item, condition and other provision hereof to the same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. Any proposed subcontractor shall require the CITY's advanced written approval. 17. NO CO-PARTNERSHIP OR AGENCY This Agreement shall not be construed so as to create a partnership,joint venture, employment or other agency relationship between the parties hereto. 18. SEVERABILITY The parties intend and agree that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable,all other portions of this Agreement shall remain in full force and effect. 19. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. 20. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof,or change order as herein provided. 21. APPLICABLE LAW 1 This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this Agreement shall be in the Circuit Court of Kane County, Illinois. 22. NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the IT DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the IT DIRECTOR prior to said documentation becoming matters of public record. 23. COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CITY's employ or any work associated with the PROJECT. 24. INTERFERENCE WITH PUBLIC CONTRACTING The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of a violation of 720 ILCS 5/33E, et seq. or any similar state or federal statute regarding bid rigging. 25. SEXUAL HARASSMENT As a condition of this contract,the ENGINEER shall have written sexual harassment policies that include,at a minimum,the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment,utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse, investigative and complaint process available through the Illinois Department of Human Rights,and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act. A copy of the policies shall be provided by ENGINEER to the Department of Human Rights upon request 775 ILCS 5/2-105. 26. WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the IT DIRECTOR and to other participants which may affect cost or time of completion shall be made or confirmed in , writing. The IT DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. 27. NOTICES All notices,reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail,postage prepaid,addressed as follows: A. COMPLIANCE WITH LAWS Notwithstanding any other provision of this AGREEMENT it is expressly agreed and understood that in connection with the performance of this AGREEMENT that the ENGINEER shall comply with all applicable Federal, State, City and other requirements of law, including, but not limited to, any applicable requirements regarding prevailing wages, minimum wage, workplace safety and legal status of employees. Without limiting the foregoing, ENGINEER hereby certifies, represents and warrants to the CITY that all ENGINEER'S employees and/or agents who will be providing products and/or services with respect to this AGREEMENT shall be legal residents of the United States. ENGINEER shall also at its expense secure all permits and licenses, pay all charges and fees and give all notices necessary and incident to the due and lawful prosecution of the work, and/or the products and/or services to be provided for in this AGREEMENT. The CITY shall have the right to audit any records in the possession or control of the ENGINEER to determine ENGINEER'S compliance with the provisions of this section. In the event the CITY proceeds with such an audit the ENGINEER shall make available to the CITY the ENGINEER'S relevant records at no cost to the CITY and shall pay all costs of any such audit at ENGINEER'S sole expense. Engineer hereby waives any all claims to interest on money claimed to be due pursuant to this Agreement, and any and all such rights to interest to which it may otherwise be entitled pursuant to law, including, but not limited to, pursuant to the Local Government Prompt Payment Act, as amended (50 ILCS 505/1, et. seq.), or the Illinois Interest Act, as amended (815 ILCS 205/1, et.seq) ENGINEER shall not be entitled to, and hereby waives, any and all rights that it might have to file suit or bring any cause of action or claim for damages against the City of Elgin and/or its affiliates, officers, employees, agents, attorneys, boards and commissions of whatsoever nature and in whatsoever forum after two(2)years from the date of this Agreement. Bid announcements can be found on the City of Elgin Home Page at www.citvofelwin.org •• • Introduction The City of Elgin, Illinois(the City), invites qualified Vendors (Vendor)to submit responses to its Request for Proposal(RFP)to furnish Network Switches& Infrastructure Upgrade. Proposals are to include pricing for all material, equipment, and labor to satisfy the RFP requirements. This RFP is part of a procurement process that helps us serve the City's best interests. It provides a formal and unrestrictive opportunity for the City to consider the services of responding Vendors. The process being used in this case should not be confused with the process of competitive sealed bidding. The latter process is usually used where the goods and services being procured can be precisely described and price is generally the determining factor. With a Request for Proposal and Competitive Negotiation,price is not required to be the determining factor, although it may be, and the City has the flexibility to negotiate with one or more Vendors to arrive at a mutually beneficial relationship. All questions about this process or the requirements must be in writing and forwarded to Assistant Purchasing Director Daina DeNye via e-mail to Denye_D@cityofelgin.org. The City is not responsible for any cost a Vendor incurs in responding to this RFP or during participation in the negotiation process. The City of Elgin, Illinois is located in Northeastern Dlinois and serves a population of approximately 100,000 and has 40 square miles encompassing its city limits. The City operates under a Council-Manager form of government in which the Manager serves as the Chief Executive Officer. City administration is divided into eight departments: Office of the City Manager, Legal Services, Fiscal Services,Public Services, Community Development,Police,Fire, and Parks&Recreation Department. The City employs approximately 1000 full-time and part-time employees. The City has voice& data network facilities located in 28 buildings throughout the City. The City has a converged voice,video and data network with City owned fiber optic cable inter-connecting all City facilities. The City currently deploys an Ethernet network with 1GB backbone, 1GB server connections and 100MB to the IP Phone/desktop. The network is a single core hub and spoke with the City Hall being the network hub. The City uses the Cisco Unified Communications VOIP phone system with Cisco Unity voice mail,Cisco Emergency Responder and the Cisco IP Call Center. The specified network must support Cisco Unified Communications systems, including the Cisco VG248 and Cisco ATA186 IP to analog phone gateway, and the Cisco 3725 Multi- Service Access Router. Please see the attached Visio files for a graphic representation of the existing City network and proposed network. The scope of services section will describe the subject area for which the City of Elgin is seeking a solution. The section will describe the required tasks, and set out basic requirements, which must be met as stated for the proposal to be considered. Vendors are free to propose any solution that meets the stated requirements. The due date for responding to this RFP is 11:00am Tuesday Feb 1, 2011. • Scope of Services The current network design and equipment have served the City well for the last eight years. However, the closet edge switches are obsolete and will be out of support soon. The other network equipment is also eight years old and in need of replacement. The upgraded network will be designed to take advantage of advances in network switching technology and quality of service. All closet edge switches must provide Power-Over-Ethernet to all ports. POE must support IEEE standards 802.11 of and 802.11 at as well as support the current Cisco 7912, 7940 and 7960 IP Phone. All facilities are located in Elgin Illinois. Switches within the same closet will be stacked,backbone between closets and core will be l0G Ethernet with a few noted exceptions that will remain at 1G Ethernet. Professional Services: A primary goal of the infrastructure upgrade is to create a redundant and highly available network and to eliminate the single core point of failure. Professional services are required to create a core switch configuration for a multi-switch distributed network core that is manageable as a single virtual switch so that a single core switch failure does not bring down the entire City network. Core Switches will be located at the City Hall, Police Department and Riverside Water Plant. See the Visio diagrams on the following pages for the current and the proposed network layout. This design is only a proposed solution and Vendors are free to propose their own solution to meet the requirement of a highly available network core. Create edge switch configuration for voice and data traffic. A base configuration template will be created by the vendor setting up QOS parameters,VLAN settings and management settings that City IT staff can replicate to each new switch making the necessary adjustments for VLANS, switch names, SNMP settings and any other setting unique to a particular switch. Shipment and Delivery. 4.1. Shipment of Products.Extreme will use commercially reasonable efforts to ship the Products at the times requested in purchase orders accepted by Extreme(in partial or full shipments);provided,however,in the event of shortages of labor,energy, components,raw materials or supplies or interruption of Extreme's production or for reasons beyond Extreme's reasonable control, shipment may be delayed without liability of Extreme.Without liability to any person and without prejudice to any other remedy, Extreme may withhold or delay shipment of any order if Customer is late in payment or is otherwise in default under this Agreement. 4.2. Delivery and Acceptance of Products.Extreme will deliver Products to Customer as follows:(i)if shipped to a destination in the United States,delivery of Products will be made F.O.B.(Extreme's place of shipment)(INCOTERMS 2000)and risk of loss or damage to the Products will pass to Customer upon delivery of the Products to the carrier at the F.O.B.point,and(ii)if shipped to a destination outside the United States,delivery will be EX WORKS(Extreme's facility or place of manufacture)(INCOTERMS 2000) and risk of loss or damage to the Products will pass to Customer when the Products are placed at the disposal of Customer. Limited Warranty.Extreme warrants the Products solely to Customers and pursuant to the terms and conditions of the warranty card and the software license agreement provided with the Product at the time of shipment or download. In the event of a failure of any Product to comply with the foregoing warranty during the applicable warranty period(a"Defect"),Extreme shall,at its option,repair or replace the Product or refund the fees paid by Customer for such Product(following Customer's return of the Product),or provide a workaround for the Defect.Replacement Products may be new or refurbished Products.The foregoing sets forth Customer's sole and exclusive remedies for a breach of the above limited warranties. 6.2. RECOMMENDATION: Award a contract to Converging Networks Group for Extreme Networks switches and imple- mentation services in the amount of$265,000. BACKGROUND In March 2003, the city purchased 67 Cisco network switches as part of a complete redesign of the city information network. A converged voice, video and data network was constructed with a single core switch at city hall and a wire speed of one gigabit per second. Twenty-four city buildings were connected to the network via fiber optic cable. City phone services were moved from AT&T Centrex service to the new voice over IP system at a savings of more than $35,000 per month, a total savings in excess of $3,360,000 over the eight year life of this system. The system has performed very well over the years with very little downtime. The system's availa- bility and performance has allowed technological improvements to be implemented in every department to help city staff be more productive and responsive to constituent needs. The line of switches currently installed in all city buildings, connecting them to the network, is the Cisco Catalyst 3550 switch. Cisco has announced the end-of-support for this switch. As of May 2, 2011, support will no longer be available (see attachment A). This will put the city in the position of having critical network infrastructure running with no vendor support in case of fail- ure or communication problems. The loss of one or more switches will cause the loss of phone service as well as data service to the affected area, resulting in no voice mail, no email, no access to data storage and no access to the internet, all the things now taken for granted every day. Having no vendor support will make the restoration of services more time consuming, dif- ficult and costly. As all the equipment in the network is nearing eight years of continuous ser- vice, it is not unreasonable to expect that the failure rate will increase as age and usage in- creases. To date, eight switches have failed out of the total 67 installed. OPERATIONAL ANALYSIS Information Technology Services (ITS) staff reviewed several options, including keeping spares, replacing on a one-by-one basis and a complete network replacement. The complete network replacement is the best overall solution. Keeping spares and replacing failed switches on a one- by-one basis limits overall network performance to the oldest piece of equipment. Failures of switches cause operational problems for city staff, regardless of how quickly the ITS staff can replace the failed switch. The complete network replacement offers the opportunity to take advantage of improvements in network hardware and switching technology to create a three switch network core for redundancy and high availability. To increase the wire speed of the en- tire network by a factor of ten, bringing the core network speed up to ten gigabits per second, to implement a powerful and efficient network control and management system for ITS staff to maximize system throughput and availability, and to eliminate downtime. Since the original network was installed in 2003, four more buildings have been added to the fiber optic network, bringing the total to 28. Several critical systems have been deployed requiring consistent, relia- ble access from multiple city buildings, including fire records management, recreation activity and point of sale, Naviline municipal management system and police records management and dispatch system. A Request for Proposal (RFP) was issued to seek vendor design proposals to replace the eight year old network with a new, state of the art, highly available, converged network. Prior to the submission deadline, nine proposals were received, however, the proposal from Dell was in- complete and did not meet the RFP requirements in several areas and is considered non- responsive. The ITS evaluation team, consisting of the ITS director, ITS network manager and ITS network administrator, evaluated the remaining eight proposals based the following crite- ria: 1. Highly available system configuration 2. Functionality and features of equipment proposed 3. Manufacturer warranty and technical support provided 4. Vendor expertise with the equipment proposed 5. Vendor references 6. Cost The eight responsive proposals consisted of four types of systems (see attachment B): Allied Telesis, Cisco Systems, Extreme Networks and HP. After evaluation on the first four criteria, the top four vendors were asked to come in for a presentation and demonstration of the system they proposed. Two proposals stood out far above the rest in providing the city with the best overall system design. The proposal from Converging Networks Group, recommending Extreme Networks x-series switches exceeded every requirement in the RFP. Extreme Networks offers a high end, carrier-class switched network environment, highly available three switch network core, reliable edge switches and a powerful network management system. Extreme offers 24 x III 2 7 x 365 support with four hour response and overnight replacement guarantee. They have a local support staff in Chicago. Local references included the Village of Palatine, Illinois. Palatine has been using Extreme switches for seven years. They have not had a switch failure for the en- tire seven years. The City of Davenport, Iowa was also contacted. Davenport has been running Extreme Networks switches for several years with no problems or failures reported. Both of these cities gave Extreme Networks a very high recommendation. Other large corporate clients include Abbott Laboratories. Extreme Networks is an international company with many thou- sands of installed clients around the world. The other outstanding proposal was from Sayers recommending HP network switches. The HP network being proposed also exceeded every RFP requirement for high availability, ease of use, system management and vendor support. The final deciding factor between these two excel- lent proposals was cost. Converging Networks Group with their partner Extreme Networks is offering very aggressive pricing to win the city's business, to expand their presence in the mid- sized municipal market. The other proposals, mostly proposing Cisco Systems switches, did not have the powerful sys- tem management tools. The Cisco proposed three switch core redundancy was much more complex to create and difficult to manage. Finally, the Cisco solutions were much more expen- sive. The Converging Networks Group Extreme Networks proposal gives the city the best value solution. INTERESTED PERSONS CONTACTED None. FINANCIAL ANALYSIS The total cost of the Converging Networks Group proposal, including the first year of system maintenance, is $265,000. The Converging Networks Group Extreme Network proposal was the lowest cost and best value proposal received. The on-going annual maintenance cost of this system will be $5,400 per year. This is$4,500 per year less than the current Cisco system annual maintenance. The deep discount offered by Converging Networks Group and Extreme Networks allows the city to procure a high-end carrier-class network system at a low-end consumer elec- tronics price. Because of this favorable pricing, the project is expected to be $135,000 less than budgeted. Remaining funds will be available for reprogramming upon project completion. Nine proposals were received prior to the sub- mission deadline. The submissions were reviewed for their compliance with the RFP require- ments. The proposal from Dell was incomplete and did not meet the proposal requirements in several areas and is considered non-responsive. Dell omitted all professional services required to create the base switch configuration and to create the redundant core switch configuration. Dell also only proposed two core switches while the requirement was for three core switches. Dell's proposal included fewer than the total number of switches and fiber optics required in the proposal. The remaining eight proposals all meet the proposal requirements and were eva- luated by the ITS evaluation team. ALTERNATIVES The city council may choose not to approve the agreement with Converging Networks Group and leave the unsupported, obsolete switches in place. NEXT STEPS 1. WHEREAS, the CITY desires to engage the ENGINEER to furnish certain equipment and professional services in connection with the design and configuration of network switches and modules of the 2011 Network Switch Infrastructure Upgrade(hereinafter referred to as the PROJECT);and WHEREAS,the ENGINEER represents that it is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW, THEREFORE, it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER for and in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged to act for and represent it in the engineering matters involved in the PROJECT'as described herein,subject to the following terms and conditions and stipulations, to-wit: SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the Director of Information Technology Services of the CITY,herein after referred to as the"IT DIRECTOR" B. Outline of the services to be provided by the Engineer is: ENGINEER shall provide the services to the CITY for the PROJECT as outlined herein and as detailed in Attachment A hereto. 1. Core Switch 2. Edge Switches&Modules 3. Professional Services C. A detailed Scope of Services is attached hereto as Attachment A. WORK PRODUCTS All work products prepared by the ENGINEER pursuant hereto including,but not limited to,reports, designs,calculations,work drawings,studies,photographs,models and recommendations shall be the property of the CITY and shall be delivered to the. CITY upon request of the IT DIRECTOR provided, however, that the ENGINEER may retain copies of such work products for its records. Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project, and such reuse shall be at the sole risk of the CITY without liability or legal exposure to the ENGINEER. PAYMENTS TO THE ENGINEER A. The CITY shall pay the ENGINEER for services under this Agreement a lump sum of Two Hundred Sixty Five Thousand Dollars ($265,000.00), regardless of actual Costs incurred by the ENGINEER unless substantial modifications to the project are authorized in writing by the IT DIRECTOR. INVOICES A, The ENGINEER shall submit invoices in a format approved by the CITY. B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The ENGINEER shall permit the authorized representative of the CITY to inspect and audit all data and records of the ENGINEER.for work done under this Agreement. The ENGINEER shall make these records available at reasonable times during the Agreement period,and for a year after termination of this Agreement. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof,the CITY may terminate this Agreement at any time upon fifteen (15) days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually performed and reimbursable expenses actually incurred prior to termination. This Agreement shall become effective as of the date the ENGINEER is given a notice to proceed and,unless terminated for cause or pursuant to Article 5, shall be deemed concluded on the date the CITY determines that all of the ENGTNEER's work under this Agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the CITY may have or thereafter acquire with respect to any term or provision of the.Agreement. NOTICE OF CLAIIVI If the ENGINEER wishes to make a claim for additional compensation as a result of action taken by the CITY, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the ENGINEER's fee shall be valid only to the extent that such changes are included in writing signed by the CITY and the ENGINEER. Regardless of the decision of the IT DIRECTOR relative to a claim submitted by the ENGINEER, all work required under. this Agreement as.determined by the IT DIRECTOR shall proceed without interruption. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default,and the other party has the right to seek such administrative,contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any default, fails within fifteen (15) days after notice thereof by the other party to comply with the conditions of the Agreement,the other party may terminate this Agreement. INDEMNIFICATION To the fullest extent permitted by law, ENGINEER agrees to and shall indemnify, defend and hold harmless the CITY, its officers, employees,agents,;boards and commissions from and against any and all claims,suits, judgments,costs, attorney's fees,damages or other relief,including but not limited to worker's compensation claims and any and all claims made by or against the city based on additional material costs or any other costs incurred as a result of damage to property or increased cost resulting from an inaccurate bid by ENGINEER without regard to any consideration of the CITY'S receipt of"increased value'or"benefit of bargain"in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligence or omissions of employees or agents of the ENGINEER arising out of the performance of this Agreement. In the event of any action against the CITY, its officers,employees, agents, boards or commissions, covered by the foregoing duty to indemnify, defend and hold harmless such action shall be defended by legal counsel of the CITY's choosing. The provisions of this paragraph shall survive any expiration,completion and/or termination of this Agreement. NO PERSONAL LIABILITY No official,director, officer,agent or employee of the CITY shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. INSURANCE A.A. Comprehensive Liability. The ENGINEER shall provide,pay for and maintain in effect,during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least $1,000,000 aggregate for bodily injury and$1,000,000 aggregate for property damage. The ENGINEER shall deliver to the IT DIRECTOR a Certification of Insurance naming the CITY as additional insured. The policy shall not be modified or terminated without thirty (30) days prior written notice to the IT DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article 10 entitled"Indemnification"shall be provided. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to the CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance,alternatively, if the insurance states that it is excess or prorated,it shall be endorsed to be primary with respect to the CITY. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned,non-owned and hired motor vehicles with limits of not less than$500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of$1,000,000 per occurrence subject to a$1,000,000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineers Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $1,000,000 per occurrence. A Certificate of Insurance shall be submitted to the IT DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty(30)days priorwritten notice to the IT DIRECTOR. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement,there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training,including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed,national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. DELEGATIONS AND SUBCONTRACTORS Any assignment,delegation or subcontracting shall be subject to all the terms,conditions and otherprovisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item, condition and other provision hereof to the same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. Any proposed subcontractor shall require the CITY's advanced written approval. NO CO-PARTNERSHIP OR AGENCY This Agreement shall not be construed so as to create a partnership, joint venture, employment or other agency relationship between the parties hereto. SEVERA'BILITY The parties intend and agree that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. • APPLICABLE LAW This Agreement shall be deemed to have been made in,and shall be construed in accordance with the laws of the State of Illinois.Venue for the resolution of any disputes or the enforcement of any rights pursuant to this Agreement shall be in the Circuit Court of Kane County,Illinois. NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the IT DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the IT DIRECTOR prior to said documentation becoming matters of public record. COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CITY's employ or any work associated with the PROJECT. INTERFERENCE WITH PUBLIC CONTRACTING The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of a violation of 720 ILLS 5/33E et seq.or any similar state or federal statute regarding bid rigging. SEXUAL HARASSMENT As a condition of this contract,the ENGINEER shall have written sexual harassment policies that include,at a minimum,the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment,utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse,investigative and complaint process available through the Illinois Department of Human Rights,and the Illinois Human Rights Commission; F. directions,on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act. A copy of the policies shall be provided by ENGINEER to the Department of Human Rights upon request 775 ILCS 5/2-105. WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the IT DIRECTOR and to other participants which may affect cost or time of completion shall be made or confirmed in writing. The IT DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. Without limiting the foregoing, ENGINEER hereby certifies, represents and warrants to the CITY that all ENGINEER'S employees and/or agents who will be providing products and/or services with respect to this AGREEMENT shall be legal residents of the United States. ENGINEER shall also at its expense secure all permits and licenses,pay all charges and fees and give all notices necessary and incident to the due and lawful prosecution of the work, and/or the products and/or services to be provided for in this AGREEMENT. The CITY shall have the right to audit any records in the possession or control of the ENGINEER to determine ENGINEER'S compliance with the provisions of this section. In the event the CITY proceeds with such an audit the ENGINEER shall make available to the CITY the ENGINEER'S relevant records at no cost to the CITY and shall pay all costs of any audit at ENGINEER'S sole expense. Terms And Conditions Of Sale And Service CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT.USE OF EXTREME NETWORKS,INC.("EXTREME") PRODUCT(S)INCLUDING THE SOFTWARE CONTAINED IN THE PRODUCTS AND ANY UPDATES THERETO(THE "SOFTWARE")(TOGETHER,THE"PRODUCTS"),CONSTITUTES ACCEPTANCE BY YOU("CUSTOMER")OF THESE TERMS AND CONDITIONS. EXTREME SHALL NTO BE BOUND BY ANY ADDITIONAL,INCONSISTENT AND/OR CONFLICTING PROVISIONS IN ANY ORDER,RELEASE,ACCEPTANCE OR OTHER WRITTEN CORRESPONDENCE FROM CUSTOMER UNLESS EXPRESSLY AGREED TO IN WRITING BY EXTREME. 1. Prices.The price of the Products shall be set forth in Extreme's price list then in effect when Extreme accepts Customer's order or when such items are shipped,whichever is lower,less any applicable discount.Extreme reserves the right to change its price list without prior notice.Prices do not include freight,insurance,or other similar charges.Any such charges will be added to the price or separately invoiced to Customer. 2. Payment Terms. 2.1. Payment.Customer shall pay all invoices issued under this Agreement within thirty(30)days from date of invoice.Shipments, deliveries,and performance of work will at all times be subject to the approval of Extreme's credit department and Extreme may at any time decline to make any shipments or deliveries or perform any work except upon receipt of payment or upon terms and conditions or security satisfactory to Extreme. Security Interest.Customer hereby grants a security interest in the Products sold under this Agreement and the proceeds thereof until payment of the full purchase price to Extreme.Customer agrees to execute any financing statements,continuation statements,or other documents as Extreme requests to protect its security interest. 3. Taxes.Customer will pay or reimburse Extreme for all sales,use,value-added and other taxes(except taxes on Extreme's net income),and all customs,duties and tariffs now or hereafter claimed or imposed by any governmental authority upon the sale of the Products or licensing of the Software to Customer,or upon payments to Extreme under this Agreement. 4. Shipment and Delivery. 4.1. Shipment of Products.Extreme will use commercially reasonable efforts to ship the Products at the times requested in purchase orders accepted by Extreme(in partial or full shipments);provided,however,in the event of shortages of labor,energy, components,raw materials or supplies or interruption of Extreme's production or for reasons beyond Extreme's reasonable control, shipment may be delayed without liability of Extreme.Without liability to any person and without prejudice to any other remedy, Extreme may withhold or delay shipment of any order if Customer is late in payment or is otherwise in default under this Agreement. 4.2. Delivery and Acceptance of Products.Extreme will deliver Products to Customer as follows:(i)if shipped to a destination in the United States,delivery of Products will be made F.O.B.(Extreme's place of shipment)(INCOTERMS 2000)and risk of loss or damage to the Products will pass to Customer upon delivery of the Products to the carrier at the F.O.B.point,and(ii)if shipped to a destination outside the United States,delivery will be EX WORKS(Extreme's facility or place of manufacture)(INCOTERMS 2000) and risk of loss or damage to the Products will pass to Customer when the Products are placed at the disposal of Customer. Subject to Section 2.2("Security Interest"),title to the Products(other than the Software and Documentation(as defined in Section 5("License;Title"))will pass to Customer upon Extreme's tender of delivery to the carrier for shipment.The Products will be deemed accepted by Customer upon shipment. 5. License;Title.The Software is licensed subject to the terms and conditions of the then-current Software license agreement for such Software in effect at the time the Software is provided. Customer agrees that Customer will not attempt,and if Customer is a corporation,Customer will use Customer's best efforts to prevent Customer's employees and contractors from attempting,to reverse engineer,disassemble,modify,translate,create derivative works,rent,lease,loan,distribute or sublicense the Products,in whole or in part.Title to and ownership of the Software and Documentation,and any improved,updated,modified or additional parts thereof,and all copyright,patent,trade secret,trademark and other intellectual property rights embodied in the Products,shall at all times remain the property of Extreme or Extreme's licensors. 6. Warranty to Customer. 6.1. Limited Warranty.Extreme warrants the Products solely to Customers and pursuant to the terms and conditions of the warranty card and the software license agreement provided with the Product at the time of shipment or download. In the event of a failure of any Product to comply with the foregoing warranty during the applicable warranty period(a"Defect"),Extreme shall,at its option,repair or replace the Product or refund the fees paid by Customer for such Product(following Customer's return of the Product),or provide a workaround for the Defect.Replacement Products may be new or refurbished Products.The foregoing sets forth Customer's sole and exclusive remedies for a breach of the above limited warranties. 6.2. Return Procedures.Products shall be non-returnable except as provided in Section 6.1("Limited Warranty")or under a current maintenance support entitlement.Prior to any return by Customer of any Product,Customer shall obtain a return material authorization("RMA")from Extreme.Customer shall return the entire contents of the defective Product and dated proof of purchase for the defective Product,if requested by Extreme,marked with the RMA number,to Extreme's designated repair facility,freight prepaid within thirty(30)days of receipt of the RMA,with a written statement describing the Defect.Extreme shall only be obligated under its warranty for Products with Defects which are reproducible by Extreme in the execution environment.Extreme will pay the transportation charges(excluding taxes,duties and customs)in accordance with the warranty program or support plan purchased for such Product.Extreme may refuse any Product not accompanied by an RMA and such refused shipments will be returned to 6.3. Disclaimer of Warranties.EXCEPT AS SET FORTH ABOVE,THE PRODUCTS AND SOFTWARE ARE PROVIDED"AS IS"AND EXTREME,ITS SUPPLIERS AND AUTHORIZED PARTNERS MAKES NO OTHER WARRANTIES,EXPRESS,IMPLIED OR STATUTORY,REGARDING PRODUCTS,EXCEPT TO THE EXTENT SUCH EXCLUSIONS OR LIMITATIONS ARE PROHIBITED BY APPLICABLE LAW.ALL IMPLIED WARRANTIES AS TO SATISFACTORY QUALITY,PERFORMANCE, MECHANTABILITY,FITNESS FOR PARTICULAR PURPOSE OR NONINFRINGEMENT ARE EXPRESSLY DISCLAIMED.You assume responsibility for selecting the Software to achieve your intended results,and for your Use thereof. WITHOUT LIMITING THE FOREGOING PROVISIONS,EXTREME MAKES NO WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR FREE FROM INTERRUPTIONS OR OTHER FAILURES,OR THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS. 7. Maintenance.Customer may obtain maintenance and support services for the Products by contacting Extreme for the appropriate maintenance agreement,subject to the terms thereof.Extreme may,in its sole discretion,impose additional charges for updates and new versions of Products that encompass features or functions not performed by the Products as originally sold to Customer.Maintenance and support services will be provided to Customer in accordance with the terms and conditions associated with such service. 8. Limitation of Liability.IN NO EVENT WILL EXTREME BE LIABLE TO CUSTOMER FOR ANY INDIRECT,SPECIAL, INCIDENTAL,CONSEQUENTIAL OR EXEMPLARY DAMAGES OF ANY KIND,INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS AND LOST SAVINGS,HOWEVER CAUSED,WHETHER FOR BREACH OR REPUDIATION OF CONTRACT,TORT, BREACH OF WARRANTY,NEGLIGENCE,OR OTHERWISE,WHETHER OR NOT EXTREME WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES.NOTWITHSTANDING ANY OTHER PROVISIONS OF THIS AGREEMENT, EXTREME'S TOTAL LIABILITY TO CUSTOMER ARISING FROM OR IN RELATION TO THIS AGREEMENT OR THE PRODUCTS SHALL BE LIMITED TO THE TOTAL PAYMENTS TO EXTREME UNDER THIS AGREEMENT FOR THE RELEVANT PRODUCTS.IN NO EVENT WILL EXTREME BE LIABLE FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS.THE FOREGOING LIMITATIONS SHALL NOT APPLY TO DAMAGES ARISING FROM DEATH OR PERSONAL INJURY IN ANY JURISDICTION WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES,SO SUCH EXCLUSIONS MAY NOT APPLY TO CUSTOMER. Property of Extreme Networks 2008 Extreme Networks,Inc.All rights reserved." 4 , 11 ► confidentiality of the Products and any other confidential information of Extreme as Customer would exercise to safeguard the confidentiality of Customer's confidential information,but not less than reasonable care.Customer agrees not to(i)disclose to any third party any confidential information of Extreme;(ii)reproduce the Products or any portion thereof in any form or medium,or(ill) use the Products or other confidential information of Extreme for any purpose not specified in this Agreement.Customer warrants that all persons having access to the Products or other confidential information of Extreme under this Agreement will abide by the obligations set forth in this Section 9.Customer agrees not to remove or destroy any copyright,logo,trademark,trade name, proprietary markings,or confidentiality legends placed upon or contained within the Products,its containers or Documentation. Customer agrees to comply with all legends that appear on or in the Products. 10. Term and Termination.The term of this Agreement shall continue unless terminated in accordance with this Section.Extreme may terminate this Agreement at any time upon(i)bankruptcy,insolvency or receivership of Customer,or(ii)any material default by Customer of this Agreement not cured within thirty(30)days after Customer receives written notice thereof.Except for the first sentence of Section 5("License;Title')and Section 7("Maintenance"),the rights and obligations set forth in this Agreement shall survive any termination of this Agreement. 11. Export Control.In exercising its rights under this Agreement,Customer agrees to comply strictly and fully with all export controls and regulations imposed on the Products by the US and any country or organization or nations within whose jurisdiction Customer operates or does business. 12. Government Rights.If Products are being acquired by the U.S.Government,the Software and related Documentation is commercial computer software and commercial computer software documentation developed exclusively at private expense,and(i) if acquired by or on behalf of a civilian agency,shall be subject to the terms of this computer software license as specified in 48 C.F.R.12.212 of the Federal Acquisition Regulations and its successors;and(ii)if acquired by or on behalf of units of the Department of Defense("DoD")shall be subject to the terms of this commercial computer software license as specified in 48 C.F.R. 227.7202,DoD FAR Supplement and Its successors. 13. General Provisions.Customer shall not assign this Agreement or transfer any of the rights,duties,or obligations arising under this Agreement without the prior written consent of Extreme.This Agreement shall be binding upon,and inure to the benefit of,the successors and permitted assigns of the parties.This Agreement will be governed by and construed according to the laws of California,without regard to that body of law controlling conflicts of law.In the event of any dispute or claim arising out of this Agreement,the parties hereby submit to the jurisdiction of the federal and state courts located in Santa Clara County,California,as applicable.This Agreement may be amended or supplemented only by a writing that refers explicitly to this Agreement and that is signed on behalf of both parties.No waiver will be implied from conduct or failure to enforce rights,and no waiver will be effective unless in a writing signed on behalf of the party against whom the waiver is asserted.If any part of this Agreement is found invalid or unenforceable that part will be enforced to the maximum extent permitted by law and the remainder of this Agreement will remain in full force.This Agreement represents the entire agreement between the parties relating to its subject matter and supersedes all prior representations,discussions and agreements,whether written or oral.
