HomeMy WebLinkAbout10-201 (2) Resolution No. 10-201 RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT REGARDING PUBLIC IMPROVEMENTS IN BOWES CREEK COUNTRY CLUB SUBDIVISION (Bowes Creek Boulevard Improvements, Bridge Improvements and Phase I) BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that Ed Schock, Mayor,and Diane Robertson,City Clerk,be and are hereby authorized and directed to execute an agreement on behalf of the City of Elgin regarding public improvements in the Bowes Creek Country Club Subdivision(Bowes Creek Boulevard Improvements,Bridge Improvements and Phase I), a copy of which is attached hereto and made a part hereof by reference. s/Ed Schock Ed Schock, Mayor Presented: October 27, 2010 Adopted: October 27, 2010 Omnibus Vote: Yeas: 7 Nays: 0 Attest: s/Diane Robertson Diane Robertson, City Clerk Exhibit 2 attached hereto (hereinafter collectively referred to as the "Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements"). For the purposes of clarification, the Bowes Creek Boulevard Improvements North of the Bridge include the right-of way, storm sewer, water main, pavements and curb and gutter, beginning at the southerly right-of- way line of Bowes Road to and including the north side of the Bridge Improvements.. 2. Prior to the City's acceptance of the Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements, the Developer shall post with the City a bond for the cost of milling the final surface course and resurfacing the final surface course on the Bridge ($47,780.50), and for the cost of removing graffiti off of the Bridge headwall ($7,000.00), such bond being in the amount of$55,000.00. Developer shall at its cost within one (1) year of the date of this Agreement (weather permitting) resurface the final surface course on the Bridge by milling off the existing final surface course and constructing a new final surface course thereon and removing the graffiti from the headwall. Upon completion of such resurfacing of the Bridge and the graffiti removal, the City shall release the bond referred to in this paragraph. 3. Upon said acceptance of the Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements subject to the provisions of Section 2 above, the City shall release the Bonds previously posted by the Developer to secure satisfactory completion of such Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements. The security to be released identified by the improvements secured, the document number, and the amount are as follows: for the RR Bridge, Doc#39BSBDT0472 in the amount of$182,553.50; and for Bowes Road improvements, Doc#39BSBDT0487 in the amount of$34,790.46. 4. Subject to the terms of this Agreement, within sixty (60) days of Developer having completed installation of the final surface course on the streets within Phase I of the Subject Property, Developer having completed and corrected all outstanding punch list items for such Phase I Public Improvements (hereinafter defined) to the satisfaction of the City's Engineer and Developer having posted the Bonds with the City referred to in Section 7 hereof, the City shall by appropriate Resolution of the City Council accept the public streets, street lighting, street signage, storm sewers, watermain, and sanitary sewers, and related appurtenances in Phase I of the Subject Property (hereinafter collectively referred to as the "Phase I Public Improvements"). Notwithstanding the foregoing, or anything else to the contrary in this Agreement, the City's acceptance of such Phase I Public Improvements shall not include acceptance of park sites, sidewalks or required parkway improvements, including trees, mulch, black dirt and sod. For the purposes of clarification, it is also understood and agreed that the detention facilities and bike paths within Phase I of the Subject Property are private improvements and shall not be accepted by the City. 5. Upon said acceptance of the Phase I Public Improvements but subject to the provisions of Section 7 below, the City shall release the securities previously posted by Developer to secure satisfactory completion of such Phase I Public Improvements on the Subject Property. The security to be released identified by the improvements secured, the document number and the amount are as follows: for Phase I — Site Improvements, Doc #39BSBBS8187 in the amount of $2,847,496.10; and for Phase I — Mass Grading and Soil Erosion, Doc #6349437 in the amount of $459,012.55. 6. Despite said acceptance of the Phase I Public Improvements, and as an express condition thereof, Developer shall have the following obligations: 2 a. Developer shall be responsible to repair any damage caused to the Phase I Public Improvements in the Subject Property, caused by any and all persons involved in, or resulting from, construction of dwelling units on any of the lots in Phase I of the Subject Property (hereinafter "Construction Damage") up to and including such time as not less than 75% of the dwellings (221 dwellings) within Phase I have been issued temporary or permanent occupancy permits. The repair of any Construction Damage shall be limited to the areas reasonably requiring such repair as determined by the City's Engineer and shall be performed in a manner consistent with, and so as to blend into the original, non-damaged Phase I Public Improvements as determined by the City's Engineer. Notwithstanding the foregoing, Construction Damage caused by City vehicles or individuals not involved with the construction of dwelling units within Phase I of the Public Improvements the Subject Property shall not be considered to be Construction Damage and shall not be the responsibility of Developer to repair. There shall exist a rebuttable presumption that any damage to the Phase I Public Improvements shall be considered to be Construction Damage and shall be the responsibility of Developer to repair at its cost. In the event Developer wishes to contend that certain damage to the Phase I Public Improvements is not Construction Damage and not the responsibility of Developer to repair, Developer shall submit documentation of same to the City Engineer for the City Engineer's consideration. The determination of whether any damage to the Phase I Public Improvements constitutes Construction Damage shall be made by the City Engineer which determination shall be binding. At such time 75%of the dwellings (221 dwellings) to be constructed within Phase I have been issued temporary or permanent occupancy permits, Developer shall provide the City's Engineer written notice thereof. The City shall then cause the Public Improvements within Phase I to be inspected, and the City shall create a punch list of Construction Damage to the Public Improvements to be repaired by Developer at its cost. Developer shall repair any Construction Damage identified in such punch list by the City as soon as is reasonably practical. b. If Developer, after written notice and the lapse of sixty(60) days to cure, fails to make such repairs to the Phase I Public Improvements suffering Construction Damage to the satisfaction of the City's Engineer and to pay the repair costs associated therewith, then the City shall have the right to perform such repairs and to recover the cost thereof from Developer. Additionally, if Developer fails to make such repairs to the Phase I Public Improvements suffering Construction Damage to the satisfaction of the City's Engineer and to pay the costs associated therewith, the City shall have the right to withhold further permits or other approvals for the Subject Property including, but not limited to, building permits and/or occupancy permits until such time as Developer makes the repairs to the Phase I Public Improvements. Such remedies shall be in addition to any and all remedies the City may have with respect to enforcing and/or collecting on the Bonds referenced in Section 7 hereof. c. Developer shall also be responsible for the installation of the planting and live growth of parkway trees, together with appropriate mulch, black dirt and sod(collectively the "Parkway Improvements") in Phase I of the Subject Property as required by the terms and provisions of the City Code and/or the Annexation Agreement pertaining to the Bowes Creek 3 Country Club Subdivision as originally enacted and thereafter amended, or shall cause the installation of the Parkway Improvements to be completed by others. The installation of the Parkway Improvements shall also be in conformance with the approved final engineering plans for the Subject Property. The installation of Parkway Improvements shall be completed in conjunction with the development of the lot adjacent to the specific Parkway Improvements. d. Developer shall also be responsible for the installation of the required sidewalk on each individual lot and in other areas in Phase I of the Subject Property as required by the approved final engineering plans for Phase I of the Subject Property or shall cause the installation of the sidewalk to be completed by others. The installation of sidewalks shall be in conformance with the approved final engineering plans for Phase I of the Subject Property. Notwithstanding the foregoing, or anything else to the contrary in this agreement, upon the occurrence of 90% or more of the dwellings (265 dwellings) within Phase I of the Subject Property having been issued temporary or permanent occupancy permits, unless otherwise agreed to by the City, Developer shall complete the installation of all required sidewalks in such Phase I of the Subject Property. Additionally, and notwithstanding the foregoing, or anything else to the contrary in this agreement, upon the occurrence of the 10th anniversary of this agreement and in the event any required sidewalks have not yet been installed in the Phase I of the Subject Property, unless otherwise agreed to by the City, Developer shall complete the installation of all required sidewalks in Phase I of the Subject Property. 7. Developer shall, prior to the expiration or release of its current outstanding bonds for the Phase I Public Improvements and prior to the City's acceptance of the Phase I Public Improvements, post with the City bonds to secure the performance of its obligations under this Agreement, the following bonds: A maintenance bond in the amount of Four Hundred Ten Thousand Seven Hundred Eighty Two and No/100 Dollars ($410,782.00) ($329,431.00 representing an amount equal to ten percent (10%) of the original estimate for the Phase I underground improvements and $81,351.00 for soil erosion control). A performance bond in the amount of One Hundred Sixty Thousand Eight Hundred Sixty-Four Dollars ($160,864.00) which represents ten percent (10%) of the original estimate for street pavement, curbs, gutters, street lights and signage improvements. A bond in the amount of Four Hundred Thousand Seven Hundred Fifty Dollars ($400,750.00) which represents the Engineer's estimate for the remaining Phase I sidewalk and Parkway Improvements. The portion of maintenance bond with respect to the Phase I underground improvements ($329,431.00) shall remain in place for a one (1)-year maintenance period. The portion of the maintenance bond with respect to the Phase I soil erosion control ($81,351.00) shall remain in place until the subdivision is fully developed. The bond for the Phase I surface improvements shall remain in place until such time as not less than seventy-five percent (75%)of the dwellings(221 dwellings)to be constructed within Phase I have been issued temporary or permanent occupancy permits. The bond for the Phase I sidewalk and Parkway Improvements shall remain in effect until such Phase I sidewalk and Parkway Improvements have been completed and have been accepted by the City. In the alternative, the currently outstanding bonds for the Phase I Public Improvements to be constructed in the Subject Property may be modified in their terms and reduced as to amount for said purposes. Pursuant to City ordinance, Developer may request, and the City shall grant,periodic reductions in the bond amounts as improvements are completed. 4 8. Miscellaneous Provisions: a. This Agreement shall not be modified, altered or amended without a further written document signed by each of the parties hereto. b. This Agreement shall inure to the benefit of and be binding upon the successors and assigns of each party hereto. c. Venue of any action for enforcement of, or arising out of any breach of, the terms and provisions of this Agreement shall lie in the Circuit Court of Kane County, Illinois. d. Each person signing and delivering this document covenants and warrants that he/she has been duly authorized to do so for and on behalf of the party for whom he/she has taken such action. e. I II .- EPORT TO MAYOR & MEMBERS OF CITY COUNCIL_ E LG I N , THE CITY IN THE SUBURBS' MEETING DATE: October 13 , 2010 INITIATIVE I: Agreement with Toll IL LP Regarding the Acc eptance of Certain Public Improvements in the Bowes Creek Country Club Subdivision COMMUNITY GOAL • Quality Housing OBJECTIVE • Acceptance of certain public improvements in the Bowes Creek Country Club Subdivision PURPOSE • Enter into an agreement with developer Toll IL LP regarding the acceptance of certain public improvements in the Bowes Creek Country Club Subdivision RECOMMENDATION i • Approve agreement with Toll IL LP at for$57,000 of estimated 5-year maintenance costs BACKGROUND Toll IL LP, also known as Toll Brothers ("Developer"), is the developer of the Bowes Creek Country Club Subdivision. Developer has completed certain public improvements for the entry way into the development known as Bowes Creek Boulevard, including the bridge over the railroad line. Developer has also completed certain public improvements in Phase I. Given the current and anticipated conditions in the housing market, Developer is requesting an agreement with the city whereby the city would accept the public improvements in Phase I despite the typical policy of not accepting public streets for maintenance until such time as 70% of the developable lots in the subdivision have been developed. OPERATIONAL ANALYSIS City staff has negotiated a proposed agreement with the Developer which may be summarized as follows: 1. Within 30 days of the entry into the agreement and Developer having posted with the city the bond as specified in the agreement, the city would accept the Bowes Creek Boulevard public improvements north of the bridge and the bridge improvements depicted in Attachment A (the "Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements). These improvements have been completed and are ready for acceptance. The bond to be posted by the Developer with the city required in Section 2 of the agreement would include the costs of milling the final surface course and resurfacing the final surface course on the bridge, and for the costs of removing graffiti off the bridge. Developer, at its cost, will within one year of the date of the agreement resurface the final surface course on the bridge by milling off the existing final surface course and constructing a new final surface course thereon and remove the graffiti from the headwall on the bridge. 2. Within 60 days of Developer having completed installation of the final surface course on the streets within Phase I of the development, Developer having completed and corrected all outstanding punch list items for the Phase I public improvements to the satisfaction of the city engineer, and Developer having posted the letters of credit specified in Section 7 of the agreement, the city would accept the public improvements within Phase I but not including the sidewalks or the required parkway improvements. 3. Despite the acceptance of the public improvements in Phase I by the city, the Developer, at its expense, will be responsible to repair, to the satisfaction of the city's engineer, any damage to the public improvements resulting from construction on any of the lots in Phase I of the development until such time as 75% or more of the dwellings to be constructed within Phase I have been issued temporary or permanent occupancy permits. There will exist a rebuttable presumption that any damage to the public improvements in Phase I shall be considered to be damage which is the responsibility of the Developer to repair. If the Developer fails to make repairs to the public improvements to the satisfaction of the city engineer, the city will have the right to perform such repairs and to recover the costs thereof from the Developer. The city will also have the right to withhold further permits or approvals for the development, including, but not limited to, building permits and/or occupancy permits until such time as the Developer makes the repairs to the public improvements. Such remedies by the city will be in addition to any and all remedies the city may have with respect to enforcing or collecting on the bonds referenced in Section 7 of the agreement. At such time 75% of the dwellings to be constructed in Phase I of the subdivision have been issued temporary or permanent occupancy permits, the Developer shall provide the city engineer written notice thereof. The city shall then cause the public improvements within the applicable unit of the subdivision to be inspected, and the city shall create a punch list of construction damage to the public improvements to be repaired by the J�► street) and the appurtenances to such facilities. There are no direct immediate costs associated with acceptance of the Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements; however, maintenance and operating costs for the bridge, storm sewer, pavement and appurtenances thereto will increase over time and will be included as part of the annual budgeting process. Estimated 5-year maintenance costs for these improvements are $57,000. Acceptance of the Phase I public improvements will be the subject of future city council action following the installation of the final surface course on the streets within Phase I and Developer having completed and corrected all outstanding punch list items for the Phase I public improvements. Subject to the terms of this Agreement, within thirty (30) days of the entry into this Agreement and Developer having posted with the City the bond referred to in Section 2 hereof, the City shall by appropriate Resolution of the City Council accept the Bowes Creek Boulevard public improvements north of the bridge and the bridge improvements as further identified and depicted on Exhibit 2 attached hereto (hereinafter collectively referred to as the "Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements"). For the purposes of clarification, the Bowes Creek Boulevard Improvements North of the Bridge include the right-of way, storm sewer, water main, pavements and curb and gutter, beginning at the southerly right-of- way line of Bowes Road to and including the north side of the Bridge Improvements.. 2. Prior to the City's acceptance of the Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements, the Developer shall post with the City a bond for the cost of milling the final surface course and resurfacing the final surface course on the Bridge ($47,780.50), and for the cost of removing graffiti off of the Bridge headwall ($7,000.00), such bond being in the amount of$55,000.00. Developer shall at its cost within one (1) year of the date of this Agreement (weather permitting) resurface the final surface course on the Bridge by milling off the existing final surface course and constructing a new final surface course thereon and removing the graffiti from the headwall. Upon completion of such resurfacing of the Bridge and the graffiti removal, the City shall release the bond referred to in this paragraph. 3. Upon said acceptance of the Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements subject to the provisions of Section 2 above, the City shall release the Bonds previously posted by the Developer to secure satisfactory completion of such Bowes Creek Boulevard Improvements North of the Bridge and the Bridge Improvements. The security to be released identified by the improvements secured, the document number, and the amount are as follows: for the RR Bridge, Doc #39BSBDT0472 in the amount of$182,553.50; and for Bowes Road improvements,Doc #39BSBDT0487 in the amount of$34,790.46. 4. Subject to the terms of this Agreement, within sixty (60) days of Developer having completed installation of the final surface course on the streets within Phase I of the Subject Property, Developer having completed and corrected all outstanding punch list items for such Phase I Public Improvements (hereinafter defined) to the satisfaction of the City's Engineer and Developer having posted the Bonds with the City referred to in Section 7 hereof, the City shall by appropriate Resolution of the City Council accept the public streets, street lighting, street signage, storm sewers, watermain, and sanitary sewers, and related appurtenances in Phase I of the Subject Property (hereinafter collectively referred to as the "Phase I Public Improvements"). Notwithstanding the foregoing, or anything else to the contrary in this Agreement, the City's acceptance of such Phase I Public Improvements shall not include acceptance of park sites, sidewalks or required parkway improvements, including trees, mulch, black dirt and sod. For the purposes of clarification, it is also understood and agreed that the detention facilities and bike paths within Phase I of the Subject Property are private improvements and shall not be accepted by the City. 5. Upon said acceptance of the Phase I Public Improvements but subject to the provisions of Section 7 below, the City shall release the securities previously posted by Developer to secure satisfactory completion of such Phase I Public Improvements on the Subject Property. The security to be released identified by the improvements secured, the document number and the amount are as follows: for Phase I — Site Improvements, Doc #39BSBBS8187 in the amount of $2,847,496.10; and for Phase I — Mass Grading and Soil Erosion, Doc #6349437 in the amount of $459,012.55. 6. Despite said acceptance of the Phase I Public Improvements, and as an express condition thereof, Developer shall have the following obligations: 2 a. Developer shall be responsible to repair any damage caused to the Phase I Public Improvements in the Subject Property, caused by any and all persons involved in, or resulting from, construction of dwelling units on any of the lots in Phase I of the Subject Property (hereinafter "Construction Damage") up to and including such time as not less than 75% of the dwellings (221 dwellings) within Phase I have been issued temporary or permanent occupancy permits. The repair of any Construction Damage shall be limited to the areas reasonably requiring such repair as determined by the City's Engineer and shall be performed in a manner consistent with, and so as to blend into the original, non-damaged Phase I Public Improvements as determined by the City's Engineer. Notwithstanding the foregoing, Construction Damage caused by City vehicles or individuals not involved with the construction of dwelling units within Phase I of the Public Improvements the Subject Property shall not be considered to be Construction Damage and shall not be the responsibility of Developer to repair. There shall exist a rebuttable presumption that any damage to the Phase I Public Improvements shall be considered to be Construction Damage and shall be the responsibility of Developer to repair at its cost. In the event Developer wishes to contend that certain damage to the Phase I Public Improvements is not Construction Damage and not the responsibility of Developer to repair, Developer shall submit documentation of same to the City Engineer.for the City Engineer's consideration. The determination of whether any damage to the Phase I Public Improvements constitutes Construction Damage shall be made by the City Engineer which determination shall be binding. At such time 75%of the dwellings (221 dwellings) to be constructed within Phase I have been issued temporary or permanent occupancy permits, Developer shall provide the City's Engineer written notice thereof. The City shall then cause the Public Improvements within Phase I to be inspected, and the City shall create a punch list of Construction Damage to the Public Improvements to be repaired by Developer at its cost. Developer shall repair any Construction Damage identified in such punch list by the City as soon as is reasonably practical. b. If Developer, after written notice and the lapse of sixty(60) days to cure, fails to make such repairs to the Phase I Public Improvements suffering Construction Damage to the satisfaction of the City's Engineer and to pay the repair costs associated therewith, then the City shall have the right to perform such repairs and to recover the cost thereof from Developer. Additionally, if Developer fails to make such repairs to the Phase I Public Improvements suffering Construction Damage to the satisfaction of the City's Engineer and to pay the costs associated therewith, the City shall have the right to withhold further permits or other approvals for the Subject Property including, but not limited to, building permits and/or occupancy permits until such time as Developer makes the repairs to the Phase I Public Improvements. Such remedies shall be in addition to any and all remedies the City may have with respect to enforcing and/or collecting on the Bonds referenced in Section 7 hereof. c. Developer shall also be responsible for the installation of the planting and live growth of parkway trees, together with appropriate mulch, black dirt and sod (collectively the"Parkway Improvements") in Phase I of the Subject Property as required by the terms and provisions of the City Code and/or the Annexation Agreement pertaining to the Bowes Creek 3 Country Club Subdivision as originally enacted and thereafter amended, or shall cause the installation of the Parkway Improvements to be completed by others. The installation of the Parkway Improvements shall also be in conformance with the approved final engineering plans for the Subject Property. The installation of Parkway Improvements shall be completed in conjunction with the development of the lot adjacent to the specific Parkway Improvements. d. Developer shall also be responsible for the installation of the required sidewalk on each individual lot and in other areas in Phase I of the Subject Property as required by the approved final engineering plans for Phase I of the Subject Property or shall cause the installation of the sidewalk to be completed by others. The installation of sidewalks shall be in conformance with the approved final engineering plans for Phase I of the Subject Property. Notwithstanding the foregoing, or anything else to the contrary in this agreement, upon the occurrence of 90% or more of the dwellings (265 dwellings) within Phase I of the Subject Property having been issued temporary or permanent occupancy permits, unless otherwise agreed to by the City, Developer shall complete the installation of all required sidewalks in such Phase I of the Subject Property. Additionally, and notwithstanding the foregoing, or anything else to the contrary in this agreement, upon the occurrence of the 10th anniversary of this agreement and in the event any required sidewalks have not yet been installed in the Phase I of the Subject Property, unless otherwise agreed to by the City, Developer shall complete the installation of all required sidewalks in Phase I of the Subject Property. 7. Developer shall, prior to the expiration or release of its current outstanding bonds for the Phase I Public Improvements and prior to the City's acceptance of the Phase I Public Improvements, post with the City bonds to secure the performance of its obligations under this Agreement, the following bonds: A maintenance bond in the amount of Four Hundred Ten Thousand Seven Hundred Eighty Two and No/100 Dollars ($410,782.00) ($329,431.00 representing an amount equal to ten percent (10%) of the original estimate for the Phase I underground improvements and $81,351.00 for soil erosion control). A performance bond in the amount of One Hundred Sixty Thousand Eight Hundred Sixty-Four Dollars ($160,864.00) which represents ten percent (10%) of the original estimate for street pavement, curbs, gutters, street lights and signage improvements. A bond in the amount of Four Hundred Thousand Seven Hundred Fifty Dollars ($400,750.00) which represents the Engineer's estimate for the remaining Phase I sidewalk and Parkway Improvements. The portion of maintenance bond with respect to the Phase I underground improvements ($329,431.00) shall remain in place for a one (1)-year maintenance period. The portion of the maintenance bond with respect to the Phase I soil erosion control ($81,351.00) shall remain in place until the subdivision is fully developed. The bond for the Phase I surface improvements shall remain in place until such time as not less than seventy-five percent (75%) of the dwellings (221 dwellings)to be constructed within Phase I have been issued temporary or permanent occupancy permits. The bond for the Phase I sidewalk and Parkway Improvements shall remain in effect until such Phase I sidewalk and Parkway Improvements have been completed and have been accepted by the City. In the alternative, the currently outstanding bonds for the Phase I Public Improvements to be constructed in the Subject Property may be modified in their terms and reduced as to amount for said purposes. Pursuant to City ordinance, Developer may request, and the City shall grant,periodic reductions in the bond amounts as improvements are completed. 4 8. Miscellaneous Provisions: a. This Agreement shall not be modified, altered or amended without a further written document signed by each of the parties hereto. b. This Agreement shall inure to the benefit of and be binding upon the successors and assigns of each party hereto. c. Venue of any action for enforcement of, or arising out of any breach of, the terms and provisions of this Agreement shall lie in the Circuit Court of Kane County, Illinois. d. Each person signing and delivering this document covenants and warrants that he/she has been duly authorized to do so for and on behalf of the party for whom he/she has taken such action. e.
