Stegall, Assistant City Manager, and Diane Robertson, City Clerk, be and are hereby authorized and directed to execute a termination agreement on behalf of the City of Elgin with SunGard Public Sector, a copy of which is attached hereto and made a part hereof by reference. s/Ed Schock Ed Schock, Mayor Presented: June 9, 2010 Adopted: June 9, 2010 Omnibus Vote: Yeas: 5 Nays: 0 Attest: s/Diane Robertson Diane Robertson, City Clerk 06/01/2010 08:32 8479315689 PURCHASING PAGE 19/20 i' TERIVMNATlON AGREEMENT This Termination Agreement is made and entered into this 1st day of June 2010, by and between the City of Elgin, an Illinois municipal corporation (hereinafter referred to as the "City"), and SunGard Public Sector, organized and existing under the laws of the State of Florida (hereinafter referred to as "Consultant"). WHEREAS, the City and the Consultant previously entered into an agreement dated January 27, 2010, wherein the Consultant was to furnish certain professional services to the City in connection with a City-Wide Needs Assessment Improvement Plan and a Work Management Business Analysis and Fleet Management Consulting Services(hereinafter referred to as the"Subject Agreement"); and WHEREAS, the City and the Consultant wish to terminate the Subject Agreement and enter into a new separate agreement relating to a City-Wide NaviLine Suite Analysis, and provide the City a credit from the Subject Agreement to be applied to the new agreement relating to the City-Wide NaviLine Suite Analysis. NOW, THEREFORE, for and in consideration of the mutual promises and covenants contained herein, and in consideration of the mutual promises and covenants contained in the Subject Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows; 1. City and Consultant agree that the Subject Agreement between the City and the Consultant be and is hereby terminated, null and void, without further obligations of the parties thereunder. 2. In consideration of the termination of the Subject Agreement and the parties entering into a new separate agreement with respect to a City-Wide NaviLine Suite Analysis, the parties hereto understand and agree that the Consultant shall provide the City a credit in the amount of $5,959.12 to reduce the fees otherwise due the City under the new agreement to be entered into between the City and the Consultant regarding a City-Wide NaviLine Suite Analysis. IN WITNESS WHEREOF, the parties hereto have entered into and executed this Termination Agreement as of the date and year first written above.
