("Agent"), and The City of Elgin,an Illinois Municipal Corporation(hereinafter referred to as " Purchaser"). In consideration of the mutual promises and agreements set forth herein, and for other good and valuable considerations, the sufficiency of which is hereby acknowledged, Golden Dragon Acrobats and Purchaser hereby agree as follows: 1. Performance. Golden Dragon Acrobats will Perform 2 shows (collectively, the "Performance") as set forth below: a. Performance Date(s): February 13,2011 b. Performance Time(s): 2:00 PM and 6:00 PM c. Performance Site: The Performance will be held at The Hemmens Cultural Center (the "Performance Site"),the address of which is 45 Symphony Way Elgin,IL 60120 with a capacity of 1-200 1,247 seats. d. Show Ticket Prices: $15.00,$25.00,and$35.00 e. Gross Potential show(s)earnings: est. $60,000.00 per show based on average ticket price Purchaser represents and warrants that the Performance Site meets the specifications of this Agreement, including Golden Dragon Acrobats Contract Rider attached hereto and incorporated herein. Any exceptions to such specifications must be disclosed in writing to Asian Artist Productions and Agent at least 30 days prior to the date of the Performance (or, if multiple Performances, 30 days prior to the first Performance). >5/4/t- 2. Performance Fee. Access to Performance Site. Purchaser will ensure that Asian Artist Productions, Inc. is given access to the Performance Site at least eight(8)hours in advance of the Performance for equipment set-up. 5. Complimentary Tickets for Artist. Purchaser will hold eight (8) pairs of complimentary tickets to each performance for Asian Artist Productions, Inc. until Golden Dragon Acrobats arrives at the venue, at which time such tickets may be released for sale by Purchaser if not claimed by Golden Dragon Acrobats or by another representative of-Asian Artist Productions,Inc. 6. Billing: Golden Dragon Acrobats is to receive 100% top billing in all advertising, but not limited to newspapers, radio, posters, TV and marquees. "Special Guest Star" billing is acceptable if the above conditions are met. Art Fegan Entertainment, Inc. Performance Contract 3 of 3 Golden Dragon Acrobats 7. Promotion. Any promotion of the artist through interview(s), receptions(s), special autograph sessions(s), meet & greets(s), or any type of special public or private appearance must be submitted for approval to Asian Artist Productions a minimum of fifteen (15) days prior to the event. Purchaser is responsible for mutually agreed upon show marketing and all related costs. 8. Concessions. Golden Dragons will pay a maximum of 15% on concession sales. Any item created by purchaser/venue promoting show (e.g. t-shirt) bearing artists name or likeness will be at expense of purchaser. Artist's management company, Asian Artist Productions, Inc., must have final approval of item(s) production cost. Asian Artist Productions, Inc. will receive 50% (fifty percent) of sale price per ec item(s)sold of this kind. / 9. Cancellation Clause: Golden Dragon Acrobats reserves the right to cancel this engagement for the HCC/GDA cancelled due to inclement weather, Asian Artist Productions F/S/O/ Golden Dragon Acrobats is to be paid in full. 10. Additional Terms. The attached Riders contain additional terms that are part of the Agreement and are expressly incorporated herein by reference. Please read these terms carefully. /4A 11. Force Majeure. Neither party shall be liable to the other for any failure or delay in performance caused Hcc/dDA by illness or injury of any member of the ensemble,interruption or delay of transportation services, acts or regulations of public authorities, labor disputes, strikes, inclement weather, or acts of God. In the event the Performance is cancelled due to any of the foregoing causes, the Golden Dragon Acrobats will use their best efforts to reschedule the Performance the Presenter. Box 261717 Plano,TX 75026 (6 • ATTACHMENT A The Hemmens Cultural Center Date: February 13, 2011 Show: GOLDEN DRAGON ACROBATS CITY of ELGIN ADDENDUM TO AGREEMENT ATTENTION: Please carefully read each of the additional provisions set forth below. By signing below, you hereby agree to be bound by the provisions contained in this Addendum To Agreement (the "City Addendum"). If there are any conflicts between this City Addendum and the terms or conditions of the underlying Agreement, legal/technical Rider(s), or any other document constituting a part of this Agreement, the parties agree that the provisions of this City Addendum shall supersede any conflicting provisions, and shall control, prevail and be given full force and effect in construing the agreement between the parties. A. The terms of this Agreement shall be severable. In the event any of the terms or provisions of.this Agreement are deemed to be void or otherwise unenforceable for any reason, the remainder of this Agreement shall remain in full force and effect. B. This Agreement shall not be construed so as to create a partnership, joint venture, employment or other agency relationship between the parties hereto. C. This Agreement shall be subject to and governed by the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this Agreement shall be in the Circuit Court of Kane County, Illinois. D. This Agreement is the only agreement between the parties hereto regarding the subject matter hereof. There are no other agreements, either oral or implied, regarding the subject matter hereof. E. To the fullest extent permitted by law, Artist/Producer agrees to indemnify, defend and hold harmless Purchaser, its officers, employees, boards and commissions from and against any and all claims, other relief arising out of or resulting form or through or alleged to arise out of any reckless or negligent acts or omissions of Artist/Producer's officers, employees or agents in the performance of this Agreement. In the event of any action against Purchaser, its officers, employees, agents, boards or commissions covered by the foregoing duty to indemnify, defend and hold harmless, such action shall be defended by legal counsel of the Purchaser's choosing. The provisions of this paragraph shall survive any termination and/or expiration of this Agreement. F. Notwithstanding any other provision of this Agreement it is expressly agreed and understood that in connection with the performance of this Agreement that the Producer shall comply with all applicable Federal, State, City and other requirements of law, including, but not limited to, any applicable requirements regarding prevailing wages, minimum wage, workplace safety and legal status of employees. Without limiting the foregoing, Producer hereby certifies, represents and warrants to the City that all Producer's employees and/or agents who will be providing products and/or services with respect to this Agreement shall be legal residents of the United States. In the event the City proceeds with such an audit the Producer shall make available to the City the Producer's relevant records at no cost to the City. Producer shall pay the cost associated with any such audit to City. G. No official director, officer, agent or employee of the City (Purchaser) shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. Hemmens' Staff will make every reasonable effort to maintain the spirit of the artist's light plot using the venues lighting system and available inventory (see attached Technical Information Rider and light plot). The Hemmens uses Roscolux Color Filters and will make the suitable substitutions as needed. J. Operator to provide and pay for 15 double bed rooms for one (1) night (Day / Date) at an Elgin area hotel. K. Merchandise/Concessions: 85% of gross receipts to Artist / 15% of gross receipts to Purchaser. L. In the event that the Artist fails to perform its obligations pursuant to this Agreement, the City shall be entitled to pursue any and all remedies afforded by law or equity. In the event any party cannot perform its obligations pursuant to this Agreement due to an act of God, serious illness/accident or force majeure, as defined in this Agreement, the parties shall attempt to reschedule the event. If the event cannot be rescheduled, no payments shall be due from the City under this Agreement, and any payments made by the City to Artist or its representative(s) shall be refunded to City within ten (10) days of written demand by the City. In the event that the City negligently or willfully does not substantially perform its obligations herein, the City's liability is strictly limited to the performance fee provided herein. In no event shall the City be liable for any other monetary damages, including, but not limited to, compensatory, consequential, indirect, special or incidental damages of any kind, or any costs or attorney's fees, arising from or in any way related to any breach of the terms of this Agreement. Please note that the artists are flexible with the requirements for various venues. CONTACT INFORMATION: Technical Director: Randy Williamson at 972-322-0661 -- williamsonrw(&,gmail.com 5$ / Note: These technical requirements represent an auditorium under ideal conditions. Be assured that the HCC/GDA artists will work within the limitations of your facility and adapt their program accordingly. This may necessitate that certain show segments be modified or deleted.The artists are not responsible for deletions made due to insufficient facilities, and full payment of performance(s) fees shall be due. The technical requirements listed are current at the time of this agreement. There might be slight variations in the technical requirements of the artists, as new acts are added and changes are made to the show a minimum of twice per year. The artists' road manager will contact the presenter before the performance(s) date to discuss the artists' current needs and how those needs are best suited to a particular venue. Any changes must be mutually approved by both parties. Such approval shall not be unreasonably withheld. The presenter agrees to furnish the following at its own expense: 55 Alt STAGING: Approximately 44 feet wide by 28 feet deep is an ideal stage size. The artists will be able to HCC/GDA adjust to smaller playing spaces by eliminating acts that require a larger space. Crossover space is essential, whether onstage or directly behind the stage. The Tower of Chairs act requires an open height of 30 feet and can be performed onstage or at a suitable place in front of the stage on the audience/ground level. NOTE: Proscenium height of Hemmens Cultural Center is 22". The wings should be cleared prior to the artists' arrival to allow for entrances, exits, and equipment storage. The wings should be swept and mopped prior to the artists' arrival. The stage floor should be swept and mopped prior to the artists' arrival, and swept again before curtain and during intermission. The artists carry a red carpet measuring 12 feet by 24 feet that will need to be vacuumed. Please have a vacuum available for this use. CURTAINS: Three or four sets of black legs and borders are needed, depending upon the performance(s) space. An act curtain will be used at opening, intermission, and finish. The artists' preferred backdrop is a full-length black velour or black traveler. The artists require one Genie Lift or tall A-frame ladder. STEPS: The artists will use a set of steps from the stage house right and left during the Lion Act, a segment of the show that includes audience participation. If the stage is higher than wing level, steps are required both stage left and stage right for performers entrances. LIGHTS: Please refer to the attached lighting requirement sheet, which is incorporated into this agreement by reference. SOUND: Presenter must provide monitors and speakers sufficient for coverage of the auditorium. Upon consultation with the presenter's technical director, the artists may choose to go through the presenter or venue's house system or may ask the presenter to supply an extra amplifier to push the artists' monitors. HEADSET COMMUNICATION (minimum of four sets): Communication is mandatory between the production stage manager, the light-board operator, follow spots, curtain operator, and house- lights operator(if lights are not run by the board). . ea , CREW: Load-in and strike will require two stagehands (of these, one person should be a knowledgeable electrician and one an experienced fly operator). Running the show will require four to five stagehands (one fly operator, two follow-spot operators, one deck right, one deck left— if fly rail is at stage level, the fly operator can double). The artists' production director prefers to run the lighting console himself, if there is no house policy against it. Depending on house policy, a sound technician may be needed for the artists' pre-show sound check. DRESSING ROOMS: The total touring company personnel varies from 25 to 30. The artists will need at least two large dressing rooms, one for men and one for women(with showers if available), but four dressing rooms are preferable. Due to many costume changes, the dressing rooms must be located directly adjacent to the stage; also a quick-change booth must be placed stage left, and should be equipped with a blue running light and a costume rack. The artists will need an area or room designated"Wardrobe"equipped with one ironing board, an iron, and a steamer. 4HOSPITALITY GREEN ROOM: Please designate a general meeting room as the artist's green room. HCC DA This room will be used by the artists as a meeting area; therefore, access will be limited. If possible, a phone line or any form of interne access should be available in the green room. Please provide hot meal(s) for all the artists' performers and crew of approximately 25-30 two and one half (2'A) hours before the primary or full-length performance(s) on each day of engagement, plus provide appropriate amounts of snacks and beverages upon their arrival. Refer to the Presenters' Guide for details. Beverages & Snacks: • Coffee and tea service (no decaf) available throughout the day; • Assortment of Ice Coffees (30 bottles); • Assortment of sodas (1 case each: Coke, Sprite, & Mountain Dew (no diet); • Assortment of Gatorade and/or Powerade drinks (at least 30 bottles); • Bottled water (5 dozen .5 liter or larger bottles); • Whole Milk (1 gallon); • Deli Trays (Vegetable and meat/cheese/sandwich) with condiments and assorted breads; • Assorted cookies and crackers; • Assorted whole fruit. Purchaser may, at its discretion choose to do a $500 meal buyout. Purchaser will confirm menu details or buyout with Artist during show advance. In the case of a buyout, Purchaser will present a City of Elgin check to the Artists upon their arrival. PARKING NEEDS: The artists travel with three (3) 20 foot-long trailers and three (3) RVs or passenger vans. If there is no loading dock at your venue, please reserve a space near the performing venue to accommodate the artists' trailer and RVs with a 120v power outlet for the RV. TABLES: The artists will need a six-foot folding table placed nearest to the backstage sound feed and one six-foot folding table in the lobby area for the artists' merchandise sales. CALL TIMES: The artists will arrive approximately six hours prior to house opening. A representative of the artists will contact the person named on the contact sheet prior to the performance(s) date to discuss their arrival. Final call times will be established at that time. Set-up time is generally three to four hours. LODGING NEEDS: The artists require fifteen (15) double-bed motel rooms. Please contact the artists' administrative director with hotel information at least one month before the performance(s) date to get the specific room requirements and rooming list. MAP / DRIVING DIRECTIONS: Please send written directions and a map to your venue at least two (2) weeks prior to the performance(s) date to the artists' road manager. The artists do not travel with color but provides templates when needed. • The following represents an ideal hang and can be used as a guideline; the more instruments that can be provided, the better the show will look; Each individual venue may require a greater number or fewer instruments to achieve the desired look, please use your best judgment and be assured that the artists will work within the limitations of your facility. Colors should be arranged in the same order for both spots CLOSING AND ACCEPTANCE The best performance will be achieved if you can meet all of these technical requirements. We are, however, flexible in many areas. If changes must be made please contact Asian Artist Productions, Inc. so that these changes can be discussed and finalized. Changes must be approved in advance by our Production Manager to avoid any on site surprises and conflicts, as well as to insure the safety of both our company and the local personnel. In the event of changes to this Rider, an addendum will be issued by our office in advance of the tours commencement. If these changes will affect your booking we will discuss necessary adaptations at that time.
