This agreement is hereby made and entered into this 27'f day of 2010 between the CITY OF ELGIN, an
Illinois Municipal corporation(hereinafter referred to as"PURCHASER")employidg the of NITELITE PROMOTIONS,an
Illinois Corporation(hereinafter referred to as"PRODUCER").
It is mutually agreed between the parties as follows:
The PURCHASER hereby engages the PRODUCER and the PRODUCER hereby agrees to furnish the entertainment Presentation
(BILL COSBY)hereinafter described,upon all the terms and conditions herein set forth.

4. FULL PRICE AGREED UPON: Not to exceed$135,000(one hundred thirty-five thousand dollars)
a. $125,000.00(one hundred twenty-five thousand dollars)ARTIST GUARANTEE(BILL COSBY)(Artist travel
inclusive); and additionally,
b. Not to exceed$ 10,000 (ten thousand dollars)TO PRODUCER FOR MARKETING SUPPORT. A complete
marketing campaign shall be developed and implemented using market appropriate media outlets which may
include, but not be limited to, print, TV, radio, and internet. "Not to Exceed" amount shall include all costs
associated with marketing campaign including, but not limited to, graphic design, media purchases, and a $500
administrative fee. Marketing campaign is to be approved by the City's Marketing Officer prior to
implementation. Such Approval shall not be unreasonably withheld.
**Purchaser shall provide and pay for all terms and conditions contained in the artist rider attached hereto.**
5. All payments shall be paid by PURCHASER in US funds by CITY OF ELGIN check as follows:
a. A deposit in the amount of $62,500.00 shall be paid to and in the name of the PRODUCER (NITELITE
PROMOTIONS)not later than January 29,2010.
b. The balance of the Artist Guarantee in the amount of$62,500.00 shall be paid to an in the name of the PRODUCER
not later than day of performance(Saturday,September 25,2010).
C. Final reimbursement for marketing expenses, not to exceed $10,000, shall be paid to and in the name of the
PRODUCER within 30 days of billing.

CITY of ELGIN ADDENDUM TO AGREEMENT
ATTENTION: Please carefully read each of the additional provisions set forth below. By
signing below, you hereby agree to be bound by the provisions contained in this Addendum
To Agreement (the "City Addendum"). If there are any conflicts between this City Addendum
and the terms or conditions of the underlying Agreement, the Nitelite Promotions Contract,
the Additional Terms and Conditions, the Bill Cosby Contract and legal/technical Rider, or
any other document constituting a part of this Agreement, the parties agree that the
provisions of this City Addendum shall supersede any conflicting provisions, and shall
control, prevail and be given full force and effect in construing the agreement between the
parties.
A. The terms of this Agreement shall be severable. In the event any of the terms
or provisions of this Agreement are deemed to be void or otherwise
unenforceable for any reason, the remainder of this Agreement shall remain
in full force and effect.
B. This Agreement shall not be construed so as to create a partnership, joint
venture, employment or other agency relationship between the parties hereto.
C. This Agreement shall be subject to and governed by the laws of the State of
Illinois. Venue for the resolution of any disputes or the enforcement of any
rights pursuant to this Agreement shall be in the Circuit Court of Kane County,
Illinois.
D. This Agreement is the only agreement between the parties hereto regarding
the subject matter hereof. There are no other agreements, either oral or
implied, regarding the subject matter hereof.
E. To the fullest extent permitted by law, Artist/Producer agrees to indemnify,
defend and hold harmless Purchaser, its officers, employees, boards and
commissions from and against any and all claims, other relief arising out of or
resulting form or through or alleged to arise out of any reckless or negligent
acts or omissions of Artist/Producer's officers, employees or agents in the
performance of this Agreement. In the event of any action against Purchaser,
its officers, employees, agents, boards or commissions covered by the
foregoing duty to indemnify, defend and hold harmless, such action shall be
defended by legal counsel of the Purchaser's choosing. The provisions of
this. paragraph shall survive any termination and/or expiration of this
Agreement.

F. Notwithstanding any other provision of this Agreement it is expressly agreed
and understood that in connection with the performance of this Agreement
that the Producer shall comply with all applicable Federal, State, City and
other requirements of law,_ including, but not limited to, any applicable
requirements regarding prevailing wages, minimum wage, workplace safety
and legal status of employees. Without limiting the foregoing, Producer
hereby certifies, represents and warrants to the City that all Producer's
employees and/or agents who will be providing products and/or services with
respect to this Agreement shall be legal residents of the United States. The
City shall have the right to audit any records in the possession or control of
the Producer to determine Producer's compliance with the provisions of this
section. In the event the City proceeds with such an audit the Producer shall
make available to the City the Producer's relevant records at no cost to the

G. No official director, officer, agent or employee of the City (Purchaser) shall be
charged personally or held contractually liable under any term or provision of
this Agreement or because of their execution, approval or attempted
execution of this Agreement.
H. Hemmens' Staff will make every reasonable effort to maintain the spirit of the
artist's light plot using the venues lighting system and available inventory (see
attached Technical Information Rider and light plot). The Hemmens uses
Roscolux Color Filters and will make the suitable substitutions as needed.
I. In the event that the Artist fails to perform its obligations pursuant to this
Agreement, the City shall be entitled to-pursue any and all remedies afforded
by law or equity. In the event any 'party cannot perform its obligations
pursuant to this Agreement due to an act of God, serious illness/accident or
force majeure, as defined in this Agreement, the parties shall attempt to
reschedule the event. If the event cannot be rescheduled, no payments shall
be_due from the City under this Agreement, and any payments made by the
City to Artist or its representative(s) shall be refunded to City within ten (10)
days of written demand by the City. In the event that the City negligently or
willfully does not substantially perform its obligations herein, the City's liability
is strictly limited to the performance fee provided herein. In no event shall the
City be liable for any other monetary damages, including, but not limited to,
compensatory, consequential, indirect, special or incidental damages of any
kind, or any costs or attorney's fees, arising from or in any way related to any
breach of the terms of this Agreement.

Marketing Campaign: A detailed marketing campaign for the engagement must be submitted to
and approved by ARTIST prior to the placement of any advertising. Purchaser's proposed
campaign submission shall include the specifics of media outlets (Newspaper names, Radio
Station call letters and formats, TV station call letters and network affiliations, Cable television
channels, etc.)and the proposed ad frequency, spending levels and flight dates. Unless otherwise
agreed upon, all campaigns shall include the major daily newspaper and television advertising.
All campaigns should include adult urban media if available, for example adult urban radio and
major urban print. Also include details regarding any direct marketing campaign components
including mailings, email blasts, subscription or series inclusions or promotions, etc. with the
associated rollout dates and costs. Any group sales components should be detailed separately.
For contests, promotions, etc. supply the details of the promotion including the media outlet, the
nature of the contest(including run dates and frequency), and any complimentary tickets
required.
NOTE:The costs associated with any unapproved advertising may, at ARTIST's discretion, be
disallowed as a show expenditure for purposes of computing artist's compensation.
Marketing Materials: Approved marketing materials for radio and television advertising are
available for purchase from Bill Young Productions (281-240-7400/www.concerts.com). In the
event the PURCHASER wishes to use alternate marketing materials, these must be submitted for
approval prior to use. Approved print ads are available from Artist's publicist David Brokaw
(310-273-2060).
3. TICKET COUNTS:
From the date of on sale through the afternoon of the Engagement, Purchaser shall provide daily
ticket counts to Artist's agent by electronic-mail or facsimile at either the start or the close of
Purchaser's business day.
4. ARTIST CANCELLATION RIGHT
Purchaser agrees that Producer/Artist may, at Producer's/Artist's sole discretion, cancel and
terminate this Contract and the services to be rendered hereunder, without liability, by giving
Purchaser written notice thereof at least thirty (30)days prior to the commencement date of the
engagement hereunder.
5. PRESS/INTERVIEWS
Purchaser shall not be permitted, nor have the right to require Artist to attend or appear at any
pre-or post performance interviews, press conferences, banquets, publicity sessions, or the like.
Artist's only obligation hereunder is to perform his act at the time(s)and place(s)set forth in the
Contract.

11. INTERNATIONAL TRAVEL
In the event the place of performance is outside the continental limits of the United States;
Purchaser agrees to procure, at Purchaser's sole expense, for Artist and party, all necessary visas,
work permits and other documents of any nature whatsoever or usually obtained to enable Artist
to render Artist's services hereunder and enter/depart the country of performance. Also, Purchaser
shall be responsible for, and indemnify and hold Producer/Artist harmless from and against, all
local, municipal, country and government taxes, fees and levies on all income earned by
Producer, or Producer's employees while in the country or countries covered by this Contract.
12. DRESSING ROOMS
Purchaser shall furnish ONE PRIVATE FIRST CLASS DRESSING ROOM FOR ARTIST plus
an additional room for Management and Mr. Cosby's guests. These shall be clean, private,
lockable, seasonally heated or cooled to maintain a comfortable temperature, with private
bathroom, showers, etc. Mr. Cosby's dressing room shall be furnished with a clean and
comfortable couch, coffee table, end tables, lamps, etc. as necessary to ensure a pleasing
environment.
Purchaser shall provide the following items in Artist's Dressing Room and ensure that they are in
place prior to Artist's arrival at the venue:
• Six(6)GLASS bottles of flat(non-carbonated) local spring water. These are to be iced
down to maintain temperature.
• One large glass bottle of Pellegrino water
• Three sets of the following: China Plates, Cloth Dinner Napkins, and Silverware.
• Three clean Bath Towels
• Three clean Wash Towels
• Two Bars of Dr. Bronners Organic Bar Soap—Eucalyptus scent. Please remove the
cardboard package and/or cellophane wrapper.
• One box of Kleenex tissue.
• One roll of high quality toilet tissue(Cottonelle or equivalent) in the receptacle in Mr.
Cosby's bathroom.
• One clean waste paper basket.
• One telephone connected to an outside line capable of direct dialing long distance calls.
The telephone number should be plainly marked on the instrument. If the dialing of
additional codes are required to place outside or long distance calls, the exact codes and
dialing sequence must be provided on a single sheet of paper in a large font size. This
telephone number must be provided to Artist's agent, at least one week prior to the
Engagement.

Proscenium: There must be two T-shirt or non-uniformed police security at each end of the stage
at audience level from the time that the audience is let into the building until Artist leaves the
building, to keep people off stage other than anyone that Artist may invite onstage during the
show. Also, two security men must be stationed backstage, one near the backstage entrance and
the other near the dressing room. These two security people will need to be in position from the
time that Artist enters until he leaves the building.
14. NO INTERMISSION
The show goes straight through from start to finish with NO INTERMISSION.
15. TRANSPORTATION
Purchaser shall provide a LATE MODEL, LUXURY FOUR DOOR SEDAN (BUT NOT A
LIMOUSINE) with a driver, at his sole expense, for transportation of Artist to and from the local
airport/hotel/venue and for use as local ground transportation for Artist and a separate car for
Artist's entourage during the term of Artist's engagement(if required. Artist's agent will advise
Purchaser during the advance). The Driver's names and cell phone numbers should be given to
Artist's agent, at least five(5) days prior to the Engagement.
16. ACCOMODATIONS
Purchaser shall provide at his expense the following First Class Hotel Rooms:
e One(1) bedroom suite(Presidential Suite quality) and one(1)junior suite on the night
before and the night of the show for Artist.
v Two(2) King bedded single rooms for the night before and the night of the show for
Artist entourage. The names of these individuals will be supplied one(1)week prior to
arrival.
17. UNDERWRITERS
All forms of underwriting, whether part of an ongoing series or specifically for Artist's show,
must first be authorized and approved by Producer in writing. If such authority is granted, said
underwriting shall not be used directly or indirectly to suggest that Artist endorses, uses, or
otherwise is associated with the products or services of said underwriter(s). Without limiting the
foregoing, banners or other signage located on, above, or near the stage are prohibited, unless
approved in advance by Artist or Artist's agent.
18. PARAGRAPH HEADING
Paragraph headings are inserted in this Rider for convenience only and are not to be used in
interpreting this Rider.

Occasionally ARTIST will include a sound cue in his performance. This cue will be provided on
audio CD. Please ensure that a CD player is available for the sound engineer to play back any
necessary cues.
Please conduct a live check of the microphone 5 minutes prior to the start of Artist's performance
with the audience in the house. As the Artist does not personally sound check, this will
simultaneously provide an ideal opportunity for the sound engineer to retouch E.Q. settings, etc.
and to ask the audience to kindly make sure that their cell phones, pagers, etc. are in the off or
silent position and informing them that the show will start soon.

ENTERTAINMENT
It is imperative that the technical personnel who are on site during the performance are
fully capable of promptly correcting any projector failure or malfunction. For some
engagements,subject to final advance,ARTIST may require backup projectors at each
position.
TV CAMERAS
E. In The Round
A minimum of 3 TV cameras must be set up on floor of the arena on risers set at stage height
in a position that closely resembles a triangle so that whatever way Artist moves during the
show, a camera will be able to capture his facial expression.
F. Proscenium
A minimum of two cameras are required. Camera one is to be positioned on or very close to
the center line at the rear of the house and fitted with the stable tripod and optics sufficient to
achieve a very tight shot of the Artist's upper chest and face in order to make it possible for
the entire audience to see the Artist's facial expressions. Camera two is to be located in the
extreme audience left corner of the orchestra pit (or possibly beyond, on the same tangent, in
an aisle or vomitory)and is to be similarly stable and capable of the same type of framed
shot.
G. Camera Angles
All Camera Angles shall be under the complete and total control of Producer at all times.
Notwithstanding the foregoing, in no event shall camera, at any time, be focused on, nor shall
pictures be taken of, the audience or any member thereof, at any time.
Tickets must not be put on sale until the company supplying the screens and projectors
surveys the building to see what seats will need to be killed for projector and TV camera
locations to ensure that the camera positions are acceptable and compatible with the available
lenses, etc.
5. STAGE FURNISHINGS
The entire stage in the round must be carpeted with neutral color carpet so as to not
clash with the TV picture(no black or white carpet).
A proscenium stage will require a large dining room type rug, minimum 9' x 12' in size,
positioned about 1 foot from the downstage edge(for proscenium performances). A large
oriental rug is generally ideal for this purpose, and can frequently be borrowed for the
performance at little or no cost.

C. Lighting on Deck(Round and Proscenium)
Additional lighting is required, as follows: a fully dimmable white wash to fully
illuminate the stage to the downstage edge and from full stage left to full stage right (for
proscenium houses) or to all 4 stage edges (for in-the-round). Please ensure this stage
wash does not spill onto or interfere with the video projection screens. The lamps can be
gelled in pure white and/or a very light Flesh Pink.
D. Backstage Area Lighting
Please ensure that all of the pathways from the dressing room to and including the
backstage areas, stage, wings, steps, exits, etc. are will lighted so that all paths, objects,
etc. can be easily seen.
7. STAGE HANDS
The stage call in and out will be for the number of stage hands, loaders, riggers and
electricians that are required by joint discussion with the venue technical director, sound
company, and video reinforcement company. Normally move-in for an in-the-round
evening show begins at 8:00 AM for sound; 10:00 AM for projection and screens; and
11:00 AM for TV. For proscenium theatres a Noon move-in is normally sufficient.
Barring any problems, all work should be finished by 5:00 PM. Note: Artist does not do a
sound check.
