HomeMy WebLinkAbout09-8 Resolution No. 09-8 RESOLUTION AUTHORIZING EXECUTION OF AN ASSET TRANSFER AGREEMENT WITH ELGIN RECREATION CENTER BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that Olufemi Folarin,City Manager,be and is hereby authorized and directed to execute an agreement on behalf of the City of Elgin with the Elgin Recreation Center for asset transfer, a copy of which is attached hereto and made a part hereof by reference. s/ Ed Schock Ed Schock, Mayor Presented: January 14, 2009 Adopted: January 14, 2009 Omnibus Vote: Yeas: 5 Nays: 0 Attest: s/Diane Robertson Diane Robertson, City Clerk ASSET TRANSFER AGREEMENT THIS AGREEMENT is hereby made and entered into this / 1 day o , 2009, by and between the City of Elgin, Illinois, a municipal corporation (hereinaft r referre to as "City") and Elgin Recreation Center, an Illinois not-for-profit corporation(hereinafter referred to as "ERC"). WHEREAS, ERC has ceased operations as a recreation center at the real property located at 1080 E. Chicago Street, Elgin, Illinois (hereinafter referred to as "Building"); and WHEREAS, City is the owner of the Building, and has determined it to be in its best interests to assume some of the functions and operations previously performed by ERC at the Building; and WHEREAS, ERC wishes to sell its assets and personal property located at the Building to City and City has determined it to be in its best interests to purchase such assets. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby mutually acknowledged, the parties hereto hereby agree as follows: 1. The above recitals are hereby incorporated into and made a part of this agreement. 2. The City hereby agrees to purchase from ERC and ERC hereby agrees to sell to the City the assets and personal property of ERC listed on Attachment A attached hereto and made a part hereof by this reference for the total sum of$38,250.50 (such assets and personal property are hereinafter collectively referred to as the"Equipment"). The City shall pay ERC for such Equipment within thirty(30) days following the entry into and execution of this Agreement as set forth in Section 3 hereof. The execution of this Agreement by ERC shall constitute and be construed as a Bill of Sale for such Equipment conveying all right, title and interest thereto from the ERC to the City. The parties hereby agree that the date when the equipment was physically transferred to the City was March 25, 2008, that the equipment is currently located at the facility located at 1080 East Chicago Street, Elgin, Illinois, and that such Equipment is being transferred in AS IS condition, with no representations or warranties as to its condition or usefulness. The parties hereby further agree that the price being paid by the City for the Equipment is fair and reasonable under all circumstances and that no improper private benefit has resulted or will result from this agreement, it being the intention of the parties to comply with applicable Internal Revenue Service regulations and other laws concerning tax exempt organizations. 3. The parties hereby agree that the City's payment to ERC of the $38,250.50 for the purchase of the Equipment referred to in the preceding Section 2 hereof, shall be deemed paid, distributed and satisfied as follows: (a) The previous payment by the City on behalf of ERC for a Nicor gas bill for the Building in the amount of$4,113.21. (b) The payment by the City of$28,887.92 within thirty (30) days following the entry into and the execution of this agreement for the payoff of the ERC line of credit principal balance for line of credit account number 00450577550002. (c) The payment by the City of$2,242.70 to ERC within thirty (30) days of the entry into and execution of this agreement for miscellaneous remaining expenses of ERC relating to ERC's previous operation of the Building and wrap up of business. (d) The performance by the City of $3,007.67 of the outstanding grant obligations of ERC referred to in Section 5 hereof 4. ERC and the undersigned person executing this agreement on behalf of ERC jointly and severally warrant and represent that all Equipment is owned wholly and solely by ERC and that there are no liens or encumbrances on any of the Equipment; nor shall ERC permit, allow or cause any such liens or encumbrances to be placed on the Equipment subsequent to the date of this agreement. 5. The City agrees to perform the following outstanding grant obligations of ERC: (a) The Squire Village grant obligation totaling $340. (b) The Elgin Township grant obligation totaling $ 2,667.67. 6. The City and ERC hereby further agree that upon execution of this agreement the City will assist ERC staff to take down the current Elgin Recreation Center website. 7. This agreement shall be subject to the laws of the State of Illinois. Venue for the enforcement of any rights and the resolution of any disputes arising out of or in connection with the provisions or performance of this Agreement shall be in the Circuit Court of Kane County, Illinois. 8. The terms of this Agreement shall be severable. In the event that any of the terms or provisions of this Agreement are deemed to be void or otherwise unenforceable for any reason,the remainder of this Agreement shall remain in full force and effect. 9. This Agreement shall not be construed so as to create a joint venture, employment, partnership or other agency relationship between the parties hereto. 10. ERC shall, at its own and sole expense, on or before September 30, 2008, provide direct first-class U.S. mail notice to all known users, customers, vendors or other entities which have had any interactions with ERC, and shall publish in the Elgin Courier News, notice in the following form: 2 "NOTICE OF CHANGE OF MANAGEMENT AND NON-AGENCY STATUS Notice is hereby given that the Elgin Recreation Center, an Illinois not- for-profit corporation, through no fault of its own, has ceased all operations at the facility located at 1080 E. Chicago Street, Elgin, Illinois which is commonly known as Elgin Recreation Center. The Elgin Recreation Center is not a partner, employee or agent of the City of Elgin. Operation of the facility was assumed by the City of Elgin, Illinois beginning on March 25, 2008. Any questions regarding this notice or the subject matter thereof should be directed to Randy Reopelle, Parks and Recreation Director, Telephone (847) 931-6127. The facility formerly known as Elgin Recreation Center shall now be known as Eastside Recreation Center." 11. ERC shall cooperate with the City to execute any documents or perform any other functions which may be reasonably necessary to facilitate the purposes of this agreement. 12. With the signing of this Asset Transfer Agreement, the City and ERC agree that all financial obligations regarding the sale of Equipment and any previous cost of operations by ERC at the Building or otherwise are paid in full.
