Such rider shall form a part of this contract as fully set forth above. Said rider shall supersede any other rider that Operator may or may not attach to contract. . S. H. The terms of this Agreement shall be severable. To the fullest extent permitted by law, Artist/Producer agrees to indemnify, defend and hold HCC/FKB harmless Purchaser, its officers, employees, boards and commissions from.and against any and all claims, other relief arising out of or resulting form or through or alleged to arise out of any reckless or negligent acts or omissions of Artist/Producer's officers, employees or agents in the performance of this Agreement. In- the event of any action against Purchaser, its officers, employees, agents, boards or commissions covered by the foregoing duty to indemnify, defend and hold harmless, such action shall be defended by legal counsel of the Purchaser's choosing. The provisions of this paragraph shall survive any termination and/or expiration of this Agreement. K. No official director, officer, agent or employee of the City (Purchaser) shall be charged H C/FKB personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. /i L. Artist shall not perform or advertise another performance within a sixty (60) mile radius of HCC/FKB Elgin, Illinois sixty (60) days prior or sixty (60) days after the performance at The Hemmens Cultural Center. In the event Artist breaches this provision, Artist shall refund all money paid QQ /� to Artist by Operator upon thirty (30) days written demand as and for liquidated damages. Hemmens' Staff will not commit to specific equipment or labor requirements that may be contained in rider; however, Hemmens' Staff will make every reasonable effort to maintain the spirit of the Artist's light plot using the venue's lighting system and available inventory (see attached Technical Information Rider and light plot). The Hemmens uses Roscolux Color Filters and will make the suitable substitutions as needed. Fee checks should be made payable to "The Flying Karamazov Brothers" and be given to the Company Production Manager at, or before the specified time in the attached contract. The Company shall not be responsible for any costs required by unions or other agents, including all local personnel, whether operating or supervisory, or for any expenses required for rental of any production equipment. /A.,-/ The Local Presenter agrees to obtain and pay for any and all local work permits, union fees, taxes and other HCC/FIB licenses from any and all local government agencies, bureaus and departments (federal, state, and local that may be required for the Company to carry out the performances and all residency activities covered by this agreement. No portion of the Company's activities or performance(s) may be broadcast, photographed, recorded, filmed taped or embodied in any form for the purpose of reproducing such recording without the prior written consent of the Company. The Local Presenter will deny entrance to any person(s) possessing a camera or other recording device of any nature. In the event any recording or photographing is discovered during the performance, such devices shall be held by the management until the conclusion of the performance and the film or tape confiscated. Flashes of any type are prohibited. PQ-Kii ,ii HCC/FKB insurance covering the activities entered in this agreement. The Local Presenter agrees to indemnify and hold other residency activities, except to the extent that such claim may be occasioned by the negligent act(s) of the.-�1 Company. f"' kkivd I✓/ , HCC/FKB printed, handwritten or typed terms located elsewhere in these agreements. All aspects of this rider are specifically accepted by the Local Presenter unless waived by an authorized agent of the Company. Such waiver is effective only as initialed by the Company and the Local Presenter. 2 I. GENERAL INFORMATION A. The Company travels with a Production Stage Manager and technical staff who are solely responsible for the lighting focus, lighting, audio level setting, rehearsing and calling of the performances. The Company also carries its own sets, props and costumes. The Local Presenter is responsible for providing a house technical director and sufficiently trained crew, lighting equipment, professional sound system, rigging equipment, black masking soft goods and all provisions as herein described. B. The Local Presenter agrees to provide the Production Stage Manager with the following data at least two (2) months in advance of the engagement: theatre ground plan, section, dimensional description (including seating arrangement, capacity, labor type, stage floor and condition), an updated inventory of operational audio and lighting equipment with a description of the lighting control system, and this technical rider returned initialed and signed. Original contract and rider are to be returned to the Company's agent, Todd Bartleson, MPI Talent Agency, 9255 Sunset Blvd. Suite 407, Los Angeles, CA 90069 phone310 859 7300; .fax310 275 7437. C. The running time of 4PLAY is approximately one hour and forty fifty-five minutes (1:55). HCC/FKB Some portions of the program are improvisational and the length of the performance can vary by ten (10) minutes. D. Please lower and seat an orchestra lift. When using an extended apron or lift, adequate overhead stage lighting must be available for that area. E. The following is a list of basic needs that MUST be completed before the start of load-in: 1) Hanging the goods: legs, borders, back drops and prop tables as shown by the Company Ground Plan 2) Hanging, cabling, patching and troubleshooting all lighting instruments. 3) Setting up or installing the sound equipment and the clear-com system. 4) Clearing out and preparing the wings and backstage prop areas. 5) Cleaning and/or preparing the dressing rooms. 6) Clearing the loading dock. F. The Local Presenter agrees to furnish a high quality grand piano for use onstage to be delivered prior to the company's arrival and tuned during the afternoon dinner break. G. A flaming torch is briefly used in this production. The Local Presenter agrees to procure HCC/FKB request all permits or disposition from local authorities for use of open flame onstage. II. TRANSPORTATION A. The Local Presenter agrees to provide local ground transportation for the Company when arriving by air to and from the airport, hotel and local venue. Additionally, a cargo van or other vehicle free of seats shall be required to transport the Company stage equipment from the airport to the local venue and return. The Flying Karamazov Brothers 3 4PLAY 10/07 III. SCHEDULE A. The theatre should be available for the exclusive use of the Company during its residency. Scenery, fixtures or an orchestra shell pertaining to other productions should be stowed away and the theatre cleared prior to the Company's arrival. B. The Company will typically load-in the morning of the day of the first performance. A typical schedule is as follows: 9:00am Load-in: including scenery, lighting focus, audio set-up, and laundry. 12:00pm Lunch Break 1:00pm Focus and level setting continues 5:00pm Dinner Break 6:00pm Sound Check and Warm-up (Show crew required) 7:30pm House Open 8:00pm Show 9:50pm End Show/Strike Begins 11:00pm Strike Complete C. The Company requires at least ninety (90) minutes to warm up on stage with show lighting and to sound check prior to house open before each performance. This includes a call for the master electrician, audio engineer, wardrobe, follow spot operator and (2) stage hands. (i.e.. 6:00pm to 7:30pm for an 8:00pm performance or 1:00pm to 2:30pm for a 3:00pm performance). D. The Local Presenter further agrees to make the theatre available for a minimum of two (2) hours prior to any additional performances for the use of the Company to warm-up and prepare. E. If the Company should perform a separate program on an additional performance day, an additional five (5) hours for the purpose of technical preparation and rehearsal with technical support may be required on that day. F. If television, radio, film or other activities programmed by the Local Presenter should cause a delay in the preparation of the production, the Local Presenter shall be responsible for the time, personnel and costs required to complete the necessary tasks. IV. COMPLIMENTARY TICKETS A. The Local Presenter agrees to provide the Company with six pair, twelve (12) total, complimentary tickets in the center orchestra per performance. One pair of these tickets shall be held until fifteen minutes before the start of the performance. The Company shall return or release the balance of unused tickets no later than one hour prior to the performance. The Company will also have the option to buy additional tickets at one half of the box office price should ample tickets remain twenty-four hours in advance of the performance. V. CONCESSIONS The Flying Karamazov Brothers 4 4PLAY 10/07 A. The Company regularly sells t-shirts,juggling balls, posters and other small items. The Local Presenter agrees to provide a six foot skirted table in the lobby for use solely by the Company concessionaire. Our salesperson will discuss the concession set-up with the appropriate House Manager at least one hour prior to house open. B. The Company will retain all gross receipts from concession sales unless otherwise negotiated HCC/FKB between the Local Presenter and MPI prior to the signing of the attached contract. Local Presenter will receive 20% of gross merchandise receipts. VI. DRESSING ROOMS A. The Local Presenter shall provide four (4) secure dressing rooms for the use of the Company only. The dressing rooms should be clean, heated, well lighted, and equipped with costume racks, tables, chairs and mirrors. Clean toilet and shower facilities should be near and accessible to the Company only. The Local Presenter shall solely be responsible for the security of the Company's affects as entrusted to the dressing room area. Keys should be made available to the Company Stage Manager. VII. HOUSE MANAGEMENT A. The Local Presenter agrees not to open the auditorium to the public prior to the performance without obtaining specific consent from the Company Stage Manager. Furthermore, seat location viewing and "hospitality" tours of the auditorium are prohibited during the company's focus, cueing and rehearsal times during which the house shall be dark. The Company shall have control of the house level setting at these times. B. Immediately following the performance, the performers may go to the front edge of the stage to talk with interested audience members for up to 20 minutes. The House Manager and Ushers should be informed of this possibility and not make any attempt to clear the house until after this informal greeting has ended. (Striking of equipment will continue during this period). VIII. FREIGHT A. As required, Local Presenter agrees to pay for either ground freight or air freight (depending on the Company's need) to and from the venue. B. Whenever possible, the Company should be provided with a rehearsal space for its sole use during its residency. Such space should be lockable and keys should be provided to the HCC/FKB B. This rehearsal space should be at least 20' x 20', have high ceilings (approximately 17') and be well lit, heated and clean. Minimum proscenium type stage dimensions are: ` / 30' wide proscenium opening HCC/FK 23' depth 22' electrics trim height 8' offstage wing space SR and SL for a minimum of 16' of wing space B. Non-proscenium stage types may be acceptable, but must be SPECIFICALLY addressed by the Company Stage Manager prior to the execution of this contract. C. The floor of the stage should be black (please consult the Company Stage Manager for other types). XIV. MASKING vfr, A. Black velour maskingshall beprovided accordingto the Company Ground Plan or Light Plot. � P Y � HCC/FKi3 Minimum Three (3) sets of legs and borders shall be hung according to the Company Light Plot. No Company Ground Plan or Light Plot is attached. B. A Flat Blackout drop with a Black Scrim approximately three feet downstage of it should be hung at an approximate stage depth of 30'. A lighting strip, or groundrow, will be placed between the two. C. Please hang the soft goods to a 38' opening when possible. XV. BACKSTAGE The Flying Karamazov Brothers 8 4PLAY 10/07 • A. Two (2) six foot (6') prop tables should be placed on both SR and SL. Please include offstage running lights with on/off switches. B. An empty garbage can is needed next to each prop table. C. The stage will need to be damp-mopped immediately before the performance. A broom, mop and mop-bucket should be standing by backstage during the show in case they are needed. D. The final portion of the performance involves juggling potentially messy items such as the eggs and champagne. The Local Presenter will want to cover any seams in the stage decking that the items may potentially seep into and be prepared to thoroughly clean the deck after each performance. XVI. LIGHTING REQUIREMENTS do6-1(‘CI No Light Plot is attached to this rider. Hemmen ' Staff will not commit to specific equipment or labor requirements that may be contained in rider; however, Hemmens' Staff will make CC/FKB every reasonable effort to maintain the spirit of the artist's light plot using the venues lighting system and available inventory (see attached Technical Information Rider & light plot). The Hemmens uses Roscolux Color Filters and will make the suitable substitutions as needed. A. The Local Presenter agrees to provide the minimum Company lighting requirements as specified by the Company Light Plot. If the Theatre or Local Presenter is unable to meet these requirements, please notify the Company Stage Manager. Special adaptations, reductions or any abbreviations of the Company Light Plot can be made in consultation with the Company Stage Manager. The Company Light Plot must be hung, circuited,patched and troubleshot prior to load-in. B. C. The presenter must provide a computer controlled lighting console for the performance capable of storing a minimum of 100 cues. The company may supply its own lighting console to be patched into the local dimming system. Please consult with the Company Stage Manager. D. ADDITIONAL EFFECTS EQUIPMENT A. The Local Presenter agrees to provide two (2) high quality stage hazers with auxiliary fans, one each on SL and SR. The Foggers should possess a remote control feature to be operated together offstage. B. The Local Presenter agrees to provide sufficient haze fluid for the hazers to run approximately fifteen minutes. XVIII. WARDROBE A. The Local Presenter agrees to provide the following: 1 Wardrobe Master available for Load In, Performance and Load Out Washer and Dryer Detergent—ALL Free and Clear Steamer Iron Ironing Board 2 six foot (6') racks (backstage) 4 metal folding chairs (backstage) B. The Local Presenter shall be responsible for dry cleaning Company costumes once per week during an extended run. This includes pick-up and delivery, as well as dry cleaning costs. C. The wireless system should be equipped with small style capsules such as Countryman microphones with shirt clips. One of the five units is reserved as a backup. These units shall be for the sole use of the Company during the engagement. It is up to house discretion where the receivers shall be located and patched into the audio system. 2.
