THIS AGREEMENT is made and entered into this/6 day of Ilk 2008,by and between the CITY OF ELGIN, an Illinois municipal corporation (hereinafter referred to as "CITY") and Terracon Consultants Inc., a corporation organized and existing under the laws of the State of Delaware, (hereinafter referred to as the "CONSULTANT"). WHEREAS,the CITY desires to engage the CONSULTANT to furnish certain professional services in conjunction with the City's environmental assessment of the properties commonly known as 464 & 520 McBride Street, Elgin, Kane Count, Illinois 60120, (hereinafter referred to as the "PROJECT"); and WHEREAS,the CONSULTANT represents it has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW,THEREFORE,it is hereby agreed by and between the CITY and the CONSULTANT that the CITY does hereby retain the CONSULTANT for and in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged, to act for and represent it in the matters involved in the PROJECT as described in this Agreement, subject to the following terms and conditions and stipulations, to-wit: 1. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the City's Director of Economic Development and Business Services (hereinafter referred to as the "SUPERVISOR"). B. CONSULTANT shall provide the services for the PROJECT as outlined in the CONSULTANT'S Scope of Services document entitled"Proposal for Environmental Assessment Services North Grove Redevelopment Area Elgin Salvage Yard Site— 464 McBride Street, Elgin, Illinois— Terracon Proposal No. N080327", dated May 16, 2007, consisting of fourteen (14) pages and "Proposal for Environmental Assessment Services North Grove Redevelopment Area Former Elgin Lumberyard Site — 520 McBride Street, Elgin, Illinois — Terracon Proposal No. N080230" consisting of fourteen (14) pages, copies of which are attached hereto and made a part hereof as Exhibit 1. In the event of any conflict between the terms of this Agreement and the terms contained within Exhibit 1, the terms of this Agreement shall control. 2. SCHEDULE The CONSULTANT shall commence with the services for the PROJECT as described herein upon entry into and execution of the Agreement and shall complete same as expeditiously as is reasonably practicable. 3. WORK PRODUCTS All work products prepared by the CONSULTANT pursuant hereto including, but not limited to, reports,surveys, designs, calculations, work drawings,plans, design documents, probable construction costs, floor plans, elevations and sections, renderings, studies, photographs, models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request of the SUPERVISOR provided, however, that the CONSULTANT may retain copies of such work products for its records. Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project, and such reuse shall be at the sole risk of the CITY without liability or legal exposure to the CONSULTANT. 4. PAYMENTS TO THE CONSULTANT A. For services provided by the CONSULTANT pursuant to this Agreement the CONSULTANT shall be paid by the CITY a not to exceed fee of$122,117 in total for all tasks combined regardless of the actual costs and expenses incurred by the CONSULTANT. B. The CITY shall make periodic payments to the CONSULTANT based upon actual progress within 30 days after receipt and approval of invoice. Full payment for each task shall not be made until the task is completed and accepted by the SUPERVISOR. C. Additional services and expenses by the CONSULTANT beyond the scope of work of this agreement,if any, shall require prior written approval of the City Council by way of written amendment to this agreement or by way of a separate written agreement. 5. INVOICES A. The CONSULTANT shall submit invoices in a format approved by the CITY. B. The CONSULTANT shall maintain records showing actual time devoted and cost incurred. The CONSULTANT shall permit the authorized representative of the CITY to inspect and audit all data and records of the CONSULTANT for work done under this Agreement. The CONSULTANT shall make these records available at reasonable times during the Agreement period,and for a year after termination of this Agreement. 6. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof,the CITY may terminate this Agreement at any time upon fifteen(15)days prior written notice to the CONSULTANT.In the event that this Agreement is so terminated, the CONSULTANT shall be paid for services actually performed and reimbursable expenses actually incurred prior to termination, except that reimbursement shall not exceed the amounts set forth under Paragraph 4 above. 7. TERM This Agreement shall become effective as of the date the CONSULTANT are given a notice to proceed and, unless terminated for cause or pursuant to Article 5, shall be deemed concluded on the date the CITY determines that all of the CONSULTANT'S work under this agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the CITY may have or thereafter acquire with respect to any term or provision of the Agreement. 8. NOTICE OF CLAIM If the CONSULTANT wishes to make a claim for additional compensation as a result of action taken by the CITY,the CONSULTANT shall give written notice of his claim within _ _ 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the CONSULTANT'S fee shall be valid only to the extent that such changes are included in writing signed by the CITY and the CONSULTANT. Regardless of the decision of the SUPERVISOR relative to a claim submitted by the CONSULTANT, all work required under this Agreement as determined by the SUPERVISOR shall proceed without interruption. 9. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party,by reason of any default, fails within fifteen (15) days after notice thereof by the other party to comply with the conditions of the Agreement,the other party may terminate this Agreement. 10. INDEMNIFICATION To the fullest extent permitted by law,CONSULTANT agrees to and shall indemnify,defend and hold harmless the CITY, its officers, employees, agents,boards and commissions from and against any and all claims, suits, judgments, costs, attorneys fees, damages or other relief,including but not limited to workers compensation claims,in any way resulting from or arising out of negligent actions or omissions of the CONSULTANT in connection herewith,including negligence or omissions of employees or agents of the CONSULTANT arising out of the performance of this Agreement. In the event of any action against the CITY,its officers,employees, agents,boards or commissions, covered by the foregoing duty to indemnify,defend and hold harmless such action shall be defended by legal counsel of the CITY'S choosing. The provisions of this paragraph shall survive any completion,expiration and/or termination of this agreement. 11. NO PERSONAL LIABILITY No official, SUPERVISOR, officer, agent or employee of the CITY shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. 12. INSURANCE A. Comprehensive Liability. The CONSULTANT shall provide,pay for and maintain in effect, during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least$1,000,000 aggregate for bodily injury and $1,000,000 aggregate for property damage. The CONSULTANT shall deliver to the SUPERVISOR a Certification of Insurance naming the CITY as additional insured. The policy shall not be modified or terminated without thirty(30) days prior written notice to the SUPERVISOR. The Certificate of Insurance which shall include Contractual obligation assumed by the CONSULTANT under Article 10 entitled"Indemnification" shall be provided. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to the CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance, - 3 - alternatively, if the insurance states that it is excess or prorated, it shall be endorsed to be primary with respect to the CITY. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned,non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of $1,000,000 per occurrence subject to a $1,000,000 aggregate. D. Professional Liability. The CONSULTANT shall carry Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $1,000,000 per occurrence. A Certificate of Insurance shall be submitted to the SUPERVISOR as evidence of insurance protection. The policy shall not be modified or teiniinated without thirty(30) days prior written notice to the SUPERVISOR. 13. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement,there shall be no discrimination against any employee or applicant for employment because of sex,age,race, color,creed,national origin,marital status,of the presence of any sensory,mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or teiniination,rates of pay or other forms of compensation and selection for training,including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory,mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. 14. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. 15. DELEGATIONS AND SUBCONTRACTORS Any assignment,delegation or subcontracting shall be subject to all the terms,conditions and other provisions of this Agreement and the CONSULTANT shall remain liable to the CITY with respect to each and every item,condition and other provision hereof to the same extent that the CONSULTANT would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. Any proposed subcontractor shall require the CITY'S advanced written approval. 16. NO CO-PARTNERSHIP OR AGENCY - 4 - This agreement shall not be construed so as to create a partnership, joint venture, employment or other agency relationship between the parties hereto. 17. SEVERABILITY The parties intend and agreed that, if any paragraph, sub-paragraph,phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. 18. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define,limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. 19. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed,modified,discharged or extended except by written amendment duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. 20. APPLICABLE LAW This Agreement shall be deemed to have been made in,and shall be construed in accordance with the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane County, Illinois. 21. NEWS RELEASES The CONSULTANT may not issue any news releases without prior approval from the SUPERVISOR, nor will the CONSULTANT make public proposals developed under this Agreement without prior written approval from the SUPERVISOR prior to said documentation becoming matters of public record. 22. COOPERATION WITH OTHER CONSULTANT The CONSULTANT shall cooperate with any other CONSULTANT in the CITY'S employ or any work associated with the PROJECT. 23. INTERFERENCE WITH PUBLIC CONTRACTING The CONSULTANT certifies hereby that it is not barred from bidding on this contract as a result of a violation of 720 ILCS 5/33E et seq.or any similar state or federal statute regarding bid rigging. 24. SEXUAL HARASSMENT As a condition of this contract, the CONSULTANT shall have written sexual harassment policies that include, at a minimum, the following information: - 5 - A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse,investigative and complaint process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act. A copy of the policies must be provided to the Department of Human Rights upon request 775 1LCS 5/2-105. 25. COMPLIANCE WITH LAWS Notwithstanding any other provision of this Agreement it is expressly agreed and understood that in connection with the performance of this Agreement that the CONSULTANT shall comply with all applicable Federal, State, City and other requirements of law, including, but not limited to, any applicable requirements regarding prevailing wages, minimum wage, workplace safety and legal status of employees . Without limiting the foregoing, CONSULTANT hereby certifies, represents and warrants to the CITY that all CONSULTANT' S employees and/or agents who will be providing products and/or services with respect to this Agreement shall be legal residents of the United States. CONSULTANT shall also at its expense secure all permits and licenses, pay all charges and fees and give all notices necessary and incident to the due and lawful prosecution of the work, and/or the products and/or services to be provided for in this Agreement . The CITY shall have the right to audit any records in the possession or control of the CONSULTANT to determine CONSULTANT' S compliance with the provisions of this section. In the event the CITY proceeds with such an audit the CONSULTANT shall make available to the CITY the CONSULTANT'S relevant records at no cost to the CITY. 26. WRITTEN COMMUNICATIONS All recommendations and other communications by the CONSULTANT to the SUPERVISOR and to other participants which may affect cost or time of completion shall be made or confirmed in writing. The SUPERVISOR may also require other recommendations and communications by the CONSULTANT be made or confirmed in writing. - 6 - 27. NOTICES All notices, reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows: A. As to CITY: Raymond H. (Terracon) is pleased to submit the enclosed proposal to the City of Elgin to provide continued professional environmental consulting services related to the North Grove Redevelopment Area (NGRA) in Elgin, Illinois. Under the proposed scope of work, Terracon will conduct supplemental site investigation work on the Elgin Lumber Yard site located at 520 McBride Street, Elgin, Illinois. The Illinois Environmental Protection Agency (IEPA) issued technical comments in February 2008 regarding the status of this site in response to Terracon's Supplemental Site Investigation/Remediation Objectives Report/Remedial Action Plan (SSIR/ROR/RAP) which was originally submitted to IEPA in March 2006 with a follow up submittal in March 2007. IEPA's comments and assessment of the site indicates that further investigation of the site is required. Some of the key items cited by IEPA are highlighted below: • IEPA requested new groundwater monitoring be performed based on the discovery of contamination in the southwest portion of the site and the need to further assess volatile organic compounds (VOCs) on-site. Because of the fire in the existing warehouse building in December 2005 and the subsequent building demolition and grading activity, all but one of the onsite wells have been destroyed and are no longer available for the collection of samples. Thus, a new set of monitoring wells are needed. • IEPA is requesting that changes made to the TACO regulations that became effective after the submittal of Terracon's report be reflected in the updated report. The TACO changes affect the allowable remediation objectives for several constituents of concern at the site including mercury, various VOC compounds and polynuclear aromatic hydrocarbons (PNA)constituents. Delivering Success for Clients and Employees Since 1965 More Than 95 Offices Nationwide City of Elgin 1F erracon North Grove Redevelopment Area Former Elgin Lumberyard Site—520 McBride Street Terracon Proposal No.N080230 May 16,2008 • In the course of IEPA's recent review, TEPA reevaluated the site data back to the original Comprehensive Site Investigation report prepared by ENSR in 2002. Certain assumptions made at that time are now being called into question and need to be re- evaluated. Notably, in the 2005 CSIR report, groundwater modeling was conducted and Terracon was not aware of any issues related to the modeling effort. IEPA now requests that the groundwater modeling be revised and updated based on new data and to meet potentially more stringent criteria (i.e., surface water quality criteria for the Fox River). • IEPA requested corrections and revisions to several specific figures and text references. Some of these comments reflect a misunderstanding of the information that was being conveyed on the figures; while other instances reflect minor deficiencies in Terracon's report. Terracon will assume responsibility for correction of these items; costs associated with the corrections and clarifications are not included in the proposed costs outlined herein. Also, as recently discussed with City representatives, Terracon will incorporate a portion of the McBride Street right-of-way into the reconfigured Elgin Lumber Yard site. This will allow the City to obtain NFR coverage for this portion of the North Grove Redevelopment Area without the need for pursuing a separate site enrollment and report submittal process with I EPA. Terracon looks forward to working with the City of Elgin as this site progresses to a No Further Remediation (NFR) letter. We stand ready to implement a cost-effective project and will seek out opportunities to minimize environmental clean up costs to allow the City to maximize its return on its redevelopment investment. Site Investigation Background Completed environmental assessment of the subject site includes the following: • Environmental Subsurface Exploration, Testing Service Corporation (TSC), December 19, 1995 • Phase II Investigation — 520 McBride Street and 502 North Grove Avenue, ATEC Associates, Inc., April 1996 • 45 Day Report and Corrective Action Completion Report, LUST Incident No. 961875, Seigle's Facility, 520 North McBride Street, TSC, February 19, 1997 • Phase I Environmental Site Assessment, ENSR, May 2002 • Site Investigation Report, ENSR, November 2002 • Supplemental Site Investigation/Remediation Objectives Report/Remedial Action Plan, Terracon March 10, 2006 • Response to Comments Submittal, Terracon, March 30, 2007 IL SCOPE OF WORK Terracon's proposed scope of service to advance the investigation and assessment of the 520 McBride street site will encompass the following tasks: 1 • City of Elgin lr , North Grove Redevelopment Area Former Elgin Lumberyard Site—520 McBride Street Terracon Proposal No. N080230 May 16,2008 Task 100—Supplemental Site Investigation Work Plan A work plan will be developed to further investigate the site. The work plan will be developed in accordance with the IEPA's Site Remediation Program (SRP) requirements and will identify sampling procedures, laboratory analytical methods, and quality control methods for the work. In addition, a site-specific Health and Safety Plan (HASP) will be prepared to conduct the field investigation activities. The HASP will be used by Terracon field personnel to guide drilling and sampling activities. The HASP will provide a list of emergency telephone numbers and directions to the nearest medical facility in the event of an accident. Terracon will utilize the results of the initial site investigation to determine the location of proposed soil and groundwater sampling locations to assess potential contamination source areas and to address the technical comments issued by IEPA. The Supplemental Site Investigation (SSI)will focus on the following key objectives: • Updated assessment of on-site groundwater conditions and specifically the groundwater downgradient of the southwest corner of the site and the vicinity of former well MW-3R. • Further delineation of SVOC impacted soil in SRA#2 focusing in the area of the former structures • Further delineation of SVOC impacted soil in SRA#3 in the area of former the structures • Further delineation of VOC impacted soil in SRA #2 and SRA #3 in the area of the former structures Consistent with our plan, Terracon will develop the work plan to pursue a Comprehensive (as compared to Focused) Site Investigation. A comprehensive site investigation will lead to a No Further Remediation (NFR) letter that is the least restrictive in terms of site conditions and/or limitations. A comprehensive site investigation is beneficial in situations where the site use will change from industrial to residential. Soil and Groundwater Assessment Terracon will utilize generally accepted environmental sampling procedures to assess current site conditions including advancement of soil borings and installation of groundwater monitoring wells. For the soil investigation, GeoProbe sampling will be conducted as a means of maximizing the production rate of field sampling activity. One soil sample per boring will be collected and submitted to the laboratory for analysis. However, Terracon also recommends that both the upper layer of soil (0 to 3 feet) and the subsurface soils (below 3 feet) be independently characterized in selected borings. By analyzing the upper 3-foot soil interval, a more complete assessment of the soil ingestion pathway can be made as requested by IEPA. 2 City of Elgin lkrracon North Grove Redevelopment Area Former Elgin Lumberyard Site—520 McBride Street Terracon Proposal No.N080230 May 16,2008 Based on the available preliminary information regarding the sites, Terracon has based its cost proposal on completing 11 borings at the site. Six borings will be advanced for the purpose of soil sampling, five borings will be associated with the construction of new monitoring wells. The proposed suite of analytical parameters will be reviewed and modified, if necessary. Terracon will construct and develop five permanent monitoring wells, obtain water level measurements and collect groundwater samples. One round of groundwater sampling is included in the proposed scope of services. A total of six groundwater samples will be collected and analyzed (5 new wells plus one existing on site well). Three samples will be analyzed for the entire Target Compound List (TCL) of parameters while three samples will be analyzed for SVOCs and the 13 priority pollutant metals only. Standard site characterization methods and field procedures will include: • Notification of JULIE, the utility locating service, to identify utilities at the site prior to initiating intrusive activities. Terracon will also consult with other knowledgeable parties, who may have information regarding private on-site utilities, if available. • Soil screening protocols will include use of a photoionization detector (PID) combined with olfactory and visual screening to select subsurface soil samples. 3 City of Elgin 11•erracon North Grove Redevelopment Area Former Elgin Lumberyard Site-520 McBride Street Terracon Proposal No. N080230 May 16,2008 • Soil cuttings generated during GeoProbe sampling will be returned to the boreholes to minimize waste disposal costs. For monitoring well installation, soils and purge water will be containerized and disposed of on a unit cost basis. • Analytical methods will be in accordance with SW-846 methods; all analytical work will be performed by an accredited laboratory. • Terracon expects to utilize Level D personal protective equipment when conducting field investigation work. Task 200—SRP Reporting Supplemental Site Investigation Report Terracon will prepare an updated Supplemental Site Investigation Report (SSIR) to address the constituents of concern that are identified during the investigation. The data will be evaluated in conjunction with the results of the initial site investigation activities. The SSIR will describe field methods and procedures implemented along with analytical results from soil and groundwater samples in order to characterize the vertical and horizontal extent of potential contamination at the site. The SSIR will be prepared in a manner consistent with the SRP regulations (35 III. Adm. Code Part 740). As part of the SSIR, analytical data will be compared to TACO Tier 1 soil remediation objectives to complete a Tier 1 screening. The screening will indicate areas of the site that exceed residential clean up standards and highlight those areas where additional assessment by A Tier 2 TACO assessment may be beneficial. The SSIR will be prepared to qualify the site for a comprehensive NFR letter. Further, the updated report will compile site investigation data from previous investigations efforts to represent a complete package of site data to the maximum extent practicable. The site boundaries will be modified to include a portion of the McBride Street ROW. Site investigation data from previous soil investigations within the ROW will be incorporated into the SSIR so that NFR coverage can be pursued for the entire site area. Remediation Objectives Report Based on the results of the SSI activities, Terracon will further refine applicable remediation objectives (ROs) for the Elgin Lumber Yard site. The development of site-specific ROs will be based on the TACO regulations (35 Ill. Adm. Code Part 742). Further, with the understanding that the parcels will be redeveloped for residential use, Terracon will focus on developing remediation objectives consistent with residential standards. Assuming that there are exceedances of the TACO Tier 1 residential ROs, Terracon will apply the techniques available within TACO to allow for development of improved site specific clean up objectives. Typically this would apply to the soil component exposure route and/or the determination of groundwater conditions at the site property boundary. A specific evaluation of surface water quality conditions for the Fox River will be made for those constituents whose modeled extent of contamination extends beyond the western property boundary. • Use of area background concentrations as screening tools or as direct remediation objectives. • Application of soil averaging strategies to evaluate compliance with soil ingestion criteria for the surficial soils. • Groundwater use restrictions to exclude the groundwater exposure pathway. • Engineered barriers to prevent exposure to impacted soils through the soil ingestion and soil inhalation exposure pathways. Engineered barriers may include a variety of elements that can be integrated into the proposed redevelopment plan. For example, asphalt parking lots, building foundation slabs, clean soil cover, or other impervious structures may be utilized that will have no impact on remediation costs as they would be a necessary element of the desired redevelopment plan. As part of the updated ROR, Terracon will further evaluate the soil component pathway for all existing and new site data as requested by IEPA. Contaminants exceeding Tier 1 screening levels will be modeled as appropriate and compared to surface water quality criteria for the Fox River at the down gradient point of compliance. The proposed cost for the ROR services excludes a Tier 3 risk assessment approach or calculation of site specific remediation objectives for dioxins/furans. Remedial Action Plan The updated RAP will be prepared to address the soil contamination that exceeds site specific remediation objectives. Based on information known at this time, it is not anticipated that any active remediation effort will be required related to groundwater. The updated RAP will also address IEPA's comments to include a wider range of contaminants of concern in confirmation samples. Soil remediation is expected to be required at this site. Therefore, Terracon will evaluate various alternatives for site remediation and prepare the RAP based on the most appropriate method consistent with the proposed residential site development. For estimation of the project cost, Terracon has assumed that the RAP will be based on an outcome that involves soil excavation and disposal and/or some combination of engineered barriers. 5 City of Elgin Terracon North Grove Redevelopment Area Former Elgin Lumberyard Site—520 McBride Street Terracon Proposal No. N080230 May 16,2008 The proposed cost for RAP services excludes detailed design specifications for bidding of remedial services to contractors and does not include implementation of other potential remedial techniques such as in-situ remediation, or thermal treatment. Task 300—Regulatory Coordination/Project Management Terracon will continue to develop and refine a site closure strategy that is consistent with the site redevelopment objectives and will lead to a comprehensive No Further Remediation (N FR) letter. The objective of obtaining an NFR will also be facilitated by routine coordination and contact with the IEPA Project Manager. Two project meetings and routine telephone contacts have been included in the proposed budget to assist in these coordination efforts. Terracon has considerable experience working with the IEPA and has strong professional relationships with key personnel. By maintaining strong communication with Illinois EPA, the project will benefit by keeping review times under control and taking advantage of new or emerging techniques. Project management activities will include review and tracking of project costs against the budget, maintenance of the project schedule, and assignment of personnel to specific tasks. As part of this task, the Terracon Project Manager will prepare timely invoices and keep the City informed of its progress regarding expenditure of the budget. If additional work items are identified that are not within the proposed scope of services, Terracon will bring these items to the attention of the City in advance for their consideration of a change order. During the project, Terracon will be in regular communication with City personnel to ensure that the environmental aspects of the project are coordinated with the overall development plan. Terracon will attend up to two meetings with the City during the course of the project. Ten-acon will conduct supplemental sampling work on the Elgin Salvage Yard site located at 464 McBride Street, Elgin, Illinois. The Illinois Environmental Protection Agency (IEPA) issued technical comments regarding the status of this site in response to two reports prepared by Terracon. These reports included the Supplemental Site Investigation/Remediation Objectives Report/Remedial Action Plan/Remedial Action Completion Raport (SSVRC)RURAP/RACR) which was originally submitted to IEPA in October 2006 and the Supplemental Groundwater Investigation report dated March 27, 2007' Furthe[, representatives of the City of Elgin and Terracon met with IEPA officials on January 24, 2008 with a subsequent follow up telephone call on January 31, 2008 to discuss IEPA's comments and position regarding the Salvage Yard Site. IEPA's comments and assessment of the site indicates that further investigation of the site is required. Some of the key items cited by IEPA are highlighted below: * IEPA expressed some concern that the quantity of sampling conducted did not adequately demonstrate that no free product remained in the subsurface soils. In response to earlier IEPA comments, Terracon did collect and analyze a number of samples for Total Petroleum Hydrocarbons (TPH) as a means of evaluating this concern. However, IEPA has stated that more sampling of this type is necessary and appropriate based on site history and the initial soil investigation results. • IEPA requested that additional groundwater monitoring be performed at the site. Tenacon's Supplemental Groundwater Investigation (March 2007\ included the Delivering Success for Clients and Employees Since 1065 More Than 95 Offices Nationwide City of Elgin lfcrracon NorEh Grove Redevelopment Area Former Elgin Salvage and Supply Company-464 McBride Street Terracon Proposal No. N080327 May 16,2008 installation of six new monitoring wells onsite and reported on the collection of groundwater samples over three separate sampling events. It was Terracon's intent that such a program would provide an overall assessment of the site and was adequate to address the groundwater issue, especially in consideration that future use of groundwater would be prohibited. Notwithstanding the available data, IEPA has requested the installation of additional monitoring wells targeted in areas of the site that exhibited the presence of free product based on prior sampling efforts and/or visual site observations. • IEPA's comments request additional evaluation of potential metals contamination onsite. Notably, IEPA was concerned that elevated soil pH conditions preclude the use of pH specific tables provided in the TACO regulations to evaluate the soil component pathway for various metal constituents. • IEPA made specific comments reflecting the need for additional soil confirmation sampling in nine of the 10 identified Areas of Concern (ADCs) at the site. These comments were specific to each AOC and are presented in detail in IEPA's correspondence dated October 16, 2007. Also, as recently discussed with City representatives, Terracon will incorporate a portion of the McBride Street right-of-way into the reconfigured Salvage Yard Site. This will allow the City to obtain NFR coverage for this portion of the North Grove Redevelopment Area without the need for pursuing a separate site enrollment and report submittal process with IEPA. Terracon looks forward to working with the City of Elgin as this site progresses to a No Further Remediation (NFR) letter. The work plan will be developed in accordance with the IEPA's Site Remediation Program (SRP) requirements and will identify sampling procedures, laboratory analytical methods, and quality control methods for the work. In addition, a site- specific Health and Safety Plan (HASP) will be prepared to conduct the field investigation activities. The HASP will be used by Terracon field personnel to guide drilling and sampling activities. The HASP will provide a list of emergency telephone numbers and directions to the nearest medical facility in the event of an accident. Terracon will utilize the results of the previous site investigations and the RACR to determine the location of proposed soil and groundwater sampling locations to address the technical comments issued by IEPA. The supplemental confirmation sampling will focus on the following key objectives: • Assessment of current groundwater conditions to verify that no free product remains in areas where free product was observed prior to removal and to confirm that on-site groundwater meets the groundwater remediation objectives. • Further confirm that subsurface soils which exceeded the soil attenuation capacity have been completely removed. • Further characterize soils in specific AOCs through analysis of the Target Compound List(TCL)constituents. • Additional investigation of potential metals contamination and evaluation of pH specific remediation objectives for the soil component of the groundwater exposure route. Consistent with our plan, Terracon will develop the work plan to pursue a Comprehensive (as compared to Focused) Site Investigation. A comprehensive site investigation will lead to a No Further Remediation (NFR) letter that is the least restrictive in terms of site conditions and/or limitations. A comprehensive site investigation is beneficial in situations where the site use will change from industrial to residential. Task 200—Supplemental Confirmation Sampling—Soils Terracon will utilize generally accepted environmental sampling procedures to assess current site conditions including advancement of soil borings. One soil sample per boring will be collected and submitted to the laboratory for analysis. Based on our preliminary analysis of IEPA's comments, Terracon has based its cost proposal on completing 42 borings at the site. The proposed suite of analytical parameters will be reviewed and modified, if necessary. Standard site characterization methods and field procedures will include: • Notification of JULIE, the utility locating service, to identify utilities at the site prior to initiating intrusive activities. Terracon will also consult with other knowledgeable parties, who may have information regarding private on-site utilities, if available. • Soil screening protocols will include use of a photoionization detector (PID) combined with olfactory and visual screening to select subsurface soil samples. • Soil cuttings generated during GeoProbe sampling will be returned to the boreholes to minimize waste disposal costs. For monitoring well installation, soils and purge water will be containerized and disposed of on a unit cost basis. • Analytical methods will be in accordance with SW-846 methods; all analytical work will be performed by an accredited laboratory. • Terracon expects to utilize Level D personal protective equipment when conducting field investigation work. Task 300 —Supplemental Groundwater Assessment Terracon will construct and develop seven additional permanent monitoring wells, obtain water level measurements and collect groundwater samples. Site investigation data from previous soil investigations within the ROW will be incorporated into the updated SSIR so that NFR coverage can be pursued for the entire site area. B. Remediation Objectives and Remedial Action Plan (Update) Terracon will evaluate the soil remediation objectives applicable to metals for the soil component of the groundwater ingestion exposure route. Terracon will compare results of metals analysis from the supplemental confirmation sampling and from previous site investigations to the applicable remediation objectives. Terracon anticipates the evaluation of analytical results will confirm that on-site soils and groundwater meet the site remediation objectives. In the event that the analytical results indicate that residual contamination remains in on-site soils or groundwater, Terracon will update the Remedial Action Plan to include an evaluation of various alternatives and propose site remediation methods consistent with the proposed residential site development. 4 City of Elgin Terra= North Grove Redevelopment Area Former Elgin Salvage and Supply Company—464 McBride Street Terracon Proposal No. N080327 May 16,2008 Task 500— Project Management/Meetings/Regulatory Coordination Terracon will continue to develop and refine a site closure strategy that is consistent with the site redevelopment objectives and will lead to a comprehensive No Further Remediation (N FR) letter. The objective of obtaining an NFR will also be facilitated by routine coordination and contact with the IEPA Project Manager. Three project meetings and routine telephone contacts have been included in the proposed budget to assist in these coordination efforts. Terracon has considerable experience working with the IEPA and has strong professional relationships with key personnel. By maintaining strong communication with Illinois EPA, the project will benefit by keeping review times under control and taking advantage of new or emerging techniques. Project management activities will include review and tracking of project costs against the budget, maintenance of the project schedule, and assignment of personnel to specific tasks. As part of this task, the Terracon Project Manager will prepare timely invoices and keep the City informed of its progress regarding expenditure of the budget. If additional work items are identified that are not within the proposed scope of services, Terracon will bring these items to the attention of the City in advance for their consideration of a change order. During the project, Terracon will be in regular communication with City personnel to ensure that the environmental aspects of the project are coordinated with the overall development plan. Terracon will attend up to two meetings with the City during the course of the project. In-house and Subcontracted Services Terracon has all necessary resources to undertake this project using existing in-house technical and support staff. Moller, Director of Economic Development and Business Services SUBJECT: Additional Environmental Testing Service, North Grove Residential Redevelopment at 464 & 520 McBride Street PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to authorize a contract with Terracon Consulting Engineers & Scientists for environmental testing services at 464 & 520 McBride Street. RECOMMENDATION It is recommended that the City Council authorize an environmental services contract with Terracon for environmental testing services at 464 & 520 McBride Street in the amount of $122,117. BACKGROUND The North Grove Residential Redevelopment Area consists of over 20 acres of property north of the new Gail Borden Library. Significant environmental contamination has been present and environmental testing and remediation has taken place on the various parcels. The Illinois Environmental Protection Agency (IEPA) is requiring additional soil and ground water testing at the referenced properties. 464 McBride Street The IEPA issued technical comments regarding the status of this site in response to two reports prepared by Terracon. These reports included the Supplemental Site Investigation; Remediation Objectives Report; Remedial Action Plan; Remedial Action Completion Report (SSI/ROR/RAP/RACR) which was originally submitted to IEPA in October 2006 and the Supplemental Groundwater Investigation report dated March 27, 2007. Further, representatives of the City of Elgin and Terracon met with IEPA officials on January 24, 2008 with a subsequent follow up telephone call on January 31, 2008 to discuss IEPA's comments and position regarding the Salvage Yard Site. Environmental Testing Services—464 and 520 McBride Street June 19, 2008 Page 2 IEPA's comments and assessment of the site indicates that further investigation of the site is required. Some of the key items cited by IEPA are highlighted below: • IEPA expressed some concern that the quantity of sampling conducted did not adequately demonstrate that no free product remained in the subsurface soils. In response to earlier IEPA comments, Terracon did collect and analyze a number of samples for Total Petroleum Hydrocarbons (TPH) as a means of evaluating this concern. However, IEPA has stated that more sampling of this type is necessary and appropriate based on site history and the initial soil investigation results. • IEPA requested that additional groundwater monitoring be performed at the site. Terracon's Supplemental Groundwater Investigation (March 2007) included the installation of six new monitoring wells onsite and reported on the collection of groundwater samples over three separate sampling events. It was Terracon's intent that such a program would provide an overall assessment of the site and was adequate to address the groundwater issue, especially in consideration that future use of groundwater would be prohibited. Notwithstanding the available data, IEPA has requested the installation of additional monitoring wells targeted in areas of the site that exhibited the presence of free product based on prior sampling efforts ancUor visual site observations. • IEPA's comments request additional evaluation of potential metals contamination onsite. Notably, IEPA was concerned that elevated soil pH conditions preclude the use of pH specific tables provided in the TACO regulations to evaluate the soil component pathway for various metal constituents. • IEPA made specific comments reflecting the need for additional soil confirmation sampling in nine of the 10 identified Areas of Concern (A0Cs) at the site. These comments were specific to each AOC and are presented in detail in IEPA's correspondence dated October 16, 2007. Also, Terracon will incorporate a portion of the McBride Street right-of-way into the reconfigured Salvage Yard Site. This will allow the City to obtain NFR coverage for this portion of the North Grove Redevelopment Area without the need for pursuing a separate site enrollment and report submittal process with IEPA. Scope of Work Task 1 — Evaluation of IEPA Comments and Work Plan Development Task 2 — Supplemental Soil Confirmation Sampling: (42 borings) Task 3 — Supplemental Groundwater Assessment (7 new monitoring wells) Task 4—Reporting Fee—Maximum not to exceed $84,182 Environmental Testing Services—464 and 520 McBride Street June 19, 2008 Page 3 520 McBride Street The IEPA issued technical comments in February 2008 regarding the status of this site in response to Terracon's Supplemental Site Investigation; Remediation Objectives Report; Remedial Action Plan (SSIR/ROR/RAP) which was originally submitted to IEPA in March 2006 with a follow up submittal in March 2007. IEPA's comments and assessment of the site indicates that further investigation of the site is required. Some of the key items cited by IEPA are highlighted below: • IEPA requested new groundwater monitoring be performed based on the discovery of contamination in the southwest portion of the site and the need to further assess volatile organic compounds (VOCs) on-site. Because of the fire in the existing warehouse building in December 2005 and the subsequent building demolition and grading activity, all but one of the onsite wells have been destroyed and are no longer available for the collection of samples. Thus, a new set of monitoring wells are needed. • IEPA is requesting that changes made to the TACO regulations that became effective after the submittal of Terracon's report be reflected in the updated report. The TACO changes affect the allowable remediation objectives for several constituents of concern at the site including mercury, various VOC compounds and polynuclear aromatic Hydrocarbons (PNA) constituents. • In the course of IEPA's recent review, IEPA reevaluated the site data back to the original Comprehensive Site Investigation report prepared by ENSR in 2002. Certain assumptions made at that time are now being called into question and need to be reevaluated. Notably, in the 2005 CSIR report, groundwater modeling was conducted and Terracon was not aware of any issues related to the modeling effort. IEPA now requests that the groundwater modeling be revised and updated based on new data and to meet potentially more stringent criteria (i.e., surface water quality criteria for the Fox River). • IEPA requested corrections and revisions to several specific figures and test references. Some of these comments reflect a misunderstanding of the infotmation that was being conveyed on the figures; while other instances reflect minor deficiencies in Terracon's report. Terracon will assume responsibility for correction of these items; costs associated with the corrections and clarifications are not included in the proposed costs outlined herein. Also, as recently discussed with City representatives, Terracon will incorporate a portion of the McBride Street right-of-way into the reconfigured Elgin Lumber Yard site. There is $1,305,000 budgeted and $1,026,566 available in the Riverboat Fund, account number 275-0000-791.92-32, "Land Improvements," project number 030100, "North Kimball Remediation" to enter into this contract. LEGAL IMPACT The award of this contract is an exception to the procurement ordinance. ALTERNATIVES 1. The City Council may choose to enter into a contract with Ten-aeon for environmental services at 464 & 520 McBride Street in the amount of$122,117. 2.
