RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH
ARTSPACE PROJECTS, INC.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
pursuant to Elgin Municipal Code Section 5.02.020B(9) the City Council hereby finds that an
exception to the requirements of the procurement ordinance is necessary and in the best interest of
the city; and
BE IT FURTHER RESOLVED that Olufemi Folarin,City Manager,and Diane Robertson,
City Clerk,be and are hereby authorized and directed to execute an agreement on behalf of the City
of Elgin with Artspace Projects,Inc. for a comprehensive marketing study of area artists,a copy of
which is attached hereto and made a part hereof by reference.

AGREEMENT
THIS AGREEMENT is made and entered into thisp 8 day of May,2008,by and between the City
of Elgin, an Illinois municipal corporation(hereinafter referred to as"City")and Artspace Projects,
Inc., a Minnesota 501(c)(3) non-profit corporation, authorized to do business in the State of
Illinois(hereinafter referred to as"Consultant").
WHEREAS, the City desires to engage the Consultant to furnish certain professional services in
connection with an individual artists survey in the City of Elgin and the neighboring Chicago
metropolitan area(hereinafter referred to as the Project); and
WHEREAS,the Consultant represents that it has the necessary expertise and experience to furnish
such services upon the terms and conditions set forth herein below.
NOW,THEREFORE, it is hereby agreed by and between the City and the Consultant that the City
does hereby retain the Consultant for and in consideration of the mutual promises and covenants
contained herein,the sufficiency of which is hereby acknowledged to provide the services to the City
in the matters involved in the Project as described herein, subject to the following terms and
conditions and stipulations, to-wit:
1. SCOPE OF SERVICES
A. All work hereunder shall be performed under the direction of the Assistant City
Manager of the City,herein after referred to as the"Director".
B. Consultant shall provide to the City an individual artists survey in the City of Elgin
and the neighboring metropolitan area for the Project. A detailed Scope of Services
being the Consultant's proposal for the Project dated March 31, 2008, is attached
hereto as Attachment A. In the event of any conflict between the terms of this
agreement and the terms of Attachment A, the terms of this Agreement shall
supersede and control.
2. SCHEDULE
Consultant shall commence the services to be provided pursuant to this Agreement in
accordance with the timeline agreed to by the parties and attached hereto as Attachment B
and shall proceed to complete such services within six(6)months. The City shall cause the
tasks to be performed in Attachment B which the responsible party for such tasks are
identified as Elgin in Attachment B.
3. WORK PRODUCTS
The work products consisting of the report and cover letter prepared by the Consultant
pursuant hereto shall be the property of the City and shall be delivered to the City upon
request of the Director, provided, that the Consultant may retain copies of such work
products for its records. Other materials provided by the Consultant consisting of artists and
organization contact information and the survey instrument shall remain the property of the
Consultant, and may not be reproduced for purposes of sale or other benefit beyond the
intended use under this Agreement, and may not be shared with third party organizations
without the prior written approval of the Consultant,except to the extent as required by law.
4. PAYMENTS TO THE CONSULTANT
A. The City shall reimburse the Consultant for services and expenses under this
Agreement the total amount of Twenty-five Thousand Dollars($25,000)regardless
of the actual costs incurred by the Consultant unless substantial modifications to the
Project,or work is requested by the City which is described in Attachment A as work
provided at an additional fee are authorized in writing and approved by way of
amendment to this Agreement by the City Council.
B. The City shall pay such fees and expenses to the Consultant totaling$25,000 in two
(2)installments.The first installment shall be in the amount of$12,500 and shall be
paid by the City within fourteen (14) days of the entry into this Agreement. The
second installment shall be in the amount of$12,500 and shall be paid by the City
within fourteen(14) days of the Consultant's completion of all work required to be
performed pursuant to this Agreement and the delivery to the City of the final survey
report and cover letter. In no instance will Consultant commence services prior to
receipt of the first installment.
C. The costs of outside services provided to the Consultant by other firms or
consultants,if any,shall constitute and be construed as inclusive within and a portion
of the aforementioned $25,000 not-to-exceed fee and expenses.
D. Reimbursable expenses of the Consultant,if any,shall constitute and be construed as
inclusive within and a portion of the aforementioned$25,000 not-to-exceed fee and
expenses.
5. RECORDS
The Consultant shall maintain records showing actual time devoted and cost incurred. The
Consultant shall permit the authorized representative of the City to inspect and audit all data
and records of the Consultant for work done under this Agreement. The Consultant shall
make these records available at reasonable times during the Agreement period,and for a year
after termination of this Agreement.
6. TERMINATION OF AGREEMENT
Notwithstanding any other provision hereof,the City may terminate this Agreement at any
time upon fifteen (15) days prior written notice to the Consultant. In the event that this
Agreement is so terminated,the Consultant shall be paid for services actually performed and
reimbursable expenses actually incurred prior to termination,except that reimbursement shall
not exceed the task amounts set forth under Paragraph 4 above.
7. TERM
This Agreement shall, unless terminated for cause or pursuant to Section 6, be deemed
concluded on the date of delivery of the final report,as approved in draft form by the City. A
determination of completion shall not constitute a waiver of any rights or claims which the
City may have or thereafter acquire with respect to any term or provision of the Agreement.
8. NOTICE OF CLAIM
If the Consultant wishes to make a claim for additional compensation as a result of action
taken by the City,the Consultant shall give written notice of his claim within 15 days after
occurrence of such action. No claim for additional compensation shall be valid unless so
made. Any changes in the Consultant's fee shall be valid only to the extent that such changes
are included in writing signed by the City and the Consultant. Regardless of the decision of
the Director relative to a claim submitted by the Consultant, all work required under this,
Agreement as determined by the Director shall proceed without interruption.

9. BREACH OF CONTRACT
If either party violates or breaches any term of this Agreement,such violation or breach shall
be deemed to constitute a default, and the other party has the right to seek such
administrative, contractual or legal remedies as may be suitable to the violation or breach;
and, in addition, if either party,by reason of any default, fails within fifteen(15)days after
notice thereof by the other party to comply with the conditions of the Agreement,the other
party may terminate this Agreement.
10. INDEMNIFICATION
To the fullest extent permitted by law,Consultant agrees to and shall indemnify,defend and
hold harmless the City its officers, employees, agents, boards and commissions from and
against any and all claims, suits,judgments, costs, attorneys fees, damages or other relief,
including but not limited to workers compensation claims, in any way resulting from or
arising out of negligent actions or omissions of the Consultant in connection herewith,
including negligence or omissions of employees or agents of the Consultant arising out of the
performance of this Agreement. In the event of any action against the City, its officers,
employees, agents, boards or commissions, covered by the foregoing duty to indemnify,
defend and hold harmless such action shall be defended by legal counsel of the City's
choosing. The provisions of this paragraph shall survive any expiration and/or termination of
this agreement.
11. NO PERSONAL LIABILITY
No official,director,officer,agent or employee of the City or the Consultant shall be charged
personally or held contractually liable under any term or provision of this Agreement or
because of their execution, approval or attempted execution of this Agreement.
12. INS>. RANCE
A. Comprehensive Liability. The Consultant shall provide, pay for and maintain in
effect,during the term of this Agreement,a policy of comprehensive general liability
insurance with limits of at least $1,000,000 aggregate for bodily injury and
$1,000,000 aggregate for property damage.
The Consultant shall deliver to the Director a Certification of Insurance naming the
City as additional insured. The policy shall not be modified or terminated without
thirty(30) days prior written notice to the Director.
The Certificate of Insurance which shall include Contractual obligation assumed by
the Consultant under Article 10 entitled"Indemnification"shall be provided.
This insurance shall apply as primary insurance with respect to any other insurance or
self-insurance programs afforded to the City. There shall be no endorsement or
modification of this insurance to make it excess over other available insurance,
alternatively,if the insurance states that it is excess or prorated, it shall be endorsed
to be primary with respect to the City.
B. Comprehensive Automobile Liability. Comprehensive Automobile Liability
Insurance covering all owned,non-owned and hired motor vehicles with limits of not
less than$500,000 per occurrence for damage to property.
C. Combined Single Limit Policy. The requirements for insurance coverage for the
general liability and auto exposures may be met with a combined single limit of
$1,000,000 per occurrence subject to a$1,000,000 aggregate.

D. Professional Liability. The Consultant shall carry Consultants' Professional
Liability Insurance Covering claims resulting from error,omissions or negligent acts
with a combined single limit of not less than $1,000,000 per occurrence. A
Certificate of Insurance shall be submitted to the Director as evidence of insurance
protection. The policy shall not be modified or terminated without thirty(30) days
prior written notice to the Director.
13. INTENTIONALLY OMITTED
14. NONDISCRIMINATION
In all hiring or employment made possible or resulting from this Agreement,there shall be no
discrimination against any employee or applicant for employment because of sex,age,race,
color,creed,national origin,marital status,of the presence of any sensory,mental or physical
handicap, unless based upon a bona fide occupational qualification, and this requirement
shall apply to, but not be limited to, the following: employment advertising, layoff or
termination,rates of pay or other forms of compensation and selection for training,including
apprenticeship.
No person shall be denied or subjected to discrimination in receipt of the benefit of any
services or activities made possible by or resulting from this Agreement on the grounds of
sex,race,color,creed,national origin,age except minimum age and retirement provisions,
marital status or the presence of any sensory,mental or physical handicap. Any violation of
this provision shall be considered a violation of a material provision of this Agreement and
shall be grounds for cancellation, termination or suspension, in whole or in part, of the
Agreement by the City.
15. ASSIGNMENT AND SUCCESSORS
This Agreement and each and every portion thereof shall be binding upon the successors and
the assigns of the parties hereto; provided, however, that no assignment shall be made
without the prior written consent of the City.
16. DELEGATIONS AND SUBCONTRACTORS
Any assignment,delegation or subcontracting shall be subject to all the terms,conditions and
other provisions of this Agreement and the Consultant shall remain liable to the City with
respect to each and every item,condition and other provision hereof to the same extent that
the Consultant would have been obligated if it had done the work itself and no assignment,
delegation or subcontract had been made. Any proposed subcontractor shall require the
City's advanced written approval.
17. NO CO-PARTNERSHIP OR AGENCY
This agreement shall not be construed so as to create a partnership, joint venture,
employment or other agency relationship between the parties hereto.
18. SEVERABILITY
The parties intend and agreed that, if any paragraph,sub-paragraph,phrase,clause or other
provision of this Agreement, or any portion thereof, shall be held to be void or otherwise
unenforceable, all other portions of this Agreement shall remain in full force and effect.

19. HEADINGS
The headings of the several paragraphs of this Agreement are inserted only as a matter of
convenience and for reference and in no way are they intended to define,limit or describe the
scope of intent of any provision of this Agreement, nor shall they be construed to affect in
any manner the terms and provisions hereof or the interpretation or construction thereof.
20. MODIFICATION OR AMENDMENT
This Agreement and its attachments constitutes the entire Agreement of the parties on the
subject matter hereof and may not be changed,modified, discharged or extended except by
written amendment duly executed by the parties. Each party agrees that no representations or
warranties shall be binding upon the other party unless expressed in writing herein or in a
duly executed amendment hereof, or change order as herein provided.
21. APPLICABLE LAW
This Agreement shall be deemed to have been made in,and shall be construed in accordance
with the laws of the State of Illinois. Venue for the resolution of any disputes or the
enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane
County, Illinois.
22. NEWS RELEASES
The Consultant may not issue any news releases without prior approval from the Director,
nor will the Consultant make public proposals developed under this Agreement without prior
written approval from the Director prior to said documentation becoming matters of public
record.
23. COOPERATION WITH OTHER CONSULTANTS
The Consultant shall cooperate with any other Consultants in the City's employ or any work
associated with the Project.
24. INTERFERENCE WITH PUBLIC CONTRACTING
The Consultant certifies hereby that it is not barred from bidding on this contract as a result
of a violation of 720 ILCS 5/33E et seq. or any similar state or federal statute regarding bid
rigging.
25. SEXUAL HARASSMENT
As a condition of this contract,the Consultant shall have written sexual harassment policies
that include, at a minimum, the following information:
A. the illegality of sexual harassment;
B. the definition of sexual harassment under state law;
C. a description of sexual harassment, utilizing examples;
D. the vendor's internal complaint process including penalties;
E. the legal recourse,investigative and complaint process available through the Illinois
Department of Human Rights, and the Illinois Human Rights Commission;

F. directions on how to contact the department and commission;
G. protection against retaliation as provided by Section 6-101 of the Human Rights Act.
A copy of the policies shall be provided by CONSULTANT to the Department of Human
Rights upon request 775 ILCS 5/2-105.
26. WRITTEN COMMUNICATIONS
All recommendations and other communications by the Consultant to the Director and to
other participants which may affect cost or time of completion,shall be made or confirmed in
writing. The Director may also require other recommendations and communications by the
Consultant be made or confirmed in writing. Confirmed electronic mail communications
shall be deemed to be in writing.
27. NOTICES
All notices, reports and documents required under this Agreement shall be in writing and
shall be mailed by First Class Mail,postage prepaid, addressed as follows:

28. COMPLIANCE WITH LAWS
Notwithstanding any other provision of this Agreement it is expressly agreed and understood
that in connection with the performance of this Agreement that the Consultant shall comply
with all applicable Federal, State, City and other requirements of law, including, but not
limited to, any applicable requirements regarding prevailing wages, minimum wage,
workplace safety and legal status of employees. Without limiting the foregoing,Consultant
hereby certifies, represents and warrants to the City that all Consultant's employees and/or
agents who will be providing products and/or services with respect to this Agreement shall
be legal residents of the United States. Consultant shall also at its expense secure all permits
and licenses,pay all charges and fees and give all notices necessary and incident to the due
and lawful prosecution of the work,and/or the products and/or services to be provided for in
this Agreement. The City shall have the right to audit any records in the possession or

control of the Consultant to determine Consultant's compliance with the provisions of this
section. In the event the City proceeds with such an audit the Consultant shall make
available to the City the Consultant's relevant records at no cost to the City.
IN WITNESS WHEREOF,the undersigned have placed their hands and seals upon and executed this
Agreement in duplicate as though each copy hereof was an original and that there are no other oral
agreements that have not been reduced to writing in this statement.

Dear Cherie,
This letter constitutes a consulting rate quote and letter of agreement between Artspace Projects, Inc.
("Artspace") and the City of Elgin ("City"). The quote describes the scope of work and fee for an
individual artist survey in Elgin, IL and the neighboring Chicago metropolitan area.
In general, the survey will provide data on artists living and working in the area. The survey instrument
will attempt to assess the depth of the market and the demand for space, the demographics of the
market, and the needs specific to that market in the context of a proposed affordable live/work project
in Elgin, IL.
Individual artists who wish to receive more information about the project may provide their contact
information in a way that will not be linked to their survey responses. This list of interested artists may
be used for future correspondence about the survey results or project updates.
The final report will provide statistical information on the individual artists interested in relocating to
the proposed project. Artspace will provide an interpretation of the most relevant resulting data as it
pertains to an actual development project.
Artspace Agrees To:
• Develop a working timeline with tasks and target dates for both Artspace and the City;
• Create a comprehensive survey instrument; confer with the City for final approval of the
instrument. Artspace will use its best, experience-based discretion to create a draft instrument
suitable to the Elgin market and project concept. Up to three questions may be added at the request
of the City, at no additional charge. More than three additional questions may be added for fee
equal to the actual time and expenses incurred to develop and test the new questions. If the City
requests substantial formatting changes to the instrument, additional charges equal to the actual
time and expense incurred will apply.
• Engage a data science firm to assist with survey instrument development, testing, analysis and
reorting;
• Merge electronic Excel formatted postal address mailing lists of artists and arts organizations
identified and obtained by the City or its assignee;
ATTACHMENT A
• Engage a professional web host; create a home satellite web page for the survey;
• Create and print up to 6000 notification postcards announcing the survey. If mailing list contacts
exceed 6000 artists and arts organization addresses, additional postcards may be printed for a fee
equal to the actual, additional expenses incurred;
• Create and print up to 6000 reminder notification postcards. If mailing list contacts exceed 6000
artists and arts organization addresses, additional postcards may be printed for a fee equal to the
actual, additional expenses incurred;
• Create and print up to an additional 2000 notification postcards for the public launch meeting and
hand distribution. Additional cards may be printed for a fee equal to actual expenses incurred.
• Create written copy announcing the survey that can be used for email blasts and paper or electronic
postings;
• Distribute the announcement postcards prior to the launch event(and reminder postcards 4 weeks
after launch event) via conventional mail. If mailing list contacts exceed 6000 artists and arts
organization addresses, the cost of the additional postage will be charged on an actual expense
reimbursement basis for both the announcement and reminder mailings;
• Plan and implement a strategy for engaging artists in the survey process who do not have access to
the Internet;
• Distribute surveys via the Internet;
• Assist in the coordination of a public survey launch event/meeting; provide electronic copy
example for announcing the meeting to be distributed by the City to artists and arts organizations
serving the community;
• Travel to Elgin for a public survey launch event;
• Monitor the real time data being collected;
• Collect completed surveys;
• Oversee data analysis;
• Create a written report on survey results to be presented to the City for their discretionary use
regardless of Artspace's continued involvement in the project. Summarized and cross-referenced
data provided in the report or in supplemental worksheets,will be at Artspace's best, experience-
based discretion. Up to three additional artist survey responses may be cross-referenced and
provided to the City in an electronic Excel spreadsheet. Additional cross-referencing or data
reporting requested by the City will be provided on an additional time and expense reimbursement
basis. Requests for back-end cross-referenced data reporting should be provided during or before
instrument development to ensure that the survey design will permit the request.
• Provide a letter summarizing Artspace's experience-based interpretation and analysis of the report
and data trends to be presented to the City for their discretionary use regardless of Artspace's
continued involvement in the project;
• Provide the final report and letter in an electronic PDF format; provide supplemental materials in
electronic Excel formatted documents;
• Provide up to ten hard copies of the report and cover letter, and;
• Notify the City if it requests work that is not included in the base fee of this contract.
The fee for the survey and all expenses relating to the above scope of work including travel and the
written materials is$25,000. The work will be completed within 6 months from the date of work
commencement. Artspace will prepare a working timeline and lock in dates for commencement upon
the receipt of$12,500. The remainder of the fee will be due upon delivery of the final survey report
and cover letter.
All work requested by the City and subject to additional fees as outlined in this LOA, must be agreed
to in writing by both parties prior to commencement of such work.
With the exception of the report and cover letter, All written or other materials provided by
Artspace Projects remain the property of, and may not be reproduced for purposes of sale or
other benefit beyond the intended use under this contract, without the prior written approval of
Artspace Projects. This includes but is not limited to: all raw data, artist and/or organization
contact information and survey instrument. Confidential information collected under this scope
of work may not be shared with third party organizations or utilized in any manner that violates
the privacy of survey respondents.

SUBJECT: Artspace Marketing Study
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of the City Council with
information to consider entering into a contract with Artspace to conduct a marketing study to
determine the level of need for an affordable mixed-use live/work space for artists in the Elgin
area.
RECOMMENDATION
It is recommended that the City Council approve an agreement with Artspace for $25,000 to
conduct a comprehensive marketing study of area artists.
BACKGROUND
Artspace is a national, nonprofit organization dedicated to creating affordable space for the arts.
They are the nation's leading nonprofit real estate developer for the arts, with completed projects
from coast to coast. Artspace manages the construction project and maintains ownership of its
buildings upon completion.
Each week, Artspace receives an average of 18 calls from communities asking them to consider
building an Artspace project in their town. Of those, approximately 25 communities are visited,
with only four to six selected each year by Artspace to move forward on completion of a project.
After several phone consultations and discussions with staff members, Artspace agreed to visit
Elgin for a preliminary assessment.
On March 6 and 7, 2008, the City of Elgin hosted Artspace consultants in a visit to determine the
merits of a potential artist live/work project in the Center City area. After touring several
potential sites, Artspace representatives met with focus groups which included elected officials,
as well as business and community leaders and representatives from local arts groups. Over 130
individual artists and representatives from visual and performing arts organizations attended the
public meeting held on Thursday evening, the largest attendance Artspace had ever experienced.

The response from all meetings and focus groups was overwhelmingly positive and
demonstrated the level of support our community has for this project.
At the conclusion of their visit, the Artspace consultants made the recommendation to move
forward to the second step of the process, which is to conduct market research. Through this
research, Artspace will be able to gather more definitive information to help determine the
number and size of units that would be needed, as well as additional information necessary to
customize the project to fit the needs of the Elgin arts community. Artspace will work with City
