RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH
TERRACON CONSULTING ENGINEERS & SCIENTISTS, INC.
FOR PROFESSIONAL SERVICES IN THE NORTH GROVE
RESIDENTIAL REDEVELOPMENT AREA AT
20 JEFFERSON AVENUE AND 464 McBRIDE STREET
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,that
pursuant to Elgin Municipal Code Section 5.02.020B(9) the City Council hereby finds that an
exception to the requirements of the procurement ordinance is necessary and in the best interest of
the city; and
BE IT FURTHER RESOLVED that Olufemi Folarin, City Manager, and Diane Robertson,
City Clerk, be and are hereby authorized and directed to execute an agreement on behalf of the City
of Elgin with Terracon Consultants, Inc. for professional services in conjunction with the City's
environmental analysis and remediation of property in the North Grove Redevelopment Area at
20 Jefferson Avenue and 464 McBride Street, a copy of which is attached hereto and made a part
hereof by reference.

AGREEMENT
THIS AGREEMENT is made and entered into this\kday o4i b l e( 1( 2007,by and between
the CITY OF ELGIN, an Illinois municipal corporation (hereinafter referred to as "CITY") and
Terracon Consults, Inc., A Delaware corporation duly authorized to do business in the State of
Illinois(hereinafter referred to as the "CONSULTANT").
WHEREAS,the CITY desires to engage the CONSULTANT to furnish certain professional services
in conjunction with the City's environmental analysis and remediation of certain properties as part of
the City's North Grove Redevelopment Area (hereinafter referred to as the "PROJECT"); and
WHEREAS,the CONSULTANT represents that it is in compliance with Illinois Statutes relating to
professional registration of individuals and has the necessary expertise and experience to furnish
such services upon the terms and conditions set forth herein below.
NOW,THEREFORE,it is hereby agreed by and between the CITY and the CONSULTANT that the
CITY does hereby retain the CONSULTANT for and in consideration of the mutual promises and
covenants contained herein, the sufficiency of which is hereby acknowledged, to act for and
represent it in the matters involved in the PROJECT as described in this Agreement, subject to the
following terms and conditions and stipulations, to-wit:
1. SCOPE OF SERVICES
A. All work hereunder shall be performed under the direction of the City's Director of
Economic Development and Business Services (hereinafter referred to as the
"SUPERVISOR").
B. CONSULTANT shall provide the services for the PROJECT as outlined in the
CONSULTANT'S Scope of Services document entitled"Proposal for Environmental
Consulting and Engineering Services, North Grove Redevelopment Area, 20
Jefferson Avenue,Former Elgin Salvage Yard(North),Elgin,Illinois September 17,
2007.
2. SCHEDULE
The CONSULTANT shall provide the services for the PROJECT according to the schedule
as set forth in Exhibit 1.
3. WORK PRODUCTS
All work products prepared by the CONSULTANT pursuant hereto including, but not
limited to,reports, surveys,designs,calculations,work drawings,plans,design documents,
probable construction costs, floor plans, elevations and sections, renderings, studies,
photographs, models and recommendations shall be the property of the CITY and shall be
delivered to the CITY upon request of the SUPERVISOR provided, however, that the
CONSULTANT may retain copies of such work products for its records. Such work
products are not intended or represented to be suitable for reuse by the CITY on any
extension to the PROJECT or on any other project,and such reuse shall be at the sole risk of
the CITY without liability or legal exposure to the CONSULTANT.
4. PAYMENTS TO THE CONSULTANT
A. For services provided by the CONSULTANT pursuant to this Agreement the
CONSULTANT shall be reimbursed by the CITY at the rates o f personnel employed
on the project with the total maximum fee and costs for services not to exceed
$97,500 in total for all tasks combined regardless of the actual costs and expenses
incurred by the CONSULTANT.
B. All payment and fees paid to the CONSULTANT shall be made pursuant to the fee
rates provided for in Exhibit 1;provided,however,that in no event shall the CITY be
obligated to CONSULTANT for any payment which exceeds the aforementioned
total maximum fee provided for by paragraph 4A.
C. The CITY shall make periodic payments to the CONSULTANT based upon actual
progress within 30 days after receipt and approval of invoice. Full payment for each
task shall not be made until the task is completed and accepted by the
SUPERVISOR.
D. Additional services and expenses by the CONSULTANT beyond the scope of work
of this agreement, if any, shall require prior written approval of the City Council by
way of written amendment to this agreement or by way of a separate written
agreement.
5. INVOICES
A. The CONSULTANT shall submit invoices in a format approved by the CITY.
B. The CONSULTANT shall maintain records showing actual time devoted and cost
incurred. The CONSULTANT shall permit the authorized representative of the
CITY to inspect and audit all data and records of the CONSULTANT for work done
under this Agreement. The CONSULTANT shall make these records available at
reasonable times during the Agreement period, and for a year after termination of this
Agreement.
6. TERMINATION OF AGREEMENT
Notwithstanding any other provision hereof,the CITY may terminate this Agreement at any
time upon fifteen(15)days prior written notice to the CONSULTANT.In the event that this
Agreement is so terminated, the CONSULTANT shall be paid for services actually
performed and reimbursable expenses actually incurred prior to termination, except that
reimbursement shall not exceed the amounts set forth under Paragraph 4 above.
7. TERM
This Agreement shall become effective as of the date the CONSULTANT are given a notice
to proceed and, unless terminated for cause or pursuant to Article 5, shall be deemed
concluded on the date the CITY determines that all of the CONSULTANT'S work under this
agreement is completed. A determination of completion shall not constitute a waiver of any
rights or claims which the CITY may have or thereafter acquire with respect to any term or
provision of the Agreement.

8. NOTICE OF CLAIM
If the CONSULTANT wishes to make a claim for additional compensation as a result of
action taken by the CITY,the CONSULTANT shall give written notice of his claim within
15 days after occurrence of such action. No claim for additional compensation shall be valid
unless so made. Any changes in the CONSULTANT'S fee shall be valid only to the extent
that such changes are included in writing signed by the CITY and the CONSULTANT.
Regardless of the decision of the SUPERVISOR relative to a claim submitted by the
CONSULTANT, all work required under this Agreement as determined by the
SUPERVISOR shall proceed without interruption.
9. BREACH OF CONTRACT
If either party violates or breaches any term of this Agreement, such violation or breach shall
be deemed to constitute a default, and the other party has the right to seek such
administrative, contractual or legal remedies as may be suitable to the violation or breach;
and, in addition, if either party, by reason of any default, fails within fifteen(15) days after
notice thereof by the other party to comply with the conditions of the Agreement, the other
party may terminate this Agreement.
10. INDEMNIFICATION
To the fullest extent permitted by law,CONSULTANT agrees to and shall indemnify,defend
and hold harmless the CITY, its officers, employees, agents,boards and commissions from
and against any and all claims, suits, judgments, costs, attorneys fees, damages or other
relief, including but not limited to workers compensation claims, in any way resulting from
or arising out of negligent actions or omissions of the CONSULTANT in connection
herewith, including negligence or omissions of employees or agents of the CONSULTANT
arising out of the performance of this Agreement. In the event of any action against the
CITY,its officers, employees,agents,boards or commissions, covered by the foregoing duty
to indemnify,defend and hold harmless such action shall be defended by legal counsel ofthe
CITY'S choosing. The provisions of this paragraph shall survive any completion,expiration
and/or termination of this agreement.
11. NO PERSONAL LIABILITY
No official, director,supervisor, officer, agent or employee of the CITY shall be charged
personally or held contractually liable under any term or provision of this Agreement or
because of their execution, approval or attempted execution of this Agreement.
12. INSURANCE
A. Comprehensive Liability. The CONSULTANT shall provide,pay for and maintain
in effect, during the term of this Agreement, a policy of comprehensive general
liability insurance with limits of at least$1,000,000 aggregate for bodily injury and
$1,000,000 aggregate for property damage.
The CONSULTANT shall deliver to the SUPERVISOR a Certification of Insurance
naming the CITY as additional insured. The policy shall not be modified or
terminated without thirty(30) days prior written notice to the SUPERVISOR.
The Certificate of Insurance which shall include Contractual obligation assumed by
the CONSULTANT under Article 10 entitled"Indemnification" shall be provided.

This insurance shall apply as primary insurance with respect to any other insurance or
self-insurance programs afforded to the CITY. There shall be no endorsement or
modification of this insurance to make it excess over other available insurance,
alternatively, if the insurance states that it is excess or prorated, it shall be endorsed
to be primary with respect to the CITY.
B. Comprehensive Automobile Liability. Comprehensive Automobile Liability
Insurance covering all owned,non-owned and hired motor vehicles with limits of not
less than$500,000 per occurrence for damage to property.
C. Combined Single Limit Policy. The requirements for insurance coverage for the
general liability and auto exposures may be met with a combined single limit of
$1,000,000 per occurrence subject to a $1,000,000 aggregate.
D. Professional Liability. The CONSULTANT shall carry Professional Liability
Insurance Covering claims resulting from error, omissions or negligent acts with a
combined single limit of not less than $1,000,000 per occurrence. A Certificate of
Insurance shall be submitted to the SUPERVISOR as evidence of insurance
protection. The policy shall not be modified or terminated without thirty(30) days
prior written notice to the SUPERVISOR.
13. NONDISCRIMINATION
In all hiring or employment made possible or resulting from this Agreement,there shall be no
discrimination against any employee or applicant for employment because of sex,age,race,
color,creed,national origin,marital status,of the presence of any sensory,mental or physical
handicap, unless based upon a bona fide occupational qualification, and this requirement
shall apply to, but not be limited to, the following: employment advertising, layoff or
termination,rates of pay or other forms of compensation and selection for training,including
apprenticeship.
No person shall be denied or subjected to discrimination in receipt of the benefit of any
services or activities made possible by or resulting from this Agreement on the grounds of
sex, race, color, creed, national origin, age except minimum age and retirement provisions,
marital status or the presence of any sensory,mental or physical handicap. Any violation of
this provision shall be considered a violation of a material provision of this Agreement and
shall be grounds for cancellation, termination or suspension, in whole or in part, of the
Agreement by the CITY.
14. ASSIGNMENT AND SUCCESSORS
This Agreement and each and every portion thereof shall be binding upon the successors and
the assigns of the parties hereto; provided, however, that no assignment shall be made
without the prior written consent of the CITY.
15. DELEGATIONS AND SUBCONTRACTORS
Any assignment,delegation or subcontracting shall be subject to all the terms,conditions and
other provisions of this Agreement and the CONSULTANT shall remain liable to the CITY
with respect to each and every item,condition and other provision hereof to the same extent
that the CONSULTANT would have been obligated if it had done the work itself and no
assignment, delegation or subcontract had been made. Any proposed subcontractor shall
require the CITY'S advanced written approval.

16. NO CO-PARTNERSHIP OR AGENCY
This agreement shall not be construed so as to create a partnership, joint venture,
employment or other agency relationship between the parties hereto.
17. SEVERABILITY
The parties intend and agreed that, if any paragraph, sub-paragraph,phrase, clause or other
provision of this Agreement, or any portion thereof, shall be held to be void or otherwise
unenforceable, all other portions of this Agreement shall remain in full force and effect.
18. HEADINGS
The headings of the several paragraphs of this Agreement are inserted only as a matter of
convenience and for reference and in no way are they intended to define,limit or describe the
scope of intent of any provision of this Agreement, nor shall they be construed to affect in
any manner the terms and provisions hereof or the interpretation or construction thereof.
19. MODIFICATION OR AMENDMENT
This Agreement and its attachments constitutes the entire Agreement of the parties on the
subject matter hereof and may not be changed, modified, discharged or extended except by
written amendment duly executed by the parties. Each party agrees that no representations or
warranties shall be binding upon the other party unless expressed in writing herein or in a
duly executed amendment hereof, or change order as herein provided.
20. APPLICABLE LAW
This Agreement shall be deemed to have been made in,and shall be construed in accordance
with the laws of the State of Illinois. Venue for the resolution of any disputes or the
enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane
County, Illinois.
21. NEWS RELEASES
The CONSULTANT may not issue any news releases without prior approval from the
SUPERVISOR, nor will the CONSULTANT make public proposals developed under this
Agreement without prior written approval from the SUPERVISOR prior to said
documentation becoming matters of public record.
22. COOPERATION WITH OTHER CONSULTANT
The CONSULTANT shall cooperate with any other CONSULTANT in the CITY'S employ
or any work associated with the PROJECT.
23. INTERFERENCE WITH PUBLIC CONTRACTING
The CONSULTANT certifies hereby that it is not barred from bidding on this contract as a
result of a violation of 720 ILCS 5/33E et seq. or any similar state or federal statute regarding
bid rigging.

24. SEXUAL HARASSMENT
As a condition of this contract, the CONSULTANT shall have written sexual harassment
policies that include, at a minimum, the following information:
A. the illegality of sexual harassment;
B. the definition of sexual harassment under state law;
C. a description of sexual harassment, utilizing examples;
D. the vendor's internal complaint process including penalties;
E. the legal recourse, investigative and complaint process available through the Illinois
Department of Human Rights, and the Illinois Human Rights Commission;
F. directions on how to contact the department and commission;
G. protection against retaliation as provided by Section 6-101 of the Human Rights Act.
A copy of the policies must be provided to the Department of Human Rights upon request
775 ILCS 5/2-105.
25. COMPLIANCE WITH LAWS
Notwithstanding any other provision of this Agreement it is expressly agreed and understood
that in connection with the performance of this Agreement that the CONSULTANT shall
comply with all applicable Federal, State,City and other requirements of law,including,but
not limited to, any applicable requirements regarding prevailing wages, minimum wage,
workplace safety and legal status of employees. CONSULTANT shall also at its expense
secure all permits and licenses, pay all charges and fees and give all notices necessary and
incident to the due and lawful prosecution of the work, and/or the products and/or services to
be provided for in this Agreement.
26. WRITTEN COMMUNICATIONS
All recommendations and other communications by the CONSULTANT to the
SUPERVISOR and to other participants which may affect cost or time of completion shall be
made or confirmed in writing. The SUPERVISOR may also require other recommendations
and communications by the CONSULTANT be made or confirmed in writing.
27. NOTICES
All notices, reports and documents required under this Agreement shall be in writing and
shall be mailed by First Class Mail, postage prepaid, addressed as follows:

Dear Mr. Moller:
Terracon Consultants, Inc. (Terracon) is pleased to submit the enclosed proposal to the City
of Elgin to provide professional environmental consulting services related to the North Grove
Redevelopment Area (NGRA) in Elgin, Illinois. Under the proposed scope of work, Terracon
will conduct supplemental site investigation work and engineering services related to the 20
Jefferson Avenue Site in Elgin, IL. This site is a portion of the Former Elgin Salvage Yard
property that was acquired by the City for redevelopment purposes.
As we discussed at the meeting with City representatives on July 27, 2007, additional site
investigation is warranted at this site to further delineate the areas of contamination as
identified in Terracon's Comprehensive Site Investigation Report (Terracon, October 1,
2004). This report was submitted to the Illinois Environmental Protection Agency (TEPA) and
comments were issued on December 16, 2004. The IEPA commented that additional site
investigation was needed to adequately characterize the site. In addition, in January 2005,
IEPA issued information to the City related to the establishment of site-specific clean up
objectives for dioxins/furans at this site. The IEPA's clean up standards were significantly
more stringent than the assumptions used during the initial site investigation process.
Terracon's proposed scope of work takes into consideration IEPA's comments as
documented in their review letter.

I. PROJECT INFORMATION
A. Site Description
The site that is the subject of this scope of work is as follows:

II. SCOPE OF WORK
Terracon's proposed scope of service to advance the investigation and assessment of the 20
Jefferson site will encompass the following tasks:
Task 100—Supplemental Site Investigation
1A-Work Plan
A work plan will be developed to further investigate the site. The work plan will be developed
in accordance with the IEPA's Site Remediation Program (SRP) requirements 'and will
identify sampling procedures, laboratory analytical methods, and quality control methods for
the work. In addition, a site-specific Health and Safety Plan (HASP) will be prepared to

conduct the field investigation activities. The HASP will be used by Terracon field personnel
to guide drilling and sampling activities. The HASP will provide a list of emergency telephone
numbers and directions to the nearest medical facility in the event of an accident.
Terracon will utilize the results of the initial site investigation to determine the location of
proposed soil and groundwater sampling locations to assess potential contamination source
areas and to address the technical comments issued by IEPA. The supplemental site
investigation (SSI)will focus on the following key objectives:
• Conduct surface soil sampling to assess the direct contact ingestion exposure
pathways.
• Conduct surface and subsurface samples of soils and/or/ residual solids located within
the shed areas;
• Conduct additional groundwater assessment including installation of new monitoring
wells to better evaluate groundwater conditions, particularly in locations downgradient of
identified contamination areas;
• Further delineation of soils in the area with known PCB contamination; and,
• Conduct new site-wide assessment for dioxins/furans to assess soil conditions with
respect to the site-specific clean up objectives determined by IEPA.
Consistent with our plan, Terracon will develop the work plan to pursue a Comprehensive (as
compared to Focused) Site Investigation. A comprehensive site investigation will read to a
No Further Remediation (NFR) letter that is least restrictive in terms of site conditions and/or
limitations. A comprehensive site investigation is beneficial in situations where the site use
will change from industrial to residential.
1B - Soil and Groundwater Assessment
Terracon will utilize generally accepted environmental sampling procedures to assess current
site conditions including advancement of soil borings and installation of groundwater
monitoring wells. For the soil investigation, GeoProbe sampling will be conducted as a
means of maximizing the production rate of field sampling activity. One soil sample per
boring will be collected and submitted to the laboratory for analysis. However, Terracon also
recommends that both the upper layer of soil (0 to 3 feet) and the subsurface soils (below 3
feet) be independently characterized in selected borings. By analyzing the upper 3-foot soil
interval, a more complete assessment of the soil ingestion pathway can be made as
requested by IEPA.
Based on the available preliminary information regarding the sites, Terracon has based its
cost proposal on completing 17 GeoProbe borings and six hand auger samples at the site.
Proposed analytical testing will be performed as follows:

Further, to fully assess the site, Terracon will obtain key data to conduct a Tier 2 evaluation
in accordance with the Tiered Approach to Corrective Action Objectives (TACO) regulations
including soil pH, and total organic carbon (foc). The proposed suite of analytical parameters
will be reviewed and modified, if necessary.
Terracon will construct and develop two additional monitoring wells with the assumption that
the three existing wells installed in 2004 continue to be in serviceable condition. Terracon
will obtain water level measurements and collect groundwater samples from each of the five
monitoring wells (i.e., 3 existing, 2 new). One round of groundwater sampling is included in
the proposed scope of services.

Standard site characterization methods and field procedures will include:
• Notification of JULIE, the utility locating service, to identify utilities at the site prior to
initiating intrusive activities. Terracon will also consult with other knowledgeable parties,
who may have information regarding private on-site utilities, if available.
• Soil screening protocols will include use of a photoionization detector (PID) combined
with olfactory and visual screening to select subsurface soil samples.
• Soil cuttings generated during GeoProbe sampling will be returned to the boreholes to
minimize waste disposal costs. For monitoring well installation, soils and purge water will
be containerized and disposed of on a unit cost basis.
• Analytical methods will be in accordance with SW-846 methods; all analytical work will be
performed by an accredited laboratory.
• Terracon expects to utilize Level D personal protective equipment when conducting field
investigation work.
Task 200 — SRP Reporting
Supplemental Site Investigation Report
Terracon will prepare a Supplemental Site Investigation Report (SSIR) to address the
constituents of concern that are identified during the investigation. The data will be
evaluated in conjunction with the results of the initial site investigation activities. The SSIR
will describe field methods and procedures implemented along with analytical results from
soil and groundwater samples in order to characterize the lateral and horizontal extent of
potential contamination at the site. The SSIR will be prepared in a manner consistent with
the SRP regulations (35 III. Adm. Code Part 740).
As part of the SSIR, analytical data will be compared to TACO Tier 1 soil remediation
objectives to complete a Tier 1 screening. The screening will indicate areas of the site that
exceed residential clean up standards and highlight those areas where additional
assessment by A Tier 2 TACO assessment may be beneficial.
Remediation Objectives Report
Based on the results of the SSI activities, Terracon will further refine applicable remediation
objectives (ROs) for the 20 Jefferson site. The development of site-specific ROs will be
based on the TACO regulations (35 III. Adm. Code Part 742). Further, with the
understanding that the parcels will be redeveloped for residential use, Terracon will focus on
developing remediation objectives consistent with residential standards.
Assuming that there are exceedances of the TACO Tier 1 residential ROs, Terracon will
apply the techniques available within TACO to allow for development of improved site
specific clean up objectives. The specific options that will be appropriate to the site cannot

be determined at this time; however, based on significant experience with similar projects,
the following avenues will be considered for application at this site:
• Calculation of site-specific remediation objectives using a Tier 2 evaluation. Typically this
would apply to the soil component exposure route and/or the determination of
groundwater conditions at the site property boundary.
• Use of area background concentrations as screening tools or as direct remediation
objectives.
• Application of soil averaging strategies to evaluate compliance with soil ingestion criteria
for the surficial soils.
• Groundwater use restrictions to exclude the groundwater exposure pathway.
• Engineered barriers to prevent exposure to impacted soils through the soil ingestion and
soil inhalation exposure pathways. Engineered barriers may include a variety of
elements that can be integrated into the proposed redevelopment plan. For example,
asphalt parking lots, building foundation slabs, dean soil cover, or other impervious
structures may be utilized that will have no impact on remediation costs as they would be
a necessary element of the desired redevelopment plan.
The proposed cost for the ROR services excludes a Tier 3 risk assessment approach or
calculation of site specific remediation objectives for dioxins/furans.
Remedial Action Plan •
The Remedial Action Plan (RAP) will present the proposed solutions to the environmental
issues associated with the site. Terracon will focus the RAP to be as specific as possible
based on the degree of refinement of the redevelopment plan made available by the City.
For example, if the location and or arrangement of buildings and parking lots are determined,
Terracon will make use of these elements to the maximum extent possible in devising the
RAP.
If soil remediation is determined to be required, Terracon will evaluate various alternatives for
site remediation and prepare the RAP based on the most appropriate method consistent with
the proposed residential site development. For estimation of the project cost, Terracon has
assumed that the RAP will be based on an outcome that involves soil excavation and
disposal and some combination of engineered barriers.
The proposed cost for RAP services excludes detailed design specifications for bidding of
remedial services to contractors and does not include implementation of other 'potential
remedial techniques such as in-situ remediation, or thermal treatment.

Task 300 —Coordination of Demolition Activities
Terracon will perform the following tasks related to demolition of the existing on-site shed
structures as a preliminary remedial activity:
• Conduct pre-demolition site inspection and collect photographs to document existing
site conditions with regard to the structures, stored/abandoned salvage yard materials
(drums and cylinders);
• Meet with City representatives to review plans for interim site improvement including
building demolition, fence removal, and site clearing
• Assist with review of the City's demolition specifications
• Coordinate with demolition contractor and former salvage yard owner with respect to
disposal of drum materials/gas cylinders, and protection of site areas that have
surficial contamination that should not be disturbed during onsite activities.
The above referenced scope of work does not include analytical characterization of drum
contents or the installation of fencing to protect areas of contamination from disturbance
during demolition activity.
Task 400— Regulatory Coordination/Project Management
Terracon will continue to develop and refine a site closure strategy that is consistent with the
site redevelopment objectives and will lead to a comprehensive No Further Remediation
(NFR) letter. Terracon will work with the City to help shape the redevelopment plan if
necessary to minimize the cost of remediation efforts. For example, if contamination is
prevalent in an area that can be used for parking instead of green space, Terracon will
provide input to utilize the area for the parking and integrate the asphalt pavement as an
engineered barrier.
The objective of obtaining an NFR will also be facilitated by routine coordination and contact
with the IEPA Project Manager. Three project meetings and routine telephone contacts have
been included in the proposed budget to assist in these coordination efforts. Terracon has
considerable experience working with the IEPA and has strong professional relationships
with key personnel. By maintaining strong communication with Illinois EPA, the project will
benefit by keeping review times under control and taking advantage of new or emerging
techniques.
Project management activities will include review and tracking of project costs against the
budget, maintenance of the project schedule, and assignment of personnel to specific tasks.
As part of this task, the Terracon Project Manager will prepare timely invoices and keep the
City informed of its progress regarding expenditure of the budget. If additional work items

are identified that are not within the proposed scope of services, Terracon will bring these
items to the attention of the City in advance for their consideration of a change order:
During the project, Terracon will be in regular communication with City personnel to ensure
that the environmental aspects of the project are coordinated with the overall development
plan. Terracon will attend up to three meetings with the City during the course of the project.
Task 500— Evaluation and Response to IEPA Review Comments —Elgin Salvage Yard
This task pertains to services for the Elgin Salvage Yard at 464 McBride Street. Terracon's
supplemental investigation and remediation report for this site was submitted to IEPA in
October 2006. Based on recent conversations with IEPA, Terracon understands that review
comments will soon be forthcoming. This task is proposed to provide budget allocation for
the following items that are anticipated once IEPA's comments are issued:
• Review and evaluate of IEPA's comments;
• Development of a "response to comments" letter. Terracon expects several items to
require file review from the early stages of the investigation in 2003;
• Development of a work plan to address additional sampling/investigation activities
that may be necessary to respond to comments by IEPA; and,
• Meetings and/or discussions with IEPA and the City regarding future steps necessary
to achieve an NFR letter.

III. COMPENSATION
Terracon will perform the services described herein on a time and expense basis in
accordance with our current fee schedule. The maximum not-to-exceed limit of
compensation for work proposed herein is $97,500.00. Invoices for services will be issued on
a monthly basis and will itemize staff categories, hours worked, rates and other direct costs
associated with the work.
Table 1 summarizes the overall project cost by task; Table 2 details the level of effort to
conduct the work and indicates the planned personnel and other direct costs, 'Table 3
itemizes the proposed analytical program, and Table 4 presents Terracon's fee schedule.
V. TERMS AND CONDITIONS
Terracon will perform the services in accordance with the terms and conditions of the existing
Agreements between the City of Elgin and Terracon related to the North Grove
Redevelopment Area.

The purpose of this memorandum is to provide the Mayor and members of the City
Council with information to authorize a contract with Terracon Consulting Engineers &
Scientists for environmental testing services at 20 Jefferson Street and 464 McBride
Street.
RECOMMENDATION
It is recommended that the City Council authorize an environmental services contract
with Terracon in the amount of$97,500.
BACKGROUND
The North Grove Residential Redevelopment Area consists of over 20 acres of property
north of the new Gail Borden Library. Significant environmental contamination has been
present on the various parcels. Significant environmental testing and remediation has
taken place on the various parcels.
In a meeting with City representatives on July 27, 2007, staff was advised that additional
site investigation is warranted at 20 Jefferson Street to further delineate the areas of
contamination as identified in Terracon's Comprehensive Site Investigation Report
(Terracon, October 1, 2004). This report was submitted to the Illinois Environmental
Protection Agency (IEPA) and comments were issued on December 16, 2004. The IEPA
commented that additional site investigation was needed to adequately characterize the
site. In addition, in January 2005, IEPA issued information to the City related to the
establishment of site-specific clean up objectives for dioxins/furans at this time. The
IEPA's clean up standards were significantly more stringent than the assumptions used
during the initial site investigation process.

II. Scope of Work
Terracon's proposed scope of service to advance the investigation and assessment of
the 20 Jefferson site will encompass the following tasks:
Task 1 —Supplemental Site Investigation

A work plan will be developed to further investigate the site. Terracon will utilize
the results of the initial site investigation to determine the location of proposed
soil and groundwater sampling locations to assess potential contamination source
areas and to address the technical comments issued by IEPA. The supplemental
site investigation (SSI) will focus on the following key objectives:
• Conduct surface soil sampling to assess the direct contact ingestion
exposure pathways;
• Conduct surface and subsurface samples of soils and/or residual solids
located within the shed areas;

• Conduct additional groundwater assessment including installation of new
monitoring wells to better evaluate groundwater conditions, particularly in
locations down gradient of identified contamination areas;
• Further delineation of soils in the area with known PCB contamination; and
• Conduct new site-wide assessment for dioxins/furans to assess soil
conditions with respect to the site-specific clean up objectives determined
by IEPA.
Terracon will develop the work plan to pursue a Comprehensive Site Investigation. A
Comprehensive site investigation will lead to a No Further Remediation (NFR) letter that
is least restrictive in terms of site conditions and/or limitations. A comprehensive site
investigation is beneficial in situations where the site use will change from industrial to
residential.
Task 2— SRP Reporting
Supplemental Site Investigation Report
Terracon will prepare a Supplemental site Investigation Report (SSIR) to address
the constituents of concern that are identified during the investigation.
Remediation Objectives Report
Based on the results of the SSI activities, Terracon will further refine applicable

developing remediation objectives consistent with residential standards.
If soil remediation is determined to be required, Terracon will evaluate various
alternatives for site remediation and prepare the RAP based on the most
appropriate method consistent with the proposed residential site development.
For estimation of the project cost, Terracon has assumed that the RAP will be
based on an outcome that involves soil excavation and disposal and some
combination of engineered barriers.
Task 3 —Coordination of Demolition Activities
Terracon will perform the following tasks related to demolition of the existing on-
site shed structures as a preliminary remedial activity:
• Conduct pre-demolition site inspection and collect photographs to
document existing site conditions with regards to the structures and
stored/abandoned salvage yard materials (drums and cylinders);

• Meet with City representatives to review plans for interim site
improvement including building demolition, fence removal, and site
clearing;
• Assist with review of the City's demolition specifications; and
• Coordinate with demolition contractor and former salvage yard owner
with respect to disposal of drum materials/gas cylinders, and protection of
site areas that have surficial contamination that should not be disturbed
during onsite activities.
Task 4—Regulatory Coordination
Terracon will continue to develop and refine a site closure strategy that is
consistent with the site redevelopment objectives and will lead to a
comprehensive NFR letter. The objective of obtaining an NFR will also be
facilitated by routine coordination and contact with the IEPA Project Manager.
Project management activities will include review and tracking of project costs
against the budget, maintenance of the project schedule, and assignment of
personnel to specific tasks.
Task 5 — Evaluation and Response to IEPA Review Comments — Elgin Salvage
Yard
This task pertains to services for the Elgin Salvage Yard at 464 McBride Street.
Terracon's supplemental investigation and remediation report for this site was
submitted to IEPA in October 2006. Based on recent conversations with IEPA,
Terracon understands that review comments will soon be forthcoming. This task
is proposed to provide budget allocation for the following items that are
anticipated once IEPA's comments are issued:
• Review and evaluation of IEPA's comments;
• Development of a "response to comments" letter. Ten-aeon expects
several items to require file review from the early stages of the
investigation in 2003;
• Development of a work plan to address additional sampling/investigation
activities that may be necessary to respond to comments by IEPA; and
• Meetings and/or discussions with IEPA and the City regarding future steps
necessary to achieve an NFR letter.

FINANCIAL IMPACT
The cost of the proposed services by Terracon totals $97,500. There is $1,305,000
budgeted in the Riverboat Fund, account number 275-0000-791.92-32, project number
030100, North Kimball Remediation. Currently, $1,130,090 is available to fund
expenses related to the project. Following approval of this expenditure, $1,032,590 will
be available for funding environmental expenses at the North Grove Redevelopment Site.
LEGAL IMPACT
The award of this contract is an exception to the procurement ordinance.

ALTERNATIVES
1. The City Council may choose to enter into a contract with Terracon for
environmental services at 20 Jefferson in the amount of$97,500.
2. The City Council may choose not to enter into an environmental services contract
with Terracon.
