Travel and Living Expenses: Travel and living expenses are in addition to the prices quoted above and will be invoiced as incurred and shall be governed by the HTE Corporate Travel and Expense Reimbursement Policy. SunGard HTE Schedule A ELGI-07023 SunGard HTE Schedule A_rl.doc Ver. 11/08/06 2 of 6 4/20/2007 'HTE NaviLine Support Services New NaviLine Annual Support Fees listed herein reflect the new support fees on the NaviLine Licensed Programs and Customer's current support fees will be adjusted pro-rata accordingly. The above annual support fees are effective upon HTE's receipt of this Supplement executed by Customer provided there is mutual agreement on any changes made to this Supplement by Customer upon its return to HTE. Support fees for subsequent terms of support will be due prior to the start of that term at the then prevailing rate. Support Services do not include maintenance on modifications made to the Licensed Program at Customer's request. 2 Interface The interface listed above is an interfaces only. Customer shall be responsible for obtaining the applicable software,hardware and system software from the appropriate third party vendor. HTE warrants that the HTE Interface will perform in substantial compliance with the referenced documentation. 3 HELP Card+80 The HELP Card+80 is an annual renewal and will be invoiced annually with Customer's annual support services renewal. The 4 HTE Services All HTE services stated in this Supplement will be performed at the rates listed and shall remain fixed throughout the implementation. 5 Estimated Travel and Living Expenses The amounts listed above are estimates only and are being provided for Customers budgeting purposes. Customer will be billed actual travel and living expenses. Click2Gov Conditions Customer agrees to meet the requirements of the HTE Click2Gov Hardware/Software recommendations attached. Click2Gov Licensed Programs do not include source code and are not applicable for Modification Retrofit. VeriSign 128 Bit Digital Certificate requires annual renewal with VeriSign,Inc. HTE Support Services for New Licensed Programs The initial term of HTE support services shall commence one hundred twenty (120) days after the Delivery Date of the Licensed Program(s), and extend for a twelve (12) month term. Subsequent terms of support will be for twelve (12) month periods, commencing at the end of the initial support period. Support Services do not include maintenance on modifications made to the Licensed Program(s) at Customer's request. "Delivery Date" shall mean the date HTE delivers, F.O.B. HTE's offices, the Licensed Program(s) to Customer. The date of such delivery shall be referred to as the "Delivery Date." For services,the"Delivery Date"refers to the date services are performed. Third Party Support Services The initial term of Third Party application support services shall commence one hundred twenty(120) days after the Delivery Date of the Third Party application(s),and extend for a twelve(12)month term. Subsequent terms of support will be for twelve (12)month periods,commencing at the end of the initial support period. Testing and Acceptance There is no Testing and Acceptance period on the Licensed Program(s)herein. Warranty HTE warrants that for a period of three hundred and sixty-five(365) days after delivery of the Licensed Program(s), the HTE Licensed Program(s) listed in the Supplement(s) will perform in substantial compliance with the reference documentation supplied by HTE,provided.the Licensed Program(s)are used in the proper operating environment. HTE does not warrant that the functions contained in the Licensed Program(s) will meet the Customer's requirement or will operate in the combinations which may be selected for use by the Customer after the three hundred and sixty-five (365) day period. Any other utility or incidental software distributed by HTE will be on an"AS IS" and "WITH ALL FAULTS" basis without warranty of any kind either expressed or implied. HTE shall be responsible only for the Licensed Program(s) and products as originally supplied, and for changes made to the Licensed Program(s) by HTE's authorized representatives. HTE will not be responsible for the consequences of attempts at changes or modifications to the products and Licensed Program(s) made by the Customer or any other unauthorized party. HTE warrants that it has the right to license the HTE Licensed Program(s) listed in the Supplement(s) and that the HTE Licensed Program(s)does not infringe any intellectual property of any third party. HTE agrees to indemnify Customer against expenses, including reasonable attorneys' fees, and liability arising from any claim of infringement related to HTE Licensed Program(s) provided HTE shall have the right to control the defense or settlement of any such claim. If use of the HTE SunGard HTE Schedule A ELGI-07023 SunGard HTE Schedule A_r2.doc Ver.11/08/06 3 of 6 5/11/2007 Licensed Program(s) by the Customer is enjoined by any infringement proceeding, HTE shall, if possible, obtain without unreasonable expense the right of License for the Customer to use the HTE Licensed Program(s)or if that is not possible,HTE shall refund to the Customer the license fee(s) paid under this Agreement for the particular Licensed Program(s) that is determined to be infringing. HTE does not make any representations or warranties with respect to intellectual property rights of any third party products. Any such representations or warranties are made solely by the Vendor of such products, and shall not be construed as a warranty with respect to infringement and the like by HTE. HTE MAKES NO WARRANTIES, OTHER THAN AS STATED HEREIN, WITH RESPECT TO THE PARTICULAR LICENSED PROGRAM(S), EITHER EXPRESSED OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE. Notwithstanding anything that may be provided in the foregoing section,the parties shall reference the following documents in order of precedence to define any undefined terms or resolve any ambiguities under this Agreement. 1. This Software License and Services Agreement, 2. Supplements and/or Amendments to the Agreement 3. SunGard's response to the City's Request for Proposal Application Training Listed above are the numbers of days of training for the Licensed Program(s) listed. Additional application training, if requested by the Customer,can be provided upon request at the standard billing rate in effect at that time. Any fee quoted does not include travel and living expenses. Project Management Project Management fees will be invoiced in the amounts and under the terms stated above. A mutually agreeable work plan will be created by the HTE Project Manager and the Customer and shall be add as an attachment to this Supplement. The work plan will at a minimum contain dates related to the delivery of Licensed Programs, projected Training dates and an Implementation Time Line. Once created the work plan will be used to assist HTE and Customer in tracking the progress of the Implementation. Additional Project Management, if requested by Customer, will be invoiced at the standard billing rate in effect at that time. Any fee quoted does not include travel and living expenses. Conversion Conversion, if provided for herein, or if requested by the Customer after contract execution, will be controlled by the HTE Systems Change Request(SCR)form which will be prepared for the Customer by the HTE Conversion Team Manager. There will be a Two Hundred Fifty dollar ($250.00) non-refundable processing fee for preparation of each SCR requested by the Customer. HTE will proceed on the SCR when the signed SCR is returned with the Customer's authorization along with fifty percent(50%)payment,which includes the non-refundable processing fee. The final fifty percent(50%)payment is due upon completion. Data must be given to HTE in an IBM compatible format on a specified magnetic media and must match data field definition. Input data file clean up shall be the responsibility of the Customer. Additional conversion, if necessary, will be invoiced at the prevailing rate per hour. It is agreed that no two systems and file structures are exactly alike and there may be a need for some manual conversion efforts to take place along with the electronic conversion. SCR form(s) for any conversion services included in this Supplement are attached for Customer signature and return to HTE along with this Supplement. Additional HTE Licensed Programs For a period of one (1)year following full execution of this Supplement, should Customer desire to purchase additional HTE Licensed Programs,HTE shall offer said Licensed Programs at HTE's listed prices,less a ten(10%)percent discount,as of the date this Supplement is fully executed by the parties. Scheduled Resource Changes Customer acknowledges that HTE makes every effort to schedule training and project management sessions sufficiently in advance to make effective use of HTE's personnel and to obtain favorable prices for travel and living. Accordingly, the following cancellation charges apply to training and on-site project management sessions canceled at the request of Customer: Cancellation within seven(7)days of start date, Customer pays fifty percent(50%)of the total price for the training or on-site project management; cancellation within three(3) days of start date, Customer is responsible for entire price of the training or on-site project management. In addition to the foregoing, Customer shall be obligated to reimburse HTE for any non- refundable expenses incurred by HTE for travel expenses. Notwithstanding the above, HTE will endeavor to reschedule HTE personnel in order to mitigate Customer's costs and expenses under this paragraph. To the extent HTE is successful in such rescheduling,Customer's payment obligations shall be reduced. SunGard HTE Schedule A ELGI-07023 SunGard HTE Schedule A_r2.doc Ver.11/08/06 4 of 6 5/11/2007 Third Party Software and Hardware Unless otherwise provided for herein, warranty, modification retrofit and maintenance offerings by HTE for its Licensed Program(s) do not apply to any third party hardware or third party software supplied under this Supplement. HTE does not make any warranties nor provide any source code for any non-HTE products unless otherwise provided herein. The return and refund policy of each individual third party hardware or third party software supplier shall prevail unless otherwise provided herein. Source Code Unless otherwise provided herein, the Licensed Programs are provided in and may be used in machine-readable object code form only. HTE offers the Customer,through a third party escrow agent, a Source Code Escrow Agreement that provides for release of the source code version of the Licensed Programs from escrow upon the occurrence of certain release events,such as HTE's failure to provide required maintenance services as agreed. Limitation of Liability To the extent permitted by law,and to the extent provided for under this Agreement,for claims related to bodily injury,death and damage to real property and tangible personal property,HTE shall indemnify and hold harmless the Customer from and against all direct damages and costs of any kind,including but not limited to reasonable attorney fees,arising out of or resulting from any negligent acts,or negligent omissions of HTE,regardless of whether such claims are caused in part by any party indemnified hereunder,but not to the extent that the Customer is legally liable for such damages and costs.In no event, however,will HTE be liable for any consequential damages,including lost profits,savings or reprocurement costs,even if HTE has been advised of their possibility. Except for HTE's obligations to indemnify the Customer under infringement actions,as noted in Sections VIII and XI of this Agreement,and claims for personal injury or damages to real or tangible personal property caused by HTE's negligence as noted above,HTE's liability for damages to the Customer for any cause whatsoever under this Agreement,regardless of the form of action,is limited to the total amount of fees paid by Customer under this Agreement for HTE Licensed Program(s)and services,not including any fees associated with HTE project management and related out-of-pocket expenses. In situations involving performance or nonperformance of Licensed Program(s)furnished under this Agreement,the Customer's remedy is(1)the correction by HTE of Licensed Program defects,or(2)if,after repeated efforts,HTE is unable to make the Licensed Program(s)operate as warranted,the Customer shall be entitled to recover actual,direct damages to the limits set forth in this section upon the return or complete destruction of the Licensed Program(s)for which damages are sought. Publication HTE reserves the right to publish certain information regarding this Supplement. Publication may include, but shall not be limited to, using Customer's name in a press release announcing this Supplement and listing Customer's name on HTE's complete customer listing that is made available to other HTE customers and potential customers. Preprinted Terms and Conditions Preprinted conditions and all other terms,not included in this Supplement or in the Agreement,on any purchase order or other . document submitted hereafter by Customer are of no force or effect, and the terms and conditions of the Agreement, and if applicable, this Supplement and the Hardware Purchase Agreement if applicable, shall control unless expressly accepted by HTE in writing to the Customer. Non-Hiring Statement During the term of this Supplement and for a period of twenty-four(24)months after the termination of this Supplement, the parties may not offer to hire or in any way employ or compensate any of the employees of the other party or persons who have been employed by the other party within the immediate past twenty-four(24)months without prior consent of the other party. Dispute Resolution Prior to either party commencing any legal action under this Supplement, the parties agree to try in good faith, to settle any dispute amicably between them. If a dispute has not been settled after forty-five (45) days of good-faith negotiations and as may be otherwise provided herein,then either party may commence legal action against the other. Each party hereto agrees to submit to the personal jurisdiction and venue of the state and/or federal courts in or for the State of Illinois, Kane County for resolution of all disputes in connection with this Supplement. The terms and conditions contained in this Supplement, including the prices, will be honored as set forth herein, provided this Supplement is fully executed by June 15,2007. RECOMMENDATION It is recommended that the City Council award RFP 05-110 for a Municipal Management Information System to SunGard HTE, Inc and Advanced Imaging and Processing, Inc for a total cost of$536,050. BACKGROUND The City of Elgin has been using its current municipal management information system (MMIS) for almost 16 years. It is a tribute to the system's flexibility, effectiveness, and support that it has provided the City with so many years of successful service. But, as in the life cycle of any piece of equipment, there comes a time when a major overhaul or complete replacement is necessary. The hardware platform of the current MMIS, the IBM AS\400 model 720, is six years old and has reached its technical obsolescence. It is not upgradeable to the next level of operating system and can not run the newer versions of the MMIS. This server must be replaced. The software platform, HTE version 6.1 a "green screen" system, is not as user friendly and lacks many integrations to office automation tools and easy report generation found in the newer software systems. HTE no longer supports this version of the system. It must also be replaced. In response to the obsolescence and upgrade issues with the current MMIS, the MIS Department performed a system functional analysis and process management review and drafted a Request for Information. The RFI was sent out mid-year 2005. The responses were evaluated and budgetary information was provided to the City budget team. Evaluation of the RFI responses led to the conclusion that there were several MMIS products available that would solve the current obsolescence issues, enhance staff productivity, effectiveness and customer service. Based on these findings, the City Council included funds in the 2007 budget for a replacement MIS RFP 05-110 Municipal Management Information System May 18, 2007 Page 2 MMIS. A software selection team was formed with team members from each City department. The selection team was assisted by Scott Eiler, a principal consultant with the firm of Plante and Moran. An RFP was created based on input from each City department and the results of the RFI. The RFP was published in early 2006. Seven proposals were received. The proposals were evaluated by the selection team on overall response, completeness of response, module integration, and satisfaction of functional requirements. The top four responses from this phase, Harris, Inc. (GEMS), New World Systems (logos.net), SunGard-HTE (Naviline Select) and Tyler Technologies (Munis) were selected and the vendors were invited on-site for live demonstrations and presentations. These proposals were then evaluated on technical merit, functional requirements demonstrations, client references and cost of implementation. The top two proposals from this phase, SunGard-HTE (Naviline Select), Tyler Technologies (Munis) were selected and the vendors were invited back for a second round of more in-depth demonstrations and presentations. The proposals were again evaluated on quality and completeness of functional requirements demonstrations, long-term cost of ownership, quality of technical support, existing client site visits and reference checks. HTE Naviline Select is a very technically capable product and scored in the meets or exceeds requirements for all modules in the technical demonstrations. HTE Naviline scored highest in several critical modules including Utility Billing, General Ledger and Budgeting, Fixed Assets, Fleet Management and Work Orders. In the long term cost of ownership category, HTE Naviline is slightly lower in total cost over 5 years of ownership. In quality of technical support HTE Naviline scored higher. This is based on client reference checks and HTE providing normal 24 hr x7 days support for all applications. In the client reference checks and site visits HTE scored higher. HTE Naviline, while being a new system, is similar enough to the existing applications to make training simpler for the end users. The terminology, module names, application set up is very similar and familiar to the system users. HTE has an excellent on-line and web based training system to get the users trained and productive on the new modules quickly. Included in the RFP was a requirement for an integrated document and forms management system. SunGard HTE uses a third party business partner, Applied Processing and Imaging (API), to provide the document and forms management functionality. The API OmniView system integrates fully into the SunGard HTE system and also provides a full function document management system to include non-HTE documents as well. This will replace the existing Report2Web document management system. A detailed listing of program modules and features, including upfront purchase cost and annual maintenance cost, is attached. From the results of this comprehensive selection process, the selection team is recommending the proposal from SunGard HTE, the Naviline Select system as the best overall proposal for the City of Elgin MMIS. • MIS RFP 05-110 Municipal Management Information System May 18, 2007 Page 3 COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None FINANCIAL IMPACT The upfront cost of the contract with SunGard HTE, Inc. and Advanced Process and Imaging will total $536,050. There are sufficient funds budgeted ($ 645,000) and available ($645,000) in the Riverboat Fund, account number 275-0000-791.92-47, "Communications Equipment," project 219513, " HTE Upgrade Project" to purchase the Municipal Management Information System. The purchase price includes the first year of annual maintenance. Beginning in 2008 annual maintenance in the amount of$153,520 will be requested in the budget, this is an increase of $30,300 over previous years, reflecting the number of additional modules and program features added to the system. 1\140\iLEGAL IMPACT None ALTERNATIVES 1. The City Council may choose to approve the agreements with SunGard HTE and Advance Processing and Imaging for the MMIS. 2. The City Council may choose to award the MMIS RFP to a qualified competing vendor. 3. The City Council may choose to not award the MMIS RFP at this time.
