HomeMy WebLinkAbout07-0701 Randall 90 LLC ., -o-4.°l AGENCY AGREEMENT WHEREAS, Randall 90, LLC, an Illinois limited liability company ("Randall 90"), Heath 79, LLC, an Illinois limited liability company ("Heath"), SWC Rand & Willow, LLC, an Illinois limited liability company ("SWC") and Wolf& Laraway, LLC, an Illinois limited liability company ("Wolf") are, collectively, the owners (the "Owners") of that approximate 87 acre parcel situated at the northwest quadrant of Randall Road and Interstate 90 toll way and legal described as on Exhibit 1 attached hereto (the "Subject Property"); and WHEREAS, said Owners intend to petition the City of Elgin ("City") for certain zoning and development entitlements and incentives in connection with the development of the Subject Property; NOW, THEREFORE, the undersigned Owners hereby collectively appoint Randall 90 as their duly authorized agent, with full authority hereby vested in said in Randall 90 to (i),file such zoning and development applications with the City and (ii) to enter into such development agreements with the City as Randall 90 deems necessary or appropriate in connection with the zoning and subdivision of the Subject Property and the procurement of various development incentives (including, without limitation, sales tax rebates) for and on behalf of the Owners and other users of the Subject Property.
