RESOLUTION
AUTHORIZING EXECUTION OF A PURCHASE AGREEMENT WITH
AIRPHOTO USA, L.L.C. FOR AERIAL PHOTOGRAPHY
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,that
Ed Schock, Mayor, and Dolonna Mecum, City Clerk, be and are hereby authorized and directed to
execute a Purchase Agreement on behalf of the City of Elgin with AirPhoto USA,L.L.C. for aerial
photography, a copy of which is attached hereto and made a part hereof by reference.

PURCHASE AGREEMENT BETWEEN
AIRPHOTO USA, L.L.C.
AND THE CITY OF ELGIN
THIS AGREEMENT is hereby made and entered into this _AM
day of 74 j U let kV , 2004— by and between AirPhoto USA, LLC. ,
an Arizona limited/liability company (hereinafter referred to as
the "AirPhoto") and the CITY OF ELGIN, Illinois, a municipal
corporation (hereinafter referred to as the "City" ) .
NOW, THEREFORE, in consideration of the mutual promises and
covenants contained herein, the sufficiency of which is hereby
mutually acknowledged, the parties hereto hereby agree as
follows :
1 . AirPhoto shall provide to City twenty-one (21) mounted
mural photographic prints of an area as provided by City
(hereinafter referred to as "Prints") . Prints shall be the
following quantities and sizes :

1-1 . AirPhoto will provide The City of Elgin with a full
size, photo paper Proof of one of the twenty-one (21) prints
being ordered. A proof will be printed at 48"x46" which is full
size for 1 (one) of the twenty-one (21) prints ordered. Once
The City of Elgin provides written approval of acceptance of the
prints, AirPhoto will then produce the twenty-one (21) prints of
various sizes as detailed herein and have the same mounted and
shipped to The City of Elgin. Following written approval and
acceptance of the proof print, any future revision or changes to
the prints will be subject to an additional charge.
2 . Prints shall be provided to City on or before

3 . AirPhoto shall also provide City with a Custom
PhotoMapper CD of the area depicted in prints covering 160

within fifteen (15) working days from written acceptance of the proof print.

provide CD to City on or before 2005 .
4 . The area depicted by Prints and CD shall cover 160
square miles, and shall consist of an area bounded by Route 47
on the west, Binnie Road on the north, Route 59 on the east, and
Silver Glen Road on the south.
5 . AirPhoto shall provide mounting, shipping and crating
of Prints . City shall pay to AirPhoto the sum of $24, 525 . 00
within ten (10) days of City' s receipt and reasonable acceptance
of Prints and CD.
6 . The terms of this agreement shall be subject to and
governed by the laws of the State of Illinois . Venue for the
resolution of any disputes or the enforcement of any rights
arising out of or in connection with this agreement shall be in
the Circuit Court of Kane County, Illinois .
7 . The terms of this agreement shall be severable . In
the event any of the terms or provisions of this agreement are
deemed to be void or otherwise unenforceable for any reason, the
remainder of this agreement shall remain in full force and
effect.
8 . This agreement is the only agreement between the
parties hereto. There are no other agreements, either oral or
written, between the parties hereto. This agreement may not be
modified or amended without the written agreement of the parties
hereto.
IN WITNESS WHEREOF, the parties hereto have executed this
agreement on the date and year written above.

SUBJECT: Sole Source Contract for Aerial Photography Project
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of the City Council with
information to consider approval of a sole source contract with AirPhoto USA to provide the city
updated Aerial Photography.
RECOMMENTATION
It is recommended that the City Council award a sole source contract to AirPhoto USA in the
amount of$24,525.
BACKGROUND
With the anticipated growth and new construction in the far west planning area, The Department
of Community Development has been looking into updating the Aerial Photography (both hard-
copy as well as digital). AirPhoto USA regularly flies the northeastern Illinois area every 12 to
18 months. They are the only firm that offers aerial photo mosaics which mount high resolution
color plots on foam core or gator board.
Since these aerials are used in our public meeting facilities, as well as in the City of Elgin's GIS,
resolution and clarity will be essential. The contract calls for 21 hard-copy color mounted
murals of various sizes as well as a custom Photo Mapper CD to be used in the city's GIS
system. AirPhoto USA has submitted a proposal for these goods & services totaling $24,525. A
breakdown of the cost is as follows:

FI .ANCIAL IMPACT
The total cost of the proposed contract with AirPhoto USA equals $24,525. There are sufficient
funds budgeted ($24,525) and available ($24,525) in the General Fund, Special Projects, account
number 010-6902-719.89-02, project number 030104 to enter into this agreement.
LEGAL IMPACT

ALTERNATIVES
1. It is recommended that the City Council approve a sole source contract to AirPhoto USA
for the aerial photography project in the amount of$24,525.
2. Do not approve a contract to AirPhoto USA for the aerial photography project.
