RESOLUTION
AUTHORIZING EXECUTION OF AN ASSIGNMENT OF LICENSE AGREEMENT
WITH AMEREN ENERGY DEVELOPMENT COMPANY AND
AMEREN ENERGY GENERATING COMPANY
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Olufemi Folarin, Interim City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed to
execute an Assignment of License Agreement on behalf of the City of
Elgin with Ameren Energy Development Company and Ameren Energy
Generating Company for the maintenance of a gas main in and across
Spaulding Road, a copy of which is attached hereto and made a part
hereof by reference .

ASSIGNMENT OF LICENSE AGREEMENT
This ssignment of License Agreement is entered into this
day of , 2003 , by and between AMEREN ENERGY
DEVELOPME T COMP Y, an Illinois corporation, AMEREN ENERGY
GENERATING COMPANY, a subsidiary of Ameren Energy Development
Company, an Illinois corporation, and the CITY OF ELGIN, a
municipal corporation.
WITNESSETH
WHEREAS, Ameren Energy Development Company and the City of
Elgin have previously entered into a License Agreement dated
April 8, 2002 wherein the City of Elgin as Licensor granted to
Ameren Energy Development Company as Licensee a license to install
and maintain a 16 inch diameter natural gas main in and across a
portion of a certain public right-of-way commonly known as
Spaulding Road (such License Agreement between the City of Elgin as
Licensor and Ameren Energy Development Company as Licensee dated
April 8, 2002 , is attached hereto as Exhibit A and is hereinafter
referred to as the "Subject License Agreement" ; and
WHEREAS, Ameren Energy Development Company and Ameren Energy
Generating Company desire to enter into an assignment agreement
whereby Ameren Energy Development Company will assign to Ameren
Energy Generating Company all of its rights and obligations in and
to the Subject License Agreement .
NOW, THEREFORE, for and in consideration of the mutual
promises and undertakings contained herein, and the mutual promises
and undertakings as set forth in the Subject License Agreement, and
other good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, the parties hereto agree as
follows :
1 . That the foregoing recitals are incorporated into this
agreement in their entirety.
2 . That Ameren Energy Development Company hereby assigns to
Ameren Energy Generating Company all of its rights and obligations
in and to the Subject License Agreement with the City of Elgin.
3 . That Ameren Energy Generating Company hereby assumes all
of Ameren Energy Development Company' s rights and obligations in
and to the Subject License Agreement with the City of Elgin.

4 . That the City of Elgin hereby consents to the foregoing
assignment from Ameren Energy Development Company to Ameren Energy
Generating Company regarding the Subject License Agreement .
5 . That the parties hereto agree that this Assignment of
License Agreement shall be deemed effective as of November 15,
2002 .
6 . That Ameren Energy Generating Company shall provide for
the recordation of this Assignment of License Agreement at its own
expense and shall provide to the City proof of such recordation.
IN WITNESS WHEREOF the parties hereto have entered into and
executed this Assignment of License Agreement as of the date first
written above .

LICENSE AGREEMENT
THIS AGREEMENT, made and entered into this 8 day of 14 PR� L , 2002 by and between CITY
OF ELGIN. a municipal corporation, organized and existing under the laws of the State of Illinois • .
("Licensor")and Ameren Energy Development Company, an Illinois Corporation ("Licensee"):
WITNESSETH:
WHEREAS, Licensee is or will be the owner of the following described parcel of real estate and easement
("Benefited Parcel")commonly known as1559 Gifford Rd., Elgin, Illinois and legally described as follows:
SEE ATTACHED EXHIBIT A
WHEREAS, Licensor is the owner of certain public right-of-way commonly known as Spaulding Road,
running east and west along the north boundary of the Benefited Parcel easement and
WHEREAS,the License Parcel is depicted on Exhibit B attached hereto and made a part hereof: and
WHEREAS, Licensee desires to install and maintain a single 16" diameter natural gas main
("Improvement") as a service connection to the benefited parcel on a portion of the License Parcel, and
across and along Spaulding Road.
NOW, THEREFORE, the parties agree as follows:
1. The Licensor hereby grants unto Licensee a license granting the licensee the right to install and
maintain the Improvement within the License Parcel as set forth in Exhibit B, across and along
Spaulding Road as set forth in Exhibit C.
The Licensee shall maintain signage being post that is 4" in diameter and 48" in height that is
directly above the Improvement identifying its location and function. The Licensee shall also
install Improvement at the crossing of Spaulding Road a minimum depth of eight (8) feet and a
maximum depth of fifteen(15)feet
2. In consideration for this Agreement; Licensee agrees to pay to Licensor a fee of Ten and 00/100
Dollars($10.00), due and payable when this Agreement is executed.
3. Licensee agrees to install the Improvement only as depicted on Exhibit C and in compliance with
all applicable utility and natural gas facility regulations.
4. Licensee agrees that the Improvement shall be installed and maintained pursuant to plans
approved by the city engineer of the City of Elgin and at all times in accordance with generally
accepted standards for the installation and maintenance of natural gas facilities in the City of
Elgin and in accordance with all applicable requirements of the Elgin Municipal Code, 1976, as
amended. Licensee shall at its own responsibility and expense obtain and keep in effect all
Licenses,bonds and permits necessary for the installation and existence of the Improvement.
5. Upon termination of the Agreement, Licensee agrees to remove the improvement from the
License Parcel and the Spaulding Road right-of-way within a reasonable time period to be
mutually agreed between Licensor and Licensee at the time of termination, and restore the site to
its original condition.

6. Licensor shall in no way be responsible for loss of, or damage to, the Improvement or for any
property belonging to or rented by Licensee, its officers, servants, agents, or employees which
may be stolen, destroyed, or in any way damaged during the installation or maintenance of the
Improvement, and Licensee hereby indemnifies and holds harmless Licensor, its officers. agents,
servants and employees from and against any and all such claims. , 1

7. Licensee agrees to and does hereby, indemnify, hold harmless, and defend Licensor, its officers,
agents, servants, for any property loss or damage andfor personal injury, including death, to any
and all persons, of whatsoever kind or character whether real or asserted, arising out of or in
connection with the existence, maintenance, use or location and responsibility of Licensor, its
officers, agents, servants and employees for such suits or claims. Licensee shall likewise
indemnify and hold harmless Licensor for any and all injury or damage to the License Parcel,
whether arising out of or in connection with any and all acts or omissions of Licensee, its officers,
agents, employees, contractors, Licensees, invitees, or trespassers. In the event of any such
action against Licensor, its officers, agents, or servants, such action shall be defended by
counsel of the Licensor's choosing. Additionally, Licensee shall insure that any damage done to
Licensor's property whether caused by Licensee or not, shall be repaired immediately by
Licensee at Licensee's sole expense. Licensee further agrees that should Licensor be required to
repair said damage, Licensee agrees to pay the cost of repair as well as all costs and reasonable
attorney fees incurred by Licensor to properly repair said damage. Finally, The provisions of this
paragraph shall survive the termination of this agreement
9. licensees shall provide pay for and maintain in effect, during the term of this Agreement. a policy
of comprehensive general liability insurance written in occurrence form with limits of at feast
$1,000,000.00 per occurrence and $1,000,000.00 annual aggregate for bodily injury including
death and $1,000,000,00 per occurrence and $1,000,000.00 annual aggregate for property
damage.
Licensee shall deliver to the Licensor a Certificate of Insurance naming the Licensor as additional
insured. The policy shall not be modified or terminated without thirty(30) days prior written notice
to the Licensor.
The Certificate of Insurance,which shall include contractual obligations assumed by the Licensor
under paragraph 7 shall be provided.
This insurance shall apply as primary insurance with respect to any other insurance or self-
insurance programs afforded to the Licensor. There shall be no endorsement or modification of
this insurance to make it excess over other available insurance, alternatively, if the insurance
states that it is excess or prorate, it shall be endorsed to be primary with respect to the Licensor'
9. _ This License is personal to Licensees. This license is assignable with the approval of the licensor
and such approval shall not be unreasonably withheld..
10. Licensee agrees that should any action, whether real or asserted, at law or in equity, rise out of
the terms of this Agreement, or by Licensee's operations on the License parcel, venue for said
action shall lie in Kane County, Illinois.
11. in any action brought by Licensor for the enforcement of the obligations of Licensee, Licensor
shall be entitled to recover interest and reasonable attomey's fees.
12. Licensee agrees to provide for recordation of this Agreement at its own expense and to provide
proof of such recordation to Licensor.
13. This License may be terminated by the city in the following instances:

- a. Upon Licensee ceasing utilization of the Licensed premises for a period of one hundred
eighty (180)days.
b. Upon the City of Elgin ceasing utilization of the Licensed Premises as a public right of
way
c. In the event the Licensee breaches a material term of this Agreement, and fails to initiate
a cure for such breach within thirty (30)days of written notification from the'city.
d. In the event of a final order by a court of competent jurisdiction voiding this License.
IN WITNESS WHEREOF, the parties have caused this agreement to be Executed by the City Manager
and City Clerk of the City of Elgin and Ameren Energy Development Company, by its Vice President and
Assistant Secretary.

SUBJECT: Reassignment of Ameren Energy Licensing Agreement
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council with information to consider
approval of a reassignment of a license agreement between the
City and Ameren Energy.
BACKGROUND
Ameren Energy recently placed into service their new power
generating plant on Gifford Road. Various City approvals back in
2001 and early 2002 were necessary for this plant to be
constructed. One of those approvals involved a license agreement
between the company and the City to allow Ameren to construct
and maintain a 16-inch natural gas main under Spaulding Road.
As the company moves away from the development phase and into
the operational phase, it is asking to reassign the obligations
of the license agreement from the Ameren Energy Development
Company to a subsidiary company called the Ameren Energy
Generating Company.
