RESOLUTION
AUTHORIZING EXECUTION OF A PURCHASE OF SERVICE AGREEMENT WITH
THE DOWNTOWN NEIGHBORHOOD ASSOCIATION
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that David M. Dorgan, City Manager, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to execute a
Purchase of Service Agreement on behalf of the City of Elgin with
the Downtown Neighborhood Association for the development and
enhancement of the center city, a copy of which is attached hereto
and made a part hereof by reference .

PURCHASE OF SERVICE AGREEMENT
THIS AGREEMENT is made and entered into on the 1 day of
, 2003 , by and between the DOWNTOWN NEIGHBORHOOD
ASSOCIATION, an Illinois not-for-profit organization,
(hereinafter referred to as the "DNA" ) and the CITY OF ELGIN,
Illinois, a municipal corporation, (hereinafter referred to as
the "CITY" ) .
WHEREAS, the City has determined it to serve a beneficial
public purpose to provide support for the development and
enhancement of the center city; and
WHEREAS, the DNA is a membership-based organization formed
to create, support, and sustain revitalization efforts in
downtown Elgin.
WHEREAS, the revitalization of Downtown Elgin will result in
increased property values and increased job opportunities; and
WHEREAS, the City is a home rule unit which may exercise any
power and perform any function pertaining to its government and
affairs; and
WHEREAS, the revitalization of Downtown Elgin including
increased property values and job opportunities therein pertains
to the government and affairs of the City.
NOW, THEREFORE, in consideration of the mutual promises and
covenants contained herein, the sufficiency of which is hereby
acknowledged, the parties hereto agree as follows :
1 . The City shall pay to DNA the total sum of Sixty
Thousand Dollars and no/100ths ($60, 000) to be made in two
equal payments of Thirty Thousand Dollars and no/100ths
($30, 000) . The first payment will be made following the
execution of this Agreement . The second payment shall be
made July 25, 2003 . However, the second payment will not be
processed until the DNA has submitted the required reports
and financial statements which are due July 15 , 2003 , as
specified in Section 12 and 13 .
2 . DNA shall conduct all of its activities funded pursuant
to this Agreement, including but not limited to, the
providing of support for the development and enhancement of
the center city, in accordance and in compliance with all
requirements of law.
3 . DNA shall address all inquiries and requests made
pursuant to this Agreement to the City' s Director of
Economic Development and Business Services .
4 . DNA shall apply the $60, 000 contribution to operating
expenses such as staff salary and benefits, rent, meeting
expenses, and expenses associated with sponsorship of
community events .
5 . DNA shall develop strategic planning that enhances the
appearance and promotes the preservation of downtown
through the following means :
A. Forums
B. Design Assistance and Facade Programs
C. Strategic Planning
6 . DNA shall implement and/or assist in multiple community
events to be held in the Center City including but not
limited to the 4th of July Parade, Harvest Market, Fiesta
Salsa, Window Wonderland and the Four Bridges of Elgin
International Bicycle Race Welcome Dinner.
7 . The City shall be recognized as a sponsor of the DNA
and shall receive the benefits of sponsorship consistent
with the level of support provided. At minimum, the City' s
support shall be acknowledged in print materials promoting
the organization or event, radio advertising, Web page
information and event program(s) . Three samples of this
acknowledgement shall be provided to the City. A logo
provided by the City shall be used for this purpose .
8 . Representatives of DNA shall meet not less than
quarterly with representatives of the Elgin Area Chamber of
Commerce and City of Elgin.
9 . DNA shall assist with the implementation of a
strategy designed to strengthen existing downtown
businesses, recruit new businesses and develop strategies
designed to sustain the economic vitality of the downtown.
10 . The DNA office shall also serve as a Discovery Studio
for the implementation of the City of Elgin Riverfront
Center City Master Plan.
11 . DNA shall provide a budget which shall reflect the
projected distribution of funds received from the City
during the term of the Agreement . The budget shall be
submitted within 30 days of execution of the Agreement .
12 . DNA shall provide two written reports detailing the
disbursement of $60 , 000 . These reports shall be provided
to the City Council on or before July 15, 2003 , for
activity from January 1 through June 30, 2003 , and on or
before January 15, 2004 , for activity from July 1 through
December 31, 2003 , and shall include all program activity.
These reports shall be submitted to the City Manager' s
Office, City Hall , 150 Dexter Court , Elgin, IL, 60120 .
13 . DNA shall provide the City with financial statements
relative to the organization' s total operations . These
statements shall be provided on or before July 15, 2003 for
activity from January 1 through June, 30, 2003 , and on or
before January 15, 2004 , for activity from July 1 through
December 31 , 2003 . These statements shall be submitted to
the City Manager' s Office, City Hall , 150 Dexter Court,
Elgin, IL, 60120 .
14 . The City shall have the right to review all accounting
records related to the use to the $60 , 000, given 72 hour
notice, and at a time agreed upon by both parties .
15 . DNA agrees to and it shall indemnify, defend and hold
harmless the City, its officers, employees, agents, boards
and commissions from and against any and all claims, suits,
judgments, costs, attorney' s fees, damages or other relief,
arising out of or resulting from or through or alleged to
arise out of any negligent acts or omissions of DNA or its
officers, employees or agents in the performance of this
Agreement . Nothing herein affects DNA' s duty to defend the
City. In the event of any action against the City, its
officers, employees, agents, boards and commissions covered
by the foregoing duty to indemnify, and defend and hold
harmless, such action shall be defended by legal counsel of
the City' s choosing. The provisions of this paragraph shall
survive any termination and/or expiration of this
Agreement .
16 . Failure to perform the above services to the
satisfaction of the City Council shall result in a
termination of this Agreement and the refund of the $60 , 000
consideration (plus reasonable costs and attorney' s fees,
in the event City is required to litigate to retrieve said
funds) as and for liquidated damages .
17 . In the event this Agreement is terminated or in the
event the programs for which the City funds provided herein
are to be applied are discontinued or DNA ceases its
operations prior to December 31, 2003 , DNA shall refund to
the City on a prorated basis the funds paid hereunder for
the portion of the year remaining after any such
termination or for the portion of the year such programs of
DNA operations were not conducted.
18 . This Agreement shall not be construed so as to create a
partnership, joint venture, employment or other agency
relationship between the parties hereto.
19 . This Agreement shall be subject to and governed by the
laws of the State of Illinois . Venue for the resolution of
any disputes or the enforcement of any rights pursuant to
this Agreement shall be in the Circuit Court of Kane
County, Illinois .
20 . This Agreement shall be in full force and in effect
from the date of its execution through December 31 , 2003 .
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement on the date and year written above .

SUBJECT: Downtown Neighborhood Association Purchase of Service
Agreement for 2003
PURPOSE
The purpose of the memorandum is to provide information to the
Mayor and members of City Council to consider a Purchase of
Service Agreement with the Downtown Neighborhood Association
(DNA) for 2003 .
BACKGROUND
The DNA is a grass-roots, membership-based organization formed to
create, support, and sustain revitalization efforts in downtown
Elgin. Members include downtown businesses, civic and social
service organizations, property owners, residents, surrounding
neighborhoods and others interested in revitalization.
Currently, the DNA has over 100 members . DNA' s first meeting was
held December, 1997, and the group was formally recognized as an
Illinois 501c (3) not-for-profit organization in April, 1998 . In
DNA' s brief existence, it has become very active in reaching out
to the community and bringing together many downtown interests .
As part of the 2003 budget process, the DNA requested and was
granted $60, 000 from the City. Funds are to be used for operating
expenses such as staff salary and benefits, rent, meeting
expenses, and expenses associated with sponsorship of community
events . DNA proposed that this funding be utilized to support the
following programs :
• Downtown appearance and preservation - DNA shall develop
strategic planning that enhances the appearance and promotes
the preservation of downtown through forums, design
assistance and facade programs, and other strategic
planning.

• Downtown business retention and expansion - DNA shall assist
with implementation of a strategy designed to strengthen
downtown businesses, recruit new businesses, and develop
strategies to sustain the economic vitality of the downtown.
• Downtown event sponsorship - The DNA will implement and/or
assist in multiple community events to be held in the center
city such as the 4th of July Parade, Harvest Market, Four
Bridges of Elgin International Bike Race Welcome Dinner,
Fiesta Salsa, and Window Wonderland.
• Support implementation of Riverfront Center City Master Plan
- DNA shall serve as a Discovery Studio for implementation
of the City of Elgin Riverfront Center City Master Plan.
• Coordinate efforts with other relevant organizations - The
DNA will be active with the Chamber of Commerce, the
Riverfront/Downtown Project Management Team, the E-Elgin
Technology Action Team, Neighborhood Council, City of Elgin
staff, and others.
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
The proposed agreement was drafted in conjunction with the DNA
Executive Director Norma Miess.
\A FINANCIAL IMPACT
There are sufficient funds, $78, 000 . 00, budgeted and available in
the 2003 Budget in the Riverboat Fund, Contributions, Downtown
Neighborhood Association, Account Number 275-0000-791 . 80-36, to
provide the requested support to the Downtown Neighborhood
Association.

ALTERNATIVES
The City Council could approve the agreement as drafted, edit the
agreement or decline to provide support to the Downtown
Neighborhood Association.

It is recommended that the City Council approve the Purchase of
Service Agreement with the Downtown Neighborhood Association in
the amount of $60, 000 . 00 .

In 2002, the Downtown Neighborhood Association of Elgin strengthened its influence as an as an effective
instrument of support for downtown success through its increasing ability to manage downtown
development, gather proactive community involvement, support downtown's economic base, and
effectively promote the center city as the heart of local and regional cultural entertainment.
1. DNA's support through the Main Street approach to downtown revitalization—
❖ In February 2002, DNA received official designation as an active Illinois Main Street Community.
Through the Main Street Approach, our organization is completely focused in managing each of the
areas proven fundamental to successful downtown revitalization—Design, Economic Restructuring,
Organization, and Promotion- . With the support of a staff and a volunteer based board of directors
and committees, and strong local, statewide and national partners, DNA is fulfilling its role as
keepers of downtown's vision and effectively supporting its revitalization goals.
❖ In May 2002, through DNA's nominations, the Lieutenant Governor and the Illinois Main Street
Council awarded Elgin with 4 state level awards for excellence in downtown revitalization placing
Elgin in an unprecedented leadership level as a new Main Street community. In 2003, we will
continue to administer Elgin's Main Street Program and our participation in state & national
training to foster focused motivation and education of volunteers and staff in downtown
development,marketing, and promotion.
2. DNA's ability to gather and manage proactive community involvement-
❖ DNA's greatest asset is its volunteer driven base to develop and implement its activities. Volunteer
involvement and support represent a total in-kind contribution value of more $150,000 for 2002.
❖ Through active partnerships and the increasing participation and involvement of downtown
stakeholders, DNA continues to increase its influence as a strong support to downtown
revitalization. In 2003, with more activities, DNA's projects a return of$3 for every $1 received
from the City's annual contract agreement. DNA anticipates more than $200,000 in value from
volunteer hours and overall in-kind contributions and about $90,000 in financial support to our
activities and operations.
3. DNA's Support to the economic base and development of downtown -
••• Business Retention—
• A direct and more personal approach to communication has helped us build a more positive
relationship with the downtown community. In 2002, DNA provided individual & group support
through:
• Peer-group meetings: gathered restaurants, banks, churches, retail, other businesses, and
property owners to share needs & concerns. Provided networking support, and made available
information on plans and resources.
• Block improvement initiative: with pilot block within Douglas Ave/E. Chicago St./N. Spring
St./E. Highland Ave. property owners and businesses shared needs & concerns, individual
enhancement plans and potential ways to work together. Further meetings are contemplated in
2003 with other blocks as well.
• Visits with individual businesses and property owners to find out individual needs, concerns,
and identify potential resources (public & private) available for business or property 1
improvements,projects, and development.
+ Business Recruitment—
■ Downtown Property Survey: Developed a support process to update information and establish a
comprehensive database for vacant/occupied space to provide support in business recruitment.
• DNA served as liaison and provided information and guidance on process and resources
available for business planning, financing, and local incentives.

In 2003, through staff, board & committees formed by volunteer stakeholders, DNA plans to
continue our proactive support to current businesses by providing proactive communication and
pursuing support from additional resources [DCCA, IHPA, Women & Minority Business Affairs,
IL Arts Council, Small Business Development Center, and private entities (Universities,
foundations, etc.) to aid their development and attract new businesses to fill vacant space.
4. Furthering local and statewide promotion of Downtown Elgin -
Promoting Downtown statewide-
+ • DNA promoted Elgin in more than 150,000 Travel Planners distributed throughout Illinois
bringing back more than 200 inquiries for more information about our community. We are
already working with the Illinois Council of Main Street Communities in the production of the
2003 Illinois Travel Planner.
+ Promoting Downtown through special events—
■ Tens of thousands of people — locals and visitors - came downtown during 2002 to attend
special events organized and supported by DNA. Following is a list of events we organized or
supported during 2002:

by assuring the flow of resources, proactive community participation, and effective support of downtown
stakeholders. We are pleased with the organization's path of growth and support to downtown. In 2003, we
remain committed to our mission of representing the downtown community and working hard to foster a
center of activity and ensure economic stability for the heart of Elgin!

INTRODUCTION—DNA FOCUS&STRUCTURE
The Downtown Neighborhood Association is a grass-root, volunteer driven, not for profit organization
governed by a board of directors and professionally staffed to fulfill its mission of representing all the
individuals and organizations with a presence and stake in downtown's development and success.
The Association's purpose for the heart of Elgin is:
1. To foster a center of activity
2. To ensure economic stability
DNA pursues success in downtown revitalization by achieving our purpose through:
1. Historic Preservation—supporting preservation of downtown's unique architecture and character.
2. Communication—involving public and private sector in the revitalization efforts.
3. Education—making information available for community's participation and involvement.
4. Promotion—enhancing the image of downtown through special events &marketing strategies.
5. Economic revitalization—provide support for business retention, expansion, and recruitment.
To effectively accomplish its purpose, DNA has structured its operations following the Main Street
Philosophy for excellence in downtown revitalization. The program provides specific direction and
training in adequate utilization of resources through the following 4-Point ApproachTM for downtown
management:
1. Design — to educate, provide design assistance, and develop strategic planning that enhance the
appearance and promote historic preservation of downtown.
2. Economic Revitalization - to retain & strengthen existing downtown businesses, support recruitment
of new businesses, and develop appropriate strategies to sustain the economic vitality of downtown.
3. Organization -to build an effective volunteer driven downtown management organization, guided by
professional staff,with broad-based public and private sector support.
4. Promotion - to promote downtown through a unified, quality image & strategies that bring people
downtown and promote its assets.
DNA brought to Elgin designation as an active Illinois Main Street Community in February 19, 2002.
Illinois Main Street follows the National Trust Main Street Center's Four-Point Main Street Approach'
for revitalizing the downtown business district. The criteria to meet and keep active Main Street
designation includes broad-based community support from both the public and private sectors; vision and
mission statements relevant to community conditions; comprehensive Main Street work plan; historic
preservation ethic; active board of directors and committees; adequate operating budget with
commitments of support from public and private sectors; paid,professional program manager;program of
ongoing training for staff, volunteers, and leaders in downtown revitalization; reporting of key statistics—
quarterly for Large Cities; and current membership in the National Main Street Network. DNA is
committed to administer Elgin's focus on downtown revitalization by following the Main Street
Approach. We will continue meeting all requirements to maintain state level designation and to also
pursue designation for Elgin to become a National Main Street Community within the next two years.
Below is the work plan that details the focus, goals and objectives, and projects proposed by each of the 4
DNA committees for the year 2003 (January through December, 2003):
DOWNTOWN DESIGN DNA WORK PLAN 2003
Focus:
To educate,provide design assistance, and develop strategic planning that enhance the appearance and
promote historic preservation of downtown.

programs for historic buildings and in the benefits and requirements to Landmark & National

a. Meet with blocks to promote internal improvements (alleys, garbage services, snow removal,
window cleaning, etc.)
b. Promote and review implementation and of Riverfront/Center City Master Plan.
c. Review sign regulations,polices regarding public sidewalks, and use of incentives.
d. Develop guidelines for streetscape improvements,parking management, and signage.
3. Planning:
a. Promote the development of a comprehensive survey of downtown historic architecture.
b. Develop and implement downtown enhancement projects such as:
• Murals exterior walls -vacant lots, along buildings backing Metra rails & entry gates
• Utilization of vacant storefront space(art displays & galleries)
• Promote participation in the facade program &other incentives for building improvements

c. Personal follow up visits to strengthen communication and awareness of needs &concerns.
d. Continue the Peer Group meetings (restaurants, retailers, churches, etc.) to offer
networking opportunities and to foster group strategies for promotion, marketing and
mutual support.
e. Continue the "Out to Lunch" monthly activities to support and promote dining within
downtown workforce.
2. For Business Recruitment,-
a. Continue the development of DNA's comprehensive Database to include updated
information on vacancy and occupancy rates and percentages.
b. Work with property owners in developing appropriate recruitment goals & strategies.
c. Serve as liaison to property owners and City for inquires for potential interest in locating
business in downtown. — provide information available about downtown space, guide
process and for potential use of incentives and other resources available.
d. Develop a restaurant recruitment plan implementing public and private support.
3. Other strategies to foster economic vitality—
a. Review current incentive programs and their feasibility as they apply to support current
business development and success (business loan rate, etc.) and develop recommendations
for potential use of resources available to support current businesses [promotional and
marketing incentives (similar to e-Elgin grant statues, etc.).
b. Explore state level programs and resources available to support downtown business
economic development. (DCCA, Small Business Administration, Small Business
Development Programs, Federal programs and grants, etc.).

To build an effective volunteer driven downtown management organization, guided by professional staff,
with broad-based public and private sector support.

b. Developing and implementing events and activities that are financially self reliant and
productive to DNA operations.
c. Pursuing financial resources of diverse nature(private and public grants, etc.).
d. Participating in downtown management&development training(Main Street, etc.)
2. Fostering stakeholders' participation through volunteerism and leadership involvement by:
a. Increasing volunteer opportunities for diverse groups (intergenerational, ethnic, faith
based, non- profit, neighborhoods, art, etc.) through all activities including downtown
events, tours, design, and economic development cooperative support efforts.
b. Recognizing community support and volunteer spirit through an annual special volunteer
recognition events (EDNA Awards) and programs (post event recognition,thanks, etc.)
c. Foster networking and cooperative support efforts among same interests/peer group

3. Maintain and increase communication of information on downtown activity by:
a. Developing and implementing monthly membership meetings that provide stakeholders
updated information and added opportunities for participation. (AM,Noon,PM).
b. Producing and mailing monthly newsletters (print & email) with news updates and
calendar of activities.
c. Implementing a new website with complete information on downtown — business
directory, property listings, program, events, and additional news and opportunities, of
support for downtown promotion,marketing, education, and economic development.
4. Actively promote DNA's mission to stakeholders, groups, local leaders, and legislators to develop
and strengthen cooperation, mutual and positive support.
a. Be the "Keeper" of the Vision of downtown by proactively and positively striving to
represent the interest of individuals and organizations with a presence in downtown.
b. Pull together and coordinate the many downtown stakeholders and constituents,promoting
partnerships by encouraging collaboration and support.
c. Build awareness among all community groups, especially high school and college students
through tours, classroom visits, and involvement in DNA activities.

To promote downtown through a unified, quality image & strategies that bring people downtown and
promote its assets.

1. Promote Downtown's Positive Image:
a. Promote Downtown Elgin as the"heart"of community's cultural activity by:
• Organizing special events & activities that promote the community's rich cultural heritage.
• Supporting and encouraging community groups to present special events in downtown.
b. Diminish misperceptions of downtown by:
• Developing and implementing well planned special events & activities that showcase
downtown's safe, clean, and revitalizing atmosphere and appearance.
• Promoting community participation & involvement in the organization of special events
and other activities (tours, fairs, conventions, etc.)through sponsorship and volunteerism.
2. Support the marketing of downtown's economic base and downtown assets:
a. Internal downtown marketing support- among organizations,businesses and property owners
b. External downtown marketing support — among entire Elgin community, vicinities, and IL
Main Street communities.

PURCHASE OF SERVICE AGREEMENT
THIS AGREEMENT is made and entered into on the day of
, 2003 , by and between the DOWNTOWN NEIGHBORHOOD
ASSOCIATION, an Illinois not-for-profit organization,
(hereinafter referred to as the "DNA" ) and the CITY OF ELGIN,
Illinois, a municipal corporation, (hereinafter referred to as
the "CITY" ) .
WHEREAS, the City has determined it to serve a beneficial
public purpose to provide support for the development and
enhancement of the center city; and
WHEREAS, the DNA is a membership-based organization formed
to create, support, and sustain revitalization efforts in
downtown Elgin.
WHEREAS, the revitalization of Downtown Elgin will result in
increased property values and increased job opportunities; and
WHEREAS, the City is a home rule unit which may exercise any
power and perform any function pertaining to its government and
affairs; and
WHEREAS, the revitalization of Downtown Elgin including
increased property values and job opportunities therein pertains
to the government and affairs of the City.
NOW, THEREFORE, in consideration of the mutual promises and
covenants contained herein, the sufficiency of which is hereby
acknowledged, the parties hereto agree as follows :
1 . The City shall pay to DNA the total sum of Sixty
Thousand Dollars and no/100ths ($60, 000) to be made in two
equal payments of Thirty Thousand Dollars and no/100ths
($30, 000) . The first payment will be made following the
execution of this Agreement . The second payment shall be
made July 25, 2003 . However, the second payment will not be
processed until the DNA has submitted the required reports
and financial statements which are due July 15, 2003, as
specified in Section 12 and 13 .
2 . DNA shall conduct all of its activities funded pursuant
to this Agreement, including but not limited to, the
providing of support for the development and enhancement of
the center city, in accordance and in compliance with all
requirements of law.
3 . DNA shall address all inquiries and requests made
pursuant to this Agreement to the City' s Director of
Economic Development and Business Services .
4 . DNA shall apply the $60, 000 contribution to operating
expenses such as staff salary and benefits, rent, meeting
expenses, and expenses associated with sponsorship of
community events .
5 . DNA shall develop strategic planning that enhances the
appearance and promotes the preservation of downtown
through the following means :
A. Forums
B. Design Assistance and Facade Programs
C. Strategic Planning
6 . DNA shall implement and/or assist in multiple community
events to be held in the Center City including but not
limited to the 4th of July Parade, Harvest Market, Fiesta
Salsa, Window Wonderland and the Four Bridges of Elgin
International Bicycle Race Welcome Dinner.
7 . The City shall be recognized as a sponsor of the DNA
and shall receive the benefits of sponsorship consistent
with the level of support provided. At minimum, the City' s
support shall be acknowledged in print materials promoting
the organization or event, radio advertising, Web page
information and event program(s) . Three samples of this
acknowledgement shall be provided to the City. A logo
provided by the City shall be used for this purpose .
8 . Representatives of DNA shall meet not less than
quarterly with representatives of the Elgin Area Chamber of
Commerce and City of Elgin.
9 . DNA shall assist with the implementation of a
strategy designed to strengthen existing downtown
businesses, recruit new businesses and develop strategies
designed to sustain the economic vitality of the downtown.
10 . The DNA office shall also serve as a Discovery Studio
for the implementation of the City of Elgin Riverfront
Center City Master Plan.
11 . DNA shall provide a budget which shall reflect the
projected distribution of funds received from the City
during the term of the Agreement . The budget shall be
submitted within 30 days of execution of the Agreement .
12 . DNA shall provide two written reports detailing the
disbursement of $60, 000 . These reports shall be provided
to the City Council on or before July 15, 2003 , for
activity from January 1 through June 30, 2003 , and on or
before January 15, 2004 , for activity from July 1 through
December 31, 2003 , and shall include all program activity.
These reports shall be submitted to the City Manager' s
Office, City Hall, 150 Dexter Court, Elgin, IL, 60120 .
13 . DNA shall provide the City with financial statements
relative to the organization' s total operations. These
statements shall be provided on or before July 15, 2003 for
activity from January 1 through June, 30, 2003 , and on or
before January 15, 2004, for activity from July 1 through
December 31, 2003 . These statements shall be submitted to
the City Manager' s Office, City Hall, 150 Dexter Court,
Elgin, IL, 60120 .
14 . The City shall have the right to review all accounting
records related to the use to the $60, 000, given 72 hour
notice, and at a time agreed upon by both parties .
15 . DNA agrees to and it shall indemnify, defend and hold
harmless the City, its officers, employees, agents, boards
and commissions from and against any and all claims, suits,
judgments, costs, attorney' s fees, damages or other relief,
arising out of or resulting from or through or alleged to
arise out of any negligent acts or omissions of DNA or its
officers, employees or agents in the performance of this
Agreement . Nothing herein affects DNA' s duty to defend the
City. In the event of any action against the City, its
officers, employees, agents, boards and commissions covered
by the foregoing duty to indemnify,- and defend and hold
harmless, such action shall be defended by legal counsel of
the City' s choosing. The provisions of this paragraph shall
survive any termination and/or expiration of this
Agreement .
16 . Failure to perform the above services to the
satisfaction of the City Council shall result in a
termination of this Agreement and the refund of the $60, 000
consideration (plus reasonable costs and attorney' s fees,
in the event City is required to litigate to retrieve said
funds) as and for liquidated damages .
17 . In the event this Agreement is terminated or in the
event the programs for which the City funds provided herein
are to be applied are discontinued or DNA ceases its
operations prior to December 31, 2003 , DNA shall refund to
the City on a prorated basis the funds paid hereunder for
the portion of the year remaining after any such
termination or for the portion of the year such programs of
DNA operations were not conducted.
18 . This Agreement shall not be construed so as to create a
partnership, joint venture, employment or other agency
relationship between the parties hereto.
19 . This Agreement shall be subject to and governed by the
laws of the State of Illinois . Venue for the resolution of
any disputes or the enforcement of any rights pursuant to
this Agreement shall be in the Circuit Court of Kane
County, Illinois .
20 . This Agreement shall be in full force and in effect
from the date of its execution through December 31, 2003 .
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement on the date and year written above .
